How to choose your bristle type:

Flagged-Soft – These are soft bristles that have been additionally ‘flagged’, ie: the ends have been split to make an ultrafine, almost ‘fluffy’ end on the bristles. Use for fine powder & dust, also on uneven and rough surfaces to get into all the crevices. Note: Flagged bristles tend to clog when there is dust & moisture, combined.

Medium – These bristles are very flexible, and still soft, and will do a very good job with dust and powder, as well as being more resistant to moisture. Very easy to push, and still gets into crevices.

Medium-stiff – Still flexible, but with more rigidity for bulkier and more solid product. Will not pick up fine dust as well, use for meat scraps, fruit skins, pulp, grains etc.

Why Polyester bristles?

Many and varied materials are used for bristles, from horse hair to coir, and more recently polypropylene has been used as a ‘hygiene bristle’. But by far, polyester PBT is the most effective bristle for hygiene brushes.

Polyester PBT is extremely resistant to a wide range of chemicals, from acetone to caustic, hydrochloric acid, sulphuric acid, turpentine & many more.

Polyester PBT can stand 134ºC for autoclaving, without wilting or curling up.

Polyester PBT has extremely good ‘memory’, ie: it is extremely ‘springy’, excellent bend recovery, does not go dead or flat.

Polyester PBT is also very wear resistant, meaning you are getting much longer life from your cleaning tools.

Polyester PBT absorbs 100 times less water than nylon!

TERMS and CONDITIONS of SUPPLY Interpretation

1. In these Terms:

1.1 “Consequential Loss” includes loss of profit, loss of production, loss of any plant or facility, business interruption, loss of business opportunity or any other indirect, consequential, special, contingent or penal damage or loss;

1.2 “Credit Application” means the credit application form to which these Terms are annexed (if applicable);

1.3 “Customer” means the purchaser of Goods to be supplied by the Supplier as detailed in the Invoice and/or Credit Application. If the Customer comprises more than one party, each party will be jointly and severally liable as the Customer under these Terms;

1.4 “Due Date” means the date the Outstanding Price is due and payable being the number of days specified in the Credit Application or on the Invoice or as advised by the Supplier from time to time;

1.5 “Goods” means the Goods to be supplied by the Supplier to the Customer as detailed in the Invoice and includes any part or parts thereof;

1.6 “Invoice(s)” means the invoice issued by the Supplier to the Customer which details the Goods and the Price to which these Terms are annexed (if applicable);

1.7 “Outstanding Price” means the aggregate of the Price in each Invoice outstanding and due for payment by the Due Date at any particular time;

1.8 “PPSA” means the Personal Property Securities Act 2009 (Cth);

1.9 “Price” means the total amount payable for the Goods as detailed in each Invoice, including applicable GST, and cost of delivery to the Customer;

1.10 “Supplier” means Foodcare Systems Pty Ltd (ABN 77 150 604 130), its successors and assigns or any person acting on behalf of and with the authority of Foodcare Systems Pty Ltd (ABN 77 150 604 130); and

1.11 “Weekly Statement” means a weekly statement of Invoices issued by the Supplier to the Customer advising the Customer of the Outstanding Price as at the date of the Weekly Statement.

General

2. The Client is taken to have exclusively accepted and is immediately bound, jointly and severally, by these terms and conditions if the Client places an order for or accepts delivery of the Goods.

3. The Customer warrants that the information set out in the Credit Application (Information) is true, accurate and correct and is supplied for the purpose of obtaining commercial credit from the Supplier. If any Information is found to false or misleading at any time after the Supplier has entered into these terms, then the Supplier may terminate these Terms and declare the Outstanding Price immediately due and payable in full.

4. The Customer acknowledges that the Supplier may accept or reject a Credit Application in its absolute discretion. Nothing in the Credit Application nor the acceptance by the Supplier of the Credit Application compels the Supplier to provide goods or services to the Customer.

5. No other agreement, terms or conditions apply to these Terms. Other than where the Supplier agrees in writing to a variation of these Terms, no purported variation in an order from the Customer will be incorporated into these Terms.

6. In addition to any person guarantee given by third parties as part of the Credit Application, the Supplier may request at any time that the Customer procure a guarantee from one or more third parties approved by the Supplier within seven (7) days of the request.

Supply of the Goods

7. The Customer agrees to purchase the Goods in accordance with these Terms.

8. The Client acknowledges and accepts that the Supplier at its discretion, reserves the right not to supply Goods if, for any reason (including but not limited to, where the Goods are not or cease to be available, account disputes or conditions placed on the Supplier by their suppliers). The Supplier shall not be liable to the Client for any loss or damage the Client suffers due to the Supplier exercising its rights under this clause.

9. The Client acknowledges and agrees that: 9.1 on-line ordering may be unavailable from time to time; and 9.1 there are inherent hazards in electronic distribution and as such the Supplier cannot warrant against delays or errors in transmitting data between the Client and the Supplier including orders, and you agree that to the maximum extent permitted by law, the Supplier will not be liable for any losses which the Client suffers as a result of online-ordering not being available or for delays or errors in transmitting orders.

10. The Client hereby disclaims any right to rescind, or cancel any contract with the Supplier or to sue for damages or to claim restitution arising out of any inadvertent misrepresentation made to the Client by the Supplier and the Client acknowledges that the Goods are bought relying solely upon the Client’s skill and judgment.

11. The Client shall rely upon its own judgement as to the nature, quality and condition of the Goods and their suitability for any purpose and not upon any representation made by the Supplier. Any description of the Goods given by the Supplier shall not constitute a sale by description.

12. An inspection by the Client of a sample of the Goods shall not constitute a sale by sample.

13. All literature, samples, specifications, submitted with this quotation is expressly illustrative and is by way of a general description of Goods only in accordance with industry standards. Any descriptions contained in catalogues and other advertising material while being as accurate as possible but may not necessarily be identical with products and Services the Supplier is to supply. the Supplier will not accept liability to the Client for quality of Goods which comply with accepted industry standards.

Payment

14. At the Supplier’s sole discretion the Price shall be either:

14.1 as indicated on any invoice provided by the Supplier to the Client; or

14.2 the Price as at the date of delivery of the Goods according to the Supplier’s current price list; or

14.3 the Supplier’s quoted price (subject to clause 4.2) which will be valid for the period stated in the quotation or otherwise for a period of thirty (30) days.

15. The Supplier reserves the right to change the Price if a variation to the Supplier’s quotation is requested. Any variation from the plan of scheduled Services or specifications of the Goods (including, but not limited to, any variation as a result of fluctuations in currency exchange rates or increases to the Supplier in the cost of taxes, levies, materials and labour) will be charged for on the basis of the Supplier’s quotation and will be shown as variations on the Invoice.

16. The Customer must pay the Outstanding Price on or before the Due Date unless another date is agreed to in writing by the Supplier prior to the Due Date.

17. The Supplier may charge and the Customer will pay interest on the Outstanding Price not paid by the Customer on or before the Due Date at a rate of 5% of the total overdue Outstanding Price per month for each month or part of a month, that the Outstanding Price remains overdue. Interest will be calculated daily and may be capitalised monthly and added to the Outstanding Price until the balance of the Outstanding Price and accrued interest has been made by the Customer.

18. The agreement by the Supplier to vary the date upon which the Outstanding Price is to be paid will not constitute a waiver by the Supplier of any of these Terms.

19. The Customer will pay all reasonable collection expenses, legal costs (on an indemnity basis) and any other expenses incurred by the Supplier for the recovery of all monies due and payable under these Terms.

20. If the Customer does not pay the Outstanding Price in accordance with these Terms, the Customer must, on demand, return the Goods to the Supplier (at the Customer’s cost). A failure to do so will constitute a breach of an essential term.

Delivery

21. Any delivery or collection times for the Goods proposed by the Supplier are estimates only and the Supplier will not be liable for any claim or cost resulting from the delay or non-delivery of Goods.

22. Delivery of the Goods is taken to occur at the time that:

22.1 the Client or the Client’s nominated carrier takes possession of the Goods at the Supplier’s address; or

22.2 the Supplier (or the Supplier’s nominated carrier) delivers the Goods to the Client’s nominated address even if the Client is not present at the address.

23. At the Supplier’s sole discretion the cost of delivery is in addition to the Price.

24. The Supplier may deliver the Goods in separate instalments. Each separate instalment shall be invoiced and paid in accordance with the provisions in these terms and conditions.

25. If the Client requests the Supplier to leave Goods outside the Supplier’s premises for collection or to deliver the Goods to an unattended location then such Goods shall be left at the Client’s sole risk.

Title and risk

26. In relation to all Goods:

26.1 title in the Goods will not pass to the Customer until the Outstanding Price is paid in full;

26.2 risk in the Goods will pass to the Customer immediately upon delivery of the Goods to the Customer or collection of the Goods from the Supplier;

26.3 until the Outstanding Price is paid in full, the provisions of clause 19 apply and the Supplier has the right (without prejudice to any other rights and remedies it may have) to recover the Goods in accordance with clause 11 and resell the Goods free from any claims by the Customer; and

26.4 the Customer will indemnify the Supplier against any costs, claims, damages or losses suffered by the Supplier where the Customer does not pay the Outstanding Price on or before the Due Date.

27. In relation to all Goods, if the Customer has not paid the Price but sells or otherwise disposes of the Goods or any part of them, the monies received in respect of the disposal of the Goods will be held on trust by the Customer for the Supplier and will be payable immediately to the Supplier (as sole beneficiary) on demand without setoff or deduction.

Personal Property Securities Act 2009 (Cth) (“PPSA”)

28. Where the Supplier has supplied Goods to the Customer but where title in the Goods has not yet passed to the Customer, the Customer acknowledges and agrees that:

28.1 these Terms constitute a Security Agreement for the purposes of the PPSA;

28.2 the Customer will grant the Supplier a purchase money security interest (“PMSI”) under the PPSA in the Goods and their proceeds to secure all amounts owed to the Supplier by the Customer;

28.3 the Supplier may register the PMSI on the Personal Property Securities Register (“PPSR”);

28.4 it will undertake to do all things necessary and provide the Supplier on request all information the Supplier requires to register a financing statement or financing change statement on the PPSR;

28.5 it undertakes not to change its name in any form or other details on the PPSR without first notifying the Supplier; and

28.6 it will, if required by the Supplier, pay to the Supplier the cost of registering and maintaining registration of the Customer’s PMSI on the PPSR, within 14 days of the request.

28.7 The Supplier need not give any notice under the PPSA (including a verification statement or a financing change statement) unless the notice is required by the PPSA and cannot be excluded.

28.8 No party may disclose information of the kind referred to in section 275(1) of the PPSA (except where the parties may do so and where required due to the operation of section 275(7) of the PPSA) and the Customer must not authorise the disclosure of such information.

28.9 The Customer appoints the Supplier as its attorney to sign in the Customer’s name all documents which the Supplier considers necessary to enforce and to protect its rights under these Terms.

28.10 The Customer agrees that to the maximum extent permitted by law, it waives any rights it may have pursuant to, and the parties contract out of, sections 95, 118, 123, 125, 128, 129, 130, 132(1), 132(4), 135, 142 and 143 of the PPSA.

28.11 The Customer acknowledges that unless otherwise defined in these Terms, the terms and expressions used in this clause 15 have the meanings given to them, or by virtue of, the PPSA.

No Warranty

29. To the maximum extent permitted by law, all representations, conditions or warranties in respect of the Goods, express or implied, statutory or otherwise, are excluded.

30. To the maximum extent permitted by law, the sole liability of the Supplier in respect of defective Goods is either (at the election of the Supplier) the re-supply of the defective Goods to the Customer or refund of the Price paid by the Customer for the defective Goods.

Liability

31. To the maximum extent permitted by law, the Supplier will not be liable to the Customer or any of the Customer’s officers or directors, employees, agents or contractors for any claim, loss or expense sustained or incurred by a person arising in any way as a result of any defect in the Goods, the unavailability of the Goods, or any delay in delivery of the Goods or any part thereof unless such delay or unavailability is as a direct result of the breach or negligent act or omission of the Supplier.

32. The Customer will indemnify and will continue to indemnify the Supplier against any liability, loss, damage, claim, action, demand, costs, or expenses incurred or suffered by the Supplier arising from:

32.1 any breach of these Terms by the Customer;

32.2 any breach of any laws by the Customer; or

32.3 any negligent act or omission by the Customer, except to the extent that such liability, loss, damage, claim, action, demand, costs, or expenses is caused or contributed by the breach or negligent act or omission of the Supplier.

33. The Supplier will indemnify and will continue to indemnify the Customer against any liability, loss, damage, claim, action, demand, costs, or expenses incurred or suffered by the Customer arising from:

33.1 any breach of these Terms by the Supplier;

33.2 any breach of any laws by the Supplier; or

33.3 any negligent act or omission by the Supplier, except to the extent that such liability, loss, damage, claim, action, demand, costs, or expenses is caused or contributed to by the breach or negligent act or omission of the Customer.

34. Notwithstanding any other provision of these Terms, neither party will be liable to the other party for Consequential Loss.

35. These limitations and indemnities continue after the expiration or termination of these Terms.

Termination

36. These Terms may be terminated at any time by mutual agreement between the parties.

37. The Supplier may terminate the Customer’s credit at any time by giving prior written notice to the Customer, at which time any further supply of Goods by the Supplier to the Customer will be on cash on delivery terms.

38. These Terms may be immediately terminated by the Supplier if: 38.1 the Customer is in breach of these Terms and fails to remedy that breach within 7 days of receiving notice to do so;

38.2 the Customer fails to pay any amount outstanding to the Supplier after receiving 7 days prior notice that the amount is outstanding; or 38.3 the Customer becomes bankrupt or insolvent.

39. Any obligations of the Customer which accrue prior to the date of termination of these Terms will remain current and must be fulfilled by the Customer and will survive the termination of these Terms.

40. On termination (for any reason), the Outstanding Price, accrued interest and any other monies due to the Supplier are to be paid immediately to the Supplier.

Returned Goods

41. The Client must inspect the Goods on delivery and must within fourteen (14) days of delivery notify the Supplier in writing of any evident defect/damage, shortage in quantity, or failure to comply with the description or quote. The Client must notify any other alleged defect in the Goods as soon as reasonably possible after any such defect becomes evident. Upon such notification the Client must allow the Supplier to inspect the Goods.

42. Under applicable State, Territory and Commonwealth Law (including, without limitation the CCA), certain statutory implied guarantees and warranties (including, without limitation the statutory guarantees under the CCA) may be implied into these terms and conditions (Non-Excluded Guarantees).

43. The Supplier acknowledges that nothing in these terms and conditions purports to modify or exclude the Non-Excluded Guarantees.

44. Except as expressly set out in these terms and conditions or in respect of the Non-Excluded Guarantees, the Supplier makes no warranties or other representations under these terms and conditions including but not limited to the quality or suitability of the Goods. The Supplier’s liability in respect of these warranties is limited to the fullest extent permitted by law.

45. If the Client is a consumer within the meaning of the CCA, the Supplier’s liability is limited to the extent permitted by section 64A of Schedule 2.

46. If the Supplier is required to replace the Goods under this clause or the CCA, but is unable to do so, the Supplier may refund any money the Client has paid for the Goods.

47. If the Client is not a consumer within the meaning of the CCA, the Supplier’s liability for any defect or damage in the Goods is:

47.1 limited to the value of any express warranty or warranty card provided to the Client by the Supplier at the Supplier’s sole discretion;

47.2 limited to any warranty to which the Supplier is entitled, if the Supplier did not manufacture the Goods;

47.3 otherwise negated absolutely.

48. Returns will only be accepted provided that:

48.1 the Client has complied with the provisions of these Terms; and

48.2 the Supplier has agreed that the Goods are defective; and 48.3 the Goods are returned within a reasonable time at the Client’s cost (if that cost is not significant); and

48.4 the Goods are returned in as close a condition to that in which they were delivered as is possible.

49. Notwithstanding the above but subject to the CCA, the Supplier shall not be liable for any defect or damage which may be caused or partly caused by or arise as a result of:

49.1 the Client failing to properly maintain or store any Goods;

49.2 the Client using the Goods for any purpose other than that for which they were designed;

49.3 the Client continuing the use of the Goods after any defect became apparent or should have become apparent to a reasonably prudent operator or user;

49.4 the Client failing to follow any instructions or guidelines provided by the Supplier;

49.5 fair wear and tear, any accident, or act of God.

Privacy

50. The Customer acknowledges that any personal information or credit related personal information collected by the Supplier is subject to the Supplier’s Privacy Policy.

Governing law

51. These Terms are to be governed and interpreted in accordance with the laws of the State of South Australia. The parties agree to submit themselves to the non-exclusive jurisdiction of the courts of New South Wales and any competent appellate courts.

Notices

52. Any notice to be given by one party to the other must be signed by the party giving the notice or by one of its duly authorised officers. The notice may be faxed to the intended recipient’s facsimile number or e-mailed to the intended recipient’s e-mail address. The notice will be deemed to have been received by the intended recipient upon receipt by the sender of a successful facsimile transmission answerback or in the case of e-mail, on the day of transmission provided that the sender is able to give evidence of transmission and the intended recipient does not give evidence of non-receipt.

Trustee Company

53. If the Customer is a Trustee Company, the Customer acknowledges that it enters into these Terms on its own account and in its capacity as trustee and that, in addition, the Customer warrants that the assets of the trust will be available to the Customer for the Customer to pay all amounts outstanding under these Terms.

Variations

54. The Supplier may vary these Terms from time to time by providing 7 days’ written notice to the Customer.

Force Majeure

55. No party is liable for any failure to perform its obligations under these Terms if the failure or delay is due to anything beyond that party’s reasonable control. If that failure exceeds 60 days, the other party may terminate these Terms with immediate effect by giving notice to the other party. This clause does not apply to any obligation to pay the Price due by the Customer in accordance with these Terms.

Assignment

56. The parties may only assign their interests under these Terms with the prior written consent of the other party, which must not be unreasonably withheld.

57. Any change in the ownership structure of the Customer, which has the effect of changing the person or persons in effective management or control of the Customer, will be deemed an assignment by the Customer for the purposes of these Terms.

58. The Customer must, no later than 7 days’ prior to any proposed change of ownership structure of the Customer, which has the effect of changing the person or persons in effective management or control of the Customer, notify the Supplier of the proposed change.

Severability

59. Every provision of these Terms will be deemed severable as far as possible from the other provisions of these Terms. If any provision is found to be void, illegal or unenforceable for any reason, it will be deemed to be severed and omitted from these Terms. These Terms with the offending provision severed and omitted and with any consequential amendment necessary will otherwise remain in full force.

Following is the information that the Privacy Act requires us to bring to the attention of Customers who are individuals or persons in partnership.

Foodcare’ Privacy Policy

Foodcare’ Privacy Policy sets out detailed information about how, why and when personal information and credit related personal information (“credit information”) is collected, disclosed, used, stored and otherwise handled by Foodcare. Foodcare’ Privacy Policy is available at www.foodcare.com.au.

This Privacy Statement & Consent, together with Foodcare’ Privacy Policy, sets out:

the purposes for which Foodcare collects your personal or credit information;

the consequences if you do not provide your personal or credit information to Foodcare;

the third parties to which Foodcare discloses your personal or credit information;

how to access and seek correction of your personal or credit information;

how to complain about a breach of Foodcare’ obligations in respect of your personal or credit information and how Foodcare will deal with such a complaint; whether your personal or credit information is likely to be disclosed by Foodcare to overseas entities and in which countries these entities reside; information about credit reporting, including the credit reporting bodies (“CRBs”) to which Foodcare may disclose your personal or credit information; and matters associated with credit reporting that must be notified to you in accordance with the Privacy Act.

Your personal information

If you choose not to provide your personal or credit information to us, we may not be able to provide you with credit account facilities.

Personal information gathered may include your name, date of birth, phone/mobile numbers, addresses (current and previous), driver’s license number, credit card and bank account details and e-mail address.

Personal information is gathered in many ways including, but not limited to:

directly from you e.g. when you complete a Credit Application Form; from the public domain; from third parties such as our related companies, your own representatives (lawyers, accountants etc.) and reporting agencies.

Purposes of collection of personal and credit information

Foodcare collects, holds, uses and discloses personal and credit information for the following purposes, in addition to any purposes set out in Foodcare’ Privacy Policy: to establish, administer and manage a trading account including billing and collecting debts; to carry out appropriate checks for credit-worthiness and for fraud, including performing reference checks (including personal references) and conducting background enquiries; direct marketing activities (excluding eligibility information); verifying any information provided by you to Foodcare (including identification); and any other purpose necessary to process a credit application or any other arrangement with Foodcare.

By signing this Privacy Statement and Consent you consent to Foodcare

using your personal and credit information for the purposes set out above, including using your full name, address and date of birth for the purposes of direct marketing and lead generation activities.

You may withdraw your consent to receive direct marketing communications from Foodcare at any time by using the opt-out-option provided in each direct marketing communication or by providing written notice to Foodcare.

Exchange of personal and credit information

Foodcare may disclose and/or collect your personal or credit information from the following entities, in addition to any entities set out in Foodcare’ Privacy Policy for the purposes as set out above: your own representatives (lawyers, accountants etc.); CRBs and fraud checking agents; referees provided to Foodcare; other credit providers for credit related purposes such as checking credit-worthiness, credit rating and financing; our own professional advisers such as lawyers, debt collection services, auditors and accountants; our related entities; and government or other authorities as required or authorized by law. Exchange of credit information with credit reporting bodies

In order to assess a Credit Application made by you, Foodcare may obtain commercial credit reporting information about you from a CRB in relation to any commercial credit which may be provided under that application. Any commercial credit reporting information collected by Foodcare may be disclosed to any of the entities set out above for the purposes of processing a Credit Application.

For the purposes of providing and managing commercial credit, Foodcare may disclose your personal and credit information to the CRBs for the purposes of undertaking a credit check in relation to a Credit Application made by you or for the purposes of disclosing payment default information in relation to commercial credit provided to you.

The CRBs to which your personal information is disclosed may include any of your personal or credit information (including payment default information), disclosed to it by Foodcare, in reports provided to other credit providers to assist other credit providers to assess your credit worthiness. You may access a copy of the CRB’s policy about its management of credit information on its website. You have the right to make a request to the CRB not to use or disclose your credit reporting information: for the purposes of pre-screening of direct marketing by a credit provider; or if you believe on reasonable grounds that you have been, or are likely to be, a victim of fraud.

Right to Access

You have a right to access your personal information, subject to some exceptions allowed by law. For security reasons we ask that such requests be made in writing.

Data Security

Foodcare will take reasonable action to store and use of personal information will be undertaken in a secure manner which protects personal privacy.

Accuracy of personal and credit information

While Foodcare take all reasonable steps to ensure that the personal and credit information we collect, use and disclose is accurate, complete and up-to-date, the accuracy of that information depends to a large extent on the information you provide. We recommend that you advise us if there are any errors in your personal or credit information and keep us up-todate with any changes.
