Once the wood has been turned in our workshops, it is painted in a wide range of colors, whether natural finishes, bright colors, matte tones or lacquer.

Our factory features one of the largest woodturning facilities in Europe. We can draw on our traditional expertise to design and produce the mills in our factory from start to finish. Our turning skills can transform a rough block of wood into a stylish table mill.

ASSEMBLY

All Peugeot mills are assembled in our workshops. Every piece passes through our employees' expert hands as they constantly focus on scrutinising every mill for the slightest imperfection and assembling our mills with the greatest of care. As such, we can guarantee that our products offer the ultimate in quality and harmony.

If our company ever requires an area of expertise that lies outside the company, we only work with the most exclusive partners. For example, the European glass factories that produce our decanters are experts in the traditional technique of mouth-blowing and hand-finishing glass, meaning that every product is truly unique.

– SCOPE OF APPLICATION

1.1 These Standard Terms and Conditions of Export Sales apply to all orders, deliveries and services between PEUGEOT SAVEURS SNC, an unlimited partnership incorporated in the Besançon Register of Companies under number 676 180 169, whose registered office is located at La Blanchotte, 25440 QUINGEY, FRANCE (hereinafter «PEUGEOT SAVEURS»), and its customers, whose registered office or invoice address is located outside mainland France (hereinafter the «Customer»).

1.2 With the exception of any special terms and conditions, endorsements or amendments hereto expressly agreed by the parties in writing, the relationship between the parties shall be governed exclusively and exhaustively by these Standard Terms and Conditions of Export Sales.

1.3 Any failure by PEUGEOT SAVEURS to exercise any one of the provisions hereunder at any time shall not be construed as a waiver of its right to subsequently enforce the same provision. Similarly, if any one of the provisions herein is held to be invalid, the remaining provisions will remain in full force and effect.

II – ORDERS

2.1 Orders that are placed in pursuance of these Standard Terms and Conditions of Export Sales will only be validated if expressly accepted by PEUGEOT SAVEURS. When the Customer is not required to make payment in advance, the sales agreement will become binding when PEUGEOT SAVEURS issues an order confirmation.

When PEUGEOT SAVEURS requires the Customer to make an advance payment, the sales agreement will become binding when PEUGEOT SAVEURS issues a pro forma invoice corresponding to the advance payment.

2.2 Once the order has been validated as set out in 2.1 above, the Customer may not withdraw, amend or cancel the order on any grounds whatsoever unless specifically agreed in writing by PEUGEOT SAVEURS. Any payment made upon placing an order will be retained as a deposit by PEUGEOT SAVEURS. Any amendments or additions to the order, especially relating to delivery times, quantities and products, will be subject to express authorisation from PEUGEOT SAVEURS.

III – DELIVERY TERMS AND TIMES

3.1 Unless otherwise expressly stated, each party’s deliveryrelated obligations (transport, insurance, customs clearance, etc.) are as defined by the EX WORKS Incoterm (2020 version of the INCOTERMS published by the International Chamber of Commerce). Therefore, the Customer will be responsible for the goods upon collection by its carrier

at PEUGEOT SAVEURS’ premises.

Even if PEUGEOT SAVEURS chooses the carrier instead of the Customer, the Customer will remain the carrier’s contracting party, and PEUGEOT SAVEURS will only be acting on the orders and on behalf of the Customer. In any case, this eventuality will under no circumstances constitute a waiver of the principles arising from the EX WORKS Incoterm.

3.2 Prior to shipment, the Customer agrees to provide PEUGEOT SAVEURS with all information concerning the additional elements and/or documents required in the destination country in a timely manner.

3.3 The delivery times are provided for information only without any warranty from PEUGEOT SAVEURS. Late or partial deliveries may under no circumstances constitute grounds for the Customer to cancel the sale or claim compensation from PEUGEOT SAVEURS. In any case, deliveries may only be made on time if the Customer is up-to-date with all its obligations towards PEUGEOT SAVEURS, irrespective of the cause.

3.4 The Customer shall take delivery of the order on the date specified by PEUGEOT SAVEURS or make arrangements with a third party to take delivery in its name and on its behalf. The order will be deemed to have been effectively received by any apparent agent whatsoever designated by the Customer. Receipt of the order at the time of delivery on PEUGEOT SAVEURS’ premises shall constitute final acceptance of the delivery with respect to both the quantity and condition of the parcels supplied, unless the Customer or carrier reports any issues with the goods.

3.5 If the Customer fails to collect the goods on the agreed date, PEUGEOT SAVEURS may take any measures necessary to store the goods at the Customer’s expense, or arrange for the goods to be delivered at the Customer’s expense if the Customer fails to take action after receiving notice to collect the goods. The Customer will be automatically liable without any prior formality towards PEUGEOT SAVEURS for any storage and handling costs incurred. If the Customer fails to take delivery of the goods after receiving notice thereof and such failure is not cured or remedied within eight (8) days, PEUGEOT SAVEURS may terminate the sale without prejudice to its other rights. PEUGEOT SAVEURS may cancel all other subsequent deliveries that have been scheduled for the Customer. The Customer will be liable for any losses or expenses that PEUGEOT SAVEURS may incur in this respect, and PEUGEOT SAVEURS will retain by way of a penalty any instalments paid.

3.6 In the event of an issue with the quantities and condition of the parcels delivered, the Customer will

have forty-eight(48) hours from receiving the parcels on its premises to report any such issues to PEUGEOT SAVEURS in writing. If the Customer fails to report any issues in the aforementioned time, the parcels will be deemed to conform to the order in terms of quantity and quality. Any claims relating to the quantity and/or quality of the parcels that are submitted after the 48-hour period will be null and void.

The issues reported by the Customer will only be admissible if proof can be provided of the number and condition of the parcels received, and PEUGEOT SAVEURS shall not be liable for the risks inherent in transporting and unloading goods. The Customer will be responsible for providing any supporting evidence to substantiate the defects or errors reported.

The Customer shall give PEUGEOT SAVEURS every facility to establish the existence of, and, if necessary, remedy such defects and errors.

3.7 The return of goods will not be accepted without prior authorization given in writing by PEUGEOT SAVEURS. If authorised, goods must be returned in their original packaging.

IV – PRICES AND PAYMENT

4.1 Unless otherwise stipulated, all prices are stated exclusive of VAT, exclusive of shipping costs and at the applicable rate, exworks, according to the PEUGEOT SAVEURS price lists and schedules, as of the day the order is accepted or as of the delivery date if delivery is requested for a date later than the change in price. PEUGEOT SAVEURS invoices shall be paid according to the details and terms specified on the order confirmation or pro forma invoice. In case of a partial delivery, PEUGEOT SAVEURS may issue a corresponding invoice. The Customer’s bank drafts and cheques will only be considered as payment after they have actually been cleared and cashed, and provided that adequate funds are available.

4.2 In the event of a change in the Customer’s legal, financial or economic situation, PEUGEOT SAVEURS shall be authorised to unilaterally modify any debt ceiling granted and/or the payment times and terms without prior notice, even after orders have been partially fulfilled. In particular, PEUGEOT SAVEURS may require a cash payment prior to delivery.

4.3 In the event of failure to pay any sums owed as part of the relationship between PEUGEOT SAVEURS and the Customer, the consequences below will occur on the day following the payment due date indicated on the invoice issued by PEUGEOT SAVEURS SNC: The fulfilment and delivery of all current orders will automatically be suspended. All outstanding bills will become immediately payable in full, and any

5.5 The Customer will be liable for all litigation costs incurred in applying this clause and filing a claim to recover unpaid goods.

The Customer will become subject to the imposition of a penalty set at three times the applicable legal rate in France, and such penalty will be immediately payable and shall accrue from the past due date until payment has actually been made in full, without prejudice to all other rights and remedies, and the imposition of a fixed charge to cover collection costs as stipulated in Section D 441-5 of the French Commercial Code (currently forty (40) euros).

4.4 Any delay in payment or any unilateral modification to the payment terms without prior written authorisation from PEUGEOT SAVEURS will result in the same consequences as non-payment.

4.5 If the Customer fails to comply with any one of the provisions in these Standard Terms and Conditions of Export Sales or any one of the special conditions stipulated in the pro forma invoice and/or order confirmation, PEUGEOT SAVEURS will retain any instalments paid by the Customer by way of damages, without prejudice to any other rights and remedies.

V – RETENTION OF TITLE CLAUSE

5.1 PEUGEOT SAVEURS will retain ownership of all the goods delivered until the principal, tax and ancillary costs have effectively been paid in full. Failure to meet any one of the payment due dates may lead to a claim to recover the products ordered.

5.2 Upon delivery and until the price has been paid in full, the Customer agrees to store the products sold in such a manner that they can always be identified and not confused with other goods. The Customer may not modify, transform, alter or resell the products. The Customer will continue to be liable for the risks of loss or deterioration in the products delivered, as well as any damage that the products may incur or entail, irrespective of the cause, including cases of force majeure and events beyond its reasonable control.

5.3 Until the delivered order has been paid in full to PEUGEOT SAVEURS, the Customer shall not pledge the products supplied or assign ownership thereof by way of security. If a third party seizes or attempts to seize the products, the Customer shall assert the right of ownership and promptly notify PEUGEOT SAVEURS. The Customer will be exclusively liable for all expenses incurred in applying this retention of title clause.

5.4 If the validity of the retention of title clause stipulated in 5.3 is subject to specific conditions or laws in the destination country, the Customer is responsible for complying with such conditions or laws, so that this clause may remain in full effect. In any case, the Customer shall notify PEUGEOT SAVEURS accordingly,

VI – PRODUCT QUALITY

6.1 The Customer is bound to inspect the supplied goods on receipt. Any patent defects in the products supplied must be reported within fifteen (15) days of receipt. The products concerned will only be replaced or refunded, and will not give rise to any contribution towards any direct and/or consequential damage incurred. PEUGEOT SAVEURS will be free to decide what will happen to the products, whether it be their return, replacement or refund.

6.2 In the event of a latent defect, PEUGEOT SAVEURS will only be bound to replace the products, and the products concerned will not give rise to any contribution towards any direct and/or consequential damage incurred. Any claims must be brought within two (2) years of discovering the latent defect. In all cases, no claims may be brought after a period of five (5) years after the Customer has received the product in question, even if the defect or fault is discovered after that date.

Peugeot Saveurs develops, manufactures and distributes ingenious and innovative tableware collections (the "Products") with exacting expertise that has been renowned since 1840.

This Internet charter (the "Charter") is a common set of guidelines for all resellers (the "Resellers") that distribute or promote the Products.

The Charter formalises the expectations as regards the presentation and distribution of the Products on the Internet, which are needed to maintain their reputation and brand image in accordance with Peugeot Saveurs' standards. All Resellers must read and comply with them.

The principles set forth in the Charter form an integral part of the collaboration with all Resellers. Complying with these principles is an essential prerequisite for doing business with Peugeot Saveurs. Peugeot Saveurs Resellers undertake to make sure that their own client-resellers comply and ensure strict compliance with the principles set forth in the Charter with respect to the promotion and distribution of the Products.

1. WEBSITE

The website on which the Reseller presents and distributes the Products shall meet the quality standards required by the Products and must, in particular:

- Be hosted by a reputable supplier, on a reliable high-quality server with sufficient bandwidth to handle

6.3 Products will only be replaced as specified in 6.2 if the Customer has sent written notice of the defect with confirmation the same day to PEUGEOT SAVEURS by registered or certified mail with return receipt requested and has immediately returned the products, including payment of transport costs, to the address indicated by PEUGEOT SAVEURS after receiving written authorisation from PEUGEOT SAVEURS.

6.4 The Customer shall not attempt to repair, or appoint a third party to repair, the defects or faults liable to affect the products supplied.

VII – USE OF TRADEMARKS AND PROMOTIONAL ITEMS

7.1 These Standard Terms and Conditions of Export Sales do not grant the Customer any title to the intellectual property rights and trademarks associated with the products sold by PEUGEOT SAVEURS. The Customer shall not sell any counterfeit goods, or products whose resemblance to PEUGEOT SAVEURS’ products could generate confusion in the minds of the public, whether such confusion comes from the actual product, its packaging, its trademark, its logo or any other identifying marks.

7.2 If presentation materials are made available to the Customer, they may only be used to present

PEUGEOT SAVEURS products to the exclusion of any other products. If the Customer fails to comply with the provisions of these Standard Terms and Conditions of Export Sales, PEUGEOT SAVEURS reserves the right to immediately recover possession of the materials.

VIII – FORCE MAJEURE

8.1 PEUGEOT SAVEURS will automatically be discharged from its obligations in case of force majeure or events including but not limited to: workplace conflicts, total or partial strikes at PEUGEOT SAVEURS or its suppliers, service providers, carriers, postal services or public services, unavailable raw materials or energy, mandatory injunctions issued by public authorities, operational accidents, broken machinery, wars, earthquakes and fires.

8.2 PEUGEOT SAVEURS will keep the Customer promptly informed of any events of force majeure occurring during the performance of these Standard Terms and Conditions of Export Sales.

IX – INTERNET SALES

9.1 For the sale of products on the Internet, the Customer undertakes to comply with the rules and principles set out in the Internet Charter of PEUGEOT SAVEURS, which the Customer acknowledges having received.

- Be available 24/7 (except when technical maintenance is being carried out);

- Comply with applicable standards with respect to the security of data and payments;

- Comply with all applicable laws and regulations, in particular those concerning user and personal-data protection.

Resellers undertake to not use its website to target customers or territories reserved for Peugeot Saveurs or for its exclusive distributors. The website must, in particular:

- Have a generic domain (e.g. ".com") or one that is specific to the territory in which the Reseller is established;

- Be only in the language(s) commonly used in the territory in which the Reseller is established.

The Reseller undertakes not to use, in its domain name, email address, website or equivalent, the Peugeot brand, a distinctive mark identifying the products, or any other name that is similar enough so as to make it likely to cause confusion therewith.

2. PRESENTATION OF THE PRODUCTS

With regard to the presentation of the Products, Resellers undertake, in particular, to:

RESOLUTION

10.1 These Standard Terms and Conditions of Export Sales, including any instruments that are a consequence or result hereof, shall be governed by and construed in accordance with the laws of France, without regard to any conflict of law or legislation rules that would cause the application of the laws of any jurisdiction other than France.

10.2 In the event of a dispute concerning the interpretation of the provisions in these Standard Terms and Conditions of Export Sales and a translation thereof in another language, the French version will be the sole controlling text.

10.3 Any disputes will be referred to the Besançon Commercial Court (France), which shall have exclusive jurisdiction and venue, notwithstanding thirdparty proceedings and multiple defendants, including summary proceedings or conflicting jurisdiction clauses, irrespective of the terms of sale and the method and place of payment agreed or applied.

- Use the exact name, description and images of the Products as provided by Peugeot Saveurs;

- Comply with the principles and rules set forth in the Peugeot Saveurs graphic charter, which can be sent to Resellers on request;

- Provide comprehensive safety instructions and technical information in accordance with the rules for use of the Products;

- Configure the website in such a way that the Products are highlighted. The Products must, in particular, appear in the top results for their category before the "sort by" feature is used or a filter is applied;

- Have sufficient amounts of the Products in stock in order to fulfil all orders in the shortest time possible;

- Only offer Products for sale that are in stock and, in the same vein, withdraw all unavailable Products from being for sale.

Resellers shall ensure that the presentation of the Products and any related content does not harm the reputation and the image of the Products or Peugeot Saveurs, and that it is generally in line with the nature of the Products.

3.

QUALITY OF SERVICES

Resellers must offer services including the following:

- Customer service that is available through phone and email, during office opening hours, for at least 35 hours per week;

- Maximum email response time of 48 business hours;

- A delivery service commensurate with the quality of the Products,

in particular using appropriate packaging and a reliable carrier; - A clear returns policy that is easily accessible on the website.

4. ONLINE MARKETPLACES

In order to protect the image and positioning of the Products, and to combat the sale of counterfeit products, Peugeot Saveurs prohibits Resellers from using online marketplaces to sell the Products. As such, Resellers undertake not to sell the Products through online marketplaces, particularly on the following platforms:

- Amazon; - Rue du Commerce; - Cdiscount; - Mano Mano; - La Redoute;

Peugeot Saveurs may carry out monitoring activities to ensure that this Charter is being properly applied by Resellers and their own client-resellers.

Non-compliance with the Charter by the Reseller and/or their clients constitutes a breach by the Reseller of its contractual obligations that may give rise, depending on the severity thereof, to the immediate termination of the collaboration with Peugeot Saveurs, without prejudice to any other right or claim to which Peugeot Saveurs is entitled.

If the Reseller can demonstrate that the provisions of this article prevent it from making effective use of the Internet, the Reseller shall contact Peugeot Saveurs so an alternative solution can be found.
