COMPANY DESCRIPTION

1. FRS IBERIA HISTORY The roots of the FRS Group go back to the year 1935. The FRS has grown from a regional steamboat shipping company to an international successfully operating shipping company. FRS Group is based in Flensburg (Germany), covering various routes in Germany, Denmark, Spain, Morocco and as a service provider in Oman. FRS Iberia belongs to FRS Group. FRS Iberia has, in turn, two wholly-owned subsidiaries: FRS Maroc SARL, shipping company located in Morocco, and Ferrys Rápidos del Sur, which provides excursions to Morocco. FRS Iberia successfully operates fast ferries between Spain and Morocco in the Strait of Gibraltar since year 2000. FRS main route, from Tarifa in Spain to Tangier in Morocco, is the shortest and fastest connection between the two continents and is serviced by fast ferries bridging the two in only 35 min. With its modern high-speed ferries, FRS has become the market leader for passenger and car crossings to and from Tangier. A massive increase of traffic volumes started in 2005 following a decision by the European Union that Tarifa was to be upgraded to an EU external border port under the terms of the Schengen Agreement. Whilst previously only citizens of EU member states had been permitted to travel through thea port, Tarifa became open to all nationalities as from 1 September 2005. During these years, FRS Iberia has been placed in a position of constant growth and evolution, which reached a very large extent during the summer of 2008. Since then, FRS began to offer services in Algeciras–Ceuta Line with crossing in a Fast Ferry. The beginning of this line was for the company a new and exciting challenge.

In May 2010, FRS Iberia also joined the line Algeciras-Tanger MED, becoming the only shipping company that operates in the Strait of Gibraltar which is present on all routes (Tarifa -Tangier, Algeciras-Ceuta, Algeciras-Tanger MED and Gibraltar-Tanger MED). The same year, FRS begins to develop FRS cargo division, which has had great success. In 2016, FRS Iberia began to offer services in Motril – Tanger Medline, operating with RoRo Vessel, Kattegat. In 2016, Clipper and FRS Group announce that FRS has acquired a majority interest in Clipper. With the support of Clipper, FRS launches a new ferry service between Florida and Cuba. The services provided by FRS vessels are characterized by high quality and safety standards and the group has shown the flexibility and capability to adapt to the changed demands in the still crisis ridden southern region of Spain. The modern concepts of FRS have boosted them into market leadership in passenger and car traffic to and from Morocco. FRS transport services are combined with various touristic offers to the prosperous northern region of Morocco.


2. SHIPS & LINES’ INFORMATION FRS Iberia business is the passenger and vehicle transport by sea including the integration of tourist activities in the Strait of Gibraltar. FRS Iberia is present on all routes in the Strait of Gibraltar.

COMPANY POLICIES

1. HEALTH, SAFETY, ENVIRONMENTAL & QUALITY POLICY In its position as a leading provider of ferry services on the Strait of Gibraltar, the Company traditionally owes a duty of care to the general public. By establishing and maintaining our standards of quality we strive to live up to our clients’ expectations and also to be leaders in the fields of health, safety, environmental protection and quality. The company’s management and staff are aware that it takes well equipped ships of a high technical standard, manned by well trained and highly motivated personnel to make shipping a commercially viable business in the longer term. The company ensures the mentioned above by the following policy: 1. FRS is committed to provide services that meet customer requirements and continuously improve its organizational process by monitoring, measurement and implementation of its Integrated HSEQ Management system into all business processes. 2. All personnel are called upon in their activities never to lose sight of quality, health, safety and environmental protection, not only to protect themselves, but also others from injury, hazards and emergency cases as well as environmental damage, that could arise from their actions. 3. At FRS guaranteed high quality services, as well as health, safety and environmental protection are understood as line management responsibilities. The Top Management and all superiors undertake strongly to support and promote by their own activities, the introduction and maintenance of our Integrated Management System. 4. Unsafe procedures, personal injuries and damaging of the environment and of property must be avoided under all circumstances.

5. Operational processes shall be risk analyzed, planned to take place under controlled conditions, thereby avoiding, as far as reasonably possible, dangerous situations. 6. Potentially dangerous situations shall be anticipated, analyzed and counter measures developed in the form of working instructions, company procedures and emergency response plans. 7. The company’s personnel is well-trained. Internal and external training schemes, as appropriate, are designed to increase standards, focusing on the continuous training of staff relative to the procedures, emergency response plans, instructions, etc. laid down in the SMS. 8. As a matter of course, all personnel shall abide by relevant national and international regulations. 9. Safety at work and the protection of health of all personnel is one of the prime tasks. 10. The technical condition of our ships and their equipment that is not governed by international minimum standards is kept in condition by the high standards of the company. 11. The technical condition of our ships and their equipment is being regularly inspected and the results evaluated. 12. Internal audits continually monitor the proper functioning of the system. Results of internal audits and other input shall be translated into the continuous improvement of the system. Management and all superiors undertake strongly to support and promote by their own activities, the introduction and maintenance of our Integrated Management System.


2. DRUG & ALCOHOL POLICY Crew members who are under the influence of alcohol and/or drugs whilst on duty constitute a danger to ship safety. Therefore, the Company makes sure that this will not occur, and the following regulations are herewith issued: •

Crew members abusing drugs whilst on or off duty shall not be employed.

Crew members who have to consume drugs prescribed by a medical doctor shall advise that doctor of their profession. They shall request the doctor to consider this fact when designing his therapy.

Whilst on duty - and this explicitly includes breaks - the consumption of alcohol is prohibited.

Consumption of alcohol is also prohibited as long as the ship is at sea.

Crew members off duty ensure that moderate consumption of alcohol enables them to report to the next scheduled period of duty in a sober condition and fit for work.

Alcohol and/or drug abuse similarly endangers safety at work in the shore-based organization. These regulations accordingly apply by analogy to personnel of the companies shore-based organization.

The Management of the Company declares equivocally that it will take all legal steps in terms of industrial law and if necessary of criminal law, against personnel found in breach of these regulations. For further details, please refer to the relevant documented procedure. This document is to be made known by public notice on the premises of the shore-based organization and on board every ship. A copy of this document shall be handed over to all new personnel prior to actual employment.

3. ZERO DISPOSAL POLICY In its position as a leading provider of ferry services on the Strait of Gibraltar, the Company traditionally owes a duty of care to the general public. By establishing and maintaining our standards of quality we strive to live up to our clients’ expectations and also to be leaders in the fields of ship safety and maritime environmental protection. The companies’ management and staff are deeply convinced that it takes well equipped ships of a high technical standard, manned by well trained and highly motivated personnel, to make shipping a commercially viable business in the longer term.

Although international law (MARPOL) allows ships to dispose garbage into the sea, this company´s policy strictly forbids any disposal of garbage into the sea. This zero disposal policy does not apply to deck and external surfaces wash water, containing small amounts of cleaning agents and additives, as permitted by MARPOL. Management and all superiors undertake strongly to support and promote by their own activities, the introduction and maintenance of our Safety Management System.

Each crewmember may be in possession of the maximum allowed tax-free quantity of (regulated*) Duty Free Products. These may be held on person or within private room or locker. Possession of (regulated*) Duty Free Products when leaving the vessel: Each crewmember may be in possession of 10% of the maximum allowed tax-free quantity of (regulated*) Duty Free Products. (Example: if one carton of 200 cigarettes is the permitted taxfree maximum, the crewmember many carry one packet of cigarettes of 20 cigarettes when leaving the ship). Note that older regulations (example: one carton of cigarettes

GENERAL BEHAVIOUR ON BOARD

1. Purpose This Procedure shall be used to advise new and old crew shore personnel about the basics of behavior on board the company´s ships. In terms of general living together on board an fulfillment of our company´s policies and philosophies. 2. Application All ships & shore side organization 3. Responsibilities

All firefighting and lifesaving equipment on board needs your care. All equipment located at or near your place of work has to be inspected by you every day prior taking up your duties. Deficiencies have to be reported to the Bridge without any delay.
