2020 Annual Meeting Dear Voting Members, We look forward to seeing you at the 14th annual meeting of Girl Scouts of Central Indiana on March 16 as we honor the volunteers that have such an impactful role in the lives of 25,000 central Indiana girls. We are excited for the theme of the meeting which is “Launching Forward, Looking Back.” You will hear from Girl Scouts and alum as they reflect on what they have loved about Girl Scouts and what they are most hopeful for in our future. At the meeting you will also be asked to elect our volunteer board of directors and board development committee who will join us in leading the Girl Scout Movement, as well as our 2020 Girl Scout convention slate of delegates. There is so much to be excited for in 2020, and we are thankful for all that you bring to the Movement through your passion, your time, your investment and your enthusiasm for the world’s best organization for girls! We are proud to provide you eight choice locations to participate again this year. You will experience the same celebration of Girl Scouting at all seven service centers or the Leadership and Learning Center at Camp Dellwood. Please remember that your attendance is critical for us to conduct the business meeting of our council, and not to mention, you won’t want to miss it. Bylaws (selected excerpts) Article IV – Board Development Committee 3. Duties: The duties of the Board Development Committee shall be as follows: Article VII – Board of Directors a.

The Board Development Committee shall present at each Annual Meeting of the Council a single slate of Officers of the Council, members-at-large of the Board of Directors and members of the Board Development Committee. If vacancies occur in Officers, members of the Board of Directors, or the Board Development Committee between Annual Meetings, the Board Development Committee shall recommend nominee(s) to the Board.

b.

A single slate for Delegates and nominees to fill vacancies among elected Delegates, should vacancies occur, to the National Council of Girl Scouts of the United States of America shall be presented at the Annual Meeting, as provided in Article XI.

c.

In partnership with the Board Chair and CEO, the Board Development Committee shall assure the education of the Board of Directors and orientation of new members of the Board of Directors, assess Board education, and plan for succession.

d.

Nominations for any position may be made from the floor, provided the eligibility of such nominees had been established and written consent to serve, if elected, had been secured and was in the hands of the Chair of the Board Development Committee ten (10) days before the meeting.

4. Vacancies. Except as provided in Article VI, Section 2, of these Bylaws, vacancies in the Board of Directors occurring by death, resignation, creation of new directorships, or otherwise, may be filled until the next Annual Meeting by vote of the majority of the remaining directors then in office, though less than a quorum, at any meeting of the Board of Directors called for that purpose.

2019 Annual Meeting Minutes The annual meeting of Girl Scouts of Central Indiana, Inc. was held on Monday, March 11, 2019 at the Leadership and Learning Center, 7201 Girl Scout Lane in Indianapolis, Indiana. Board Chair Diana Sullivan presided over the meeting. Diana welcomed everyone to the meeting and announced that the council’s business would be conducted in addition to recognizing adults and community partners that have affected the lives of thousands of girls in central Indiana. Special guests, Brad Ellsworth, President of Vectren Energy Delivery-South and Justin Thang, Executive Director of the Hope School were introduced and received a round of applause for their support of Girl Scouts. Diana reminded everyone that it was the third year of hosting the annual meeting at the Leadership and Learning Center, as well as live streaming the meeting to each of the council’s Service Centers. Diana stated that as voting was conducted on meeting business, votes would be gathered from each Service Center. Diana asked that all stand as Girl Scout and board member, Arlissa Dumas led the opening ceremony Diana called the business meeting to order at 6:30 pm. Diana announced that it was a pleasure to serve her third and final year as board chair of Girl Scouts of Central Indiana and acknowledged the excitement of renewed energy and purpose as we said good bye to our longtime friend and retired CEO, Deborah Hearn Smith, and welcomed new CEO Danielle Shockey. Diana commented that she had enjoyed working with Danielle and watching her flourish in her role and looks forward to our future led by her and the continuing and newly elected board members. Diana thanked all in attendance for their hard work and dedication to the Movement and noted that on an average, Girl Scout Volunteers donate more than 300 hours of service each year in comparison to 50 hours per year that most Americans volunteer and as a result, our Volunteers are the lifeblood of the organization. The meeting continued with Diana stating the priorities of the council through 2020: to reach and serve more girls; deliver consistent, quality outcome-driven girl programs; continue to build capacity through board engagement to deliver on our mission: and work collaboratively with central Indiana communities and Girl Scouts of the USA to build and enhance our brand. Concluding the Board Chair Report, Diana introduced CEO Danielle Shockey who was given a warm welcome. Danielle stated that she was honored to be with everyone in her second annual meeting and provided a state of the council report that consisted of: the council’s annual report; the 2019 county representative opportunities; and highlights of the upcoming 2020 National Convention Session in Orlando, Florida. In closing, she thanked the adult go-getters, innovators, risk-takers and leaders attending the meeting and pointed out their special stickers as a member of the Give.Help.Repeat family and encouraged everyone to join this wonderful group of supporters. Diana introduced Secretary Nicole Harper who defined the voting members as stated in the council’s bylaws and presented the credential report. Nicole announced that 178 voting members were in attendance and a majority of counties were present to meet quorum.

Courage v Confidence v Character Motion: Nicole accepted a motion to approve the 2018 annual meeting minutes. The motion was seconded. Nicole continued by directing the voting membership to stand in approval, including the Service Center locations. Those opposed were then asked to stand. With the majority vote, the 2018 annual meeting minutes were approved. Diana recognized Treasurer Vandana Kapur who announced that the council had received a clean audit on its financial statements and reminded everyone that the change to a fiscal year end of September 30th to correspond with the membership year and the fiscal years of most of the Movement, is why the audited financial statements are for a short nine-month year. Vandana reported that the financial statements show a decrease in net assets of just $13,000 and that we used over a million dollars in donations with donor restrictions and we generated a nearly equal surplus from operations for the short year and that the council continues to dedicate a large portion of its revenues to program expense-85% in 2018. Vandana closed the Treasurer’s Report by stating that copies of the annual report were available on the council’s website and that the audit would be available in April. Diana recognized Board Development Committee Chair Mary Azar Callahan. In accordance with the bylaws, Mary presented the single slate for the Board of Directors, the Members-at-Large, and the Board Development Committee. Motion: Mary moved to accept the slate of nominees for the Board of Directors and the Board Development Committee as presented. Since this motion comes from a committee, a second motion was not required. Mary added that elections shall be by ballot in contested elections and may be by voice or other means in uncontested elections and a plurality of votes cast shall elect. Since this was an uncontested election, Mary requested that the voting members stand to vote, including those members at the Service Centers. Those opposed were then asked to stand. With the majority vote, the slate was elected as presented. Mary called for the newly elected Board of Directors and the Board Development Committee to join her and Diana at the lectern. The installation of the newly elected Board members and Board Development Committee members followed. The meeting continued with Danielle presenting the Community Award that recognizes a business or organization who has partnered with Girl Scouts of Central Indiana to provide Girl Scouting opportunities, bring visibility to Girl Scouts in the community or give support to improve council properties for girls to utilize and enjoy. The first Community Award was given to Hope for Tomorrow and accepted by Justin Thang for opening their doors so the first Burmese Girl Scout Troop could meet regularly and for finding a staff person familiar with Burmese culture to lead the Troop. The second Community Award was given to Vectren and accepted by Brad Ellsworth for their partnership of supplying personnel and supplies to support the needs and upkeep of Camp Gallahue. The award ceremony continued with Danielle recognizing the Volunteer Recognition Committee, who gave personal time and thoughtful consideration reviewing each nomination. Announcement of the awards followed. Danielle congratulated all the award recipients and stated that through the commitment of the people in the room, together with dedicated Volunteers and staff across the country, may Girl Scouting continue to positively impact the lives of many more generations of girls and thanked everyone for their efforts on behalf of Girl Scouts of Central Indiana.
