The Urgency of Practice Transition Planning–

Plan Ahead, Profit Later

As we enter the midpoint of the year, the time for year-end planning is upon us. Enjoy the warmer weather, end of the school year, upcoming holidays, vacations, and everything else the summer and fall will offer but also keep in mind 2025 is fast approaching.

We mention this because we are often contacted later in the fall with the proposition from a Seller of their desire to sell “around year’s end.” While that may just be an arbitrary or ideal target, in some cases, it becomes financially vital for a Seller to close on or before December 31st. Unfortunately, the process to transition a practice from offer to closing typically takes two to three months, which does not factor in the time where most Purchasers may need to give notice to their employer (can be up to 120 days). It’s important to note, too, that there may not always be a Purchaser “waiting in the wings“ to buy, which only extends as we consider the time it takes to value the practice. To lay

the table overall, expect that it can take four to six or more months to go from the initial conversation with a transition specialist to closing. Having said that, it’s fair to ask, why does it take so long to sell my practice?

Initial Decision and Document Gathering

Before anything else, the decision to start the transition process is typically a personal one and requires focus and time to get things going. Perhaps you are coming up on a milestone birthday that will serve as the kick-off, or target, for closing. In any case, as you approach whatever point in time, you must commit to being “ready to go”. In most cases, no one is or should be in the position to initiate that for you.

From there, it’s true, any reputable company evaluating your practice should request a rather lengthy and detailed list of documentation from your practice, including financial, practice management, operational and facility reports, and agreements. A practice valuation is not a simple formula requiring only a few data points, but one where each piece of information plays a role in the result. Since you spend your days seeing patients, it has been our experience that it may take a few days to weeks (or even months, sometimes) to gather the necessary documentation to start the evaluation process.

Marketing and Securing the Purchaser

Although we interact with Purchasers daily and are fortunate to have a robust list (if not the largest in the country) of prospective Purchasers, the process of selecting one is about finding the best possible match for your practice. Sometimes this happens quickly and sometimes it can take considerable time.

Post-Offer Acceptance

Once we have found a suitable Purchaser candidate, we’re “off to the races”, but whether this is a sprint or a marathon, typically depends on the Purchaser and what terms and conditions are outlined in the Letter of Intent. Getting both parties to agree to the terms of the Letter of

Intent (securing bank financing, obtaining up-to-date financials factor in) is time-consuming and can delay completing the deal. Ultimately, a transaction is not just two practitioners working together but likely includes at least one accountant and attorney on each side, plus any other advisors (not to mention spouses). While everyone

typically does have eyes on the same goal line, professionals get busy, including yourself, and your advisors will need to discuss any of their suggestions with you along the way.

Then We Wait

The last block of time in a transaction comes when a Purchaser must give notice to their current employer. While this should be built into the initial Letter of Intent, if the notice doesn’t happen on time, the closing could be delayed. Expect your Purchaser to give notice once agreements are final (potentially signed), they have secured their commitment for financing, and due diligence is complete. This is advisable for the Purchaser so that if they are immediately terminated from their employment, the process can be collapsed, and closing can happen sooner. If all goes as expected, though, there is a period of relative quiet as the loose ends are tied up and everyone waits out the clock. This is certainly not dead time because the patient notice letter can

be written, life and disability insurance (as required by the lender) can be secured, and staff introductions can be made. None of the true transition items can be completed, though — these must wait for closing itself.

It should be mentioned that somewhere between six to eight weeks prior to the year’s end, lenders are generally bogged down and are often unable to expedite their lending process. Sure, every so often a transaction can squeak through, but planning for that level of exceptional service is certainly not advisable.

And, of course, we haven’t accounted for any pitfalls, restarts, or derailments!

In all, this is a simple overview of the entirety of the process and lacks the significant details that go into each step along the way. That said, it should serve as a reasonable picture of what the process looks like and why waiting until October could mean you’re out of time. 100% Real Estate Financing: Exception to the Norm

Our team transacts hundreds of practices on an annual basis and works with our national financing contacts on nearly every deal. Over time, the dental practice acquisition financing product has, of course, evolved, as the markets ebb and flow and different lenders work to carve their niche or earn your business. One point of differentiation of late is an offering of “no-money-down” or 100% financing on the real estate acquisition of a practice. Note, this is neither universal across the industry, nor the country, but word of its availability has become widely known.

What’s important to realize is that this level of financing is nearly unheard of in most to all traditional lending. Whether you buy a house or acquire another type of commercial real estate property, there is a requirement to bring proceeds to closing. Even in most business sales, a Purchaser must bring cash to the

closing — something that is not often the case for dental practice acquisitions.

In essence, we should count our blessings. There is access to 100% financing on most practice acquisition loans, which benefits everyone involved, allowing for most transactions to close than if they were treated like other business financing. When it comes to real estate, there are also aggressive financing products available and, occasionally, an offering also at 100%. That said, it should not be expected, counted on, or taken for granted as its particularly out of the norm in all of lending processes.

Overlooked and Undervalued —the Letter of Instruction

More often than we all would like, a practitioner’s career is cut short either through their untimely passing or otherwise incapacitation. This is clearly catastrophic for the practitioner as well as the family, but how will it impact the practice, staff, and patients? There is ample proof from the dental literature

about the rapid decline of a practice in the event of death or disability and the need for a rapid transition with temporary assistance to keep the practice operating at a level as close to “normal” as possible. This is all true but similarly incomplete. What’s consistently missed in the conversation about planning for the “unexpected” is the “how.” How does one keep the practice open? Who are the resources to help? What needs to be done to evaluate and transition the practice when the time comes? This is where your team of experts, and early transition planning, can make the difference.

First, secure a quality estate attorney to plan for you and your practice. Share the concerns of the rapid devaluation of a practice if something happens to you, and develop a legal process to aid in a quick evaluation and transition. This

conversation may include appointing someone to maintain and operate the practice if you are not able to (in a “Codicil”). This individual can be anyone, although we typically suggest someone outside of your family, and possibly staff, because they likely will be preoccupied if something happened to you. This should be a professional, and it’s helpful if they have familiarity with dental practice operations.

Second, have your practice evaluated for the current year. Not only is this information valuable for you in your overall estate planning (formally derived value is better than a guesstimate for your financial planner) but by keeping this up-todate, moving to a listing can happen faster, if needed. This report should also allow you to enhance your practice, and take home, even while operating, and will pay for itself immediately.

Third, complete a “Letter of Instruction” which details the accounts, services, and contacts that are related to the operations of the practice. This document becomes vitally important to anyone attempting to maintain the practice operations up until the time the practice is transitioned.

Fourth, work with local colleagues to establish a mutual coverage group. This is essentially a pact made among the team agreeing that should something happen, each person can make the time to cover the office to help it continue to see patients until transition. The more people in your group, the less time each individual needs to commit!
