Welcome to Inclusion in Action. In this quarterly publication, we highlight the actionable steps Holland & Knight has taken to address current events of racism, bigotry, injustice and sexism. We also use this publication to provide details about the firm's ongoing efforts to build a more equitable, inclusive and diverse organization. STANDING TOGETHER AGAINST RACISM A Conversation with Bakari Sellers, July 2020 Partner Loren Forrest interviewed Bakari T. Sellers, a Black American attorney, political commentator, politician and CNN analyst, about his various accomplishments and how his life has been shaped by the rural South's civil rights movement. Mr. Sellers represented South Carolina's 90th district in the lower house of the state legislature from 2006 to 2014, becoming the youngest Black American elected official in the country at age 22. He vacated his seat in the South Carolina House of Representatives to run for lieutenant governor in 2014, but lost to Henry McMaster, the current governor. Mr. Sellers is also the first vice chairman of the South Carolina Democratic Party. In 2010, Time magazine featured Mr. Sellers on its 40 Under 40 list. In 2012, Politico named Mr. Sellers on its "50 politicos to watch" list. In May 2020, Mr. Sellers released an autobiography, My Vanishing Country, that centers on the forgotten lives of the Black working class people in the rural South.

How to Be Better Allies: Supporting Black Women and Women of Color, July 2020

In an effort to continue the conversation around race, racism and allyship, the Holland & Knight Women's Initiative and Black Affinity Group hosted a discussion with noted speakers and advocates Minda Harts and Karen Catlin. During the discussion, the women explored how our attorneys and staff can be better allies and support Black women and women of color at the firm. Ms. Harts is the founder of The Memo LLC, a career development company for women of color; an Adjunct Professor of Public Service at NYU's Robert F. Wagner Graduate School of Public Service; a TEDx speaker; and author of The Memo: What Women of Color Need to Know To Secure a Seat at the Table. Ms. Catlin is a leadership coach, advocate for inclusion in the workplace, TEDx speaker, and author of Better Allies: Everyday Actions to Create Inclusive, Engaging Workplaces and The Better Alliesâ&#x201E;˘ Approach to Hiring.

Diversity Council Introduces Diversity, Equity and Inclusion Resources, August 2020

The firm's Diversity Council compiled an extensive list of resources available to all firm personnel to complement its ongoing education efforts and to raise consciousness regarding systemic barriers to inclusion. The resources range from articles, books, podcasts, suggested films, parenting resources and our recorded Holland & Knight diversity programs. The resources are updated periodically, and firm employees are encouraged to suggest items to be added to the Diversity, Equity and Inclusion (DEI) Resources page. Please feel free to view an excerpted list of those resources.

Life After "Life": The Story of Philadelphia Exoneree Terrance Lewis, September 2020 The co-chairs of the firm's Operations Center's Diversity Committee, Carrie Cabrera and Tavares Kennedy, moderated a program spotlighting the story of Terrance Lewis, a Black man who spent 21 years in prison for a crime he did not commit. In 1998, thenjuvenile Mr. Lewis was convicted of murder and sentenced to life in prison. After years of proclaiming his innocence and seeking legal representation to help gain his release, Mr. Lewis found a lawyer willing to take his case on a pro bono basis. In 2019, after 21 long years in prison, Mr. Lewis was exonerated and released. Since his release, he has begun to rebuild a productive life. He is the liaison on Pennsylvania's chapter of ITCHTY (It Can Happen to You), an organization that advocates for a compensation bill for the wrongfully convicted. He also volunteers as a member of the West Philadelphia Defense Hub. In May 2020, Mr. Lewis founded The Liberation Foundation as a 501(c)(3) nonprofit dedicated to advocating for wrongfully convicted persons who do not yet have legal representation. In the firmwide program, Mr. Lewis shared his amazing story of perseverance and his plans for The Liberation Foundation. Joining Mr. Lewis for the program were Carson Eckhard, a student at the University of Pennsylvania who serves as vice president of the foundation, and David Laigaie, the lawyer who represented Mr. Lewis and secured his release.

Courageous Conversations About Race Training with Glenn Singleton, August/September 2020 Members of the firmwide Diversity Council and the executive partners of the firm's offices participated in a three-part series of "Courageous Conversations About Race," facilitated by consultant Glenn Singleton. In approximately seven hours of training over several weeks, participants were challenged to increase their individual racial consciousness and explore ways to increase racial equity within the firm. Mr. Singleton, author, thought leader and strategist, is the creator of Courageous Conversation™ – a protocol and framework for sustained, deepened dialogue. He is the award-winning author of Courageous Conversations About Race, A Field Guide for Achieving Equity in Schools, Second Edition and More Courageous Conversations About Race. Holland & Knight Donates to Lawyers' Committee for Civil Rights Under Law, September 2020 Holland & Knight donated $100,000 to the Lawyers' Committee for Civil Rights Under Law, a national civil rights organization that works to secure equal justice for all and confront racial injustice. Managing Partner Steven Sonberg made the announcement on Sept. 3, along with Partner Paul Kiernan, chair of the firm's Public and Charitable Service Department. Holland & Knight has a longstanding relationship with the Lawyers' Committee and contributed more than 1,300 pro bono hours to the organization in 2019. The firm has worked on a number of matters for the Lawyers' Committee over the years, including in the areas of criminal justice, voting rights and aid to indigent people. The firm's Public Policy & Regulation Group recently worked on a pro bono matter to provide the Lawyers' Committee with strategic advice regarding police reform legislation. The Lawyers' Committee is a nonpartisan, nonprofit organization, formed in 1963 at the request of President John F. Kennedy to enlist the private bar's leadership and resources in combating racial discrimination and the resulting inequality of opportunity. Chesterfield Smith, a founding partner of Holland & Knight, helped co-found the organization.

ARTICLES, OPINIONS AND ADVOCACY Oregon Court of Appeals Recognizes That Sex Is Not Strictly Binary, Jamie Rodriguez, July 2020 The Oregon Court of Appeals, the state's intermediate appellate court, has recognized that the plain language of the word "sex" is not limited to the binary choices of "male" or "female." As the court stated, based on the science, "binary views of 'sex' do not reflect the reality of well-documented occurrences of individual, biologic variations concerning the 'sex' of individuals." In the Matter of Jones David Hollister, 305 Or. App. 368, 82020 WL 3832931 *4 (2020) (hereinafter Hollister), citing Anne Fausto-Sterling, Sexing the Body: Gender Politics and the Construction of Sexuality 30-39 (2000) and Melanie Blackless, et al, How Sexually Dimorphic Are We? Review and Synthesis, 12 Am. J. Hum. Biol. 151 (2000). The lower Oregon circuit court in Hollister had earlier denied the petition, opining that it did not have authority to grant the petition because, in its view, a change of sex to nonbinary was inconsistent with the "present wording of the 'sex' change statute," Hollister at *2. The Oregon Court of Appeals precedent makes clear that all Oregon circuit courts do have such authority, and, in fact, must grant a petition for a "nonbinary" legal sex designation if the petitioner meets the other statutory requirements. Hollister at *6.

Holland & Knight Joins Leading Employers in Support of the Equality Act, August 2020 Continuing our tradition of support for LGBTQ employees, Holland & Knight signed on to the Human Rights Campaign's Business Coalition for the Equality Act in support for equal employment for LGBTQ Americans, joining many clients, law firms and civic leaders. The Equality Act, passed by the U.S. House of Representatives in May 2019 and referred by the Senate to its Judiciary Committee, would provide consistent and explicit antidiscrimination protections for LGBTQ people across key areas of life, including employment, housing, credit, education, public spaces and services, federally funded programs and jury service protections that most Americans support. President Issues Contractor "Critical Race Theory" Executive Order, Eric Crusius, September 2020 The Trump Administration issued an executive order (EO) that will prohibit all government contractors from providing employee training regarding subjects cited within the EO tied to race and sex relations. A contractor's obligation to comply with the EO will attach when language from the EO is added as a clause in a newly issued government contract. This EO must be flowed down to subcontractors and the failure to comply could result in a range of penalties, including contract termination or debarment. Further, there do not appear to be exceptions for contracts solely for commercial or commercial-off-the-shelf items or for small businesses. Grant recipients including academic institutions, at the discretion of the agency, may be made to comply with this EO. The EO is now effective for new federal government contracts without the need for additional regulations. Many expect President-Elect Joe Biden to rescind the EO. Until then, contractors will need to comply with it should they enter into a new government contract with the EO inside of it.

EVENTS AND SPEAKING ENGAGEMENTS Kelly-Ann Cartwright Speaks About Leadership at the Top and Why the Black Corporate Lawyer Matters – NBA Convention, July 2020 Kelly-Ann Cartwright, Chair of the firm's Directors Committee, spoke at the National Bar Association's (NBA) Corporate Counsel Leadership Summit, which was held virtually during the NBA's 95th Annual Convention. Ms. Cartwright's panel, "Nextgen: Leadership at the Top," kicked off a half-day of programming focused on why the Black corporate lawyer matters within the nation's top law firms. She was one of four esteemed law firm leaders who discussed ways that law firms are responding to the clear message that the Black experience is different. She and other panelists shared what it means to be courageous as one of few in the law firm environment, with Ms. Cartwright honing in on the importance of addressing intersectionality of race and gender.

A Conversation About Implicit Bias in the Justice System – South Florida Chapter of the Federal Bar Association, August 2020 Miami office Executive Partner Wifredo "Willy" Ferrer moderated a discussion about implicit bias in the justice system for the South Florida Chapter of the Federal Bar Association. The conversation included topics such as how implicit bias affects decision-making, how to recognize and combat implicit bias in the courtroom, and how to address the role of bias associated with race, ethnicity, religion and gender.

Musical Happy Hour with Anthony DiResta and Terrance Mason, August 2020 Attorneys and staff were treated to a virtual happy hour and jazz session on Aug. 12 – the first in a series of performances that will showcase the talents of firm colleagues. The event featured Partner Tony DiResta, a classically trained pianist whose teacher studied with the renowned Claudio Arrau. He performed with his husband – and certified sommelier – Terrance Mason, a vocalist and former singer of the two-time Grammy Award-winning and quadruple platinum band Arrested Development. Mr. DiResta suggested the interactive event as a fun, nontraditional way to bring attorneys and staff together.

"On a subtle level, it could promote the diversity and inclusion efforts of the firm," Mr. DiResta said in his initial proposal. "Performing can provide healing moments that bring smiles to people's faces and promote community."

The musical couple perform frequently in fundraising events for arts organizations in New York, Washington, D.C., and Palm Beach, Florida. They also have performed virtual happy hours for a few pro bono clients.

Navigating the Glass Cliff: Can There Ever Be Pay and Career Equality for Women of Color? – FSIC American Innovation & Opportunity Fund, August 2020 Senior Counsel June Marshall joined a webinar hosted by the FSIC American Innovation & Opportunity Fund titled "Navigating The Glass Cliff: Can There Ever Be Pay And Career Equality For Women Of Color?" Ms. Marshall discussed the ABA study findings of why women of color leave the profession and why women of color ultimately stay in the profession. She then discussed strategies for retaining women of color such as sponsorship, active and engaged allyship by other women and men, and what law firm clients can do to hold firms accountable for staffing their projects with Black women and women of color. The panelists also shared personal solutions to overcoming and surviving challenges that women of color face in the workplace at all levels.

Candid Conversation About Race in the Workplace, August 2020 Holland & Knight, a member of business consulting group Bottom Line Partners, hosted a webinar featuring Dale E. Jones, CEO of Diversified Search and the only Black CEO of a top 10 executive search firm. In the webinar, Mr. Jones discussed how executives and human resources leaders can advance the conversations in their companies regarding DEI initiatives and culture, as well as help corporations become more diverse. The Bottom Line Partners group also includes Diversified Search, Mahoney & Associates and Right Management.

Courageous Conversations about Diversity, Equity and Inclusion: Strategies to Increase Effectiveness, August 2020 Diversity Partner Tiffani Lee and LGBT Affinity Group Co-Chair Dianne Phillips were featured on a West LegalEdcenter webcast discussing the importance of courageous conversations about DEI and ways to make them more effective. Although these conversations are often challenging – requiring levels of openness, transparency and candor that some may find difficult or uncomfortable – they are essential to increasing awareness of issues with race and racism or other topics related to DEI. Ms. Lee and Ms. Phillips offered strategies to guide conversations and increase their effectiveness.

Being Courageous About Racial Equity – Holland & Knight and the Oregon Chapter of the Association of Corporate Counsel, September 2020 Partner Kristin Asai facilitated an online program offering an interactive discussion on racial equity and giving in-house lawyers the tools to help make their organizations more equitable and inclusive. Topics covered include racial consciousness, bias and allyship. Holland & Knight and the Oregon Chapter of the Association of Corporate Counsel co-sponsored the program.

Holland & Knight Celebrates Hispanic Heritage Month, September 2020 In celebration of Hispanic Heritage Month, the firm's Hispanic Affinity Group, led by Co-Chairs Isabel Diaz and Jorge Hernandez-Toraño, created and circulated a four-week series of newsletters that highlighted the achievements of our Hispanic lawyers and their contributions to the legal and philanthropic landscape in the Hispanic community. The newsletters included 1) an Inaugural Issue, which provided a glimpse of what makes the Hispanic heritage unique; 2) a Business Perspective, which included interviews with in-house counsel; 3) details on Closing the Deal, which highlighted the firm's work in Latin America; and 4) a look at Our Commitment, which focused on the firm's dedication to the Latinx and minority communities through our DEI efforts.

Tiffani Lee Speaks at "Best Law Firms for Women: Winning in a Virtual World" Conference, September 2020 Holland & Knight was among the 60 firms honored at the virtual awards conference, "Best Law Firms for Women: Winning in A Virtual World." The highly interactive virtual event included lawyers from leading firms who discussed ways to adapt to the current landscape in order to lead and win in the workplace. Diversity Partner Tiffani Lee spoke on the "Creating Allies – Strategies from the Best of the Best" panel, which discussed best practices to advance gender and racial diversity in the workplace. U.S. law firms with 50 or more attorneys are eligible to apply for the "Best Law Firms for Women" honor. The application includes more than 300 questions about workforce representation, paid time off and parental leaves, schedule flexibility, and the development and retention of women. Working Mother magazine then highlights what the winning firms are doing to retain and promote women lawyers with the hope that the programs will be implemented across the legal profession.

AWARDS AND ACCOLADES Laura Lewis, New York Associate, Named Rising Star by Airfinance Journal, July 2020 Holland & Knight attorney Laura Lewis has been selected as a 2020 "Rising Star" by Airfinance Journal. The trade publication identifies "Rising Stars" each year by asking readers around the globe to nominate promising young attorneys they feel best serve the aviation industry. Ms. Lewis, an associate in the firm's New York office, regularly counsels clients on some of the most complex transactions in the industry. She advises leasing companies and financial institutions, as well as airlines, on the purchase, sale, lease, novation, interchanges, secured and unsecured financing (including predelivery payment financing), and securitization of commercial and business aircraft, engines and parts.

Holland & Knight's Diane McDermott and Janis Schiff Named "Women of Influence" in Commercial Real Estate, July 2020 Partners Diane McDermott and Janis Schiff have been recognized as two of commercial real estate's "Women of Influence" by GlobeSt. Real Estate Forum, a leading industry publication. Only 18 attorneys are among the almost 200 commercial real estate professionals selected for this honor based on their career achievements, community outreach and mentorship within the industry.

LGBT Corporate Ally: Holland & Knight Paves the Way for LGBT Lawyers, Boston Business Journal, August 2020 Partner Dianne Phillips spoke with the Boston Business Journal about the firm's ongoing efforts to expand support for LGBT employees and the community. Ms. Phillips was part of the original efforts at the firm to create domestic partner recognition and provide full family insurance. She also became the co-chair of the firmwide LGBT Affinity Group, which currently has more than 40 members in various offices. The members of the affinity group have spearheaded pro bono impact litigation involving LGBT asylum issues and U.S. laws severely limiting the ability of persons with HIV-AIDS to travel to the United States. The firm provides creditable hours to associates and partners performing this pro bono work.

95 Diverse Holland & Knight Attorneys Among 2021 Best Lawyers in America, August 2020 Of the 354 Holland & Knight attorneys recently recognized on The Best Lawyers in America 2021 list, 95 of them are considered diverse (26.8 percent) as defined by race, ethnicity, gender, sexual orientation, veteran status or disability status. Atlanta Partner Cindy Brazell Featured in Law.com's Daily Report, August 2020 Atlanta Partner Cindy Brazell, the co-chair of the firm's Financial Services Practice Group, was profiled in Law.com's Daily Report. Ms. Brazell talked about her path to the practice and the biggest challenges in her oftencomplex transactions, saying that managing expectations and putting the pieces together are the toughest parts of a deal. She also offered a few words of advice for new attorneys in transactional law, encouraging them to get to know the less-experienced people at a client to develop friendships that can grow into working relationships.

Holland & Knight's Lara Rios Named Rising Star by Law360, August 2020 Finance and Energy Partner Lara Rios was recently recognized as a Law360 "Rising Star." Ms. Rios helped secure one of the first sustainability-linked loans in Latin American history and was instrumental in connecting five liberal arts colleges to a solar energy farm in New England, earning her a spot as one of five project finance practitioners under age 40 honored this year.

Laura Güemes Cambras Joins Financial Services Advisor Board, September 2020 New York-based transactions attorney Laura Güemes Cambras has joined the board of advisors for the Financial Services Advisor, a publication of the Inter-American Dialogue. Ms. Güemes focuses her practice on cross-border financing transactions, regularly advising corporate borrowers, a wide range of lenders, project sponsors and developers on syndicated lending as well as project finance in the United States and Latin America. She also has substantial mergers and acquisitions (M&A) experience covering a wide range of industries.

Kristin Asai Named Among Best Lawyers Under 40 by National Asian Pacific American Bar Association (NAPABA), September 2020 Partner Kristin Asai was named as one of the "Best Lawyers Under 40" by the National Asian Pacific American Bar Association (NAPABA). The award recognizes talented individuals within the Asian Pacific American legal community under the age of 40 who have achieved prominence and distinction in their fields of endeavor – be it the practice of law, academia, business, civic and charitable affairs, the judiciary or politics – and who have demonstrated a strong commitment to Asian Pacific American civic or community affairs.

Holland & Knight Listed Among 2020 Best Law Firms for Women, September 2020 Working Mother named Holland & Knight as one of the 2020 "Best Law Firms for Women," recognizing the firm for using best practices in finding, retaining, promoting and developing women lawyers. Holland & Knight was one of 60 firms that earned spots on this year's list.

Firm Earns Mansfield Certified Plus Status for Third Consecutive Year, September 2020 Holland & Knight achieved "Mansfield Certified Plus" status from Diversity Lab, an incubator for innovative ideas and solutions that boost diversity and inclusion in law, for the third year in a row. The Mansfield Rule initiative aims to increase the number of women, minority, LGBT and disabled lawyers in leadership and governance roles at law firms. The Mansfield Rule Certification process measures whether law firms have affirmatively considered at least 30 percent women, minority, LGBT and disabled attorneys for leadership and governance roles, equity partner promotions, senior associate lateral positions and formal client pitches. In all, 100 participating firms met the requirements to become "Mansfield Certified." The "Mansfield Certified Plus" status recognizes that, in addition to meeting or exceeding the pipeline consideration requirements for certification, women, minority, LGBTQ and disabled lawyers represent at least 30 percent of a significant number of firm leadership roles and committee positions. This year, 67 firms earned the "Mansfield Certified Plus" designation.

Veterans Group and Buddy Schulz Receive Chambers Diversity & Inclusion Awards, September 2020 Holland & Knight received the "Veterans Program of the Year" award and Partner George "Buddy" Schulz Jr. was named "Pro Bono Lawyer of the Year" at the Chambers Diversity & Inclusion Awards: North America 2020 virtual ceremony. The firm also was shortlisted in the "Inclusive Firm of the Year," "Diversity & Inclusion Lawyer of the Year" and "Future Leader â&#x20AC;&#x201C; Diversity & Inclusion" categories. The Chambers Diversity & Inclusion Awards celebrate those firms and individuals who are furthering the advancement of diversity and inclusion across the United States and Canada. They provide the opportunity to shine the spotlight on role models and trailblazers in pro bono and corporate social responsibility as well as inclusion. Holland & Knight's Veterans Group represents military families and veterans pro bono across the country. Its members assist military families on myriad issues, including bankruptcy, eviction, a wide range of civil matters and selected criminal cases. In 2019, 205 Holland & Knight timekeepers invested 5,865 hours valued at more than $3.6 million in representing veterans pro bono in 112 matters.

Holland & Knight attorneys work on pro bono case referrals through the American Bar Association (ABA) Military Pro Bono Project, and the firm has received the organization's Outstanding Services Award every year since its inception in 2012. The firm supports many other military initiatives that benefit active-duty service members, veterans and their families, including the Wounded Warrior Project and United Way's Mission United initiative. It also partners with the ABA's Section of Taxation and the Internal Revenue Service (IRS) to coordinate a Military Volunteer Income Tax Assistance program in various locations. Mr. Schulz is a nationally recognized trial lawyer who has won hundreds of victories for clients, many of them pro bono, during his almost 50-year career. In 2009, Holland & Knight Managing Partner Steven Sonberg asked Mr. Schulz to chair the firm's new Public and Charitable Service Department, a position he held until the summer of 2020. Mr. Schulz built a framework that set pro bono expectations for all of Holland & Knight's attorneys and positioned the firm to scale up its activities. Ten years later, the metrics show a commitment to pro bono that rivals that of any firm in the U.S.: 1,700 pro bono matters and 74,088 pro bono hours in 2019, with those hours valued at $48 million (up from $18 million in 2010).

Marilyn Holifield Selected as 2020 Florida Trailblazer by Daily Business Review, September 2020 Partner Marilyn Holifield has been named a "2020 Florida Trailblazer" by the Daily Business Review. According to the newspaper, Florida Trailblazers are "agents of change" or "legal professionals who have made significant marks on the practice, policy and technological advancements in their sector." Ms. Holifield practices in the general litigation area, with a specific emphasis on representing corporate clients. Her practice includes employment, business litigation, corporate governance, trade secrets, covenants-not-tocompete, class action and intellectual property litigation. She has dedicated much of her life to the cause of social justice. After working for the NAACP Legal Defense and Educational Fund, she was recruited by Holland & Knight. Ms. Holifield was named a partner in 1986, becoming one of the firm's first minority partners and the first Black woman partner of a major law firm in Florida.

Chambers Latin America Recognizes 10 Holland & Knight Attorneys in 2021 Guide, September 2020 Holland & Knight has been recognized with 10 individual attorney rankings in the 2021 edition of Chambers Latin America. Robin Feiner is a business attorney in the New York office. Ms. Feiner concentrates her practice in securities and capital markets. She has distinctive insights and perspectives given her extensive experience as legal counsel and investment banker. Ms. Feiner represents companies, investment banks and private equity sponsors on equity transactions, particularly initial public offerings (IPOs), follow-ons and block trades. During her more than 20-year career, Ms. Feiner has advised on more than 100 IPOs across a broad range of sectors, including industrials, consumer and retail, financial services, energy and power, real estate, technology and healthcare.



Nasim Fussell is a trade attorney in Holland & Knight's Washington, D.C., office. Ms. Fussell has a wealth of trade legislation and negotiation experience, having served in numerous trade-related roles in the public and private sectors. Prior to joining Holland & Knight, Ms. Fussell was the chief international trade counsel for the U.S. Senate Committee on Finance, serving under Chairman Chuck Grassley (R-Iowa).
