RECENT NOTABLE DEALS IN THE NEWS
Represented the Industrial and Commercial Bank of China (ICBC) as lender in Petróleos Mexicanos (Pemex) financing totaling US$8 billion, where ICBC acted as part of a syndicated lenders party. The transaction was divided into a senior unsecured syndicated term loan facility agreement for an amount up to US$2.5 billion and a senior unsecured syndicated revolving credit facility agreement for an amount up to US$5.5 billion. This transaction was recognized as “Syndicated Loan of the Year: Pemex” by LatinFinance’s 2019 Project and Infrastructure Awards.
Advised Fibra UNO, Mexico’s largest real estate investment trust, in connection with a US$1 billion dual tranche (U.S. dollars and Mexican pesos) five-year sustainability-linked revolving credit agreement. The syndicated facility complies with the LSTA’s Sustainability Linked Loan Principles and is the first of its kind for a Mexican borrower like Fibra UNO. This transaction was recognized as “Financing Innovation of the Year: Fibra Uno” by LatinFinance’s 2019 Project and Infrastructure Awards.
Advised Fibra UNO on its recent international offering of $650 million in senior notes. The issuance includes the reopening of up to $375 million at 4.95 percent yield to maturity, due in 2030, and $275 million at 6.25 percent yield to maturity, due in 2050. Both issuances were
issued in accordance with Rule 144A and Regulation S under the U.S. Securities Act of 1933. The successful offering was oversubscribed, exceeding the initial target amount of $500 million.
Represented the World Impact Foundation, a California nonprofit corporation that provides loans and grants to organizations that help lift people out of poverty, in a US $500,000 loan to Mexico’s Ecoblock International.
Represented Mitsubishi Union Bank, N.A., and TMF Group, which acted as collateral agents in the US$8.7 billion financing of Engie’s acquisition of TAG, Brazil’s largest gas pipeline company. The transaction was named the “Oil & Gas Financing of the Year” at LatinFinance’s 2019 Project and Infrastructure Awards.
Advised Telefónica Group on the global sale and multijurisdiction transaction of its data centers to Asterion Industrial Partners, a Pan-European infrastructure fund manager. The transaction included 11 data centers for 550 million euros (about US$616 million) with the installed service capacity of 29 MW located in seven countries: Argentina, Brazil, Chile, Spain, Mexico, Peru, and the United States.
Advised Telefónica, S.A., in connection with an unprecedented wholesale long-term deal with AT&T in Mexico. Telefónica will realize savings in the amount of US$254 million per year.
