Advised UMB Bank N.A. (Nasdaq: UMBF) in connection with the financing of the acquisition of 13 power plants currently owned by Spanish multinational electric utility Iberdrola S.A.; the assets were purchased by an acquisition trust managed by Mexico Infrastructure Partners FF S.A.P.I. de C.V.; the deal, worth approximately $6 billion, was awarded as Infrastructure Financing of the Year: Latin America and Power Financing of the Year by Latin Finance magazine
Represented Banco Actinver, Institución de Banca Múltiple and Grupo Financiero Actinver, acting solely and exclusively as trustee for Fibra Uno, in connection with a dual-tranche notes offering worth an aggregate amount of $800 million; the offering consisted of $500 million of 7.7 percent senior sustainability-linked notes due in 2032 and $300 million of 8.25 percent senior sustainability-linked notes due in 2037
Advised Fibra UNO on its recent international offering of $650 million in senior notes; the issuance includes the reopening of up to $375 million at 4.95 percent yield to maturity, due in 2030, and $275 million at 6.25 percent yield to maturity, due in 2050; both issuances were issued in accordance with Rule 144A and Regulation S under the U.S. Securities Act of 1933; the successful offering was oversubscribed, exceeding the initial target amount of $500 million
Assisted the United Nations High Commissioner for Refugees (ACNUR) on various projects, including the drafting of legal guidelines regarding the deportation of Mexican children and teenagers; our collaboration has focused on ensuring the protection of vulnerable individuals and advocating for their rights in complex legal situations
Represented Mexico’s Instituto del Fondo Nacional para el Consumo de los Trabajadores (FONACOT), a government consumer lending agency for workers, on its issuance and placement of $190 million on the Mexican Stock Exchange; the bonds are rated AAA by HR Ratings and Fitch Ratings, reflecting FONACOT’s solid financial standing and the market’s confidence in its mission
Advised Telefónica Group on the global sale and multijurisdictional transaction of its data centers to Asterion Industrial Partners, a Pan-European infrastructure fund manager; the transaction included 11 data centers for 550 million euros (about $616 million) with the installed service capacity of 29 megawatts located in Argentina, Brazil, Chile, Spain, Mexico, Peru, and the United States
Currently represent Woodside Energy in legal and regulatory matters related with the TRION Project, located in the deepwater of the Gulf of Mexico, with an estimated value of $7.2 billion
