» We represented NOP 1001 Fourth LLC, an entity controlled by CommonWealth Partners, in connection with the $387 million sale of the Class A office building Safeco Plaza to Seattle SC Plaza 2 LLC, an entity owned by various Korean investment funds. Safeco Plaza is a 50-story skyscraper located in downtown Seattle, Washington. The sophisticated disposition included the negotiation of several holdback agreements to complete tenant improvement obligations and the navigation of real estate investment trust (REIT) restrictions relating to Korean investment funds.

Firm Negotiates $86 Million Sale of Potrero Power Plant Site for Redevelopment

» We represented NRG Potrero LLC as seller of an approximately 21-acre development site in San

Francisco, California, to California Barrel Company LLC. The site of the former Potrero Power Plant, which closed in 2011, is expected to be developed as a mixed-use project for housing, commercial and retail uses, as well as several acres of public parks. Transaction complexities included negotiation of a complicated environmental insurance product to ensure remediation of the site.

Pacific Western Bank Loans $42.4 Million for Mixed-Use Santa Ana Housing Development

with a $42.4 million construction loan to the developer of a 228-unit apartment project with 4,000 square feet of retail space in Santa Ana, California. The loan was made to The Line SA Investors LLC, an affiliate of LaTerra Development LLC. The project, called The Line at Santa Ana, will be a

3.9-acre, mixed-use development with ground-floor retail space and a 2,200-square-foot fitness center overlooking a 60-foot, resort-style pool with deck and clubroom. Plans also call for a rooftop lounge with barbecue stations, an outdoor theater and a view of Disneyland fireworks.

A&J Capital Investment Structures $306 Million in Commitments Under EB-5 Immigrant Investor Program

Sacramento CFD Issues $20 Million in Mello-Roos Bonds for K. Hovnanian Development

» We represented K. Hovnanian at Westshore LLC, an affiliate of Hovnanian Enterprises Inc., as master developer in

connection with the issuance of $20 million in Mello-Roos special tax bonds by the City of Sacramento Natomas Central Community Facilities District No. 2006-2. Bond proceeds will be used to finance certain governmental fees and public infrastructure, including utilities and road construction, required in connection with our client’s residential development within the district. When completed, the Natomas Central development is expected to include approximately 1,770 single-family dwelling units dispersed over 184 acres, approximately 560 high-density residential units dispersed over approximately 30 acres, an elementary school, a fire station and a recreation center.

Holland & Knight Helps Clients Access Bond Moneys from CSCDA The California Statewide Communities Development Authority (CSCDA) was created in 1988 under California’s Joint Exercise of Powers Act to provide the state’s local governments with an effective tool for financing community-based public benefit projects.

» We represented developer SDC Delta Coves LLC in

connection with the issuance of $11.2 million in MelloRoos bonds by the CSCDA on behalf of its Community Facilities District No. 2016-02 (Delta Coves). Bond proceeds will be used to finance the infrastructure required for the construction of the Delta Coves residential development in Contra Costa County. The project is approved for 494 single-family detached homes, as well as 66 condominium and townhome units. Amenities are expected to include a saltwater lagoon and an approximately 4,500-square-foot yacht club/recreational facility.

Âť We represented developer University District LLC in connection with the issuance of $11.3 million in

Mello-Roos bonds by the CSCDA on behalf of its Community Facilities District No. 2015-01 (University District). Proceeds from this bond issue will be used by the developer to construct the infrastructure required for 399 single-family units in a development known as University District, located just north of Sonoma State University in Rohnert Park, California. When completed, the University District master-planned development is expected to include 1,236 single-family homes, 218 affordable multifamily units, 100,000 square feet of mixed-use commercial space, two public parks, two detention and water quality basins, as well as open space that includes two creeks, creek buffers and wetlands, all located on approximately 260 acres.

Richmond Successor Agency Entitles $113 Million Miraflores Community Housing Project

Âť Our West Coast Land Use and Environment Group helped the Successor Agency to the Richmond

Community Redevelopment Agency keep its dream of completing the Miraflores Community Housing Project alive. We provided wrap-around legal and government advocacy services on the project, helping to transform an environmentally blighted, but historically significant, cut flower nursery into a community asset. The project is planned to include 80 units of affordable senior rental housing, 190 units of mixed-income for-sale housing, and 7 acres of park and urban agriculture land. We helped secure more than $5.5 million in grant and low-cost loan funding for the project, addressed environmental and historic preservation issues with community members and the State of California, and negotiated two property transfer agreements with a nonprofit housing corporation and a for-profit developer.

Irvine Company Entitles 942 Apartment Units in Cupertino

Communities in successfully obtaining entitlements for The Hamptons, a redevelopment project in Cupertino, California, located on a 12.4-acre site adjacent to the new Apple Campus 2. The developer will redevelop an outdated apartment complex into a new 942-unit project containing a bicycle hub, as well as other bicycle and pedestrian improvements to facilitate connectivity with Apple Campus 2. Our representation included negotiating a key school mitigation agreement with the local school district.

American Realty Advisors/SVF Acquisitions LLC Acquires LEED Gold-Certified Foundry Square III Building in San Francisco

» We represented American Realty Advisors/SVF Acquisitions LLC

in connection with due diligence for the purchase of the property known as the Foundry Square III, located on Howard Street in San Francisco, California. Holland & Knight attorneys drew on knowledge and familiarity with San Francisco’s Transbay District to complete due diligence on an accelerated timeline. The 10-story, 291,093-squarefoot building is located just one block from San Francisco’s forthcoming $4.5 billion Transbay Transit Center. The building is LEED Gold-certified and features state-of-the-art building systems. It is

100 percent leased to tenants that include IBM, NASDAQ, Perkins Coie, Neustar and Silicon Valley Bank.

Institutional Family Partners Acquires Underutilized Parcels in Oakland for Mixed-Use Redevelopment

» We successfully conducted land use, environmental and real estate due diligence for equity investor Institutional Family Partners in

connection with its acquisition of underutilized surface parking lots in Oakland, California. The lots will be redeveloped by the Hanover Company as a mixed-use project called the Hanover Waverly Project, which is expected to include 225 market-rate residential units and 23,500 square feet of ground-floor retail space. Among other tasks, our attorneys helped the client address the transactional risk presented by a local union organization’s appeal of planning commission approvals to the city council, as well as a density transfer from a nearby landowner. 13 | www.hklaw.com

Holland & Knight Helps AG-CCRP Public Market LP Secure and Implement Approvals for Nation’s First Platinum LEED-ND Mixed-Use Project

 We represented AG-CCRP Public Market LP in connection with the ongoing redevelopment of an approximately 15-acre underutilized property into the nation’s first Platinum LEED-ND mixed-use community in Emeryville, California, which will be facilitated by the

relocation of a city street. The community is planned to include 680 units of mixed-income housing, community-serving retail and restaurants, a grocery store and a park. Among other successes in 2016, we secured city approvals of a development agreement to vest development rights, the final parcel-specific design approvals, and park and infrastructure agreements to increase the availability of land to construct housing and other uses. We also represented the client in the sale of parcels for residential development. For environmental clearances, we obtained authority from the California Department of Toxic Substances Control to develop residential use on historically impacted land where only commercial and industrial uses were permitted previously.

Kern County Approves Grapevine Specific and Community Plan Project for Tejon Ranch

Âť We represented Tejon Ranch Company in connection with CEQA compliance and obtaining required

entitlements for the Grapevine Specific and Community Plan Project, an 8,010-acre master-planned community in Kern County, California. The project will create a sustainable community that continues to preserve a vast amount of Tejon Ranch-owned lands, provides up to 12,000 residential units, expands economic opportunity, creates jobs in Kern County and provides convenient access to employment, shopping, parks, schools and housing for area residents. The Kern County Board of Supervisors unanimously certified the environmental compliance documents, adopted the Grapevine Specific and Community Plan, adopted a development agreement and approved related entitlements.

Holland & Knight Negotiates Leases for Former Oakland Army Base Holland & Knight has represented the City of Oakland for several years in connection with the redevelopment of the former Oakland Army Base.

» We represented the city, as lessor, in the negotiation and preparation of a complex long-term ground lease for an approximately 33.84acre development site known as West Gateway to Oakland Bulk and Oversized Terminal LLC, as tenant. This 66-year ground lease was the first ground lease successfully negotiated and prepared for the former 130-acre Oakland Army Base in accordance with the 2012 Lease Disposition and Development Agreement, which Holland & Knight also negotiated and prepared to guide redevelopment of the former base.

» We represented the city, as lessor, in the negotiation and preparation of another complex, 66-year ground lease for an approximately 16-acre development site known as CE-1 to Prologis Mesquite LLC, a Prologis company, as tenant.

» We represented the city, as lessor, in the negotiation and preparation of yet another complex, 66-year ground lease for an approximately 14.6-acre development site known as MH-1 to CCIG Oakland Global LLC, a California Capital & Investment Group company. This is the third ground lease (of an expected five) successfully negotiated and prepared by Holland & Knight.

Holland & Knight Negotiates Settlement Agreement Over Zoning Ordinance, Allowing Silicon Valley Manufacturing Company to Continue Operations

» Holland & Knight represented a Silicon Valley manufacturing company in its dispute with the local government over a proposed zoning ordinance that would have required the company to relocate or shut down a major facility. We negotiated a settlement agreement between the company and the local government to mitigate the adverse impact of a new ordinance directed at the company’s operations by extending the compliance period. The settlement agreement allowed the manufacturer, which employs more than 600 workers in that facility, to continue its operations.

Holland & Knight Represents Master Developer in San Francisco Pier 70 Mixed-Use Project

» We represent Forest City Realty Trust Inc., with respect to environmental, CEQA and public finance matters for

the Pier 70 mixed-use district project in San Francisco, California. The Port of San Francisco owns the 69-acre

Pier 70 site on the San Francisco Bay.

In April 2011, the port selected Forest City to act as master developer for a 35-acre project site, which includes 28 acres of Pier 70 and two adjacent parcels, and to initiate rezoning and development of design standards and controls for a multi-phased, mixeduse development. Our attorneys and Forest City worked with the San Francisco Planning Department to support the CEQA process and the preparation of an Environmental Impact Report (EIR). The draft EIR was published on Dec. 21, 2016. We are also helping to develop and implement a sophisticated public financing plan that includes the use of special district financing.

Holland & Knight Assists Carmel Partners with EIR for Oakland’s Jack London Square Development

» We represented developer Carmel Partners on

the preparation and adoption of an EIR to analyze the effects of a 330-unit, mixed-use residential development also containing 8,000 square feet of ground-floor commercial use on approximately 2.7 acres in the Jack London Square area of Oakland, California. The Oakland Planning Commission certified the EIR and approved the project in March 2016.

» We represented Ukpeagvik Iñupiat Corporation (UIC), a corporation formed to serve the needs of native Alaskans

following the passage of the Alaska Native Claims Settlement Act of 1971, in connection with transitioning the natural gas and electrical utility systems on UIC land at the Navy Arctic Research Lab area to the local utility in Barrow, Alaska, and the North Slope Borough. The agreement ends a 40-year effort to allocate ownership and responsibility for the utility system after UIC took ownership of its current lands.

Holland & Knight Represents Native American Tribe in Landmark Agreement for Hoover Dam Power

» For the first time ever, Native American tribes became eligible to receive power from the Hoover Dam when Congress enacted the Hoover Power Allocation Act of 2011. On behalf of one of our client tribes, we negotiated the terms and conditions of electrical service with the Western Area Power Administration and U.S. Bureau of Reclamation, along with 50 eligible allottees of Hoover Dam power, for a 50-year contract. We completed negotiations with the federal agencies and all 50 allottees, and the parties executed the contract in 2016.
