A Groundbreaking Venture in Logistics
The ItalianCham Issue No. 22 delves into the heart of the logistics industry, perfectly timed with the highly anticipated Spediporto mission This initiative marked a groundbreaking venture for Italian logistics companies to explore the vast potential of the Greater Bay Area (GBA). In partnership with Deloitte, from May 27th to May 31st, a distinguished delegation of entrepreneurs, institutional representatives, and experts from Genoa and the Liguria region embarked on an intensive five-day journey to Hong Kong, Shenzhen, and Guangzhou.
Exploring New Horizons
The mission targeted various stakeholders including the Municipality of Genoa, the Genoa Airport Authority, the Consorzio Ligure GOAS, Spediporto, and numerous companies in the logistics sector. Through tailored meetings, the delegation engaged with local counterparts, laying the groundwork for future collaborations Participants had the opportunity to connect with both Italian and local institutions, as well as airport and port authorities This interaction was crucial for establishing preliminary contacts and reinforcing existing relationships, particularly with the city of Guangzhou. The mission also supported local participants in meeting companies active in the logistics, digital, and aviation sectors, with the aim of developing the cargo area of the Genoa Airport and establishing mutually beneficial B2B relationships
Day 1 - May 27th: A Warm Welcome in Hong Kong
The mission kicked off in Hong Kong with a warm welcome from H.E. Mr. Algernon Yau, JP Secretary for Commerce and Economic Development, and Mr Carmelo Ficarra, the Italian Consul General in Hong Kong and Macao. The delegation also had the privilege of meeting H.E. Mr. Christopher Hui, Secretary for Financial Services and the Treasury. The day concluded with a delightful dinner at the China Club, hosted by the Consulate General of Italy in Hong Kong and Macao, setting a positive tone for the rest of the mission

In Guangzhou, the delegation visited the Guangzhou-Nansha Port Authority and met Mr Lyu Wei, Deputy Director of the Nansha Port. This visit underscored the importance of the Genoa-Nansha relationship as a gateway to Europe. An institutional lunch with Mr. Valerio De Parolis, the Italian Consul General in Canton, further solidified these ties. The delegation continued their engagements with another round of B2B sessions at the Guangzhou International Cooperation Center, fostering deeper connections with local businesses.
Day 4 - May 30th: Discovering Innovations in Logistics
Returning to Hong Kong, the delegation explored logistics in the Greater Bay Area through insightful talks by Mr Fabio Brassesco and Mr. Stefano Pieriboni of Interglobo Far East. An engaging presentation from Riccardo Fuochi of One Logistics Group followed. The delegation then engaged in a series of B2B meetings with local Hong Kong counterparts, discovering new opportunities for collaboration. Their visit to the Hong Kong Center for Logistics Robotics and the Hong Kong Science Park provided a glimpse into the future of logistics technologies, showcasing cutting-edge innovations.

The mission concluded on a high note with a visit to Modern Terminals, the second-largest container terminal in Hong Kong. The Spediporto Mission was a resounding success, opening numerous avenues for collaboration and innovation in the logistics sector

Celebration of Italian Excellence and Culture
On June 5th, The Consulate General of Italy in Hong Kong and Macau celebrated the National Day with a concert performed by the ‘Women Orchestra’, conducted by Director Alessandra Pipitone, together with Maria Francesca Mazzara, a renowned Italian Soprano, with an audience of more than 700 Italian nationals and friends of Italy from the local community. The evening was graced by the presence of the Italian Ambassador to China, Mr. Massimo Ambrosetti, and Mr. Paul Chan, Financial Secretary of Hong Kong.
“On the day that marks the celebration of the referendum in which Italian women voted for the first time in the history of Italy, Women Orchestra’s concert not only made it an occasion to enhance the Italian artistic and musical heritage but also to promote, through culture, important issues such as equal opportunities, mutual respect and equality,” said Consul General Carmelo Ficarra during his speech
Noting that Hong Kong and Macau are home to the second largest Italian community in China and a large number of businesses operating in various sectors, Consul General Ficarra emphasised that bilateral relations between Italy and Hong Kong are solid and continue to develop rapidly, in tune with the many opportunities offered by the local market thanks also to the unique role of Hong Kong and Macau in the Greater Bay Area.

The people. There are so many different facets to this business and the fascinating people that we’ve met along the way have been remarkable. Numerous bold, compelling and unassuming stories have been shared during networking events and many of these like-minded people have now become wonderful friends.
Tell us about a successful project that Izsel runs.
In February 2024 IZSEL was given a prestigious opportunity to launch and showcase our rain boots at the MICAM Trade Show in Milan. It was an incredible experience and one where we could display our products on a world stage, liaise and collaborate with other brands, as well as potential stockists and meet a huge realm of people related to the industry. We built relationships that we treasure and plan to return in 2025.
DRIVING SUSTAINABLE SUPPLY CHAIN PRACTICES IN ASIA FORWARD

Did you know that transport emissions, the greenhouse gasses (GHGs) released from vehicles, ships, planes, trains, and other modes of transport, account for up to 20% of global GHG emissions? The emissions could surge by 60% by 2050 if no action is taken The logistics sector, including shipping, warehousing, and distribution, is one of the top four global emissions sources, alongside electricity generation, industrial production, and agriculture Achieving zero GHG emissions in freight transport alone could reduce global emissions by around 11%. As Asia continues to experience a trade boom and growing transport demand, JAS Worldwide is committed to implementing sustainable practices in the logistics industry, across transport modes.
Asia, driven by population growth, urbanization, and economic development, continues to expand in global trade. This growth necessitates transporting more goods over longer distances, increasing energy use and GHG emissions The World Bank highlights that Asia accounts for approximately 40% of global transport emissions, a share likely to rise in the future due to the region's economic growth Reducing the environmental impact of supply chains and global logistics operations is necessary to enable sustainable growth and achieve ambitious climate targets.
As a global logistics service provider - JAS Worldwide and shippers can take significant steps to lower emissions and improve sustainability performance. For carriers, such as airlines and shipping companies, measures include investing in fuel-efficient vehicles and vessels and utilizing alternative fuels such as maritime biofuels or SAF or renewable energy sources. Together with customers JAS analyzes the emission footprint and reduction potentials to optimize their transport choices towards emission reduction, time, and cost optimization.
An effective measurement is the modal shift from air freight to sea freight, which can reduce emissions by up to 98%, depending on the transport distance and type of goods Air freight is the most carbon-intensive mode, emitting about 500 grams of CO per ton-kilometer, compared to about 10 grams for sea freight However, air freight is crucial for fast and reliable delivery of goods, especially for perishables, high-value, or urgent shipments JAS consults customers to keep a balance in speed, cost, and environmental impact when choosing transport modes
Optimizing route planning is another crucial measure Direct flights, for example, save time, money, and emissions compared to indirect flights For passenger travel a direct flight from Hong Kong to Milan emits about 1 9 tons of CO per passenger, while an indirect flight via Dubai emits about 2 1 tons assuming the use of a Boeing 787 economy class The logistics service providers help shippers assess their Scope 3 emissions, which are indirect emissions from external sources, and identify hotspots and improvement areas.
Collaborating for a Greener Future
Customers can further lower emissions by collaborating with the logistics service providers to choose low-carbon transport options and routes, consolidate cargo, and utilize carbon insetting and offsetting programs Partnering with the logistics providers allows customers to leverage their expertise, technology, and networks to achieve sustainability goals more effectively and efficiently

Over the past few years, Ferrari Group has crafted an Environmental, Social, and Governance Approach, propelling our journey towards sustainable value creation In today's world, the transport sector accounts for approximately one-quarter of greenhouse gas emissions, underscoring the urgency for action Mr Melchionni explains: “We actively engage in initiatives aimed at reducing our environmental footprint, collaborating closely with transport innovators to pioneer new solutions In densely populated urban areas across Asia, the pursuit of greener logistics in high-end services presents unique challenges and opportunities. The intricate web of infrastructure, coupled with congested roadways and limited space, demands innovative solutions to minimise environmental impact. Notably, our deployment of 30 electric vehicles throughout Asia marks a significant step towards minimising our environmental impact. Moreover, we advocate for an integrated decision-making process that considers various factors, such as route differentiation and means of transport, fostering a more sustainable and conscientious approach to value creation. While we are committed to expanding our electric drive fleet, we recognize that challenges persist: greenhouse gas emissions associated with electricity remain significant, and electric vehicles face limitations due to battery capacity constraints and range limitations. These limitations become greater in densely populated urban areas, such as those in Asia where the Ferrari Group operates. Nonetheless, we remain steadfast in our pursuit of innovative solutions, leveraging collaborations with organisations like EcoTransIT World to develop CO2 reports that facilitate environmental impact assessments and identify areas for improvement.”
Collaborative Partnerships: Fostering Sustainability in High-End Services
Acknowledging the formidable challenges ahead, Ferrari Group has intensified its partnerships with global actors reshaping the freight transportation industry Since 2022, Ferrari Group has actively participated in the Air France KLM Martinair Cargo Sustainable Aviation Fuel (SAF) Programme, a pivotal initiative aimed at reducing CO2 emissions in air transport Through this investment, Ferrari Group sourced 31 6 metric tons of SAF, resulting in an impressive 894% reduction in carbon emissions compared to conventional kerosene, equating to a significant carbon footprint reduction for the Group.
Additionally, in collaboration with Treedom, Ferrari Group has undertaken a commitment to plant 3000 new fruit and forest trees over the next three years. The agroforestry initiative started in 2023 and is currently ongoing: employees and stakeholders can monitor the Group’s forest online, and appreciate the support given to local farming communities, who become the true guardians of new trees. By adhering to the principles recommended by the Global Landscapes Forum, the Ferrari Group Treedom Forest aims to maximise carbon absorption, enhance water retention, mitigate erosion, and facilitate natural regeneration. This initiative underscores the Ferrari Group’s dedication to reducing CO2 emissions and supporting global environmental conservation efforts.
A policy of transparency: the fundamental role of reporting
Ferrari Group places a strong emphasis on reporting: fostering trust through transparent communication channels is key to the way the Ferrari Group does business The Group’s ESG efforts have been reported annually since 2019, and it has now embarked on a new chapter of its sustainability reporting journey The upcoming Sustainability Report 2023 has undergone a comprehensive audit conducted by an independent third party: in an ongoing commitment to transparency and accountability, the Ferrari Group has chosen to enlist the expertise of an external auditor to thoroughly examine its sustainability practices and performance. This allows the Group to be accountable and responsible for the way they create value for clients, stakeholders, and local communities.

Mr Melchionni highlights tangible improvements in the Ferrari Group’s facilities: “Notably, five of our facilities in Asia have attained ISO 14001 certifications, demonstrating our commitment to environmental stewardship Additionally, one of our warehouses has achieved the LEED Platinum certification, underscoring our dedication to sustainable building practices In 2024, we introduced a comprehensive waste tracking and monitoring approach, enabling us to better manage waste production and ensure compliance with regulatory standards across all our operations, particularly in Asia ”

B Corp certification is issued by B Lab, an international organization that measures corporate environmental and social performance according to the standards established by the B Impact Assessment (BIA); it reviews its analyses every three years and issues re-certifications. In 2024 illycaffè obtained a score of 90 4, a significant improvement over its 2021 certification

In order to protect environmental resources, illycaffè has continued to improve its performance in crucial sectors such as energy efficiency, the mitigation of emissions, the promotion of regenerative agriculture, the optimization of water resources and materials, and the application of a circular economy model by reducing waste and generating positive environmental impacts, including through the establishment of strategic partnerships. In 2023 the company cut its energy consumption by 12.9% and 95.5% of the electricity it used came from renewable sources (+19.2 percentage points compared to 2022). This was made possible thanks to constant improvements along the production chain, such as the development of a new software for coffee roasting machinery that cut consumption during stand-by phases by 20%.
The responsible supply chain created by the company through effective collaborative efforts with its suppliers is a key part of illycaffè's development strategy. Ambitious targets such as Net Zero can only be achieved through effective collaboration with suppliers. Over the past twenty years, the phenomenon often referred to as “the Rise of Asia Middle Classes” has generated enormous interest across governments, academia, and businesses In this article, I share some observations on the business perspective The lens that I use is that of the financial services industry (“FSI”)
The middle class in Asia is expanding at an extraordinary rate Deloitte's studies reveal that by 2030, Asia will be home to nearly two-thirds of the global middle class Countries such as China, India, Indonesia, and Vietnam are at the forefront of this transformation
The obvious characteristic of the middle classes is the availability of a higher disposable income that puts the household above poverty The range of disposable income and personal wealth that economists consider to be representative of the middle classes is wide These economic facts make the middle-class consumers a key segment for all FSI businesses, which would help them through banking products to spend and save, through insurance products to protect and prepare for retirement, and through investment management services to manage and grow their wealth
The impact of COVID-19 on the estimated 2 billion Asian middle-class members during 2020-22 has been significant The high number of Asian middle-class households that were in the lower end of the disposable income range that defines it, meant that many consumer incomes have suffered The economic rebound that followed the severe impact of COVID-19 has enabled the recovery across several Asian markets This has stimulated the demand from middle-class consumers for financial products that would improve household balance sheet management Middle-class consumers appear to have evolved their demand for financial services products that build on the experience of overcoming the impact of COVID-19 This demand was also influenced by the rising levels of interest rates and inflation that coincided with Asia exiting from the period when COVID-19 impacted Asian economies the worst
With increased wealth comes the need for protection against risks COVID-19 has sharpened this need The demand for insurance products, including life, health, and property insurance, is surging Deloitte notes that there is a particularly strong interest in health insurance as rising healthcare costs become a major concern for middle-class families Insurance companies are therefore tailoring their products to meet the specific needs of this demographic, offering flexible and comprehensive coverage plans
Middle-class consumers demand financial services products that can be accessible through digital channels The limited mobility during COVID-19 has increased the convenience value of products that could be accessible from home against those that were not “Mobile first” product design is a non-negotiable element for all FSI businesses in supplying their services to Asian middle-class consumers The integration of AI and machine learning can provide personalised investment advice, catering to the specific needs and risk profiles of middle-class consumers
Deloitte's insights on cloud banking highlight the shift towards digital-first strategies, enabling banks to offer seamless, userfriendly experiences through mobile and online platforms Moreover, the rise of digital banking is bridging the gap between traditional financial institutions and underserved populations By providing digital access to banking services, financial institutions can reach remote and rural areas, fostering greater financial inclusion and empowering more people to participate in the formal economy.
The recent recovery in disposable incomes has also triggered an evolution in the consumer financing needs of middle-class consumers Deloitte collected data that reveals that consumers have been resilient, and spending went up after the initial shock of the COVID-19 pandemic and it has now returned to a pre-pandemic level in most Asian markets However, household debt has also increased during COVID-19 and that means it will stay elevated in the near to medium term calling middle-class households for solutions that would help them achieve a degree of deleveraging while returning to levels of consumption that are commensurate to pre-pandemic.
The age profile of Asian middle-classes is varied This presents FSI businesses with the opportunity to make their strategies more targeted to the demographic structure of the different components of this vast segment of the Asian population The trend towards a more aged population in China and northern Asian markets is contrasted by the different dynamics observed in India and southern Asian countries These evolving demographics should be considered along the first material generational wealth transfer that the ageing of such a large segment of Asian population has already started
While the opportunities are significant, financial institutions must navigate several challenges to effectively serve the Asian middle class:

Updated Company Law in China:
Essential Insights for Foreign-Invested Enterprises
On December 29, 2023, significant amendments to China's Company Law were enacted by the National People’s Congress, with implementation set for July 1, 2024. These changes bear critical implications for both existing companies and new market entrants in China
To protect the company and creditors’ interest, new rules are introduced to ensure shareholders pay up their full capital contribution. Article 54 allows creditors and management of the company to demand immediate payment of any unpaid capital contributions if the company faces insolvency
Additionally, there are penalties for non-disclosure of capital information. Companies must now disclose their capital registration through the National Enterprise Credit Information Disclosure System, detailing the amount, method of contributions, and shares subscribed. Failure to comply can attract fines ranging from RMB 10,000 to RMB 200,000.
Transfer of Equity
Company Capital and Shareholder Contributions
Understanding these modifications is crucial for compliance and optimizing strategic operations within the Chinese business landscape
Under the new Article 47, all shareholders of a Limited Liability Company (LLC) are required to fully pay their subscribed capital within five years of the company's establishment This represents a shift from the previous flexibility in the 2018 law where shareholders could set their own timelines in their Articles of Association
For companies established before this new mandate, there's a three-year grace period until June 30, 2027, to adjust to these new requirements, ensuring that all capital contributions are scheduled for five years or less from July 2027, unless already compliant The alterations are designed to streamline corporate operations, safeguard shareholders, and enhance regulatory compliance, all while maintaining a competitive business environment in one of the world's largest economies
Significant changes under Article 84 now facilitate the transfer of equity interests If an LLC shareholder wishes to transfer their equity to someone outside the existing shareholders, the prior requirement for majority shareholder approval has been removed Instead, shareholders are simply notified, and if there is no response within thirty days, their right of first refusal is considered waived.

The updated law introduces more flexibility in the types of shares a company can issue, such as preferred shares, subordinate shares, and shares with special voting rights This change provides companies, especially listed ones, greater leeway in managing their capital structure.

Articles 83 and 133 provide smaller-scale companies greater flexibility in corporate governance by allowing them to choose not to appoint a board of supervisors, instead possibly appointing a single supervisor or none at all For corporate oversight, an audit committee within the board of directors can be established under Articles 69 and 121 to fulfill these supervisory functions
There’s an expanded scope for shareholder rights, particularly around accessing financial and operational documents This includes the right for LLC shareholders to inspect company accounting vouchers, a step further than the previously allowed access to accounting books
Legal Representatives
With Article 10, the designation of legal representatives in small companies is broadened to include any director or general manager who manages company affairs, diverging from the previous limitation to specific executive roles. This amendment facilitates greater flexibility in appointing key operational roles within foreign-invested enterprises
Board Resolutions
Changes to decision-making processes are clarified under Articles 116 and 124, with new stipulations that shareholders' meetings resolutions and board of directors' resolutions must pass with a majority of voting rights and directors, respectively This ensures clearer governance and decision-making protocols
Company Deregistration and Liquidation
The newly added Chapter 2 in the Company Law outlines streamlined processes for company registration, changes, and deregistration.
Simplified deregistration procedures are available to companies without debts or those that have settled all debts and it requires unanimous agreement from all shareholders. Deregistration should be announced via the National Enterprise Credit Information Disclosure system with a minimum announcement period of 20 days If no objections are received, the company can apply to cancel the company registration within 20 days after the announcement period
The Forced Deregistration Mechanism targets "zombie companies" that remain legally active but are non-operational Triggered by Article 241, it applies to companies failing to liquidate within three years after their business license is revoked The deregistration process begins with a public announcement from the company registration authority, followed by a 60-day response period If no objections are received, the company’s registration is cancelled Despite deregistration, the responsibilities of shareholders and liquidators remain unchanged, ensuring accountability for any remaining liquidation duties.
Context of the Foreign Investment Law
Since its introduction in 2020, the Foreign Investment Law (FIL) has unified the regulatory framework for foreign-invested enterprises (FIEs) in China, including wholly foreign-owned enterprises and joint ventures, under the PRC Company Law. Existing FIEs established before January 2020 have until December 31, 2024, to align with the new law, while those established afterwards must comply by July 1, 2024 FIEs are advised to consolidate changes, such as updating external equity and legal representatives, in a single effort to simplify compliance

On May 28th, Hong Kong hosted the internationally renowned architect and designer Michele De Lucchi, who presented a lecture entitled The Equation, organized by the Hong Kong Design Institute and Novalis Art Design Gallery with the support of the Italian Cultural Institute and the Consulate General of Italy in Hong Kong and Macau.
The lecture examined the fundamental steps of the creative experience of a figure who has been one of the main protagonists of decisive aesthetic movements for the Italian design and architectural scene of the last forty years: from joining the great “Radical season” to the foundation, under the guidance of Ettore Sottsass, of the Memphis group, who defined the new aesthetics of the 80s and revolutionized the approach to product design. Passing through the creative process which underlies the conception and design of buildings and products that have marked the identity of the Made in Italy architecture and design, such as the headquarters of the Triennale in Milan, the Palazzo delle Esposizioni in Rome and the Pulcina coffee maker by Alessi, Michele De Lucchi finally introduced the new concept of the Earth Stations, conceived together with the collaborators of the AMDL Circle studio as the main focus of the conference
De Lucchi's research is of an innovative aesthetic kind, an investigation that evolves from the Earth Stations project and materializes in the equation A=EI(Q) – Architecture=Environmental Installations (Quotient) defining a new attitude, a new philosophy of human intervention on nature A paradigm that places emphasis on the relationship between the need to work on environmental installations and the human factor of change A balance between man and nature, in which the variable "Q", represented and defined by the designer, is the fundamental element that gives meaning to the project and measures the responsibility and the social role of the architect

Integration of Art between China and the West in the 18th-19th Centuries
The exhibition features over 300 pieces, including export paintings and works in the style of George Chinnery, sourced from the Macao Museum of Art, Guangdong Museum, and Hong Kong Museum of Art Through three different perspectives – painting style, painting skills, and painting materials – the exhibition unveils the visual dialogue and integration between China and the West, which were brought about by local and foreign artists in the Pearl River Delta area during the 18th and 19th centuries.
