ABOUT THE INSTITUTE
Institute of Chartered Secretaries of Bangladesh (ICSB)
Institute of Chartered Secretaries of Bangladesh (ICSB) was established under an Act of Parliament i.e. Chartered Secretaries Act 2010 is the only recognized professional body in Bangladesh to develop, promote and regulate the profession of Chartered / Company Secretaries in Bangladesh.

The Institute was initially established under a license from the Ministry of Commerce in 1997 as the Institute of Chartered Secretaries and Managers of Bangladesh (ICSMB) and subsequently was converted to Institute of Chartered Secretaries of Bangladesh (ICSB). The affairs of the Institute of Chartered Secretaries of Bangladesh (ICSB) are managed by a Council consisting of thirteen elected members and five nominees of the Government. President is the head of the Institute. The major contribution of a Chartered Secretary is in the corporate sector. Chartered Secretary is a requisite qualification to become a Company Secretary. Company Secretary is an important professional, aiding the efficient management of the corporate sector. Company Secretary is a Statutory Officer under the Companies Act 1994. According to Bangladesh Securities and Exchange Commission (BSEC) all the listed companies should have a Company Secretary. Company Secretary is the compliance officer of the company, who has to interact, coordinate, integrate and cooperate with various other functional heads in a company.

Report of the Council Dear Members, On behalf of the Council of the Institute of Chartered Secretaries of Bangladesh (ICSB) I welcome you all to the 8th Annual General Meeting (AGM) of the Institute. Pursuant to Regulation 8(2) of the Chartered Secretaries Regulations 2011, the 3rd Council of the Institute of Chartered Secretaries of Bangladesh (ICSB) is pleased to present its 8th Annual Report together with the Audited Accounts and the Auditor’s Report thereon, for the year ended December 31, 2017. COUNCIL AND COMMITTEES
Mr. Md. Mosharraf Hossain was replaced by Mr. Md. Zakir Hossain, Registrar (Additional Secretary), Registrar of Joint Stock Companies & Firms, GoB. The Council also recall with gratitude Mr. Md. Mosharraf Hossain’s valuable input towards the development of the Institute. Key Achievements The key achievements of the year 2017 were: •
Initiative taken to arrange adequate funding from the Government for the development activities of the Institute.
•
Due to relentless efforts and persuasion by the Council during the year under review, the Government has increased its funding to a great extent. Budget allocation from the Ministry of Commerce increased from the FY 2016-2017 Tk 19.50 million to Tk. 20.87 million for the FY 2017-2018.
•
Successfully holding of ‘4th ICSB National Award for Corporate Governance Excellence 2016’ where Hon’ble Minister for Commerce Mr. Tofail Ahmed MP was present as the Chief Guest and 22 listed companies were awarded. It created tremendous awareness about the profession of Chartered Secretaries in the corporate world of Bangladesh.

Conducted two CPD programmes by the Professional Development Sub Committee for the development of the Members.
•
Conducted four Training Programmes and two Workshops by the Executive Committee.
•
Inducted thirty-one new Members as Associate Members and eighteen Associate Members were elevated as Fellow Members.
•
Comprehensive feedback and suggestions were given to the Ministry of Commerce (MoC) for inclusion in the New Companies Act 2017.
•
Conducted scheduled periodic examinations and coaching classes.
•
Celebrated 20th Anniversary of ICSB at BICC. Mr. Tofail Ahmed MP, Minister for Commerce, GoB graced the occasion as the Chief Guest and Mr. Shubhashish Bose, Secretary, MoC attended as Special Guest.
ACTIVITIES OF THE COUNCIL This Report is for the second year of the three years tenure of the third Council which took the responsibility of the Institute on October 5, 2016. In accordance with the Chartered Secretaries Act 2010, the tenure of the present Council will expire on October 4, 2019. Detailed activities of the Institute for the year 2017 is stated below: Council Meetings and Attendance During the year under review, five Council Meetings were held. The attendance report of the Council Meetings have been shown in Annexure 1.

A good number of Meetings of the Standing Committees and other Sub-Committees were held during the year for discharging their activities. The number of Meetings held by the Standing Committees have been shown in Annexure I. Changes in the Council Mr. Md. Ekhlasur Rahman, Additional Secretary, Ministry of Finance, GoB and Mr. Md. Atiqur Rahman Khan, Registrar (Additional Secretary), Registrar of Joint Stock Companies & Firms, GoB, were replaced. The Council recalls with appreciation their contribution towards the development of the Institute. Mr. Mohammad Abu Faruque, Joint Secretary, Ministry of Finance, GoB and Mr. Md. Mosharraf Hossain, Registrar (Additional Secretary), Registrar of Joint Stock Companies & Firms, GoB, joined the Council during the year. Subsequently
Organized a Workshop on ‘Retail Investors Education and Protection’ to celebrate the World Investors Week (2-8 October). Prof. Dr. M. Khairul Hossain, Chairman, Bangladesh Securities & Exchange Commission (BSEC) graced the occasion as the Chief Guest.

Comprehensive feedback and suggestions were given to the Chairman, Bangladesh Securities and Exchange Commission (BSEC) for updating the Corporate Governance Guideline.
•
Celebrated the Recognition of 7th March Speech of the Father of the Nation Bangabandhu Sheikh Mujibur Rahman in ‘the Memory of the World International Register’ as the ‘World’s Documentary Heritage’ declared by the UNSECO.
•
Undertook relief operations among around 100 affected families at village Khidrochapri, Bilmohisha and Jangalia Char areas of Sirajganj district which were severely affected by the recent devastating flood.
•
Promoted cultural interactions through organizing events like Celebrating International Mother Language Day, National Independence Day, National Victory Day, Annual Picnic, Iftar Party and Anniversary of Enactment of Chartered Secretaries Act 2010, etc.
•
Created awareness in the Leaders of the country about the profession of Company Secretary through Meeting with the Commerce Minister, Commerce Secretary, Chairman Parliamentary Standing Committee for Ministry of Finance, Chairman of National Board of Revenue (NBR), Chairman of Financial Reporting Council (FRC), Chairman of Bangladesh Securities and Exchange Commission (BSEC), Financial Management Specialist of World Bank, Managing Director & CEO of DBBL and other distinguished persons.
ENROLLMENT OF STUDENTS In the Winter Session (January-June) 2017 (39th Batch) as many as 139 students were enrolled and in the Summer Session (July-December) 2017 (40th Batch) it was 131. On the other hand during the year 2016 it was 120 for Winter Session and in the Summer Session it was 129. The number of students of the Institute in the year 2017 registered to a total of 270.
ORIENTATION PROGRAMME OF THE NEWLY ENROLLED STUDENTS OF CHARTERED SECRETARY COURSE
The Orientation Programme for the 39th and the 40th Batches of Chartered Secretary students of ICSB were arranged at the Campus of the Institute on February 11, 2017 and July 29, 2017. Mr. Mohammad Sanaullah FCS, President of the Institute formally inaugurated both the Programmes and welcomed and appreciated the new students. He then highlighted the CS Profession as a challenging and rewarding profession in the contemporary socio-economic condition of the country.
Mr. Safiar Rahman FCS, Chairman, Education Committee, delivered the address of welcome. Mr. Mohammad Bul Hassan FCS, Senior Vice President, Mr. Md. Selim Reza FCS, Vice President, Mr. A.K.M. Mushfiqur Rahman FCS, Council Member and Mr. Salim Ahmed FCS, Council Member of the Institute also spoke on the occasion while Mr. Nazmul Karim FCS, Treasurer of ICSB offered vote of thanks. COACHING CLASSES The ICSB coaching classes are an important part of the educational programme. In 2017 both the shifts were in operation like the previous year. The coaching classes were conducted in the Institute’s premises covering all five levels of the prescribed course.

A Foundation Level Course which was introduced in July, 2013 for the students of non-business background continued with more intensity and importance to offer introductory knowledge on Corporate Management. The faculty consists of the senior members of the Institute as well as professionals and members of the relevant disciplines and cadres.
Internal Audit and Control Environment
MANAGEMENT DEVELOPMENT PROGRAMME Under management development programme, the Institute conducted following training programs to develop the grass root of the corporate management during the year. Management of Provident Fund, Profit Participation Fund and Gratuity Fund
A 4 days long Training Programme on ‘Internal Audit and Control Environment’ was arranged at the training room of the Institute from September 17 to September 21, 2017. A good number of participants from different professional organizations participated in the training programme. Mohammad Sanaullah FCS, President of ICSB inaugurated the programme and said that the internal audit brings a systematic and disciplined approach to evaluating and improving the effectiveness of risk management, control and governance process. Internal auditing is an independent objective assurance and consulting activity designed to add value and improve an organization’s operations. WORKSHOP AND SEMINAR
This Training Programme was arranged at the training room of the Institute from 4 to 8 May, 2017. A good number of participants from different professional organizations participated. Mr. Mohammad Sanaullah FCS, President of the Institute summed up the programme and distributed certificates among the participants.

A good number of participants from different professional organizations participated in the training programme. Mr. Mohammad Sanaullah FCS, President of the Institute summed up the programme and distributed certificates among the participants.
ICSB organized a workshop on Reforms of Companies Act-1994 on July 22, 2017 at Bangabandhu International Conference Center (BICC). Mr. Shubhashish Bose, Hon’ble Secretary, Ministry of Commerce, GoB chaired the session. Mr. Mohammad Sanaullah FCS, President of the Institute presented the keynote paper. The official discussants of the keynote paper were Mr. AKA Muqtadir FCS, Past President of ICSB, Mr. N.G. Chakraborty FCS, Past Vice President of ICSB, Mr. Mohammad Asad Ullah FCS, Immediate past President of ICSB, Mr. M. Naseemul Hye FCS, Past Sr. Vice President of ICSB and Mr. S. Abdur Rashid FCS, Past Council Member of ICSB.

Formation of new company within shorter period/ twenty-four hours;
2.
Mandatory provision for appointing a Company Secretary in a Company having capital of more than Taka five crores;
3.
Provision should be made for Secretarial Audit to ensure compliance by the companies to the regulatory directives and governance issues;
4.
Government Companies should be treated as per like other companies and be subject to similar compliance standards;
5.
Regular filing should be made easy, efficient and cost effective. Non-filing of documents or incorrect disclosures should be dealt with seriously. Delays should be penalized through non-discretionary late fee related to the period of default. There should be a system of random scrutiny of filing of corporate body to be carried out by the registration authorities.
6.
A Company law Tribunal should be established consisting of 4 members for relieving High Court’s burden.
7.
Aligning Central Depository System and covering various reports and returns for Registrar of Joint Stock Companies and Firms.
8.
Reforms of Companies Act will be the most extensive reform to react to future development.
9.
The Companies Act should, as far as possible, allow the maximum flexibility to use future technology.
Workshop on ‘Retail Protection’
Investors
Education
and
ICSB in collaboration with Dhaka Stock Exchange Limited (DSE) organized this workshop on October 7, 2017 at TCB Auditorium, Karwan Bazar, Dhaka to commemorate the World Investors Week (2-8 October, 2017). Prof. Dr. M. Khairul Hossain, Chairman, Bangladesh Securities & Exchange Commission (BSEC) graced the occasion as the Chief Guest while Prof. Dr. Swapan Kumar Bala, Mr. Md. Amzad Hossain and Prof. Md. Helal Uddin Nizami, Commissioners of BSEC graced the occasion as the Special Guests. Mr. Mohammad Sanaullah FCS, President of the Institute chaired the session. The Keynote paper was presented by Mr. K. A. M. Majedur Rahman, Managing Director, Dhaka Stock Exchange Ltd. Appreciating the timely initiative of ICSB, the Chief Guest in his speech mentioned that Bangladesh as one of the members of International Organization of Securities Commissions (IOSCO) is celebrating the World Investors Week, 2017 for the first time. The main objective of this programme is to create awareness and enlighten our small investors about the risks and protection of the share markets before investing. Mr. Mohammad Sanaullah FCS, President of the Institute mentioned that this workshop would help to raise consciousness of the retail investors. The Keynote paper presenter Mr. K. A. M. Majedur Rahman put a precise global interexchange comparison vis-à-vis inter country comparison. The official discussants of the session were Mr. M. Naseemul Hye FCS, Past Sr. Vice President of ICSB and Mr. Hossain Sadat FCS, Past Council Member of ICSB. A large number of Professionals, Qualified Chartered Secretaries and Corporate Executives from leading corporate houses of Bangladesh also attended the programme. MEMBERS’ AFFAIRS Qualified Chartered Secretaries As of reporting date, there are 520 Chartered Secretaries who have qualified in the Final Examinations in the last 37 batches and out of them 458 have completed their internships, of which 438 have since been admitted as Associate Members. The cases of remaining 82 are at different stages of processing and are expected to be registered as Member very soon.

Mr. Mohammad Sanaullah FCS, President of the Institute along with Mr. Md. Azizur Rahman FCS, Council Member and Chairman, Seminar & Conference Sub Committee met with the newly Qualified Chartered Secretaries (QCS) of the Institute on July 16, 2017. The President of the Institute congratulated the QCS and advised them to be more sincere in every steps of life and stressed on the importance of ethical standard for a true professional. He also advised them to seek guidance from the Council and Senior Fellow Members. In addition he added that the career opportunity for them should be their inspiring force and in the approach of their professionalism CPD is must.

Mr. Md. Azizur Rahman FCS in his speech congratulated the QCS and discussed the significance of Company Secretaries to establish Corporate Governance and Corporate Expectation from the New Generation of management personnel.

ANNUAL GENERAL MEETING 7th Annual General Meeting of ICSB
The 7th Annual General Meeting of the Institute of Chartered Secretaries of Bangladesh was held on Saturday, August 19, 2017 at BIAM Auditorium, Dhaka. Mr. Mohammad Sanaullah FCS, President of the Institute chaired the meeting. Annual Report 2016 along with the Audited Accounts for the year ended December 31, 2016 was approved at the Annual General Meeting. Eighty Five Members including Immediate past President Mr. Mohammad Asad Ullah FCS, Past President Mr. Itrat Husain and Council Members attended the meeting, who actively participated in the discussion on various professional issues as well as on the accounts of the Institute and offered valuable suggestions.
Membership The Institute admitted 31 Associates and elevated 18 Fellow Members during the year under review, raising the total Membership to 459 as on December 31, 2017, consisting of 184 Fellows and 275 Associates. Most of the Members are in employed in corporate sector, especially multinational, national and listed companies of Bangladesh. During the year under review 45 students qualified as Chartered Secretaries and their applications for Membership are under process.
The President and the Treasurer replied to the queries raised by the Members. M/S ACNABIN Chartered Accountants was re-appointed as Auditor of the Institute for the year 2017. Mr. Mohammad Bul Hassan FCS, Senior Vice President and Mr. Md. Selim Reza FCS, Vice President were also present.
CPD PROGRAMME CPD Programme on ‘One Stop Service Act 2017 (proposed) initiated by Bangladesh Investment Development Authority (BIDA)’
ICSB organized a CPD programme on ‘One Stop Service Act 2017 (proposed) initiated by Bangladesh Investment Development Authority (BIDA)’ on Saturday, April 29, 2017 at Hotel Purbani International Ltd., Dhaka. Mr. Kazi M. Aminul Islam, Executive Chairman of Bangladesh Investment Development Authority (BIDA) attended the Seminar as the Chief Guest while Mr. Ajit Kumar Paul FCA, Executive Member and Secretary of BIDA attended the Seminar as Special Guest.
Mr. Mohammad Sanaullah FCS, President of ICSB, was also present. In his speech, he emphasized the role of Company Secretaries in good governance in attracting foreign direct investment. They can play the pivotal role to grow the confidence of the investors. In most cases, Bangladesh is advancing forward and to institutionalize the process, he urged the Chartered Secretary Professionals to apply their knowledge and experience more efficiently. He requested the Chairman of BIDA to include the clause of mandatory appointment of Chartered Secretary in the firms with FDI so that they can ensure the compliance with the rules and regulations of Bangladesh. The keynote Paper was presented by Mr. Tauhidur Rahman Khan, Director, BIDA, who explained its salient features and implementation procedures. In his paper, Mr. Khan mentioned that the BIDA OSS initiative is to house 17 Ministries / Departments of the Government under an umbrella aiming to attract foreign investments in the country thus to boost up the economic development of the nation. Official Discussants of the session were Prof. Dr. Feroz Iqbal Faruque FCS, Past Sr. Vice President of ICSB and Mr. Md. Azizur Rahman FCS, Council Member of ICSB. They gave valuable inputs in their discussion. A lively question answer session was held at the latter part where BIDA Officials answered different questions of the participants. A large number of ICSB Members participated in the programme.
Mr. Mohammad Asad Ullah FCS, Immediate past President, ICSB and Chairman, Professional Development Sub Committee chaired the programme and summed up the whole session. He congratulated the Prime Minister Sheikh Hasina who timely reviewed the scenario and decided to reform the BOI substantially and establish a high powered investment authority in the name and style: Bangladesh Investment Development Authority (BIDA) and to create momentum in the economy, she directed to merge the privatization board with BIDA. He further told that government should form a taskforce to cut cost of business to ease doing business and facilitate trade through addressing problems on business and to remove complexities in doing business. Concerned ministries, chambers and trade associations and business leaders should be the members of the Task Force under the leadership of BIDA, he added.
ICSB organized a CPD Programme on ‘National Budget 2017-18 and Finance Act, 2017’on August 5, 2017 at Hotel Purbani International, Dhaka. Mr. M A Mannan, MP, Hon’ble State Minister of Finance and Planning, GoB graced the occasion as the Chief Guest while Barrister Jahangir Hossain, Member (VAT Policy) and Mr. Parvez Iqbal, Member (TAX Policy), NBR graced the occasion as Special Guests. The Keynote Paper was presented by Mr. Sadhan Chandra Das FCA, FCS, Partner, Mr. Sadhan Das & Co. Chartered Accounts.

Mr. Mohammad Asad Ullah FCS, Immediate past President and Council Member of ICSB and Chairman, Professional Development Sub-Committee said that he would sincerely expect that the Hon’ble State Minister of Finance and Planning and Members of NBR will take necessary positive steps to include our members and profession as ITP and Mushak Agent in the Income Tax Ordinance and VAT law by issuing necessary SRO(s). He also urged upon the NBR to reduce the highest ceiling of individual tax rate from 30% to 25% and exempt the surcharge on the individual assets. For achieving the target Tax and VAT fixed by the Govt. NRB should undertake all effective measures to extend its TAX and VAT net and bring minimum 10% of the total population under Tax and VAT net by 2041.

Mr. Mohammad Sanaullah FCS, President of ICSB, in his speech mentioned that the Members of ICSB are professionally fit to practice as ITPs. The National Board of Revenue (NBR) should make necessary amendments to the Section 174(2) (e) of Income Tax Ordinance, 1984 and Rule 37 of Income Tax Rules, 1984. He also mentioned that the Members of ICSB are professionally fit to practice as Mushak (VAT) Agents and necessary amendments should also be made to the Value Added Tax and Supplementary Duty Rules, 2016 so that the Chartered Secretary professionals could make significant contribution to the national economy. K Mustaq Ahmed, Chairman, Financial Reporting Council (FRC) attended the programme as the Chief Guest. ICSB Participated in Bangladesh Capital Market Expo 2017 for the third time held on December 7 to 9, 2017 at Bangladesh Shilpakala Academy. The Expo was organized by the ‘Arthosuchak’, an online news portal on Business and Economics as an annual event. The Programme was inaugurated by the Hon’ble Commerce
Minister, Mr. Tofail Ahmed MP as the Chief Guest. Prof. Dr. Khairul Hossain, Chairman, Bangladesh Securities & Exchange Commission (BSEC), Justice Mr. Siddiqur Rahman Mia, Chairman, Dhaka Stock Exchange Ltd. and Dr. Abdul Majid, Chairman, Chattogram Stock Exchange Ltd. were also present on the occasion as Special Guests. In the Expo, ICSB had a stall with prospectuses, brochures, handbooks, journals, souvenirs and multi-media presentation to provide information to the visitors regarding the Corporate Governance, procedure of becoming a Chartered Secretary in Bangladesh, how to become a member of ICSB, admission process and other relevant information. A good number of visitors visited the stall with enthusiasm and collected information about ICSB. Mr. Mohammad Sanaullah FCS, President of the Institute, Md. FINANCE AND ACCOUNTS The main source of the funds of the Institute happens to be the subscription from the Members, Government Grants, admission and examination fees from students, training proceeds and advertisements in the Journal. After strong persuasion during the year under review the GoB has increased its funding to a good extent. The Budget allocation from the Ministry of Commerce (MoC),
GoB was raised from Tk 19.50 million to Tk 20.87 million for the year 2017-2018. During the year 2017, the overall ďŹ nancial position of the Institute was good except the term loan of total amount of Tk 80.0 million taken from Dutch Bangla Bank Limited to purchase the Aftab Nagar land. The total income of the said year amounted to Tk 57.65 million as against Tk 54.71 million earned during the preceding year. On the expenditure side, the current year’s outlays amounted to Tk 50.10 million as against Tk 48.99 million during the previous year. During the year 2017, there was an excess of income over expenditure to the tune of Tk 7.56 million compared to Tk 5.72 in the preceding year. AUDITOR The existing Auditors M/S ACANABIN, Chartered Accountants, DBBL Bhaban (Level 13), 12 Karwan Bazar C/A, Dhaka 1215, who were appointed as Auditors of the Institute in the 7th Annual General Meeting of the Company has carried out the audit for the year ended December 31, 2017. M/S ACNABIN, Chartered Accountants, the Auditors of the Institute retires at this meeting. The Council recommended to appoint A. Qasem & Co., Chartered Accountants (A Member Firm of Ernst & Young) as the Auditors of the Institute for the year 2018 at a fee of Tk1,00,000/- plus VAT.

The annual picnic was organized on February 3, 2017 at Rover Scout Training Center Bahadurpur, Gazipur, jointly by the Members’ Welfare and Recreation Sub Committee and Dhaka Regional Chapter Sub-Committees of ICSB. Around 700 people participated in this great annual congregation of ICSB. Participants were ICSB Members, their spouses, children and the employees of the Institute. It was a colorful occasion consisting of football match, cricket match, balloon blowing, biscuit race for the kids, pillow passing for the female members and raffle draw.

ICSB arranged a Certificate Awarding Ceremony on successfully completion of a Professional Training Programme on ‘Company Secretarial Practice’ for the Company Secretaries of different companies under the Power Division, Ministry of Power, Energy & Mineral Resources, GoB on May 6, 2017 at ICSB premises. Around 21 Company Secretaries of different Power Generation and Distribution Companies participated in this training programme which was started from April 10, 2017. Dr. Ahmed Kaikaus, Hon’ble Secretary of Power Division attended the programme as the Chief Guest and stated that this kind of Training enhances the capacities of the Company Secretaries to make a significant sign in their professional development. Mr. Mohammad Sanaullah FCS, President, ICSB mentioned in his speech that Company Secretary Profession is evolving rapidly around the world, new dimensions to meet the challenges of this competitive world.
A good number of ICSB Members, students and employees led by Mr. Mohammad Bul Hassan FCS, Senior Vice President and Mr. Syed Moniruzzaman FCS, Chairman, Dhaka Regional Chapter Sub Committee went to the Martyr Monument (Shaheed Minar) at Dhaka University campus with wreaths of flower, banner and festoon on February 21, 2017 early in the morning to commemorate the Language Martyrs who sacrificed their lives during the Bangla Language Movement on February 21, 1952 in the then East Pakistan. ICSB undertook relief operations at village Khidrochapri, Bilmohisha and Jangalia Char areas of Sirajganj district which were severely affected by a devastating flood on September 23, 2017. They distributed corrugated tin, rice, and cash among 100 affected families as a part of the Post Flood Rehabilitation Programme of ICSB. Earlier to this a ‘Flood Relief Fund’ was formed where the Members of the Institute donated generously. Mr. Md. 20th Anniversary Celebration of ICSB
ICSB Celebrated its 20th Anniversary on July 22, 2017 at Bangabandhu International Conference Center (BICC), Dhaka. Mr. Tofail Ahmed MP, Minister for Commerce, GoB graced the occasion as the Chief Guest and Mr. Shubhashish Bose, Secretary, Ministry of Commerce, GoB attended as the Special Guest. The Minister congratulated the Members of the Institute for achieving this milestone. He reiterated that Bangladesh is advancing in the global corporate horizon at a great speed. The Founding Members were specially honored by Commerce Minister Mr. Tofail Ahmed. The qualified chartered secretaries of the 1st convocation were also duly honored. ICSB celebrated the inclusion of the 7th March historical speech of Father of the Nation Bangabandhu Sheikh Mujibur Rahman in ‘the Memory of the World International Register’ as the ‘World’s Documentary Heritage’ declared by the UNSECO.
On November 25, 2017, the Institute organized a colorful rally from the Institute premises to the Suhrawardy Uddyan where the original speech was delivered in 1971. President of the Institute Mr. Mohammad Sanaullah FCS inaugurated the rally. Mr. Mohammad Bul Hassan FCS, Senior Vice President explained that the Memory of the World International is a list of documents having global significance. The objective of creating it is to ensure preservation of, and access to, documentary heritage in various parts of the World. A good number of Fellow and Associate Members including Vice President Mr. Md. Selim Reza FCS and the Treasurer Md. Nazmul Karim FCS, Institute Officials and Students joined the rally. The 47th Independence Day of the Bangladesh was celebrated at the Conference Hall of the Institute on March 26, 2017. An Art Competition for the children of the Members was also organized to commemorate the martyrs who sacrificed their lives during the War of Liberation in 1971. President of the Institute inaugurated the programme and recalled the Father of the Nation Bangabandhu Sheikh Mujibur Rahman and his contribution for this nation. He also urged the new generation to know the real history of the Liberation war of Bangladesh.

The Annual Picnic-2018 of ICSB was held on Friday, January 19, 2018 at Sea Shell Resort & Picnic Spot, Purbachal. The Members’ Welfare & Recreation Sub Committee arranged the picnic. This year highest number (620 nos) of members along with their spouses and children participated in the Picnic. The Picnic was inaugurated by the President of the Institute by releasing Balloons and Festoons. Council Members, Fellow and Associate Members also participated in the Picnic. LAND AT AFTABNAGAR ICSB purchased 10 katha land from Mohammad Abul Hashem (5 Khata) and Hazera Begum (5 khata) plot no. B/16 and B/18, Eastern Housing, Aftab Nagar, Badda, Dhaka in 2014 at a cost of Tk 123,085,912 out of which Tk 80,000,000 was paid by obtaining loan from Dutch-Bangla Bank Limited and Tk 43,085,912 was paid from the own fund of the Institute. Hazera Begum lodged a case in the District Judge Court, Dhaka to cancel the deed of registration of 5 katha land. The case is now in advance stage of Further Preemptory Hearing (FPH) and we are expecting to win the case considering its merits. Hazer Begum also lodged several other cases in the Lower Courts. ICSB had organized an orientation programne for the students of 41st Batch of Chartered Secretary at ICSB Campus, Dhaka on Friday, February 16, 2018 at 4:00 pm. The programme began with the recitation from the Holy Quran. President of the Institute Mr. Mohammad Sanaullah FCS inaugurated the programme by greeting the newly enrolled students with his blessings and urged the students to strive for academic excellence, personal values and social concern. Mr. Safiar Rahman FCS, Chairman, Education Committee of the Institute discussed about the role of Chartered Secretaries in the corporate management and also corporate expectations from the new generation of management personnel. Finally, Mr. Nazmul Karim FCS, Treasurer of the Institute gave the vote of thanks on behalf of the Institute. A good number of students were present in the orientation programme. The President of ICSB requested the Chairman, NBR to allow Chartered Secretary professionals to become Income Tax Practitioners and VAT Agent like Chartered Accountants and Cost & Management Accountants under the Income Tax Ordinance 1984. The President of ICSB briefed the Finance Minister on various ongoing activities of the Institute and thanked him for his generous support and cooperation to the Institute. He requested the honorable Minister to include Chartered Secretary professionals as Income Tax Practitioner (ITP and VAT Agent) like Chartered Accountants and Cost & Management Accountants under the Income Tax Ordinance 1984. Honorable Minister took it very positively and assured that he would take necessary action in this regard. Meeting with the Chairman, National Board of Revenue ICSB delegation led by its President Mr. Mohammad Sanaullah FCS along with office bearers Mr. Md. Institute of Chartered Secretaries of Bangladesh (ICSB) organized a Continuing Professional Development (CPD) programme on "Bangladesh Secretarial Standards Issued by ICSB” on Friday March 16, 2018 at Hotel Purbani International, Dhaka. Mr. Mohammad Asad Ullah FCS, Immediate past President and Chairman, Professional Development Sub Committee presided over the CPD Seminar and summed up the whole session. In his welcome address, he stressed the importance to enforce the Secretarial Standards (BSS-1, BSS-2, BSS-3 and BSS-4) for integration, harmonization and standardization of diverse secretarial practices prevailing in the country and requested the Chief Guest and Special Guest to incorporate the provisions in the new Companies Act and revised Corporate Governance Guidelines initiated by Ministry of Commerce and Bangladesh Securities and Exchange Commission (BSEC) respectively. Amar Ekushey February and International Mother Language Day was observed by ICSB Members with due solemnity and nationalist fervour at the Conference Hall of the Institute. On this occasion Members’ Welfare and Recreation Sub Committee of ICSB organized a programme on behalf of the Institute on Wednesday, February 21, 2018 which includes hand writing competition, art competition and poetry recitation. A good number of ICSB Members, their spouses and children participated in the programme with patriotic zeal and enthusiasm. Mr. Mohammad Sanaullah FCS, President of ICSB, in his address pointed out that the Institute of Chartered Secretaries of Bangladesh is a regulatory body to promote, develop & regulate the Profession of Chartered Secretaries in the Country in Compliance with the requirement of the Chartered Secretaries Act. 2010. The Council of the Institute of Chartered Secretaries of Bangladesh (ICSB) established a Secretarial Standard Board (SSB) to develop and release Secretarial Standards on Corporate Management in the year 2012. Subsequently, SSB released 4 (Four) Secretarial Standards (SS) on (I) Board Meeting (II) General Meeting (III) Minutes (IV) Payment of Dividend.

The Institute has been making consistent efforts to sensitize the law makers about the significance of Secretarial Standards. The Council brought to the notice of the Honorable Secretary of the Ministry of Commerce the importance of incorporating Secretarial Standards in the new companies Act at the ICSB workshop on Reforms of Companies Act 1994 at the 20th anniversary and at the concerned Ministry while presenting proposals for new Companies Act. The President also appraised the Chairman, BSEC and other officials about the need to include Secretarial Standards in the Corporate Governance Guideline, which were duly incorporated in the proposed CG Guidelines. The President thanked BSEC for realizing the needs of the corporate sector. The formulation of Secretarial Standards by SSB of ICSB is a unique and pioneering step towards Standardization of diverse Secretarial Practices. Similar Standards are also in existence in the world. Indian Companies act 2013 under section 118 (10) mandated that every company to observe secretarial Standards formulated by the Institute of Company Secretaries of India (ICSI). Further section 205(1) of the Indian Companies Act 2013 lays down the functions of the company Secretary which inter-alia ensures that the company complies with the applicable SS in the Secretarial Audit Report. The adoption of the Secretarial Standards by the corporate sector will have substantial impact on the quality of company secretarial practices being followed by the companies, making them comparable with the best practices in the world. The President also requested the Chief Guest and the Special Guest to make Secretarial Standards mandatory like India and give opportunity to Chartered Secretaries to serve the corporate world with greater responsibility. The president appealed to the Hon’ble Chief Guest to include a mandatory provision in the new Companies Act
that every Company who’s paid up capital is Tk 10 crores and above should have a full time Company Secretary. Mr. Shubhashish Bose, Secretary, Ministry of Commerce, Government of the People’s Republic of Bangladesh attended the programme as the Chief Guest. He said that the present government has taken lot of initiatives to attract foreign direct investments (FDI) in Bangladesh and establish good corporate culture in the country. He also expressed his view that Professional Institute’s like ICSB should come forward and share their knowledge regarding the development process of the Country. He assured that the recommendations made by ICSB members in this programme for incorporation of the provisions of Secretarial Standards 1, 2, 3 and 4 in the Companies Act will be taken into consideration, so that the corporate sector of the country will be developed and the nation will be benefitted as a whole. Prof. Dr. Swapan Kumar Bala, Commissioner, Bangladesh Securities and Exchange Commission (BSEC) attended the programme as the Special Guest. He said that Bangladesh is on the path of rapid development and already graduated from Least Developing Country status. ICSB is a professional Institute and can work with BSEC to establish good governance in the corporate sector of Bangladesh. He appreciated the role of Chartered Secretaries in a company for compliance with the rules and regulations imposed by regulatory authorities from time to time. BSEC will do everything for the development of ICSB profession. He also assured that necessary measures would be taken to incorporate the Secretarial Standards issued by ICSB in the final revised Corporate Governance Guidelines initiated by BSEC for the development of capital market of the country. Two Keynote Papers were presented in the CPD programme by Mr. Md. Azizur Rahman FCS, Council Member of ICSB on Secretarial Standards 1 and 2 and the other one was presented by Mr. M. Naseemul Hye FCS, former Senior Vice President of ICSB on Secretarial Standards 3 and 4. Official discussants of the session were Dr. Feroz Iqbal Faruqe FCS, former Senior Vice President of the Institute and Mr. Safiar Rahman FCS Council Member of the ICSB. They gave valuable inputs in their discussions. A lively question & answer session was held at the later part of the programme where the Commissioner, Bangladesh Securities and Exchange Commission (BSEC) and Paper Presenters answered different questions of the participants. The Programme was attended by a large number of Members of the Institute who were working in different listed companies of the country, Corporate Leaders and Government Officials.

Visit to National Martyrs' Memorial in Savar
A team of ICSB members and officials lead by the Treasurer Mr. Nazmul Karim FCS paid tributes to the Liberation war martyrs on Monday, March 26, 2018, which marked the 48th independence day of Bangladesh. They reached Jatiyo Smriti Soudho (National Martyrs' Memorial) in Savar early in the morning to pay floral tributes in remembrance of the souls who sacrificed their lives to earn Bangladesh liberation from the then West Pakistan after a bloody war.

The ICSB delegate requested the Chairman, NBR to include the profession of Chartered Secretary as authorized representative (ITP) under the Income Tax Ordinance 1984 and as Mushuk Agent under the Value Added Tax and Supplementary Duty Act, 2012; so that they can appear before any income tax authority and the Appellate Tribunal for any proceeding all over the country. The Chairman assured them that all out measures would be taken by NBR to include the ICSB profession as authorized representative under the Income Tax Ordinance 1984 and Mushuk Agent under VAT Act, 2012. The ICSB delegate discussed with the Chairman on different aspects of the proposed national budget 2018-19 and also requested the Chairman to reduce the individual tax rate from existing highest 30% to 25% and expand the tax net to collect more revenue and also to reduce the corporate tax to a reasonable level in order to attract both local and foreign investments. This measure would also boost up the industrial development of the country as well as creating employment opportunities. The Chairman had patience hearing and assured the ICSB delegate that, NBR will also look into the matter and would consider their proposals. A day long Professional Training Programme on “Management of Company Meetings” was held on May 12, 2018 at the Training Room of the Institute. Mr. Mohammad Sanaullah FCS, President of the Institute inaugurated the programme and delivered the welcome speech. He highlighted the effectiveness of the continuous training in his speech. Some important topics were covered in the training session such as Essentials of Company Meetings, Procedure for Conducting Board/ Committee Meetings, Procedure for Conducting General Meetings including Statutory, AGM & EGM, Minutes & Resolution and Reports & Return. A good number of participants attended the training program.

ICSB celebrated the Bengali New Year 1425 “Pohela Boishakh” on April 14, 2018 with great enthusiasm in the presence of a large number of members along with their spouses and children. A cultural programme of Bengali tradition including poetry recitation, folk song and dress as you like the best (children) was also organized during the occasion. Four days Professional Training Programme on “Internal Audit & Control Environment” was held from May 13 to 16, 2018 at the Training Room of the Institute. Mr. Mohammad Sanaullah FCS, President of the Institute inaugurated the programme and delivered the welcome speech. He highlighted the importance of the activities of the Internal Auditor in his speech. Some important topics were covered in the training session such as Introduction to Internal Audit and Control Environment and its Effectiveness, Risked Based Internal Audit, Audit Planning, Controlling and Documentation, Audit Evidence, Frauds and Errors, Internal Control & Verification, Management Audit, IT Based Audit and Audit Committee & It’s Function. There are challenges ahead for retaining today’s position and holding better position in future. The Institute will have to be equipped adequately to face the challenges. The future leadership, for steering the wheel of the Institute, should be stronger and more effective, so that this respected profession can earn more repute in the corporate arena in Bangladesh. However, the unfinished missions lying ahead for the future Council will be long and more painstaking. Those are: • • • • • • • •

Organize 5th ICSB National Award for Corporate Governance Excellence 2017. Organize 7th Convocation and 7th Convention in 2018. Updating syllabus of the Institute. Establish new Campus Complex including office for the Institute at its own land & building. Take more initiative to incorporate the role of the profession in the new Companies Act. Initiating activities like seminar, workshops on current professional topics for professional development of the Members. Develop ICSB Secretariat with capable and competent staff to meet the Members’ needs and expectations. Initiate activities for automation and digitization of ICSB library.

Strengthening the international relations with similar institutes around the world. Arrange more more workshop and CPD programmes for updating Members’ professional knowledge. Develop Institute’s coaching classes and more research works for academic excellence. Developing Institute’s Software to bring all activities of ICSB under IT enabled service. Ensure regular publication of Institute’s Journal. More Secretarial Standards needs to be developed and implemented. Conducting Research on different issues related to the Chartered Secretary Profession Automated admission application, Form submission and all kind of payment to the Institute. Getting the flag of the Institute flying high in Bangladesh. Arrange training programmes regularly.

With profound sorrow we report that we lost our following Members during 2017. We are deeply shocked at the sad demise of
Md. Safir Uddin ACS (A-0009) passed away on February 27, 2017 (Inna Lillahe Wa Inna Ilaihi Rajeun) at his residence. He was 71 years old.
Md. Rafiqul Islam FCS (F-0028) passed away on November 15, 2017 (Inna Lillahe Wa Inna Ilaihi Rajeun) at his residence. He was 74 years old. He was the Chairman, Election Commission of ICSB.
We have no words to console their nearest and dearest ones. We extend our deepest sympathy and sincerest condolences to the bereaved members of their families and pray to the Almighty Allah to grant them eternal peace and salvation of the departed soul and give the members of their families the strength to withstand this irreparable loss with courage and fortitude.

We have audited the accompanying financial statements of Institute of Chartered Secretaries of Bangladesh (ICSB), which comprise the statement of financial position as at 31 December 2017 and the statement of comprehensive income, statement of changes in equity and statement of cash flows for the year then ended, and a summary of significant accounting policies and other explanatory information.
Management’s Responsibility for the Financial Statements Management is responsible for the preparation and fair presentation of these financial statements in accordance with Bangladesh Financial Reporting Standards (BFRSs) and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
Auditor’s Responsibility
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the entity’s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting estimates made by management, as well as evaluating the overall presentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.
Opinion In our opinion, the financial statements give a true and fair view of the financial position of Institute of Chartered Secretaries of Bangladesh (ICSB) as at 31 December 2017 and its financial performance and its cash flows for the year then ended in accordance with Bangladesh Financial Reporting Standards (BFRSs) and other applicable laws and regulations.

Notes to the Financial Statements for the year ended 31 December 2017 1
About the Institute Institute of Chartered Secretaries of Bangladesh (ICSB), established under an Act of Parliament i.e. Chartered Secretaries Act, 2010, is the only recognized professional body in Bangladesh to develop, promote and regulate the profession of Chartered / Company Secretaries in Bangladesh. The Institute was initially established under a license from the Ministry of Commerce in 1997 as the Institute of Chartered Secretaries and Managers of Bangladesh (ICMAB) and subsequently converted to Institute of Chartered Secretaries of Bangladesh (ICSB). The Institute is a full member of Corporate Secretaries International Association (CSIA), Hong Kong with effect from 17 April 2012.

Nature of Activities The main activities of the Institute is to develop, promote and regulate the profession of Chartered Secretaries in Bangladesh and confer professional degree in Chartered Secretary, imparting requisite training and education and then to offer membership of the institute to the deserving candidates, and to enforce strict discipline for exercising control over the conduct of members and students to uphold and regulate the profession by professional ethics and discipline.
2.1
Management of the Institute The overall affairs of the Institute are run by a Council consisting of 18 (Eighteen) members out of which thirteen are elected and five are nominated by Government. The tenure of the Council is for three years and the President is the head of the Council.
2.2
Member of the Institute The Fellow and Associate Members of the Institute up to 31 December 2017 were 184 (One hundred and Eighty Four and 275 (Two hundred and Seventy Five) respectively totaling 459 (Four hundred and Fifty Nine) excluding 8 (Eight) Honorary Fellow Members.
2.3
Statement of Compliance

The financial statements of the Institute are prepared in compliance witha) Bangladesh Financial Reporting Standards (BFRSs); b) Chartered Secretaries Act, 2010; c) Chartered Secretaries Regulations, 2011; and d) Other laws and rules applicable in Bangladesh. 3
Significant Accounting Policies and Bases of Financial Statements Preparation
3.1
Components of Financial Statements The Financial Statements referred to here are consisted of: a) Statement of Financial Position; b) Statement of Comprehensive Income; c) Statement of Changes in Equity; d) Statement of Cash Flows; and e) Notes to the Financial Statements.
3.2
Statement of Cash Flows Statement of Cash Flows is prepared in accordance with the Bangladesh Accounting Standard-7 "Statement of Cash Flows" applying indirect method.
3.3
Reporting Period These financial statements cover one calendar year from 1 January to 31 December 2017.
3.4
Property, Plant and Equipment (PPE) All property, plant and equipment are stated at cost less accumulated depreciation as per BAS-16 "Property, Plant and Equipment". The cost of acquisition of an asset comprises its purchase price and any directly attributable cost of bringing the asset to its working condition for its intended use inclusive of inward freight, duties and non-refundable taxes.

3.4.1 Depreciation Policy Depreciation has been charged on assets using reducing balance method according to respective percentage. Full year depreciation is charged on assets irrespective of the date of acquisition. On disposal of fixed assets, the cost and accumulated depreciation are eliminated from the PPE and gain or loss on such disposal is reflected in the income statement, which is determined with reference to the net book value of the assets and net sale proceeds. The rates of depreciation are as under: Rate Furniture & fixture 10% Library books 15% Computer and office equipment 15% 3.5
Provident Fund The provision of Contributory Provident Fund for the employees of the Institute was approved by the Council effective from July 2006 at the subscription rate of 10% of the basic salary. The Institute also contributes same amount to the Provident Fund.
3.6
Gratuity Fund The institute has a gratuity scheme (unfunded) which coveres all its permanent employees who meet eligibility requirements. The amount charged to income statement represents the Institutes annual obligation under the scheme.
3.7
Interest on Short Term Investment (FDR) Interest on short term investment (FDR) is recognized and recorded on accrual basis and the net interest income realized against each FDR on maturity date is automatically reinvested with that respective FDR. The accrual interest that is unrealized are recorded as interest receivable.
3.8
Advance, Deposits and Prepayments Advances are initially measured at cost. After initial recognition, advances are carried at cost less deductions, adjustments or charges to other account heads. Deposits are measured at payment value. Prepayments are initially measured at cost. After initial recognition, prepayments are carried at cost less charges to income statement.
3.9
Provisions All provisions are recognized on the financial statement date if, as a result of past events, the Institute has a present legal or constructive obligation that can be estimated reliably, and it is probable that an outflow of economic benefits will be required to settle the obligation.
3.10
Cash and Cash Equivalents Cash and cash equivalents comprise cash in hand and cash at bank, which are held and available for use by the Institute without any restriction and are readily convertible to a known amount of cash and that are subject to an insignificant risk of change in value.
3.11
Income Recognition As per BAS-18 “Revenue” - Revenue is to be recognized when it is probable that the future economic benefits associated with the transaction will flow to the organization and the amount of revenue and related cost can be measured reliably. All the revenues of the Institute are recognized as per this standard except income arisen from 'fees from student' which is recognized on cash basis. ii) Other Income All other income is recognized when the Institute's right to receive such income has been reasonably determined and all conditions precedent are satisfied.
3.12
Government Grants Government Grant is recognized in accordance with BAS-20 "Accounting for government Grants and Disclosure of Government Assistance" which recognizes grant only when there is reasonable assurance that (a) the enterprise will comply with any conditions attached to the grant and (b) the grant will be received. The grant has been recognized as income over the period necessary to match them with the related costs, for which they are intended to compensate, on a systematic basis, and should not to be credited directly to equity.
