To consider and if thought fit, ~dSS the fo llowing resolution as a n ordinary resolution: "That pursuant to Article 125 of the Articles of Association of the company and the recommendation of the Directors, the sum of N97,633,594 being part of the amount standing to the credit of the company's Revenue Reserve Account, be and Is hereby capitalized into 97,633,594 ordinary shares of N1.00 each and appropriated to the members whose names appear In the Register of Members at the close of business on Tuesday, 12 April 2011, In the proportion of ONE new ordinary share for every FOUR ordinary shares registered In such members' names on that date, the shares so distributed being treated for all purposes as capita l and not as Income, ranking pari passu with the existing shares of the compa ny, provided that the shares Issued pursuant to this resolution shall not qualify for the dividend declared In respect of the 2010 accounts and that the Directors shall give effect to this resol ution on receipt of the necessary permission from the appropriate Authorities".

The board expressed keen interest in the new research thrusts of AfricaRice, including the development of a new gen· eration of c1imate-resilient rice technologies and innovative approaches,such as the marketonenred value chain approach being adopted by the cenlreAfricaRIce is developing a new strategic plan, which wi ll be examined by the board in the coming months. "We are exdted to see a heallhy and scientifically-vibJdnt cen· tre," the board chair stated durIng his intera ction with the workers and their research and development parmers. Before concluding the meet· ing, the board approved the working bud~et for 2011 and took key decisions on board membership. it was pleased to elect Dr. Peter Matlon as tile new board cha1nnan and expressed its /l"!tltude to the outgoing chalf, Mr. Getachew En,gjda for his valuable contributions to the centre. It bade farewell to Dr. Kiyoaki Maruyama and thanked him for his dedicaled service. Dr. Masa Iwanaga, a world renowned Japanese expert and fonner Director General of the International Maize and Wheat Improvement Centre (ClMMYf), was selected as a new member. AfricaRice is an Intergovernmental research association of 24 African member countries. It is also a member of the consortium of 15 international centres supported byCGIAR.
