GRUPO

N U E TA L I A The Nuetalia group was created in September 2014 integrating two metal industry companies, Imar and Roar, in a unique strategic position based on constant technological development applied to many different sectors. This has allowed us to grow significantly, based on a change from the traditional industrial SME model based on selling processes to a new business model focusing on outsourcing. Grupo Nuetalia did a 180 degree turn turning these processes into a means of doing things and developing a new model based on selling engineering services, products and projects.

4

ROAR is offering solutions for the metal processing industry since 1981 and is consolidated as one of the main players in the Basque Country. We have been able to gather all the main production processes in our two plants. This, coupled with a strong technological development and the expert training of our engineers allows us the full implementation of a project or product from its conception or original idea. IMAR was founded in 1931 and has two production centres. Thanks to investments in R&D and the development of an extremely powerful engineering force, we are present in such diverse sectors as aerospace, automotive, rail, renewable energy, furniture, lifts, IT and processing plants. And we have created an architectural line —in which we are the undisputed niche leaders— for cladding façades on singular buildings in major projects across Europe, the Americas and the Middle East.

Grupo Nuetalia initially consisted Imar and Roar. Both companies have been considered indisputable leaders in their respective niches for decades.

5

GRUPO

N U E TA L I A Servichap is a niche leader. We specialise in buying steel coils and turning them into bands or sheets of different formats according to client specifications and the product required. At our 9000 square metre production plant we develop the final product to meets the requirements and parameters of international quality standards and offer a high added value service. An innovative change that incorporates commercial concepts to industry. In addition, we have improved the buying power of the Group companies, providing a regulating warehouse for your raw material needs, so we can offer lower prices and shorter lead times.

Bringing Servichap and Peymo on board is a strategic move of great value for the configuration of Grupo Nuetalia. Now we can say that the Group has acquired a dimension and unique definition in Spain which gives it an extraordinary projection.

6

Peymo has been processing metal since 2001 into all kinds of formats, gauges and sizes, allowing us to be present in areas where the Group did not operate previously. Its production structure is complemented by that of Roar, to allow us to develop any type of product or project regardless of size, thickness and material technical characteristics. We have a production plant with 3000 m2 under roof on a 7000 m2 plot and, thanks to the optimal management of our raw material supply coupled with the proximity of our strategic suppliers, we can assure optimal lead times and prices; one of our main competitive advantages and, from now on, also Roar’s.

2016-2017 STRATEGY In the third part of our plan, all our actions will affect the backbone of our strategy, which is basically to change from a subcontractorbased business model into a different model in which added value added and client proximity are the key factors. In this third phase, Grupo Nuetalia maintains its growth plan strong and we will apply a new impetus to the industrial capacities of our affiliates, seeking synergies and complementarities and, above all, empowering engineering in all business areas and streamlining logistics with the construction of a 20 000 m2 facility in the town of Funes. The intensity of the plan is endorsed by a direct investment which absorbed more than 11 million euros in the biennium 2014-2015 and that will require another 10 million in 2016-2017. The second stage of this plan was consolidated in 2016 with the acquisition of the Navarre-based Servichap metallurgical companies, a steel service centre with 9,000 m2, and Peymo, dedicated to the development and manufacture of metal parts with a 3000 m2 plant. The first of these companies will help strengthen the Group by acting as a raw material regulating warehouse, while the second will complement Roar by providing assembly and painting lines seeking integrated jobs and scheduled for industry. In the coming quarters we want to expand our metal engineering capacity. To this purpose we will dedicate new human and technical resources to each of the companies,

10

but not excluding corporate operations to integrate new companies into the Group. Also, this year we will proceed to triple the space at Peymo, from 3000 to 9000 m2, and provide it with more technical and human resources. In 2017 we will also build a large logistics centre in Funes to ensure a smooth organisation of work and optimum on-time service for clients. The facility will have 20 000 m2 and will provide cost savings in transportation, in addition to contributing to

the rationalisation of all processes. Other main lines of action for the 2016-2017 biennium will be the implementation of a common ERP for the four companies, since each has a different system; and progression in international expansion. We currently have a presence in 33 countries in Europe, America, Africa and Asia.

11

12

In 1931 we started up at IMAR the first perforated sheet metal manufacturing machine in Southern Europe. Now we specialise in manufacturing all kinds of solutions in perforated, dimpled, stamped and expanded sheet metal.

13

We have two production sites: One in Ortuella (Bizkaia) of 7500 m2. And another in Miranda de Ebro (Burgos) of 8200 m2. The sites complement each other, allowing us to offer high production capacity and extensive innovation capability.

In Ortuella we perforate using quick presses with several passes which allows for customised products and thick gauges. We also provide ancillary services, including flattening, cutting and bending and we a department to manufacture our own dies and perforating presses.

The Miranda plant works in expanded sheet metal production with quick presses for diamond meshes of small and large gauges up to 4 mm. It specializes in large series and we drill coils of gauges of up to 3 mm and widths up to 1500 mm and perform ancillary services (cutting and flattening). 14

INTERNATIONAL FOCUS Imar Metal Engineering has a clear international focus. The marketing work carried out in recent years is getting excellent feedback with projects implemented or executed immediately worldwide.
