Maltese Islands At a glance

Capital Valletta is Malta’s capital city, whilst Victoria is the capital of Gozo, Malta’s sister island. Size Situated at the centre of the Mediterranean Sea, the Maltese Islands are the most southerly European country. The archipelago consists of the islands of Malta, Gozo and Comino, together with two other uninhabited Islands. The total area is 316 km2 (Malta 246 km2, Gozo 67km2, Comino 2.7 km2). The longest distance in Malta from North West to South East is about 27kms, with 14.5kms width in an E/W direction. Malta has no mountains or rivers and the islands are characterised by a series of low hills with terraced fields. The highest point is just over 300 metres above sea level. The shoreline, which is 137kms long, has many bays and harbours, with a good selection of small sandy beaches and rocky coves. averaging about 578mm (20 inches) in a whole year. The temperature averages 14.1o C in winter (November – April) and 32o C in summer (May – October). The sun shines for an average 6.46 hours each day in winter and 10.11 hours in summer. The hottest period is from midJuly to mid-September. The Maltese Population The Maltese are a naturally helpful

people, well known for their hospitality. Situated in the middle of the Mediterranean and surrounded by influential countries, its people have developed a flair for languages. The Maltese are usually fluent in both Maltese and English and together with Italian they make business and communication easier. During the last few years, Malta’s population has just surpassed the 400,000 mark.

Time Malta is on Central European Time (CET), that is one hour ahead of Greenwich Mean Time (GMT) in winter and two hours ahead of GMT in the summer starting from the last Sunday in March until the last Sunday in October.

Currency Malta’s currency is the euro. This was adopted on 1st January 2008.

Language Maltese is a Semitic language with a large influx of French, Italian and English words. Maltese and English are the official languages. Italian is widely used and French and German are also spoken.

In line with EU legislation, anyone entering or leaving Malta and carrying cash or other monetary value which is equal to or in excess of €10,000 or its equivalent, has to fill in the appropriate declaration form available from Customs. Banks Banking hours are usually between 8.30am and early afternoon from Monday to Friday, and until midday on Saturday. Some banks or branches may work longer hours on different days. Summer and winter opening hours may also differ. Foreign exchange facilities are available at Malta International Airport on a 24hour basis all year round. There are also a number of automated foreign exchange machines scattered around the island as well as automated teller machines (ATMs). International bank cards are accepted

Electricity The electrical supply is 240 volts, single phase, 50 cycles. The 13 amp, three-pin rectangular sockets are used in Malta. Adapters are very easy to find. Shopping Shops are usually open between 9am and 7pm with a three-hour lunch break. In commercial areas frequented by tourists shops remain open until approximately 10pm. Shops are normally closed on Sundays and Public Holidays. In most towns and villages there are open-air markets, one day a week, on one particular day of the week. The largest market is the Valletta market held on Sunday mornings. Major Credit Cards, Travellers Cheques and Eurocheques are accepted at most leading shops and restaurants.

dredging to a depth of 10.5 meters at a cost of around €500,000 and we can now host two 300-metre-plus vessels at those berths," adds Portelli. In terms of passengers, 2012 was a record year, with over 600,000 passengers, exceeding the 556,000 passenger movements recorded in 2011. As passenger numbers and ship size increase, Portelli insists that Malta is more than capable of handling them. "This is an island fully-geared for tourism and there are enough diverse excursions with various transport possibilities to allow large numbers to disperse easily and offer a quality experience," Portelli says. One of Malta’s best kept secrets is the sister island of Gozo, a unique destination for visitors. This tiny island boasts a laid-back lifestyle, a place to immerse oneself in culture and history, with eco-friendliness being one of the island’s priorities. Eligibility for registration All types of vessels, from pleasure yachts to oil rigs, including vessels under construction, may be registered, provided that, inter alia, they are wholly owned by legally constituted corporate bodies or entities irrespective of nationality, or by European Union citizens. The formation of a Maltese company is a straightforward operation; there are no

nationality requirements as to the shareholders or directors. As a rule, trading ships of 25 years and over are not registered although in certain cicumstances this may be considered. Ships of 20 years and over but under 25 years are required to successfully undergo an authorised flag State inspection prior to provisional registration. Ships of 15 years and over but under 20 years are required to successfully undergo an inspection by an authorised flag state inspector before or within one month of provisional registration. Registration procedure A vessel is first registered provisionally under the Malta flag for six months (extendable for a further period, or periods, not exceeding in the aggregate six months) during which period all documentation needs to be finalised. The requirements for provisional registration are: Application for registration by the owner or an authorised representative,

including, if required, application for change of name of ship Proof of qualification to own a Maltese ship; in the case of a body corporate, the document of incorporation In the case of non-Maltese owners, appointment of a resident agent Where applicable, copy of the current ship’s International Tonnage Certificate Declaration of ownership made in front of the Registrar by the owner or an authorised representative Evidence of seaworthiness; in the case of trading ships, confirmation of class with a recognised organisation, and information of the ship’s statutory certification including Company ISM compliance Where applicable, request for the Administration to authorise the appropriate recognised classification society to issue the ship’s and the Company statutory certificates Where applicable, application for Minimum Safe Manning Certificate Payment of initial registration fees and annual tonnage tax. Where there was previous ownership, a bill of sale or any other document by which the vessel was transferred to the applicant for registry; otherwise a builder’s certificate in the name of the applicant Where applicable, cancellation of registry certificate issued by the Administration where the vessel was last documented In the cases of SOLAS ships, copy of the last updated Continuous Synopsis Record issued by the Administration where the ship was last documented. Certificate of Survey and a copy of the International Tonnage Certificate issued by an approved surveyor of ships Evidence that the vessel has been marked in accordance with law

and encumbrances are governed by the underlying registry, while the operation of the vessel falls under jurisdiction of the bareboat charter registry. Within these parameters, those ships registered under the bareboat charter registry in Malta enjoy the same rights and privileges, and have the same obligations, as any other ship registered in Malta. A bareboat charter registration shall be for the duration of the bareboat charter or until the expiry date of the underlying registration, whichever is the shorter, but in no case for a period exceeding two years. Registration may be extended. The requirements and registration procedure for bareboat charter registration in Malta are similar to a normal registration, except that:

Registration fees and annual tonnage tax for bareboat charter registration are the same as those applicable for normal registration. Ships under construction Maltese law provides for the registration of vessels that are being built or equipped. The requirements relating, inter alia, to survey and safety of ships already built and to the declaration of ownership where the builders have not yet effected delivery to owners will be suspended until construction is completed or until delivery has been made. Vessels to be classed as trading ships are to be built under the supervision of a recognised organisation. Commercial Yachts Yachts in commercial use, which do not carry cargo and do not carry more than 12 passengers, can be registered as commercial yachts. Maltese law is very advantageous for the operation of commercial yachts. A Commercial Yacht Code setting the required standards of safety and pollution prevention can be downloaded from www.transport.gov.mt/ superyacht-registration International Conventions Malta has adopted all the major international maritime conventions including: CLC 92, Tonnage 69, COLREG 72, Fund 92, INMARSAT, LLMC 1996 Protocol, Load Lines 66 (including 1988 Protocol), London Convention 72,

MARPOL 73/78, SOLAS 74/78 (including 1988 Protocol), STCW 78 (including 95 amendments), Bunkers 01, AFS 01, SUA 88 (including SUA Protocol 1988), SAR 79, FAL 65, OPRC 90 and OPRC-HNS Protocol 00 and ILO Conventions Nos. 8, 16, 22, 53, 73, 74, 87, 98, 108, 138, 147 (including 1996 Protocol) and 180 and MLC2006. For a ship to operate under the Malta flag it must carry at all times valid statutory certificates issued on behalf of the Malta government by a recognised organisation. Recognised organisations Survey, tonnage and convention certificates may be issued on behalf of the Malta government by the following recognised organisations: American Bureau of Shipping, Bureau Veritas, China Classification Society, ClassNK, Det Norske Veritas, Germanischer Lloyd, Korean Register of Shipping, Lloyd’s Register of Shipping, Polish Register of Shipping, Registro Italiano Navale and Russian Maritime Register of Shipping. Manning and certification of seafarers Maltese ships are subject to the provisions of the Merchant Shipping Act, ancillary regulations and the STCW 78 Convention (as amended) regarding the manning and certification of seafarers. There are no restrictions on the nationality of the master, officers and crew engaged on Maltese ships. Foreign certificates issued in terms of the STCW 78 Convention require an endorsement issued by the Maltese Administration attesting their recognition. A Minimum Safe Manning Certificate will be issued by the Administration. Mortgages Registration, transfer, amendment and

discharge of mortgages may be effected immediately on presentation of the relative documents to the Registrar. The 1986, 1988, 1990 and 2000 amendments introduced important safeguards in respect of registered mortgages thus making financing of Maltese ships more attractive. Closure of registry The registry of a Maltese ship may be closed at the request of the owners provided all liabilities and obligations in respect of the ship towards the State of Malta have been fulfilled and the consent of all registered mortgagees is produced. Cancellation of registry by the Administration for non-compliance with the provisions of the law may also be effected after adequate time has been given to the owners to regularise matters and for the financiers to take the necessary action to protect their interests. Ports & Yachting Directorate The Ports and Yachting Directorate has a regulatory role in monitoring the maritime activities which take place within ports and the internal and territorial waters of Malta; and it also manages port facilities which are under the control of the Authority, including yachting and mooring facilities. The Directorate is primarily responsible for ensuring that port users and service providers comply with legislation and contractual obligations, while at the same time promoting the efficient use of our ports and maritime facilities. Port Management and Development INTRODUCTION Ports, which are the lifeline of the Maltese Islands, are an integral part of the maritime industry, which is one of the mainstays of the local economy. The importance of maritime activities has increased with the recent developments in the leisure markets and the international shipping services. This is of great benefit for the country and its economy by the generation of foreign investment and employment. In fact it is estimated that the whole maritime sector generates about 14% of the local GDP and 10% of employment. These maritime activities may be divided into three groups: • activities which are aimed at supporting the local industry and consumers, namely import/export of cargo and ferry passenger operations, and the carriage of goods and passengers between the islands; • activities which are essentially based on the excellent geographical location of Malta, including transhipment, cruise

shipping, ship servicing, bunkering, ship repair and yachting; • activities related to local industries such as tourism, fishing, aquaculture, international maritime events and water sports. PORT FACILITIES IN THE GRAND HARBOUR Traditionally, the Port of Valletta was the only developed port to handle all goods imported to and exported from the island, all sea passenger traffic, and vessels arriving for repairs, bunkering, provisions and other maritime services. The Grand Harbour has experienced a radical change as a result of initiatives taken in the 1980s, directed at transforming Malta into a regional Mediterranean hub. The introduction of new shipping trends and large specialised container vessels meant that for Malta to take advantage of its position at the crossroads of numerous shipping routes, a new facility for containers had to be built at the Port of Marsaxlokk.

One of the main challenges for the further development of the Grand Harbour is the lack of hinterland. Surrounded as it is by historical sites, land-based industries and residential areas, there is little room for expansion. However, recent plans developed by the Authority and the Government have resulted in an upgraded and new infrastructure for the port in order to take advantage of the increased cargo and passenger traffic in the Mediterranean. GENERAL CARGO-HANDLING FACILITIES The Port of Valletta is furnished with a series of multipurpose quays capable of handling all types of cargo. A number of terminals and open storage facilities are available throughout the port area. The average cargo throughput for the Port of Valletta is 2.3 million tons per annum. The main multi-purpose cargo terminal operator in the port of Valletta is the Valletta Gateway Terminals, which is a company formed between the Singapore company Portek and the Maltese conglomerate

Tumas Group. The concession, which started on 1 July 2006, allows VGT to handle containers, trailers, break bulk and cars at the Deep Water Quay, Laboratory Wharf and Magazine Wharf. VGT has invested heavily in upgrading the cargohandling equipment, particularly that related to the handling of containers. Through its marketing approach it has succeeded in attracting new business to the port of Valletta, particularly the transhipment of unitised cargo and vehicles. The 400-metre-long Deep Water Quay facility with its 3 sheds offering a covered storage area of 3000m2 has the major part of its superstructure constructed on piles. It was built in the early 1960s when the majority of cargo was handled in small packages and therefore there are strict weight limitations. During the last ten years it was mainly used to handle containers and trailers carried on ferry vessels. GRAIN SILOS Situated in the middle of the Mediterranean, Malta lies on the major sea routes and is located in the natural deep-draught Valletta Grand Harbour. Kordin Grain Terminal is well positioned to accommodate any transhipment functions which aim to serve the countries for the whole Mediterranean basin. The Kordin facility is therefore placed in a most strategic location for the handling, storage and transhipment of all types of free-flowing grains such as wheat, maize, barley and soyabean reaching the Mediterranean from the main grainproducing countries.

KGT’s Storage facility consists of 30 bins; 18 large bins with capacity of 3,800 metric tons each and 12 smaller bins of 1,600 tons each. Therefore total capacity is 88,000 metric tons. Each bin is equipped with a computerised product temperature monitoring system. The Kordin Terminal is equipped with a range of Buhler installations including a mobile mechanical bulk ship unloader with a maximum unloading capacity of 1,100 mtph; a mechanical railmounted ship loader with a peak loading capacity of 1,250 mtph; and direct ship-to-ship transfer facilities without the need to intake into silo. Other facilities at the terminal include automatic weighing facilities, the recycling of goods stored inside the bins, fumigation and a computerised temperature-monitoring system installed inside each of the terminal’s thirty storage bins. The plants are operated and maintained by qualified teams of personnel including engineers, technicians, fitters and trained operators, in order to provide the most efficient grain-handling operations. KGT is also serviced by a berthing quay (Laboratory / Magazine Wharf) with an overall length of 440 metres. Magazine Wharf, which is 252 metres long, is allocated for the unloading of vessels while Laboratory Wharf, which is 190 metres long, is used for vessel loading. These two berths have adequate depths for the berthing of oncoming and outgoing vessels. In fact, the terminal can accept fully-laden

Panamax grain bulk carriers of up to 80,000 DWT and can load coasters and feeder vessels of up to 20,000 DWT. CEMENT SILOS With the increased level of importation of cement in Malta, the Authority has a concession agreement with two cement importers who had invested in their own silo facilities. OIL AND BUNKERING FACILITIES Malta has established itself as a bunkering centre in the Mediterranean, challenging traditional stations such as Gibraltar, Augusta and Ceuta. Since the liberalisation of the licensing of bunker operations in 1996 the bunkering activity has grown rapidly, exceeding 1 million tons of delivered fuels every year. SHIP REPAIR The major ship repair facility within the Grand Harbour has for many years been the Malta Shipyards. The repair facilities within French Creek where 3 docks are located, with the largest capable of handling vessels of about 330 metres, has been privatised and is being operated by Palumbo Shipyards, a company established in 1967 and operating similar facilities in Naples and Messina. The Grand Harbour also houses two private ship repair yards – Bezzina Ship Repair Yard and Cassar Ship Repair Yard. Both companies are equipped with shore workshops and

floating docks and operate in accordance with agreements entered into with the Authority for sea and land concessions. PASSENGER HANDLING The operator of passenger-handling facilities in Valletta is the Valletta Cruise Port, which is a private consortium mainly made up of local enterprise but also including participation from international companies. The company has been granted an operational licence and a lease for the operation and development of passengerhandling facilities at Pinto Wharf. To enhance the berthing capacity for cruise liners the Authority has also developed Boiler Wharf, which previously formed part of Malta Shipyards before its privatisation. WATER TRANSPORT The development of facilities for water taxi and ferries, for the modal shift from land to sea transport, included the identification and preparation of plans for upgrading landing places which could be used by water transport operators.

Services Limited for the provision of scheduled ferry services for the Grand Harbour and the Port of Marsamxett. The contract is for a period of eight years. The Operator, chosen through a competitive tender, operates two simultaneous services, one in each port. MARINAS AND YACHTING Malta has maintained its ground as an attractive berthing destination to various seafaring visitors. Touring the various marinas available round the islands, one can witness the magnificent site of various marinas bursting with activity. Malta currently offers eight permanent marinas and these cater for various sizes of yachts and small ships which can range from 16 metres to 100 metres in length. Statistics show a steady increase in the number of berthing places from 1,511 in 2009 to almost 2,000 yacht berths. These marinas are complemented by a number of seasonal, temporary marinas. INDUSTRIAL STORAGE FACILITIES Malta Freeport houses licensed operators within the Free Zone who utilise one of the 10 industrial units of 1,000m2 each. Legislation permits these users to carry out

various activities within these warehouses, including distribution networking, justin-time inventory management, cargo consolidation, break-bulk and onward shipping, as well as elements of processing. ENEMALTA PETROLEUM FACILITIES Enemalta Corporation is the public entity responsible for power generation and the import of petroleum for the local market and its main storage installations are located within this port. The Corporation also operates the biggest and most modern power station in Malta which is also located in the port. GAS INSTALLATION The Gas Installation is located at the Port of Marsaxlokk opposite the breakwater and situated at Jetty 4 of the Oiltanking terminal. PORT FACILITIES IN THE PORT OF MARSAXLOKK CONTAINER TERMINALS Malta Freeport is presently amongst the leaders in the Mediterranean transhipment scenario. The high volume of containers being handled is a result of the Freeport’s track record and the positive international recognition which the company enjoys with global carriers as a reliable and credible port. The Freeport’s increasing attractiveness is founded on the right configuration of unparalleled location in the centre of the Mediterranean, outstanding facilities dedicated to transhipment, pristine handling equipment, advanced technology, highly skilled and enterprising personnel, unmatched quality service, as well as an efficient security system which ensures that its clients’ demands are met efficaciously. Other crucial factors include extensive worldwide regular network connections, high performance levels and costeffectiveness, ease of access to markets with minimal diversion distance, easy port accessibility, safe manoeuvrability of vessels and all-year favourable weather conditions. Malta Freeport Terminals has two Container Terminals, namely Terminal One and Terminal Two. Terminal One has a mainline quay length of 1,000 metres, a total area of

457,500 square metres, 10,139 container ground slots and 606 reefer points. The North Quay of Terminal One is equipped with eleven Quayside Cranes, namely seven super post-Panamax and four postPanamax Quayside Cranes, Terminal Two has a total operational quay length of 1,140 metres, 4,946 ground slots, 288 reefer points and a total area of 222,500 square metres. It is served by twelve super postPanamax Quayside Cranes, four of which have twin 40› lifting spreader capacity and the other eight are capable of handling twin-lift spreaders. In line with Malta Freeport’s strategy to consolidate its competitive edge within the Mediterranean containerisation scenario, the Freeport is pursuing various development projects aimed at expanding its capacity and improving productivity. This investment will increase the quay operational length to over 3 kilometres. OIL PRODUCTS TERMINAL The storage facilities operated by Oiltanking Malta Limited are organised in four tank farms, providing a total built capacity of 535,000 cubic metres. The facility is served by four jetties operated exclusively by Oiltanking Malta Limited, with a capacity to handle vessels up to 120,000 dwt with a maximum draft of 16 metres. Cargo handled includes crude oil, fuel oil, gas oil, jet fuel, gasoline and components. Special services include blending, butanising, injection of additives, tank-to-tank transfers and ship-to-ship operations. OFFSHORE LOGISTICS BASE Medserv plc, a company quoted on the Malta Stock Exchange, operates a 50,000m2 site including offices and covered warehousing extending to 5,500m2, providing a logistic base for oil companies operating in the Southern Mediterranean. The company also enjoys the exclusive right of use of a deep water quay extending to 200 metres with an additional quay working space of 5,000m2 as well as a further ancillary quay. FISHING PORT Marsaxlokk is the major base port for 70% of the Maltese fishing fleet. In fact it is the

largest fishing port and the main fishing harbour of Malta. It is the best place to see the colorful, traditional Maltese fishing boats, the Luzzu, with the mythical eye painted on their prows.

berths and the extension of the breakwater at the port of Cirkewwa, the extension of one quay in Mgarr Harbour and the building of a passenger terminal in each port. Mgarr Harbour in Gozo also serves as a mooring station for fishing and locallyowned boats, and a yachting centre. Occasionally the latter harbour is also used for the berthing of small cruise liners and cargo vessels.

OTHER PORTS A major project is underway to upgrade the berthing and passenger handling facilities in the port of Cirkewwa. This development will mirror the works that were carried out in the port of Mgarr Harbour (Gozo) where a modern passenger terminal has been built. These two ports cater mainly for the inter-island ferry service. This sea-link is crucial for the sustainable development of the island of Gozo.

The ports of Marsamxett and St Paul’s Bay are also designated as ports in terms of the Ports and Shipping Act. However these are mainly used for the mooring of pleasure craft and fishing boats.

Maritime Malta the legal perspective |

Over the past 25 years Malta’s maritime stature and presence in the international arena has grown substantially. Today our maritime diversity is evidenced by the fact that Malta is home to the second largest shipping register in Europe; it has one of the deepest natural harbours in the world; it is home to numerous marinas which now welcome some of the world’s most glamorous superyachts; it has a tradition of ship repair with numerous yards and docks; it is a fascinating visiting port of call offering two separate destinations - Valletta and Gozo - for the hundreds of cruise liners either visiting Malta or using Malta as a home port; its position, equidistant from the straits of Gibraltar and Suez, makes it an ideal bunkering location; it boasts of a Freeport which is a highly successful transhipment centre and it is also home to the International Maritime Law Institute, a post-graduate academic institution under the auspices of the International Maritime Organisation. This has not happened by chance or by accident. It is a direct result of careful

planning, a good workforce prepared to deliver value for money and a “can do” attitude. In addition and most importantly, the one single thing which will give investors and their financiers the degree of comfort required is a stable, reliable and solid legal regime and laws which is what we have in Malta. Malta is indeed very fortunate to benefit from both the legacies of Civil Law as well as the legacies of English law. The reason for that is quite simple. Before Malta became a colony in 1801 Malta had a fully developed law based initially on the Roman law of Justinian and later, on the Code Napoleon together with a highly developed judicial system. When the British came to Malta they therefore found an established highly developed legal system. However the years covering British rule in Malta, from 1801 to 1964, were extremely important in terms of shipping legislation being promulgated in England during this period. As a result of the fact that we were a colony, a number of shipping laws passed in England during this period became law in Malta.

Malta gained its independence in 1964 and a number of important commercial laws passed by the Maltese Parliament since then have been based on the British model. These include several laws in the financial services sector, company law and shipping. All of this, coupled with the fact that English is the second official language in Malta which means that all our legislation is available in English, gives investors and their financiers a huge degree of comfort. This also lends itself to less bureaucracy than that which one encounters in other jurisdictions where everything from the simple power of attorney to the most complex corporate documents needs to be typically translated from English to the working language in the respective country, notarised and apostilled. There is none of that here because copies of the original documentation in English are completely acceptable. There is no doubt however that one requires a hugely diverse body of maritime laws to sustain Malta’s maritime activities. Neither can there be any doubt about

the fact that a solid legal base wherein potential investors and their financiers feel that their investment is on firm footing is fundamental. Without it, no country can aspire to have good quality, high end investment. Maltese law has a substantial body of maritime law and laws which affect the maritime industry. In addition to the laws passed by Parliament, Malta is a signatory to an increasing number of international conventions related to the Maritime sector and since becoming a member of the EU we now have the entire body of European law directly applicable in Malta. As far as international conventions are concerned, there are a number of wellknown conventions and others which are less known which form part of the body of Maltese law. Amongst the more wellknown international maritime conventions are the Safety of Life at Sea Convention also known as “SOLAS”, the Prevention of Pollution from Ships Convention, commonly referred to as “MARPOL” and the United

Nations Convention on the Law of the Sea or “UNCLOS”, as it is commonly referred to. Malta can in fact lay claim to being instrumental in creating the necessary sentiment for a discussion on the need for such a convention when on November 1st, 1967, Dr Arvid Pardo, Malta’s permanent representative to the United Nations made a heartfelt appeal before the General Assembly highlighting the need to protect our oceans and to take all measures against pollution. It was Pardo who came out with Malta’s historic position that the seabed and ocean floor should constitute part of the "common heritage of mankind", a phrase that found its place in article 136 of UNCLOS. In terms of local legislation there are several laws which regulate every aspect of the maritime sector. A perfect example of Maltese maritime law is of course the Merchant Shipping Act and the several pieces of subsidiary legislation promulgated under the act. The Merchant Shipping Act was first promulgated in 1973. This piece of legislation is considered the “Bible”

regulating numerous essential pillars of the maritime sector in Malta which include registration of vessels, registration of mortgages, masters and seamen, safety of life at sea, pollution, special shipping inquiries, wreck and salvage, liability of ship owners and several other matters. This law is also the enabling law of so many other laws in the form of legal notices or indeed subsidiary legislation which are promulgated under the auspices of the Merchant Shipping Act. This includes the entire body of law regulating collisions at sea, training and certification, load line rules, limitation of liability on maritime claims, safe manning and watch keeping, shipping organisations, certification of commercial yachts and so many other areas. The reliability and stability offered by the law feature prominently in the ultimate decision made by the entrepreneur on whether or not to set up in a particular jurisdiction. This cannot be underestimated. If one were to take one particular example of how a law can positively influence the decision of a potential investor to choose Malta;

the perfect example would be the manner in which our Merchant Shipping Act has evolved over the years, fine-tuned and constantly updated to the extent that the Malta flag today is the European, white listed flag of choice for hundreds of ship owners.

With a mortgage, because the mortgage is in itself an executive title, the mortgagee may proceed directly with enforcement.

The reasons behind the success of the flag are several; most of them being of an operational nature, ranging from English being an official language, the tonnage tax regime, the fact that the regulator is in a position to give a service on a 24/7 basis if necessary, and a host of others. However there are reasons which are purely legal in nature and one of them is that our law offers a great degree of protection to the financier.

* The mortgagee can take possession of the vessel and whilst she remains in the ownership of her owner, may trade the vessel as though it belonged to the mortgagee.

Ships are more often than not financed by third parties. Financiers need to feel, today more than ever before, that the finance which they are making available for the purchase or construction of the vessel is well protected by the law of the flag. The choice of flag therefore has always been and remains, all the more so in the current world recession, a very important part of the equation. Unless the mortgagee is going to feel that the law of the flag protects his interest the financier will simply not agree to the flag chosen by the owner. Maltese law on its part is most protective of the mortgagee against a defaulting owner and this is yet another fundamental reason why the Malta flag has been so successful. The mortgagee under Maltese law is in a truly privileged position because the mortgage itself constitutes an executive title. This means that the mortgage itself is equivalent to a judgement. Thus in the case of a defaulting owner, the mortgagee does not have to commence an action on the merits against the mortgagor for defaulting on his payments. Any other normal creditor would have to commence an action, make a case in court, obtain a judgment and then enforce the judgment.

Again the law here is very accommodating towards the mortgagee. A mortgagee under our law has a number of options:

* The mortgagee can also go ahead and sell the ship privately however the disadvantage with this is that the vessel will be sold with all her privileged debts and thus will not be an attractive proposition to a potential purchaser * Alternatively the mortgagee can proceed with the Judicial Sale of the vessel. This is a sale which is ordered by the Courts, a date is set for the auction of the vessel and the auction is held with the vessel sold to the highest bidder. The vessel in a judicial sale by auction is sold free and unencumbered (thus shedding all its previous debts) however there is no reserve price and it can go for very little. Unfortunately it is not uncommon for vessels to fetch a fraction of their price at a judicial sale by auction. If this occurs then a vessel may be sold well below what she might actually be worth. * However a mortgagee under Maltese law has a fourth alternative; he can proceed with a court-approved private sale. The court-approved sale allows a mortgagee to find a private buyer and negotiate a price, thus eliminating the uncertainty of the sale price. The mortgagee then files an appropriate application in court requesting the court to approve the sale whilst presenting 2 independent valuations of the ship to show that the

sale price is equal to or in excess of the valuation. The court then approves the sale and the vessel is sold free and unencumbered. This method ensures that the vessel will be sold for an agreed price, rather than leaving it to chance in a judicial sale and it is particularly handy in the context of a depressed, secondhand tonnage market. In this manner, all the parties involved including the ship owner himself get the benefits of the private sale and of the judicial sale without the disadvantages. One of the most important reasons behind Malta’s successes in the international maritime industry is that Malta is continuously thinking out of the box, improving the product and developing new solutions and equally importantly, updating its laws to ensure their compatibility with the needs, requirements and sentiments of the international maritime community. Another perfect example of this is the manner in which Maltese law has continued to develop to provide robust structures to assist superyacht owners as distinct from cargo vessels or passenger liners, in choosing Malta as their preferred jurisdiction. The law needs to reflect upon what is going on; it needs to be sensitive to both the requirements of the user and the regulator and therefore needs to be updated continuously and religiously. In this area too we are rather fortunate in Malta because we can boast of a regulator and legislator who are continuously working with the service providers with a view to ensuring that the laws constantly reflect the exigencies of the industry. As service providers, it is a huge relief to know that the regulator and the authorities are four square behind us with the necessary support and encouragement always ready to take on board our recommendations for the continuous updating of our maritime laws.

Setting Sail, Staying Safe & keeping in touch with those ashore‌ Mandy Calleja We are living in an age in which communication has become second nature to us, and wherein the vast range of communications tools at our disposal have become so widely available that we take the ability to communicate at the touch of a button very much for granted. With the proliferation of smart technologies, our day-to-day living has become in sync with the electronic devices available to us, and we are thus able to communicate any time and anywhere from any corner of the globe. Because communications technology has become such an integral and seamless part of our life, we very rarely think of the intricate network of physical infrastructures, radio frequencies, legal, regulatory and commercial activities required to make such communication possible. Can you imagine the planning and coordination that is required for our communications networks to minimise interference and most importantly ensure a reliable and effective service both at national and international level. Most of us immediately associate communication with land communication, the traditional mobile and fixed telephony and internet services‌ because this is what we are most accustomed to. But what about the air and sea communication, which simultaneously takes place amidst the millions of land communications exchanges occurring on a daily basis? Whatever the case may be, all communication is heavily dependent upon reliable transmissions. Spectrum, an essential component in modern communication, is allocated for different uses. It is also a scarce resource that needs to be allocated and assigned efficiently. This is undertaken through coordinated efforts between countries and organisations such as the International Telecommunication Union (ITU) and the European Conference of Postal and

Telecommunications Administrations (CEPT). The Malta Communications Authority (MCA) is the national contact point with such agencies. Many are familiar with the fact that the MCA is the national entity responsible for the regulation of communications sectors, including spectrum management and eCommerce. The public is generally aware that the MCA oversees the mobile and fixed telephony, TV distribution services and broadband markets. What many may not realise is that the MCA is also responsible for maritime licensing as part of its spectrum management function. In this regard, it manages and assigns maritime identities in collaboration with Transport Malta, approves all maritime radio equipment that is to be installed / used on Malta-flagged vessels, carries out inspections on board vessels to ensure compliance of radio equipment with national and international regulations and also issues coast radio station licences. Any type of individual radio licence for vessels is currently being issued by Transport Malta. Interestingly, as from the end of December 2012, Malta ranked first in Europe and seventh worldwide in regards to the number of registered vessels (in terms of gross tonnage), having approximately 1,700 registered merchant ships and 19,000 registered small vessels, which include pleasure yachts, fishing and open boats. There are a number of other local entities that are involved, in some form or another, in maritime licensing. These include Transport Malta, the Fisheries Department, the Malta Competition and Consumer Affairs Authority (MCCAA), equipment dealers, as well as the Government, which sets policies and approves the applicable legislation. With so many entities coming into play, what must a first-time vessel

owner do to ensure that all relevant regulations are being adhered to? At the outset, it is important that a vessel is registered. Of course, if as a new owner you have purchased a second-hand vessel, the likelihood is that the vessel has already been registered by its previous owners. If you have purchased a brand new vessel, then this needs to be registered under the Maltese flag. This process is handled either by Transport Malta or by the Fisheries Department, depending on the type of registration needed. It is highly recommended that any vessel owner should ensure adequate radio communications on board. Such equipment is essential, particularly in cases of emergency or to receive regular updates on weather forecasts and other important maritime information. In fact, in 2008 a general authorisation regime was introduced to encourage all boat owners to install and use a VHF radio or an Emergency Position Indicating Radio Beacon (EPIRB) on board their vessels to improve the safety of life at sea and simultaneously assist the search and rescue authorities in cases of distress and emergency. Local legislation also requires that any Maltese-registered vessel equipped with radiocommunications apparatus must be assigned with the applicable maritime identities, mainly regarding call signs and Maritime Mobile Service Identities (MMSI). Call signs are a unique designation for the maritime VHF equipment. MMSIs are also unique and are composed of 9 digits, assigned to vessels having Digital Selective Calling (DSC) enabled maritime VHF equipment and/or EPIRBs. Batches of identities are assigned by MCA to Transport Malta for direct assignment to merchant ships and other craft such as pleasure yachts and commercial vessels. The MCA

Call signs and MMSIs are assigned to the vessel and not to the personal owner of the vessel or equipment in question. Both types of identities are not transferable between vessels and as such remain valid throughout the lifetime of the vessel, as long as the vessel remains registered under the Malta Flag. So now that you have purchased your maritime radio equipment, what happens next?

If you opt to purchase your maritime equipment from an online trader or directly from abroad, it is vital that you contact the MCA beforehand for technical advice to minimise the risk of importing equipment which is not compliant with national legislation or the regulatory conditions of the general authorisation. You will then need to take the equipment to the MCA laboratory so that basic tests can be carried out to ensure compliance. Should the equipment you are purchasing be second-hand and DSC enabled and thus programmed with an MMSI belonging to a different vessel, then it is paramount that this is de-programmed accordingly. You will then be able to programme your radio with the MMSI assigned to your vessel.

The dealer from whom you have purchased your equipment is obliged to complete a notification form, which is required for an identity to be assigned to your vessel. You will be asked to provide a copy of your ID card, as well as a copy of your vessel registration certificate, which will then be attached to the notification form. The dealer will then forward the completed notification form to the relevant Authority – to the MCA in cases of ‘S’ registered and fishing vessels under six metres and to Transport Malta in cases of ‘Valletta’ registered vessels. A one-time administration fee of €55 is applicable in order to be assigned an identity. Upon receipt of payment, the relevant Authority will then provide you with a certificate indicating which call sign and/or MMSI has been assigned to your vessel. If you have been assigned an MMSI, you will then need to take your

If you have purchased a vessel which was previously registered under a foreign flag and already includes equipment that was purchased and installed abroad, you should contact the MCA to make an appointment for your equipment to either be tested in the MCA laboratory or by a technician via an onboard inspection of the equipment. If you are also in possession of an EPIRB, you will need to contact the Merchant Shipping Directorate within Transport Malta in order to register your equipment and if

necessary, apply for an MMSI. If your vessel has already been assigned with an MMSI for a VHF DSC radio, the same identity should be programmed in the EPIRB – remember that any vessel may only be assigned one call sign and one MMSI. Once the EPIRB is programmed, a copy of the programming report should be forwarded to Transport Malta. You are now ready to set sail, be it for pleasure or commercial activity. What remains essential is that every precaution is taken so as to ensure your safety and that of your crew and passengers and other vessels.
