10-11 The Desirables
Solihull has lots of new businesses emerging which reinforces the message that we continue to be the place to invest and we are thrilled to welcome the award-winning Asha’s to Touchwood centre along with the funky new Jamaya restaurant. Another great addition is the independent 'Vines' shop selling skateboard and surfing inspired clothing, interesting to hear from Paul Vale, the owner, about his exciting venture. Fiona Sanderson is an inspirational lady who runs the Work Wellness company featured on page 15, it is great to see that more focus is being given to the issues surrounding wellbeing and mental health awareness and I can fully recommend the courses to start you on the road to becoming a mental health first aider within your workplace.

John Lewis and Partners Solihull Personal Stylists show how apprentices can wow the office aylor Mullins and Tom Marigold were given a personal makeover and new outfits to wear to work by John Lewis and Partners Solihull stylists after being recognised as two of Solihull’s most talented employees. The stylists worked their magic as part of the first ever Solihull Business Expo, which took place at Solihull’s Crowne Plaza Hotel on Wednesday, March 27th. John Lewis and Partners were one of dozens of businesses showcased at the Expo, alongside workshops hosted by Google and LinkedIn and the offer of a free social media profile image taken by celebrity photographer Andrew Ogilvy. Taylor, a lead agent at BNP Paribas Personal Finance and Tom, a Section Manager at John Lewis and Partners, were recently recognised as two of the best workers in the town centre after Taylor won Best Apprentice at the Solihull BID Excellence Awards, while Tom was highly commended. Twenty-five-year-old Tom, who has been with John Lewis and Partners since he was 16, said: “It’s been great to get expert advice from a Personal Stylist. The suit I’ve been given is great. It’s really comfortable and definitely something I’ll wear for work. It’s really important to look good. It sets up a good first impression and helps get a meeting or interview off to a good start.
“If you turned up looking scruffy it’s not going to set a good impression.” Taylor added: “I love the dress. It’s so comfortable and fits really well. It’s great for work.
whether that be discreet or not. Make sure your hair is of course clean and styled well. Nails and hands are a must, get out that hand cream and nail file, men too. Shoes must be polished, toed and heeled if so.”
“It’s good to look and dress well. It shows you take your job seriously. “Our company motto is ‘be sure, be proud, be respectful and be clear’. This incorporates how you look. If you don’t dress appropriately it looks like you don’t really care.” Olivia Wheeler, Personal Stylist, John Lewis and Partners Solihull, said appearance plays a massive role in a modern workplace but staff can still portray personality though individual style. “Make sure what you are wearing fits. Don't let shirts gape on the bust and don't let trousers be too short,” said Olivia. “If something simply doesn't fit your shape, whether you size up or size down, don't buy it, even if it's a bargain, because it will reflect. If you’re investing in a lovely suit, or a gorgeous dress, make sure it fits. Tailoring makes all the difference,” added Olivia. Everyone naturally does a look up and down when meeting someone for the first time,
Style
T
9–5
Because 9-5 outfits don't have to be boring, here are a few tips to style your workwear.
1
Buy into quality and sustainability, not quantity If you're wearing a luxurious cashmere jumper, you're going to feel good over wearing a £10 viscous mix. Think of someone asking you where an item of your clothing is from, feel the pride of saying a luxurious brand.
2
Darker colours are seen to be smarter than lighter, don't assume it has to be black Don't always wear black, maybe wear an item of black but wear it with a colour that suits you, remember, not every colour suits you. But when it does, it really does.
3
Tailoring isn't cheap, but it is worth it Make sure what you are wearing fits. Don't let shirts gape on the bust and don't let trousers be too short, it is possibly the worst look. If something simply doesn't fit your shape, whether you size up or size down, don't buy it, even if it's cheap, because it will reflect. If you're investing in a lovely suit, or a gorgeous dress, make sure it fits. Tailoring makes all the difference.
4
Shoes, hands and hair Well groomed hair, manicured nails along with clean and polished shoes are essential, get out that hand cream and nail file, men too.
7
Wear a heel, only if you can walk in them A small block heel is coming back into fashion, designer and high street have caught on to the trend. While people want to wear heels, we're all aware they aren't the comfiest, at all. A small heel makes all the world of difference, lifts you up and stands your posture strong, which is what is needed in the workplace.
8
A good suit never dates Men, a good suit isn't designed for a particular era or to fit with trends. It's designed to prove its worth. The purpose and appeal of a good suit always remains, no matter the season or trend. A grey tailored, well fitted suit is a staple in every man’s workwear wardrobe, it is endlessly versatile and completes a contemporary professional look.
9
A coloured well done tie is a good finishing piece Don't be afraid of colour, it's an easy way to brighten up a suit. A general rule when it comes to picking out a tie and this is very general, is that your tie should be darker than your shirt. It should stand out against your chest and draw attention to the fact you’re actually wearing a tie
10
5
Shirts Tailored, regular or slim fit, find the right one for you, make sure you always tuck in your shirt and have at least two inches on the waist to leave. On the shoulders a shirt should cuff at the end of your shoulder, then it will shape you correctly and formally in all the right places.
6
When purchasing a shirt, check the quality. You're after a comfortable feel, and material, ideally cotton. Finally, check the length on the arms. Whilst it may fit everywhere else, put your arms out in front of you and check if it's too short or tight on your back. From your wrist you should have one-two inches to play with, anything more will be too short.
Whilst accessories make the outfit don't overdo it As I said, class never goes out of fashion. A scarf is a simple accessory. For example a black dress with a small neck scarf and blazer, ties it all together and brings in more colour, especially around the face. Invest in a good blazer A blazer shapes you, formalises and layers the outfit. It instantly gives the smart look. Rolling the sleeves up neatly by one or two will instantly tie you in and draw eyes to the waist.

BIRMINGHAM & MIDLANDS Vélo Birmingham & Midlands, the UK’s second biggest closed road cycling event, is returning on Sunday May 12th 2019, bigger and better than before, with an epic new 100 mile route taking 17,000 riders on an unforgettable journey through the West Midlands including two major city centres.

In between these two city centre adventures, riders will travel through Solihull, Warwickshire, Dudley and Sandwell where they will encounter stunning countryside, panoramic
views, picturesque villages, iconic climbs and tens of thousands of residents lining the streets to cheer them on. Moving the event into a Spring slot with additional daylight hours, together with an exciting new route, will provide the capacity and infrastructure to enable the event to fulfil its long-term ambition of becoming one of the world’s biggest and most iconic sportives. With the route travelling through some of the Midlands’ most vibrant and densely populated areas, organisers are taking the event to an even bigger audience in 2019 and will be working closely with local authority partners to ensure the event positively impacts the communities it travels through and provides a lasting legacy for the region. My business life…
Adrian Bryant
Adrian Bryant is Managing Director of Charles Strachan Solicitors in Solihull. With over 20 years of knowledge and experience in respect of all aspects of criminal law, Adrian manages a team representing clients facing a wide range of criminal allegations.
"I have learnt that you are only as good as the team that you build around you."
C
lients will be assisted from the point of arrest, attendance at the police station and if charged, through the whole court process, including the trial and sentencing.
What does your day-to-day role involve? “As Managing Director I have the responsibility for the business planning of the practice. In an ever changing business landscape the ability to respond and adapt to meet the client’s needs on increasingly tight margins is critical to the continuing success and stability of the practice. “My role as a solicitor requires me to represent those clients who face very serious offences that if convicted would result in lengthy custodial sentences.
“I will often be required to act as both lawyer and counsellor to my clients, in order to support them through what can be a very stressful and upsetting process.” What drives you every day? “I am passionate about the importance of ensuring that any person, whatever the offence that they are charged with, has the best legal representation available to them, to ensure that they are afforded a fair trial. It is extremely important to me that justice is seen to be done. “Due to the disciplines that we work within, we are in a unique position to support people through various life events from buying their first house, to enabling clients to retain the care of their children, or being acquitted of an offence that the court has determined that they did not commit.” What does success mean to you? “Success to me through the continuing growth of Charles Strachan Solicitors
is immensely important. However the success of the practice has to be measured against the importance of achieving the balance between profitability, the welfare of the staff that I have the pleasure of leading, and achieving the best possible outcome for our clients.” What’s the biggest lesson you’ve learned from your time at Charles Strachan Solicitors? “I have learnt that you are only as good as the team that you build around you. We are fortunate to have a diverse team of people that are employed within our practice. It is important that everyone who works with us, does so within in an environment where everyone feels valued, whatever their contribution. I have also learnt that people can often surprise you and that you should never underestimate the ability of a person.” Who inspires you?
“Archbishop Desmond Tutu inspires me, as throughout his life he has been able to stand up for truth and justice in the face of overwhelming adversity. My children also inspire me to cherish every day, and see the humour that family life brings.” What would you tell your 18-year-old self? “I would tell myself to always believe in your own ability and to never give up. If you are to embark on a legal career you need to be prepared to expend a great deal of time and effort in doing the best for your client, as well as having the ability to accept that you have no control over the outcome of the case. Whilst the financial rewards as a criminal practitioner will not be great, the rewards will be substantial in contributing your skills to ensure that justice can be seen to be done.”
NEWS & DEVELOPMENTS FROM ONE OF THE COUNTRY’S LEADING COMMERCIAL REGIONS
7 T
he financial cost to British business of mental ill health is estimated to be at least £26 billion per year – that’s equivalent to £1,035 for every employee. Research indicates that the return from £1 invested in health promotion and intervention is £5 in reduced absenteeism and temporary staff. For businesses, this presents a challenge as much as an opportunity to play a central role in strengthening the mental wellbeing of their workforce. Having a clear strategy in place and that proactively protects and cares for mental health issues will reap the rewards of a robust and resilient workforce. We spoke to Fiona Sanderson, from Solihull-based Work Wellness Ltd, at the first ever Solihull Business Expo, back in March, at the Crowne Plaza Hotel, where we paid particular attention to the mental health concerns of businesses and employees. Fiona has created this checklist to improve and support wellbeing in your workplace.
How is the mental health of your company?
TIPS FOR A HEALTHIER & HAPPIER WORKFORCE Around one in four people will experience a mental health episode each year, yet only one in eight adults with a mental health condition are currently believed to be receiving the treatment and support they need.
1
Establish a culture that recognises and promotes positive conversations about mental health at work. Putting a Wellbeing Policy in place that offers support and signposting options for employees who are experiencing concerns, creates a working environment where employees do not feel so afraid to speak honestly about their mental health.
2
Introduce MHFA England training for managers and consider Mental Health First Aider’s on site. Mental Health First Aid (MHFA) is an internationally recognised training course which teaches people how to spot the signs and symptoms of mental ill health and provide help on a first aid basis. MHFA won’t teach you to be a therapist, but just like physical first aid, it will teach you to listen, reassure and respond, even in a crisis. Adult MHFA courses are for everyone aged 16 upwards. Work Wellness provide MHFA courses delivered by quality assured Work Wellness Instructors.
3
Consider mindful practices. Mindfulness focuses our train of thought and with practice, helps ease anxiety. Mindfulness can be carried out individually or as part of group sessions at your workplace. Work Wellness has a network of qualified associates who can come to you. Colleagues too may wish to lead sessions. Many mindfulness apps can also be found online: headspace.com is one of them.
4
Encourage employees to take regular breaks. All too often we get absorbed in our work and forget or opt not to take a break. Moving away from the desk area, stretching (eases and reduces musculoskeletal aches and pains too!), taking a stroll, using the stairs, all heighten our awareness and can make for a more productive afternoon.
5
Exercise regularly. Take a lunchtime walk. Go and speak to a colleague rather than e-mail if nearby. Access lunchtime classes if you have a local gym. Recommended exercise of 150 mins per week improves both our mental and physical health. Dependent on your location, set up walking routes/clubs. Exercise and conversation are fantastic for mental and physical wellbeing.
6 7
Healthy food options. Signpost to healthy options in the restaurant. Hold healthy eating days. Regular reminders of the benefits of five a day fruit and veg, reducing salt and sugar. Making healthy choices boosts mood and energy. Introduce on-site confidential employee health-checks to promote wellbeing and support your workforce. Work Wellness offer 60-minute clinically-validated ‘Heart & Mind’ checks offering the opportunity for one to one support and professional guidance for your employees. SPECIAL REPORT: THE FUTURE OF HIGH STREETS
SOLIHULL BID STEPS UP TO HELP SAVE THE HIGH STREET UK high streets are under constant scrutiny with traditional retailers and household brands being forced to adapt to how we spend our money and leisure time. Solihull’s business leaders believe there’s a bright future if we embrace the changes. Stacey Barnfield finds out more.
H
igh streets can flourish if town centres can adapt to offer a wider range of uses and activities.
This is the key finding in a Government report that states retailers must accept the need to adapt and do more to offer what online cannot, focusing more on personal interactions and convenience. Published by the Housing, Communities and Local Government Committee, the report calls on the Government
to reform key planning and taxation, including the options of an online sales tax and reforms to business rates, to allow high streets to adapt to changing demand, and compete with online retailers such as Amazon on a level playing field. The Government study comes amid daily news headlines announcing ‘the death of the high street’ with the future of established household retail brands such as House of Fraser, HMV and Debenhams, finding themselves struggling for survival.
Despite this, a report by retail research company GlobalData suggests town centre spending is set to increase by 4.9% (£5.3bn) in the next five years, with convenience spending set to rise the most. And research by consumer group Which? has found there are now more than 22,000 coffee shops on UK high streets taking the spaces once occupied by retailers no longer trading. This adds to the belief high streets can evolve to become a mix of social and commercial space. A report by University of London’s Department of Economics into the impact of Birmingham Business Improvement Districts (BIDs) on local employment and crime rates found that on average BID areas are performing better than non-BID areas in terms of employment. Over the period 2003-2011, the percentage change in the number of units was 8.2% in BID areas whereas units grew by 4.9% in non-BID areas. In terms of employment, the reduction in the number of workers was much lower in BID than nonBID areas (-4.4% versus -7.7%).
The total number of crimes increased by 4.15% in BID areas during the period 2012-2017 whereas total number of crimes in non-BID areas increased by 12.36% during the same period. Solihull BID, the Business Improvement District for the town centre, embraces the belief that the high street is evolving and there is huge potential for a bright future. “High streets are where commerce and prosperity meet, and none more so than Solihull town centre,” says BID Director Melanie Palmer. “The BID team have become part of the business infrastructure here and are the ideal delivery agents for the changes required for future success. Our daily interaction with the 480 businesses within the BID area enables us to act as a barometer recognising the subtle changes in the way we do business. “We are able to respond to this information adapting our project areas to reflect the communities which we serve. It’s not the death
of the high street, it’s the transformation of the high street and the BID is here to help deliver those changes and keep our town centre very much alive and thriving.” The Association of Town & City Management (ATCM) is hosting a series of events across the country with a ‘Future High Street Summit’ that offer councils, town teams and BIDs the opportunity to share their ideas and experiences for a more prosperous future high street.
impacting on 2,500 stores and 46,000 employees. “Yet amid these figures, offers within the town centre seem to be growing. Leisure, in particular, seems to becoming more popular. Take a look at the growth of cinema, for example. The big chains are all expanding their reach but we have also had the introduction of plenty of challenger and boutique brands. “I would conclude that people are using the high street in a very different way, but they’re not deserting the high street.” Solihull has a thriving mix of retail, leisure and office-based sectors such as finance, banking
“If you want town centres to thrive you need to give them a purpose. There is no stronger purpose than being the place of employment.” Some experts suggest traditional retail units should be converted to residential and community facilities. Does McDonald believe this is a viable alternative? Ojay McDonald and professional services in its town centre. How can these various industries combine for the benefit of high streets? “Solihull’s mix of businesses is what gives it a strength that many other town centres lack,” adds McDonald.
“Every high street and retail unit is different. In many cases I would actually say that converting empty units into modern workspaces for a younger generation of entrepreneur creates a stronger purpose for people to visit and use their town centre, but there are probably opportunities out there to create community space and residential space as well.”
ATCM Chief Executive Ojay McDonald – a judge for the Solihull BID Excellence Awards – works with MPs, ministers, business leaders and placemakers across the UK and Ireland to support town and city centres. He believes the pressures facing high streets are complex: “The one thing I can say for certain is that consumer behaviour is changing at an almost terrifying rate,” he explains. “High street retail seems to be the biggest victim. The Centre for Retail Research said that in 2018, 43 national chains failed 17

SOLIHULL ON DISPLAY AT MIPIM Ambitious future plans for Solihull town centre were showcased at the international MIPIM property expo in Cannes, building on the success of the town’s reputation as a place to invest, centred around new landmark developments. Solihull is already a leading regional retail, leisure and office location and Solihull Council has developed a town centre Masterplan which will provide a blueprint for future investment and development in the town centre over the next twenty years. The Masterplan identifies new key strategic development sites in the town centre. One of the proposed developments is a new landmark office scheme, ‘Homer Road Gateway’. This has the potential to deliver over 10,000 sq m of new Grade A office space, in a key location by Solihull rail station. Future plans for the town centre include phased higher density residential development, an accelerated supply of office space along with further support for the evolution of the retail, dining and leisure offer. The aim of the Masterplan is to ensure the town centre remains and grows as a thriving location in which to live and work. Further information of the Solihull town centre Masterplan along with the draft document itself can be found at: www.solihull.gov.uk/masterplan

Solihull BID Business Expo Solihull BID's first Expo attracts more than 500 delegates.
More than 500 people attended the first Solihull Business Improvement District (BID) Business Expo. Held at the Crowne Plaza Solihull, the Expo was organised by Solihull BID to further promote Solihull town centre and its wide array of businesses. More than 30 businesses exhibited at the event, which was visited by Solihull mayor Flo Nash. Google Digital Garage provided workshops at the event, focusing on digital marketing, social media and self-promotion. Over 40 people also received a free corporate headshot
opportunity and had their photo taken by celebrity photographer Andrew Ogilvy. Of those attendees who responded, 82 per cent said they loved the Solihull Business Expo. BID director Melanie Palmer said: “Our first Solihull BID Expo was a huge success. We are absolutely thrilled with the outcome as over 560 attended the event and the feedback from businesses is that they gained some valuable leads and contacts. “We will be adding this to our calendar of events for next year to further promote the success story of Solihull.

Shop INDEPENDENT
THE VINES Solihull continues to be an attractive shopping destination and its wide range of independent businesses and boutiques is a big reason why. With unique items and expert advice our independents give the High Street that individual quality which the BID love to shout about and promote. The Vines offers a unique shopping experience, including well known skate and surf companies such as HUF, Brixton, Deus Ex Machina, Magenta and Polar Skate Co, as well as skateboard subsidiaries of Levi’s and Adidas. A packed house piled in for their grand opening in March confirming what a welcome addition they are to Solihull. We sent along our Digital Communication Lead Steven Coney to interview The Vines owner Paul Vale and discover why he has decided to bring his concept business to the town centre with his first bricks and mortar store.
Steven: Hi Paul, tell us a bit more about yourself – how did you get into running your own business? The Vines: I’ve always worked in the industry. I used to run the Two Seasons store when it was in Mell Square and I’ve also worked for O’Neill surf company in Birmingham city centre. I was then on the other side of things and was a sales rep for Rip Curl, a big Australian wetsuit brand. I had my own ideas about how I’d like to run things so that’s why I started my own business. S: At what point did you start thinking about opening up a brick and mortar store? V: About 18 months ago, I started talking to my wife about the idea. Last January we decided to go for it, we went to trade shows and met with brands to talk about us selling their products – it’s all gone from there. S: Did you have any reservations about opening up a physical store with the current challenges facing businesses around the country? V: You would be silly to not consider the challenges, but I know from my time in the industry and from research that it’s still a massive market. Something like 90% of retail transactions globally are still made in a shop. You have to change with the times – if you’re offering the customer something they want in a contemporary way, there is still success to be had. S: Was Solihull the prime location for you or did you look elsewhere too? V: Solihull was the only place we really considered. I felt that Solihull was missing something like us and that there was a gap
in the market waiting to be filled. I know from my time working at Two Seasons that there is a customer base in Solihull, so it made complete sense. I only looked at units in Mell Square and as soon as we walked into our unit, we got a really good feel for it. We’re just off the High Street which is a bonus and there are some really nice, premium retailers over the road from us like OSKA and Bridge. You then look down Drury Arcade and they’re pretty much all independent businesses that have been there for a long time so that gave me confidence that we were in the right place. S: What can customers expect to find in store? V: We offer skate hardware such as decks, trucks and wheels, as well as apparel from established skate and surf brands. There's some rad, up and coming European skate brands such as Polar and Sour. We’ve got a really good mix of premium, international brands as well as local and national ones. We have one brand called Riz Boardshorts and all of their products are made from recycled bottles. If your shorts have worn out after a few years, you can send them back and they will recycle them and give you money off your next purchase. We’ve gone with brands we personally like and who we feel have a good story. S: What sort of feedback have you received so far?
items, only 20% will be surf and that will be surf lifestyle items and brands rather than wetsuits and surfboards. S: What advice would you give to other entrepreneurs out there that would like to start their own business? V: Make sure you’re basing your business around something you’re passionate about. You’ll be doing very long hours so if you don’t have that passion and love connected to it, it’s very easy to give up. For me, I love skating, surfing, and the lifestyle around it so I’ve got that drive. As well as being my business and my job, it’s a hobby as well.
V: It’s been really positive. Some people think that skateboarding is still an underground culture kind of thing but it’s super mainstream now – there are 700,000 participants in the UK. Predominantly we will be selling skate

How's That? The country is all set to be bowled over this summer as the Cricket World Cup 2019 takes place on these very shores.
E
ngland will be going for glory on home soil and we’re giving all aspiring cricketers and total novices alike the chance to put their skills to the test. To coincide with the start of the Cricket World Cup, Solihull BID has organised for BatFast to be in Mell Square on Saturday, June 1st supported by Digbeth Dining Club. BatFast is a high-tech cricket simulator surrounded in a safe netting, suitable for all adults and children with their parent/guardian’s permission.
We spoke to former England international all-rounder Darren Maddy – now Head of Games at Solihull School on Warwick Road – about England’s chances and what it’s really like to represent your country. “For the first time in a while, England really go in as favourites and with home advantage, you’d like to think they’ve got a good chance of winning their first ICC 50-over tournament,” Maddy, who played in the 2007 ICC World Twenty20, said. “They’ve had some great warm-up games, if you like, recently against a rejuvenated West Indies team. It was a good test of their characters. “Having the home advantage can be huge. You know the pitches and have the crowd behind you which should make a difference. “We’ve got a good squad and quality players that can push to win the tournament. There will be pressure on them but there always is when it comes to England sports teams.
The simulator will be in Mell Square on Saturday, June 1st between 10am and 4pm and is FREE to have a go at – could you get the best score? Whilst we could find the next English cricket star right here in Solihull, it’s down to the current crop to try and take glory this summer. Currently the top ranked ODI team in the World, there will be plenty of pressure on the shoulders of Eoin Morgan’s team.
“Having played for England myself, I know that it totally absorbs you – it’s like a travelling show that goes from venue to venue. It’s a really exciting time not just for the players but also those that will be watching.” With five World Cup games being played at nearby Edgbaston Stadium in Birmingham, there is hope that seeing the action up close will inspire the next generation

of cricketers in the West Midlands. Maddy works closely with the youngsters at Solihull School and thinks cricket could be in for a boom period if all goes well. “The big thing is that we want this World Cup to inspire future generations of young cricketers to go out and play,” he added.
CRICKET WORLD CUP FACTS & FIGURES
“Rugby has really kicked on since England won the Rugby World Cup in 2003 and I think it could have the same effect on cricket if England won it this year.
Just 10 teams will compete in the Cricket World Cup 2019. Afghanistan and West Indies were the last two teams to qualify.
“We’re very fortunate in Solihull, it’s a vibrant area with a lot of clubs that play cricket and a lot of strong youth sections. There is a great sense of community in Solihull and it’s a great place to be.
The final will take place on Sunday, July 14th at Lord’s Cricket Ground in London.
“I’m heavily involved coaching cricket at Solihull School. We’ve had a winter program of coaching and now we’re getting closer to our summer season and our fixtures which is very exciting.”
England have never won the 50-over Cricket World Cup. Australia are the most successful team in history having won the tournament five times and are the defending champions.
Indian batsman Sachin Tendulkar has scored the most Cricket World Cup runs with 2,278 whilst Australian bowler Glenn McGrath has taken the most wickets with 71.
The first Cricket World Cup took place in 1975 and only seven countries – Australia, India, West Indies, Pakistan, Sri Lanka, England and New Zealand – have played in every tournament since.

Your local, award winning legal experts Thursfields encouraging West Midlands’ global trading companies to tighten up foreign commercial contracts Canny companies in the West Midlands are formalising their supply, distribution and agency contracts whether they trade in Europe or on a global scale. Stuart Price, Corporate and Commercial Director in the Birmingham office of Thursfields, said that Brexit and the need to trade on a global stage, had prompted many companies to tighten up and possibly extend their formal trading relationships with their foreign-based distributors, suppliers and customers. “The canny ones are ahead of the game and have been putting more formalised relationships and agreements in place in the period since the results of the referendum on the UK’s membership of the EU were known,” he said. The Birmingham office of Thursfields Solicitors has recently been advising companies trading with the United Arab Emirates, China and Germany, among others. “Political developments and the increasing awareness of the 24/7, 365 days a year, nature of global trade combined with giant strides in e-commerce and fulfilment, has focused the mind of many CEOs and business owners,” said Stuart. He said it was absolutely essential that companies understood not only how UK legislation affected them but also how any agreement would be treated in the target jurisdiction. “There are many kinds of ‘business to business’ agreements, whether supply, distribution, agency or franchise, and it is vitally important to understand the differences and distinctions between all of them.”
Stuart Price Corporate and Commercial Director
A supply agreement sets out the basis upon which a supplier will provide goods or services, either to the end users or another business operating in a wider supply chain. A distribution agreement forms the relationship between a supplier and a customer, where the customer purchases goods to then sell on in a particular territory. Often this type of agreement is exclusive and operates to lock out other competitors. An agency agreement will come into effect where a company wishes to appoint someone in a particular territory to use their contacts in that that territory to market products. When orders are obtained, the company will then enter into a supply contract directly with the customer, often paying the sales agent a commission. A franchise agreement enables someone to purchase the right to operate a turnkey business operation in a particular territory. Again, there is often a degree of exclusivity in these arrangements, and generally intellectual property owned by the franchisor, is licensed for use. The franchisor will often create what is known as a master franchise agreement for a wider territory and the recipient of that master agreement, will have the exclusive right to offer franchises to franchisees in that territory. This is, therefore, an effective way of growing an international franchise operation. Stuart said: “Whereas no one likes onerous paperwork, taking the time to formalise your commercial relationships can actually be welcomed and bring comfort to both parties. A little bit of certainty in a relationship is a rare commodity in these difficult times and something to be cherished by both parties!” he said.
Thursfields are regularly asked to advise clients to review, revise and negotiate commercial contracts, both with national and international characteristics. You can contact Stuart Price on 0121 227 3371 or email sprice@thursfields.co.uk if you would like more advice on the implications Brexit might have on your business.
