BOARD OF DIRECTORS ANNUAL MEETING MINUTES Lawrence C. Cunningham called the 86th Annual Meeting of the Iowa State University Alumni Association to order Friday, May 17, 2019 at 4:50 p.m. The minutes of the May 18, 2018 meeting were approved as written. Chair-Elect Thomas A. Connop reported on behalf of the Tellers Committee that the five new members elected to the Iowa State University Alumni Association Board of Directors for four-year terms are: Kelli Ann Cameron (’02 Agriculture Education) (L) Taylor Davis (’17 Supply Chain Management) (A) Chad Harris (‘01 Political Science) (L) Cathy Schmidt (’88 Marketing) (L, SD) Martha Smith (’04 Agricultural Business) (L) RESOLVED: That the 2019 board election is official and the ballots are to be destroyed. Cunningham recognized the FY19 Executive Committee members: Thomas A. Connop, chair-elect; Nicole M. (Bell) Schmidt, immediate past chair; Timothy R. Quick, vice chair of finance; Kathy A. (Sullivan) Peterson, vice chair of records; Joan K. Piscitello, treasurer; and Jeffery W. Johnson, Talbot Endowed president and CEO of the ISU Alumni Association. He thanked them for their year of service.

Cunningham also recognized outgoing board members: Wendell L. Davis, Blake Heitman, Kari A. (Ditsworth) Hensen, Erin Herbold-Swalwell, Deborah Renee (Verschoor) Stearns, and Kurt Alan Tjaden. She thanked them for their many years of service to the Alumni Association. Cunningham presented the officers for FY20; Thomas A. Connop, chair; Kathy A. (Sullivan) Peterson,chairelect; Timothy R. Quick, vice chair of finance; Marc Mores, vice chair of records; Joan K. Piscitello, treasurer; Jeffery W. Johnson, Talbot Endowed president and CEO of the ISU Alumni Association; and himself as immediate past chair. Cunningham then introduced Thomas A. Connop, the FY20 chair of the Alumni Association Board of Directors. 3. APPROVAL OF THE CHANGES TO THE ARTICLES OF INCORPORATION* Connop

BACKGROUND The Iowa State University Alumni Association (ISUAA) is an Iowa public benefit corporation. The ISUAA last filed its Second Amended and Restated Articles of Incorporation (Articles) with the Iowa Secretary of State on June 20, 2006. Subsequently, the ISUAA’s Articles had been amended by the ISUAA Board of Directors (Board) to add a new category of members – annual business members. The amendment for the new category of members was approved by the Board on May 29, 2009; however, this addition wa not officially approved by the members of the ISUAA.

ISSUE In addition to board approval, Iowa Code 504.1003 specifies that amendments to the Articles of a corporation must receive member approval. As this writing, the Board is requesting members’ approval of the Board’s decision to add “Annual business members” as an eligible group for membership in the ISUAA. Annual Business Members officially began being recognized as ISUAA members in May 2009. The Association’s Board, when amending the Articles to properly recognize this new member category pursuant to Iowa Code 504.1003, failed to send the approved amendment to the members. The Board also seeks member approval to amend the Acknowledgment paragraph of the Articles. This change recognized that all prior changes to the Articles have been consolidated into this amendment and that the necessary approvals for the Board and members have been obtained.

REQUESTED ACTION 1. To read the ISUAA’s Third Amended and Restated Articles of Incorporation, please go to www.isualum.org/articlesofincorporation. 2. During the ISUAA Board of Directors Annual Meeting, scheduled for Friday, May 15 at 4:50 p.m. at the ISU Alumni Center, members present will be asked to approve the following three items related to the ISUAA’s Articles – (1) formatting changes; (2) amendment of the Acknowledgment paragraph; and (3) the addition of annual business members as an eligible category of membership in the ISUAA.
