Dear ITEC Board Member,
Thank you for your dedication to the ITEC Foundation and our mission to empower the children of Israel. Nearly 50 years ago, our founders used tennis as a tool to enrich the lives of children on the periphery of Israeli society. From a single center in Ramat Hasharon, ITEC has grown to 24 locations, now supporting over 10,000 children annually.
As a Board Member, we rely on you to be an ambassador for our mission, sharing our accomplishments with your network and actively participating in our board functions. Your financial investment, introductions to philanthropic friends, and participation in fundraising events help support critical programs like Girls’ Empowerment, Embrace, Living Together, Healthy Living, and Special Needs.

The Board meets annually, and your participation, along with your $10,000 annual contribution is essential for ITEC’s success.

Board Responsibilities
Along with the privilege of being a member of ITEC’s Board of Directors, the following responsibilities are expected:
• Attendance at Annual ITECF Board of Directors meetings (in person or Zoom)
• Participation in ITEC activities – events, exhibitions, and galas
• $10,000 minimum annual contribution to support our social impact programs
• Expanding ITEC’s sphere of influence:
• Introducing ITEC’s mission to friends, family, colleagues – inviting to events, arranging meetings with ITEC development staff
• Connecting ITEC to foundation in your community and introduction to local Federation executives
In addition, as a member of the ITEC Board of Directors, an ambassador for our organization, we ask that you fully embrace and respect ITEC’s position as a 501c3, and our apolitical stance.
Confidentiality is expected among all Board Members, and no materials distributed among the Board are for use outside the organization unless it is specifically noted as such.
Please respect the privacy of our Board Members. Contact information for our Board is considered confidential and not for public distribution or use for matters outside those of the organization.
Conflict of Interest Disclosure Statement
In order to ensure compliance with the Israel Tennis & Education Centers Foundation (ITECF) Board of Directors’ Conflict of Interest Policy, as stipulated in the by-laws, Board Members are requested to complete the Disclosure Statement below. Please read Section 10 of the by-laws “Director Conflict of Interest” which is reprinted below, before filling out and returning the enclosed Conflict of Interest Disclosure Statement via mail or email to Regina Khaimova, rkhaimova@itecenters.org.
Please be sure to include everything that might be considered a conflict of interest so there is no misunderstanding. If no conflict of interest exists, please state so on the disclosure.

Section 10. – Director Conflict of Interest:
No contract or other transcation between the Corporation and one or more of its Directors or any other corporation, firm, association, or entity in which one or more of the Directors are officers or directors or are financially interested, shall be either void or voidable because of such relationship or interest or because such Director or Directors are present at the meeting of the Board of Directors or a Committee thereof which authorizes, approves or ratifies such contract or transaction or because his or their votes are counted for such purpose, if:
1. The fact of such relationship or interest is disclosed or known to the Board of Directors or Committee which authorizes, approves, or retifies the contract or transaction by a vote or consent sufficient for the purpose without counting the votes or consents of such interested Directors; or
1. The fact of such relationship or interst is disclosed or known to the members of the Board of Directors or Committee thereof entitled to vote and they authorize, approve, or ratify such contract or transaction by vote or written consent.
2. Common interested Directors may be counted in determining the presence of quorum at a meeting of the Board of Directors or a Committee thereof which authorizes, approves, or ratifies such contract or transaction.
Disclosure Statement
I have read and understand the conflict-of-interst policy for the Israel Tennis & Education Centers Foundation as detailed in Section 10 of the by-laws.
To the best of my knowledge and belief, neither I nor any person with who I have personal, family, or business relatship proposes to or has a director or indirect interst in or relationship to any individual or organization which proposes to enter into a transaction with the above-named Organization, except for:
If I find that I or any person with whom I have a personal, family, or business relationship proposes to or has a direct or indirect interest in any individual or organization which proposes to enter into a transaction with the above named Organization, I will make full disclosure to the Board of Directors of the aboved named Organization of such interest before and discussion or negotiation of such transaction, and shall not be present for any discussion, vote, or exert any personal influence or take any other action in connection with the matter.
