INTRODUCING PIXELBOX Thank-you for taking the time to contact Pixelbox. Whether you are a new small business looking to get your name out on the web with your first website, or a large established business looking to improve your web conversion rate or overhaul your existing website. You’ve come to the right place. At Pixelbox we eat, sleep and breathe the web. When we’re not actively working on a client’s project, we are enthusiastically researching new developments and trends to enable us to keep up to date with an industry that changes on an almost daily basis. We understand though that our enthusiasm and confidence with the web is not universally shared and that a lot of people are daunted by the thought of trading online or even setting up a business Facebook page. We have developed this document to provide you with all of the knowledge you will need to commence your project with us but if there is anything you want to know that we haven’t covered or you want anything clarified or explained. Sara Boyd Sara is originally from Sweden where she graduated as a retail-marketing specialist and has extensive marketing and sales experience both in her homeland and here in the UK where she has worked for the last 10 years working with names such as NCR, HBOS, Samsung and Alpha Airport Shopping. As well as managing the day-to-day operations of Pixelbox, Sara is also the creative talent creating eectiveand strong visual identity for your business.

Jason Boyd As an Information Systems graduate Jason is a master of all things web - a fact recognised by W3C, the body that oversees the World Wide Web, where Jason serves as an invited expert on the HTML5 Working group actively steering the future of web standards. Jason is a passionate advocate of web standards and accessibility and regularly consults on these issues. PROJECT SCHEDULE This is the schedule that a small web development project will follow. It details what information and materials we will need from you and when we’ll need them. Whilst we will always be flexible on content and sign-off deadlines it is important that we stay as close to the schedule as possible. When we price a project the price is based on this schedule so any considerable delays that are not agreed in advance may result in additional costs for the extra time it takes to complete the project.

Week 1 - Discovery phase The first phase of the project is essentially the information gathering stage where all of the essential information pertaining to the project will be brought together by the project manager to form a scope of work and define all of the tasks that need to be completed for a successful outcome. At this stage in the project you will have already made your payment for 40% of the projected total project cost. We will also have full details of your business, how you work, where you work, your industry, and your target client/customer. During this first week of the project we will carry out some research on your industry, competitors and target customers and from this research we will create a customer profile which will tell us all about your target audience: including a demographic profile, how they buy, where they buy, why they buy. This allows us to accurately target the imaging and copy on your website to ensure it appeals to your target audience. At this stage we will also need to have sight of any existing branding or corporate identity you wish to incorporate in the website.

Week 1 - Information Architecture phase This second phase of the project is the page structure stage where we will create a wire-frame of pages that will form your website along with outline details of the purpose of each page. 08

You should use this week to think about the information (copy) you want on your website. At this stage we will need you to sign off on the pages you want to form your website.

Weeks 2 and 3 - Design phase This is the stage in which we will create the visual layout and styling of your website. All visual elements including images, logos, illustration, video and photographs will be sourced, created and in place. We will ask you to view and feedback/signoff on the visual design at this point. In our experience we have found that two design rounds are sufficient to achieve a layout that everyone is happy with. However, we are flexible on this and we are happy to carry out further design rounds on agreement. Once we have a signed off layout design we will then mark up the design and build functional templates for your web pages. Again we will show you the templates and ask you to feedback/signoff.

Weeks 4, 5 (and 6 where necessary) - Development phase The Development phase is where all the earlier work is brought together and built into the final functioning website. Your website will be developed on the web server but will not be viewable by the public, who will instead be presented with a “coming soon” holding page. Towards the end of this phase you will be given login details to be able to login whenever you choose and watch the live development of your site and review progress.

Once the website construction is completed, we will carry out browser and accessibility testing to ensure that your site is compliant with accessibility legislation and is viewable in all currently supported mainstream web browsers. Finally, we will once again ask you to look over the ďŹ nished website and ensure you are happy with everything and ready to go live. On receiving your signo we will raise our invoice for the remaining balance on the project and upon payment we will launch the website and handover to you.

EXAMPLE CONTENT This is an example of the content we require from you in order to write the copy for your website. Whilst we have tried to cover as much information here as possible, obviously some of the items below will not apply to you and your business and we may have missed some things here that are important to you and your business. It’s always better for you to to give us too much information than not give us enough. Write down everything you can think of and we’ll use the information to work with you to create the best copy for your website.

Target Markets List your target markets i.e domestic consumers, small businesses, large businesses, local authorities, central government, charities, legal profession, medical profession, plumbers, disabled people, children etc.

Target Demographics i.e Males, Females, specific age groups, specific occupations, specific locations, hobbies, political persuasions etc.

Competitors List details of other businesses you will be competing against.

Awards or Accolades List any awards or accolades you or business have received i.e Anytown business of the year 2012 etc.

Accreditations and Professional Memberships List any accreditations or memberships i.e CORGI certified, Guild of master craftsmen etc.

What makes you special? Provide details of why a customer would choose to buy from you rather than one of your competitors. Some people find this difficult but try to think as your customers think. What is it that makes you their choice.

Well known customers List any well known businesses, organisations or people you have supplied or served.

Case Studies, Work examples or Customer Testimonials List details of how you have solved previous customers problems or satisfied their needs. Include any examples of your work such as a photograph of products you have created or a room you have decorated etc. Ask as many of your customers as possible to provide you with a short testimonial, you can never have too many testimonials from previous customers on your website.

Any other information List any other details that you think are important to be included on your website. It is natural for small business owners to become accustomed to writing about their business in a “salesy” tone or using marketing speak. When writing the information for your website please try to avoid this at all costs and stick to cold hard facts written in plain english. This ensures that the copywriter has the actual factual information without any slants and can write the most effective copy.

STUDIO AGREEMENT Terms and Conditions of Business This agreement is for the purchase and provision of Web Design, Web Development and/or Web Marketing Services between You The Client (Hereinafter referred to as The Client), and PIXELBOX DESIGIN LIMITED of 87 BelďŹ eld Avenue, East Calder, West Lothian, EH53 0QY (Hereinafter referred to as The Provider).

1. Authorisation. The Client is engaging The Provider, as a contractor for the purpose of Designing, Developing and/or Marketing and Optimising the Clients presence on the World Wide Web.

2. Warranties. The Provider represents and warrants to the Client that they have appropriate training, experience and ability to perform the services required by this contract; that they will perform said services in a professional, competent and timely manner; that they have the power to enter into and perform this contract; and that their performance of this contract shall not infringe upon or violate the rights of any third party or violate any laws. The Client represents and warrants to The Provider that the Client will provide all imagery, information, and any other material as required to complete this contract, in a professional, competent and timely manner; that the Client has the power to enter into this agreement; and that performance of this contract shall not infringe upon or violate the rights of any third party or violate any laws.

3. Services. This agreement engages the provider to work with the client studio services basis. This encompasses one, several or all of the services oered by the provider including, Web Design, Web Development, Web Marketing, Content Marketing, Web copy writing, Web copy editing, Pay-per-click advertising, Social Media Strategy and campaign management, branding, Search Engine Optimisation, Web Marketing strategy advice and consultation. 14

4. Payments and Payment Methods. All products and/or services agreed in this contract shall be charged at the agreed price specified in the proposal or quotation. Payment must be made by bank transfer or standing order. Bank details are shown on all invoices and statements. Alternatively for small transactions under £100 The Provider can accept payments made via PayPal™ to our PayPal™ account. The Provider does not have the facilities to accept payment by any other means. Only once a payment is cleared funds will it be deemed received. International customers: The only accepted payment method for International customers is Bank Transfer.

5. Payment Terms. Payment terms vary depending on the services being provided. Payment terms will be agreed upon in advance between the client and the provider but generally terms are as follows:A deposit equal to 40% of the total estimated cost of the project will be required to be paid to the provider prior to any work being commenced. The remaining 60% along with any additional fees or expenses agreed between the provider and the client shall be due and payable upon completion of the project and prior to the public launch of the website or handover of work to the client. Where services are purchased on an hourly, daily, or weekly basis and are payable monthly in advance.

6. Additional Expenses. By acceptance of this agreement the Client agrees to reimburse The Provider for any additional expenses necessary for the completion of the work and notified to the Client by The Provider prior to incurring such expenses.

Examples would be purchase of software, special fonts, stock photography and images.

7. Additional Services. Any work the Client wishes The Provider to perform not specified in the project quotation or specification shall be considered “additional work” and will be subject to additional charges at the Provider’s standard charging rate (currently £37.50+VAT per hour). There will be no reduction in charges if the Client reduces the requirements of the project.

8. Completion. Unless agreed otherwise. For the purposes of this agreement, Website Development projects are considered to be on a fixed term and shall conclude at the time of the public launch of the website/application. All other web marketing and optimisation services are considered ongoing on a rolling contract without a fixed completion date.

9. Copyright and Trademarks. The Client represents to The Provider and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks or other artwork furnished to The Provider for inclusion in Marketing activities are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements and will hold harmless, protect and defend The Provider and its subcontractors from any claim arising from the use of such elements furnished by the Client.

10. Limited Liability. The Client hereby agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the web hosting service or host server. Abusive and unethical material and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, any harassing and harmful material or uses, any illegal activity or material avocation illegal activity and any infringement of privacy or libel. The Client hereby agrees to indemnify and hold harmless The Provider from any claim resulting from the Client’s publication of material or use of those materials. The Client hereby agrees to indemnify and hold harmless The Provider in any claim resulting from the submission of illegal materials. The Client hereby confirms that where necessary they have sought and clarified the legality of any website/business/project/plan/idea that they ask the provider to work on and the client hereby agrees to indemnify and hold harmless the provider in any claim resulting from a failure on the part of the client to seek and/or verify such legality. If The Provider shall acquire an Internet domain name on behalf of the Client, then in such case the Client hereby waives any and all claims which it may have against The Provider for any loss, damage, claim or expense arising out of or in relation to the registration of such domain name in any on-line or off-line network directories, membership lists, or registration lists, or the release of the domain name from such directories or lists following the termination of the providing of this service by The Provider for any reason.

11. Intellectual Property. Ownership and copyright to the finished, assembled web pages, templates, graphics, websites, logos, branding, artwork, marketing copy, source code and instructional materials produced by The Provider rests solely and exclusively with the Provider.

Upon full and final payment of the total agreed fees, copyright ownership to said finished, assembled web pages, templates, graphics, websites, logos, branding, artwork, marketing copy, and source code, is wholly and exclusively transferred to the client.

12. Nondisclosure. The Provider, except as directed by the Client, or if required to do so by law, will not at any time during or after the term of this contract disclose any confidential information to any person whatsoever.

13. Cancellation and Refunds. In the event that work is postponed or cancelled at the request of the Client, the Client will forfeit any deposit paid under this agreement. The Provider shall have the right to bill pro rata for work completed up to the date of that request and for any software, web scripts, images or other items purchased for the project, while reserving all rights under this contract. In the event of cancellation, the Client shall pay any expenses incurred by The Provider and The Provider shall own all rights to the work. The Client shall assume responsibility for all collection of legal fees necessitated by default in payment. If at any time the project is delayed due to a failure by the client to reply to communications from the provider or a failure to provide feedback or content/images/information required by the provider to complete the project. The provider reserves the right to raise further charges for each additional day incurred by such delays. Where the project is delayed for more than 2 weeks without agreement, the provider reserves the right to treat this delay as a request to cancel as detailed above.

Where it is specifically requested by the client, and agreed by the provider. Work under this agreement may continue beyond the notice period only in circumstances to allow appropriate time for handover of any or all ongoing work to a suitably qualified individual or business . Fixed term website development agreements can be ended at any time and by either party simply by intimating this in writing to the other party.

16. Summary and Jurisdiction. This agreement constitutes an contract between The Provider and the Client regarding Web Services. It shall be deemed accepted by both parties when the Client instructs The Provider to commence work and The Provider accepts the Client’s instruction. This contract shall be governed and construed in accordance with the laws of the United Kingdom and subject to the sole jurisdiction of the Scottish Courts. The parties agree that if any part, term or provision of this Agreement shall be found to be illegal or in conflict with any valid controlling law, the validity of the remaining provisions shall not be affected thereby.
