The success the Trust has had in transforming schools was epitomised by the words of former Education Secretary of State, Estelle Morris when in 2012 she described our work in Hackney as a ‘revolution in a decade’. In the latest report of Her Majesty’s Chief Inspector, Sir Michael Wilshaw has once again singled Hackney out for a spectacular rise in performance.

Professional clerking and independent strategic advice, training and support for school governors.

The Governor Services team assists the governing body in meeting its statutory duties and in its role to monitor the achievement of pupils, teaching quality, leadership effectiveness and the behaviour and safety of pupils, through the provision of strategic advice, guidance and support for school governors and by managing the administration of governing body meetings. The service provides specialist training for governors on all aspects of their role and holds an annual Governors’ Conference where current educational issues are presented and discussed. Our skilled and experienced staff ensures that the following meetings, hearings and panels are administered professionally in accordance with proper practice and are documented through an effective clerking service: • governing body and committee meetings • exclusion and parental complaint hearings • independent review panels The team also maintains databases of governing body essential records.

Benefits of the Service The service enables governing bodies and individual governors to undertake their role in the most effective manner through strategic advice and focused training and through experienced support when difficult issues arise. Through the professional clerking services, efficient record keeping is maintained and governing bodies are assured that they are acting in accordance with statutory requirements and within their remit. As a result governors are able to focus on their key concern – the achievement and well-being of the school’s pupils. Clerking Services These services are available for purchase only for those schools buying into the Basic Support Service: • Clerking of governing body and committee meetings. • Advice and support for chairs of governing bodies and committees. • The clerking service offer includes access to a database containing: -- attendance records -- committee membership -- terms of reference and delegation -- the register of pecuniary interests -- procedures and policies.

Training Services • Central training programme and induction is based at the Tomlinson Centre. This includes Induction packs for new governors.

N.B The clerking service will use electronic distribution of governing body meeting papers (but paper copies will be provided for up to 5 governors that do not have electronic access). For governing bodies requiring paper copies of meeting papers a charge will be applied.

Engaging schools and pupils in high quality, motivational musical experiences.

Our Music Service is one of the best you will find, but you don’t have to just take our word for it: in two external reviews, the Federation of Music Services rated our service as ‘outstanding’. We were also a finalist in the 2013 Rhinegold National Music Education Awards for Music Education Hub Innovation.

SERVICES PROVIDED Instrumental and Vocal Tuition • Regular tuition from experienced/ qualified instrumental and vocal tutors using a complete range of instruments for a minimum of two hours a week during term time.

The secret to our success? A responsive and flexible service with talented teachers, exciting partnerships with world-class ensembles, organisations and high quality local groups, as well as an array of large-scale performance opportunities. These, coupled with our pathways for the most gifted, mean that our students are now studying at some of the best conservatoires in the country. Unlock the potential of your young musicians by working with us.

• A basic stock of loan instruments is provided to Hackney schools as part of the package (guitar, violin, viola, cello, trumpet, trombone, flute, clarinet and saxophone).

• Our team of experienced and qualified music professionals support students of all standards, helping them to start and develop their musical skills. The service also identifies and develops talented students. • Our services culminate in major performances by pupils in public venues. The service is renewed automatically each year unless schools give half a term’s notice in writing. First Access Introductory Music Programmes (primary schools). • Whole Class Tuition – for new instruments. -- The programme can be delivered using either existing instruments or by introducing new instruments to the school. -- This year-long programme provides one term of whole-class instrumental tuition (e.g. 45 minutes per class) followed by two terms of charged small group tuition. -- In terms 2 & 3, a tutor will continue for at least two hours each week to teach those pupils who wish to continue to develop their skills with the instrument. -- In most cases, instruments are provided and included in the cost of the programme.

• Whole Class instrument taster scheme for tuition already in place. -- This is designed to act as a ‘feeder’ for existing instrumental tuition in the school. It covers a whole class during a morning or afternoon. -- Different instruments can be offered in five week cycles to meet the needs of each school. -- Children can try out instruments for a minimum period of 10 weeks to help them decide which instrument to play. -- Classes are three hours a week, including assessment. The whole class is taught in small groups of up to six for five half-hour sessions, mornings or afternoons. The First Access programmes meet a key requirement of the DfE National Plan for Music Education, which is to provide every child with the opportunity to learn a musical instrument.

MUSIC SERVICE Specialist Music Support • In-school vocal and classroom instrumental support (primary schools) -- A vocal specialist provides two hours’ weekly or fortnightly support for a 10 week term. -- Get the whole school singing and help improve the singing standards of students. An accompanist and a vocal coach can work with the whole school or key stages through assemblies. -- Vocal coaches support class teachers, providing all necessary resources and materials. -- Developing and supporting school choirs. An advisory teacher will help you set up a choir and advise on suitable repertoire. -- Any other bespoke vocal programmes are available on request. Residencies and Projects • Performers in Schools (primary and secondary schools) -- Professional musicians will visit your school to inspire students through performance and interactive workshops. • African Drumming and Dance Residency -- Whole-class African drumming and dance workshops, playing djembes, singing and dancing. -- Three hours a week for a 10 week term. Extra weeks can be purchased. -- Wednesday morning sessions cater for three classes, Wednesday afternoon sessions can cater for two classes with an after-school club. -- The material taught is performed at the end of the residency. • Carnival Samba -- Whole class Samba workshops. -- One hour per class for a 10 week term, leading to a performance at the end of the residency. -- Instruments are provided as part of the programme.

MUSIC SERVICE Music Festivals and Events A range of inspirational events for participating schools. These allow pupils to showcase their skills in public performances and gain personal confidence in performing with their peers. The annual Schools Music Festival is a culmination of schools’ work and a showcase for musical excellence. • Infant Singing Festival • Junior Singing Festival • KS3 Singing Festival • Instrumental Festival (primary and secondary) • Dance Festival (primary and secondary) • Autumn Gala Evening (by invitation) • Partnership Projects with over 30 Network Partners Transportation of musical instruments for events (e.g. festivals and galas) can be arranged at a cost upon request. Music Projects Music based projects of all kinds, tailored to specific requirements identified by the school. These might involve partnerships with other music organisations, music technology and songwriting projects, using iPads in music lessons, composition projects, technical assistance with school performances and recordings, or many other possibilities.

INSET and Training • Music training for staff -- Comprehensive range of musicrelated INSET and training, tailored to the specific needs of your school staff. -- Subjects range from INSET for class teachers, schemes of work and exam board options to music technology and systems for managing visiting instrumental tutors. Music Event Management We are able to offer bespoke event management services including PA Hire and engineers, logistical and technical support, for indoor and outdoor events of any type.

Graded Examinations (e.g. ABRSM, Trinity Guildhall) Candidates can be entered for graded performance exams twice yearly. They have a proven track record of developing leadership and management capacity and have immense expertise in areas such as whole-school improvement, succession planning, developing middle and aspiring leaders and training governors. From curriculum development and starting up or expanding sixth forms to Apprenticeships, we can provide expert advice and support to improve results. The service supports institutions and other Local Authorities responsible for the education of 11–24 year olds to help them improve outcomes for those young people. Benefits of the service • The service fosters and builds on long term relationships, identifying key priority areas to allow accurate targeting of commissioned services. • The service participates in key panLondon strategic bodies such as London Councils, and working crossborough ensures that existing good practice and innovative approaches to areas requiring improvement are applied. Services Provided • Bespoke packages can be developed for individual clients covering areas such as: -- curriculum development for post-16, Level 1 progression, vocational and specialist learning (including teaching and learning development, subject specific consultancy support, moderation, assessment and quality assurance, moving learners from passive to active participants, work based learning, CEIAG and enterprise education) -- post 16 leadership and management for schools and colleges -- performance measures (including understanding performance tables, progression measures and value added systems such as Alps) -- preparation for Ofsted including lesson observations with tailored follow up coaching -- Apprenticeships (including strategic support for LAs, employers or providers) -- Raising the Participation Age (including CEIAG and statutory requirements)

Sixth form capacity in Hackney increased by 500 places after successful bids, totalling over £3m, were coordinated by the service. Specialist qualifications have seen improvements from entry level to level 3 (in some instances achieving 100% pass rates). All Hackney institutions now offer Level 1 progression programmes to students in KS4, and many students are progressing to level 2 courses post 16. Support for SEN Post 16 transition has improved destinations for young people. London Borough of Tower Hamlets has commissioned the service to oversee Apprenticeship developments in the borough.

We are able to provide schools with a bespoke Ofsted readiness check. Our experienced leadership and management advisers will tailor a package to support you and your staff in preparation for your next inspection. Depending on your needs, our Ofsted readiness check can include any of the following: • Evaluation of the SEF, RAISEonline and School Improvement Plan • Analysis of in-school tracking data • Work scrutiny • Observations of teaching and learning with senior leaders from the school. This will give you external validation of the quality of teaching and learning over time • Discussions with school leaders, governors and pupils • Review of key documentation.

Our work culminates with leaders/ governors receiving verbal feedback identifying the main strengths and areas for development. This will be followed by a written report. Benefits of the service As a result of this support school leaders will: • understand the requirements of the latest Ofsted inspection handbook so that they can focus and prioritise their preparation • be able to present a convincing and compelling evaluation of the school’s achievements and context • identify where systems, evidence and impact analysis need further development and how this might be achieved • know the key actions to be taken to prepare for an inspection.

LEADERSHIP & MANAGEMENT

One Day Review

We can offer a condensed, bespoke one-day review of a key aspect of the school’s work – highlighting both effective practice and next steps. The review can focus on an issue raised in an Ofsted inspection or on aspects identified through your own self-evaluation. Recent reviews have focused on quality first teaching, the use of data to support precision teaching, assessment for learning, marking and feedback and the identification of any underperforming groups. One Day Reviews are carried out in partnership with the school. Verbal feedback is given at the end of the day. A written report, linked to the grade descriptors of the Ofsted framework, will follow. This will highlight strengths and priorities for improvement. Benefits of the Service • A review can be part of the school’s cycle of self-evaluation and/or linked to the Ofsted framework.

• It strengthens the school’s selfevaluation of teaching and learning. • It focuses attention on the evidence of best practice and strategies for improvement. The Programme The LIT programme is a complete literacy package, including: • methods for pupil identification on entry to Year 7

All planning is fully aligned with the Year 7 English Framework and the Assessment Focuses for APP, in addition to level 1 Functional Skills. The LIT Programme uses a mix of approaches, including meta-cognitive methods and effective feedback, but at its core is a method called Reciprocal Teaching. In this approach, the teacher and children take turns to lead discussions of a text and concepts, with the teacher showing children how to engage with reading and writing in increasingly sophisticated ways. Specifically, the teacher shows the children how to apply four comprehension strategies: summarising, clarifying, questioning and predicting. These strategies enable children to check they understand the content of the text, to identify exactly what the problem is, and to make inferences based on what they have read. In this way, the LIT Programme shows children how to ‘read between the lines’ in order to fully understand a text. Written tasks are purposeful and are based on classroom reading or current project work. They are tailored to the specific level of the pupils within each group.

This remarkable reading programme has been described as one of the best in the country, transforming even the lowest achieving children into able readers. Schools that have used our model have sustained outcomes year on year that are above the national expectations and are regularly among the highest achieving schools at Key Stage 1 in Hackney and beyond.

Services provided All services are chargeable and included within the cost of the one-year schoolbased apprenticeship training.

• Every Child a Reader is a national programme, based on a model of layered literacy provision originally established in Hackney schools. Its aim is to ensure that all children are reading at age appropriate levels by the end of Year 2.

• Introduction to systems to establish effective assessment monitoring and evaluation.

• The training programme is for experienced KS1 and Early Years practitioners who will oversee the implementation of a responsive literacy curriculum in partnership with their school leadership team. • Central to this process is the nomination of a key practitioner who will work with the lowest achieving Years 1 and 2 children every day, while completing one year training as a Reading Recovery teacher. This practitioner will provide expert guidance in school on all aspects of early literacy delivery and management beyond their training year (An Early Reading Manager).

New to Science Teaching Support Programme The aim of this programme is to support new or inexperienced teachers of science to develop greater levels of confidence and expertise in teaching science in the classroom.

These could include NQTs, Teach First or School Direct teachers, or practitioners who feel would benefit from looking at ‘the basics’ of science teaching again. The programme provides a supportive environment in which NQTs have time to reflect on how they plan and deliver science lessons. It will boost their early professional experience and inspire to look to science teaching with confidence, having developed networks for on-going peer support. There will be opportunities to learn from highly experienced outstanding practitioners. Schools participating in the programme will benefit from having more experienced and confident staff which will impact directly on both science results and retention of staff. All participants will: • Have a clear understanding of how to plan science lessons for successful learning • Be able to use effective assessment, feedback and questioning with their classes • Develop successful approaches to implement practical work in their teaching • Expand their teaching repertoire: successful group work, activities to develop higher thinking skills in science, student led learning and many more. Programme Outline The programme will consist of a number of twilight sessions to take place at either at The Tomlinson Centre, our conference centre in East London or at school venues to enable NQTs to see a variety of settings. Twilight 1 Planning ‘outstanding’ science lessons Because every lesson counts, the main focus of this session would be to plan science lessons with high levels of engagement using the lesson time effectively and challenging students’ thinking. We will also look at planning lessons for linear assessment.

Twilight 2 Implementing effective feedback During this session, we will look at ‘tried and tested’ examples of how to provide effective feedback to students in science, making marking of students work manageable. Twilight 3 Teaching science: expanding your repertoire The aim of this session will be to explore different teaching tools that make the learning happen: group work in science, higher thinking skills activities, impact demonstrations and many more. CPD (1⁄2 day) The content of this day will be decided based on requests from participants in the programme. The themes could include: A level science teaching, triple science teaching, behaviour in science, practical work in science, student led investigations or differentiation.

One to one support (5 sessions per academic year) Programme leaders will work on a one to one basis with each participant which will be observed teaching in their school. The focus of the observation will be discussed with the teacher and/or Head of Science to be in line with the Department’s Development Plan priorities. A coaching session will encourage teachers to reflect on their teaching and think of aspects that could be adapted to respond to the strengths and needs of students. Agreed targets will be set and will be reviewed in the next visit. A written record of the visit will be sent to the school. Around 37% of Hackney’s young people are eligible for Free School Meals (FSM), but not everyone takes it up. Similarly, take-up varies for our clothing grants for Year 6 pupils and our home to school travel grant. The benefits are obvious – parents save up to £390 a year with FSM and the school gets extra funds through the new Pupil Premium. But navigating the system to find out if a child is eligible and then persuading parent to take it up can be time-consuming and sometimes fruitless. That’s where we come in. Our dedicated team of pupil benefit advisers can assess pupil’s eligibility for FSM, and then contact the parents for you. We can do this on a rolling basis in case the parents’ circumstances change. • The service promotes the benefits available, assesses eligibility in line with Hackney FSM policies and clothing grants. • The service provides advice, guidance and support regarding pupil benefit legislation and policies. Benefits of the service • Schools are provided with the data needed to inform parents of the eligibility criteria for FSM. • The service has access to a national electronic checking system of DWP and HMRC data, which only local authorities are authorised to access, enabling accurate pupil eligibility analysis. This is vital for some schools as FSM eligibility is used as an indicator of deprivation and need in schools to target grants and funding. • The service also has access to a comprehensive IT system which allows the tracking of pupil movements and claims. This provides accurate numbers of pupils who are entitled to FSMs for census data submission. • The service reduces the cost, both in time and resources, for schools, particularly at the end of academic year and the start of the autumn term which are peak times for claiming pupil benefits.

At the heart of regular school absence, there is usually a deeper problem that needs to be addressed. Our experienced team can help you identify this issue and support the child back into school. • Through pastoral support, casework, strategic advice and planning and other initiatives, the service strengthens the individual school’s capacity to tackle attendance problems. • The service works directly with individual pupils and their parents to encourage regular school attendance, and undertakes statutory intervention to ensure attendance when necessary. • The service issues work permits and entertainment licences for children and also works with families who choose home education. Educational Psychology SERVICE Specialist support promoting the well-being and educational success of children and young people.

Educational psychologists (EPs) are trained in applied scientific methods and diagnostic and assessment skills, and have a thorough understanding of child development. They are registered with the Health and Care Professions Council (HCPC). We apply our knowledge, skills and understanding to promote the well-being and educational success of children and young people. We do this by empowering parents and carers and other professionals, and through direct and indirect interventions. We adopt a collective, joint problem solving approach that leads to shared understanding and ownership of problem situations and improved outcomes. EPs work with children and young people from birth to 25. We help ensure that: • children with special educational needs who are having difficulties at school receive the right kind of intervention

These strategic meetings (MAP meetings) focus on planning and monitoring progress and aim to help schools deal with their concerns more efficiently, using the Yearly Planner as a working document. We have excellent support throughout the year; whether initial consultations, observations or assessments or annual reviews, reports are clear and helpful and timely. The EP provides excellent feedback to staff and managers on classroom practice. She has a clear grasp of how the school needs to improve and is ’very on board’ in supporting our efforts to raise the practice in the school. Expertise helping primary schools provide early intervention and ‘extended schools’ provision that ensures opportunities for all young people and support for those who need it. Young Hackney is part of the council’s Children and Young People’s Service with a remit to offer ‘Opportunities for all young people and support for those who need it’. Hackney is committed to excellent universal provision. We believe that the most effective forms of early help are provided within, and as an extension of, these facilities. The Young Hackney Primary Support Units have been developed to complement the Core Service with specialist units that focused on, and were linked to, Primary Schools. Young Hackney has positive partnerships with outside agencies such as CAMHS, Hackney Ark, arts providers, adventure playgrounds, health providers, charities and sports clubs. The early findings of the work undertaken by the Primary Support Units indicate that the model is a promising early intervention model. This price funds and provides access to a fifth of a Primary Support Unit. Units will be linked to five schools however schools can choose to buy one or more “fifths” depending on their need. These units, comprising four operational staff and a part time clinician, are designed to provide an early intervention and ‘extended schools’, with Schools and the family home being the main delivery centres. They respond to the needs identified by the school. Kench Hill is Hackney’s residential environmental and outdoor education facility. It is housed in an elegant, but homely, Georgian mansion set in beautiful gardens in rural Kent. It is close to visitor attractions, such as Camber Sands and Bodiam Castle. It has been the base for Hackney’s school journeys for over 35 years, providing high quality, fun, curriculum-linked activities for primary and secondary groups. It also runs summer schools, Short Breaks for children with special needs and family learning weekends. The centre is available for families and groups looking for a special venue for events, workshops and so on.

Our expert staff can devise and help teach a programme tailored to your needs, from KS2–4, plus A level, or they can help you develop your own programme using our facilities, including our 17-seater minibus. Comprehensive Technical Support Our Comprehensive Technical Support is exactly that; comprehensive. All our packages come with the following as standard: • Regular scheduled on-site technician visits One of our specialist IT Technicians will be allocated to your site and will provide you with dedicated on-site support covering a broad range of IT Assets, software and technologies, including but not limited to: -- Whiteboards and Projectors -- PC’s and Laptops -- iPads and other tablet devices including smartphones -- Mac’s -- Servers; both Windows and Mac’s -- Network Switches, both managed and unmanaged including Cisco and HP -- Wireless; including whole site installations to the latest industry standards -- MFD’s and Printers.

IT SERVICES • Unlimited Service Desk Our Service Desk is open from 8am until 5.30pm Monday through to Friday. Our Service Desk team is staffed by qualified IT Professionals that have expert tools available to them to provide you with complete remote support and management of your systems. Our Service Desk team typically deal with but are not limited to the following: -- Incident & Service Request logging and troubleshooting -- Account creations, deletions and modifications for new starters and leavers. -- Proactive monitoring of key systems with fixes implemented before they become a problem -- And complete remote support, including Servers, PC’s, Laptops and Macs. Please note that we adhere to a strict policy that requires customers to authorise our remote control requests at the time of connection. Coming soon in 2014; Self-service; we will be able to provide our customers with direct access to our Service Desk system allowing you to view the status of all Incidents and Service Requests in real-time. • iPad Support We include complete technical support for your investment in iPads and associated technologies to support your use of iPads throughout your school. • Training Sessions for staff We include three, two hour training sessions per year with our IT Trainers (one per term). Our IT Trainers will work with you to understand your staff’s specific training needs. Typical training sessions are the following: -- Getting to know Microsoft Office 365; Email and Lync -- Getting to know your Interactive Whiteboard -- Getting to know your iPad -- Getting to know Microsoft Office; Outlook, Word, Excel and PowerPoint. • Asset Management We will deploy as part of this service specialist asset management software at no additional cost. We will maintain an asset database of your IT Assets. You will be licensed for this software while signed up to a Comprehensive Technical Support agreement with us. • Proactive monitoring of key infrastructure Our Service Desk team will use expert systems to proactively monitor your key systems and proactively respond to faults before they become problems.

• Antivirus and Spyware Protection We will deploy market leading Antivirus and spyware protection software across all your Servers, PC’s, laptops and Mac’s to provide you with constant protection at no additional cost. You will be licensed for this software while signed up to a Comprehensive Technical Support agreement with us. • Out of term maintenance We will use half term and term breaks as an opportunity to perform the essential out-of-hours maintenance of your IT systems. This maintenance and any associated on-site visits are at no additional charge to you and are designed to support our overall Comprehensive support of your IT systems. • Broadband Management We will: -- Proactively monitor your internet connection -- Manage and configure your URL filtering policies -- Configure and support your Remote Access to your sites applications and data. • DBS checked on-site technicians All our on-site technicians are Disclosure Barring Service (DBS) checked. • Additional Discounts All our Comprehensive Technical Support customers qualify for exclusive discounts on further IT Services. • Ofsted on-site support In the event of you being notified of an Ofsted inspection, we will provide pre-Ofsted checks to ensure Assessment and other key data of interest to Ofsted is up to date and accurate. We will also provide you support and assistance producing any reports requested by Ofsted inspectors during your inspection, such as, evidence of progress in a specific subject area by a specific group of pupils, e.g. ‘Progress made in English by boys on Free School Meals’, or ‘Evidence of improvement in Attendance by a specified pupil over a given period of time’ and so forth. • Deployment of releases, upgrades and patches to both SIMS & FMS There are currently three major releases per year and our team will ensure these new releases are deployed in a controlled manner following formal change control procedures. The team is highly experienced in handling high-profile media stories and has in-house specialists in every area of communications, including social media. To do this we adhere to a structured project management process to ensure that your website is delivered to agreed milestones: • A Hackney Learning Trust account manager will meet with you to discuss your needs and aspirations for your site, gathering information relating to target audience, branding, colourways, menu structure, imagery, and content. • The information gathered in the initial consultation will be used to prepare a detailed proposal and breakdown of costs on which to base your purchase decision. • Once the purchase has been confirmed we will provide your school website design previews in a digital format. Mediation An overlooked option as an alternative to process driven management of issues. This provides the potential for constructive outcomes that policy/ process may not achieve.

HACKNEY LEARNING TRUST TERMS AND CONDITIONS FOR PROVISION OF GOODS AND SERVICES 1. Definitions

8. Modifications and Variations

1.1.

8.1. In exceptional circumstances, the Trust may need to vary the schedule, content or delivery of the Products and will advise the Customer of its intention to do so.

“Agreement” means these terms and conditions on which the Products will be provided. “Customer” means the Customer stated within the Order, Quotation or Proposal as having ordered the Products. “Invoices” means invoices from the Trust to the Customer for the Price of the Products. “Order” means a request for products received by the Trust from the customer. “Price” means the amount charged by the Trust for the Products specified in the Order, Quotation or Proposal. “Products” means any Products ordered by the Customer as contained in any Quotation or Proposal. “Proposal” means any proposal attached to this Agreement. “Quotation” means an offer by the Trust for the provision of Products to the Customer and refers to Quotations attached to this Agreement. “Schedule” means agreed delivery patterns and times for a product. “Trust” means Hackney Learning Trust, part of The London Borough of Hackney, Town Hall, Hackney, London, E8 1DY.

2. Products 2.1. The Trust agrees to supply and the Customer agrees to purchase the Products on the terms and conditions set out in this Agreement. 2.2.

The Trust will provide the Products to the Customer in accordance with the Order, Quotation or Proposal.

3. Payment 3.1. The Customer agrees to pay the Trust the Price for the Products. 3.2.

Invoices shall be payable by the Customer within 30 days of date of issue. All payments should be made via BACS transfer. Where the Customer wishes to pay by cheque, this should be made payable to ‘The London Borough of Hackney’ and sent to the address on any Invoice.

3.3.

The Trust reserves the right to charge interest at a rate of 2% per month calculated on a daily basis from the date payment is due until payment is received.

3.4.

If a Customer has paid for Products that the Trust cannot provide, other than in situations where the Products cannot be provided because of some act, failure to act, delay or negligence on the part of the Customer, the delivery of the product will either be delayed, to such time that the Trust can deliver it or the Customer will be refunded or not charged for the Products.

4. Quotations and Proposals 4.1. The Customer, by signing the Quotation or Proposal, accepts the Price proposed by the Trust for the Products and shall be bound to pay the Trust that Price.

5. Trust’s Obligations 5.1. The Trust will make every endeavour to provide the Products in accordance with the Order, Quotation, Proposal and any other specific requirements that have been agreed between the parties in writing. 5.2.

5.3.

Should any revisions to the quotation be required, for example because of a necessary change of specification or price the Trust will advise the customer of these revisions and agree the details of the final order before it is placed. Though, the Trust cannot be responsible for prices changes from equipment and other third party suppliers, The Trust will make every endeavour to advise the customer of these changes and the potential impact on their order.

6. Delivery 6.1. The Trust shall endeavour to deliver the Products at the time and date and in the manner specified by the Trust or as otherwise agreed with the Customer. 6.2.

The Trust shall not be liable for any delay in the delivery of the Products howsoever caused.

6.3.

The Products may, by mutual agreement, be delivered in advance of the delivery date quoted on the Order, Quotation or Proposal.

7. Customer’s Obligations 7.1. The Customer shall provide the Trust, in good time, with all necessary information required to perform or provide the Products. 7.2.

The Customer will provide Trust with access to its premises if the Trust reasonably requires it for delivery of the Products.

9. Termination/Cancellations 9.1. Either party may cancel any or all of the Products contained in the Order, Quotation or Proposal by giving the other 12 week’s written notice. (This Clause, however, does not apply to Annual I.T. Support Contracts. Such contracts can only be terminated by the Customer for material breach after the Customer has given the Trust an opportunity to rectify alleged breaches). 9.2. If the Customer gives the Trust less than 12 weeks’ notice or cancels part way through delivery of Products, it may be liable for the full cost of the Service ordered or charged any costs that Trust incurs as a result of the cancellation, up to the full cost of the Service. 9.3. In the event that the Trust is unable to supply all or any part of the Products, it shall refund the Customer for that part of the Products it cannot deliver. 9.4. If the Trust has scheduled Products to take place on the Customer’s site, and the Customer fails to advise the Trust of any change in the schedule of those who will be receiving the Products within 48 hours before the Service is due to be carried out, then those Products shall be deemed to have been delivered and will be charged for by the Trust. 9.5. If delays are caused by the Customer not responding to the Trust with suitable delivery times to enable completion, the Trust may either extend the time in which delivery of the order can be fulfilled, and if no further action is taken after an extension of time is granted, the Trust may deem the products to have been delivered and charge accordingly. 9.6. If a Party is in breach of a material term of this Agreement and despite written notice from the other Party, fails to remedy such breach within 30 days, then the other Party shall be entitled to terminate this Agreement with immediate effect. 9.7. The Trust may cancel all or part of the Products (and refund a reasonably apportioned percentage of the Price) if it considers that the usage of the Product exceeds what the Trust considers to be fair use in all the circumstances.

10. Non-Solicitation of Employees 10.1. The Customer shall not, for a period of 12 months from the date of the delivery of the Products, (except with the prior written consent of the Trust) directly or indirectly solicit or entice away (or attempt to solicit or entice away) from the employment of the Trust any employee, worker, consultant, associate or other person involved in the delivery of any Products ordered under this Agreement. 10.2. The Customer shall not solicit similar products, as it has in the past received from the Trust, from an employee of the Trust via a private arrangement with that employee. 10.3. If the Customer breaches clauses 10.1 or 10.2 above, it shall, without prejudice to any other rights or remedies of the Trust, on demand, pay to the Trust a sum equal to either three months’ basic salary payable by the Trust to that employee or worker, or five times the Price for the Products in the case of a consultant or associate plus the recruitment costs incurred by the Trust in replacing such person. 10.4. To help the Trust safeguard its intellectual property, we ask the Customer to inform us immediately, should they be approached by former Trust employees to provide services which the Trust can provide.

11. Confidentiality 11.1. The Parties shall keep confidential all information pertaining to the Products and this Agreement, unless otherwise agreed. 11.2. All information processed under this Agreement shall be dealt with in accordance with the Trust’s information sharing guidance, the common law duty of confidentiality, any guidance from the Information Commissioner’s Office on information sharing, the Data Protection Act 1998 and the Freedom of Information Act 2000.

12. Health and Safety 12.1. The Trust and any of its personnel shall, when using the Customer’s premises or facilities, comply with the Customer’s policies and procedures relating to security and workplace health and safety.

13. Copyright 13.1. Copyright in all reports, documents and the like produced by the Trust in the performance or provision of the Products shall remain vested with the Trust, but the Trust shall grant an irrevocable, royalty free license to the Customer to use such Goods, reports, documents and the like for the specific purpose of the Products.

13.2. Any Products you purchase may only be reproduced for non-commercial or training purposes on condition that the Product has been purchased by the school, organisation or individual using it or because that school, organisation or individual has been authorised to use this material by Hackney Learning Trust, under special agreement. For the avoidance of doubt, Products may not be passed-on, resold, amended or delivered to third parties (either for commercial or non-commercial purposes) who have neither purchased the Product from Hackney Learning Trust or had the Trust’s permission to use it.

14. Dispute Resolution 14.1. Concerns relating to the Products provided under this Agreement should be raised in writing in the first instance with the service contact person at the Trust, whose details can be found on www. hackneyservicesforschools.co.uk 14.2. If the Customer’s concern is not resolved it shall be escalated to the Traded Services Team. The traded services team will work with colleagues including the trust’s senior leadership team to resolve the concern as soon as possible. 14.3. Where disputes arise that cannot be settled within the above resolution process, an option for referral to an independent arbitrator may be considered. In this case, the arbitrator’s decision shall be final and binding on the parties.

15. Limitation of liability 15.1. The Trust will provide and/or perform the Products for the Customer with reasonable skill and care and acknowledges that it may be liable to the Customer for any losses, damages, costs or expenses (“Losses”) if a breach of the duty of care, wilful default or dishonesty is established. 15.2. The Trust will maintain insurance coverage at a level commensurate with a business of the Trust’s size and risk profile, and include cover for employer’s liability and professional indemnity and malpractice with a reputable insurer. 15.3. The aggregate liability of the Trust, whether to the Customer or to any third party, in contract, tort or otherwise, for any Losses arising from or in any way connected with the Products shall be limited to ten (10) times the contract value, or £100,000, whichever is lesser. 15.4. However, the Trust will not be liable if such Losses are due to the Customer providing false, misleading or incomplete information or documentation or due to the acts or omissions of any person other than an employee of the Trust. 15.5. The Trust’s liability, whether to the Customer or any third party, in contract, tort, under statute or otherwise shall exclude any indirect or consequential loss or damage (including loss of profits) suffered by the Customer or any third party arising from or in connection with the Products being provided.

16. General 16.1. This Agreement constitutes the whole understanding between the parties and supersedes any prior discussions, negotiations, arrangements or agreements between the parties in relation to the Products. 16.2. The invalidity or unenforceability of any provision of this Agreement shall not affect the continuation in force of the remainder of this Agreement. 16.3. The rights granted to either party under this Agreement shall not be waived except in writing. Any waiver of any of such rights or of any breach of this Agreement by either party shall not be construed as a waiver of any other rights or of any other or further breach. 16.4. Failure by either party to exercise or enforce any rights conferred upon it by this Agreement shall not be deemed to be a waiver of any such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time or times. 16.5. The section headings contained in this Agreement are for convenience purposes only and shall not affect the interpretation of this Agreement. 16.6. Nothing in this Agreement confers or purports to confer any right pursuant to the Contracts (Right of Third Parties) Act 1999 or otherwise to enforce any of its terms on any person who is not a party to it. 16.7. This Agreement shall be governed and construed in accordance with the laws of England and Wales. 16.8. The parties agree that the Supplier may review and increase its standard fee, provided that such fee cannot be increased by more than once in any 12 month period. The Supplier shall give the Customer written notice of any such increase [half a term] before the proposed date of that increase. If such increase is not acceptable to the Customer, it may, within one month of such notice being received terminate the agreement by giving twelve weeks written notice to the Supplier.
