The legal issues associated with buying off the plan By Antonia Mercorella CEO, The Real Estate Institute of Queensland. The strong market conditions we’re currently experiencing across Queensland are not limited to established housing. We have also seem a increased demand and interest for new house and land and off-the-plan apartment purchases. There has been a marked increase in the number of new dwelling approvals over the past year, partly due to the Federal Government’s very successful HomeBuilder scheme. The scheme, which has now closed to new applicants, provided $25,000 for the purchase of a new or off-the-plan property valued up to $750,000 in Queensland before 31 December last year or $15,000 if a contract was signed from that date until 31 March this year. Unsurprisingly, the program has been a big hit with many buyers, with the total value of residential building jobs in Queensland increasing an impressive 67 per cent over the year ending February, according to Australian Bureau of Statistics data. Indeed, the value of building approved in Queensland has hit its highest level for more than five years. However, purchasing off-the-plan comes with a number of unique legal issues that buyers should understand before they sign a contract of sale. Firstly, when buying off the plan, it’s important to understand that you usually won’t be able to see the final result until after you’ve already bought the property, plus there may be unexpected delays in the building process. This means buyers are committing to purchase
something that hasn’t yet been built and may take a number of years before construction is complete. If considering buying off-the-plan, buyers must receive a disclosure statement from the seller that includes the following information: • Their name and address; • Identifies you as the buyer (by name and address); • Clearly identifies the land or unit you are buying; and, • Puts in writing their claims or promises about a future certificate of title. To identify a block of land, the developer must also disclose: • The proposed number of the lot; vThe total area of the lot; and, • The proposed orientation of the lot (by referring to north). Furthermore, buyers must sign and date the disclosure statement to confirm that they understand it. Of course, with every real estate transaction, buyers should always have the contract reviewed by a qualified legal professional before signing it, but this is even more important for an off-the-plan purchase. That’s because these contracts are not only very long, but also complex. On top of that, buyers are agreeing to purchase something that may not be completed for a number of years, which also has very limited situations in which they can back out of the

contract once they have signed it. In essence, the contract is generally binding once the buyer and the developer have both signed it. However, there are limited situations in which you can terminate a contract, which is why you should seek legal advice. In some instances, a buyer may be able to terminate the contract if they discover there’s a change to the initial disclosure about the state of the land and that the change will cause a significant disadvantage, which is known as material prejudice. This can occur within 30 days of receiving the notification or before the title of ownership transfers to the buyer, whichever is sooner. In this approach, the developer must have notified the buyer of a change in any detail that was set out in the disclosure statement. The buyer must then show that the change will cause them a substantial disadvantage, such as a significantly reduced unit size. Sunset clauses within the contract must also be fully understood before a buyer signs the contract. Essentially, a sunset clause puts conditions and limits on the contract, which could let the buyer, the builder or the developer cancel the contract. Again, it’s vital that buyers receive legal advice on this so they understand when the sunset clause can be activated and what happens next.
