It is just 29 months since the joint venture issued Bechtel with a Notice to Proceed with construction. That is as we anticipated at the time and it is in keeping with the most advanced and disciplined project construction practices anywhere in the world.

“We want to congratulate Bechtel and its team of 46 different sub-contracting companies that employed the labour and expertise of about 14000 people of 25 different nationalities. They have worked almost 60 million hours with a world class safe-manhours record.

“More than 700 Saudi citizens have completed their initial intensive training and are ready to take their place as skilled op-

erators within this smelter. That we can celebrate all this here today, in what was desert less than three years ago, is a great credit to everyone who has contributed to this project. This is exactly the safe and productive outcome that our JV committed to delivering, and we are very pleased that we are seeing it become reality.” Engr Busfar said.

Ma’aden recently signed a landmark SAR 9 billion Syndicated Revolving Facility in Riyadh. It is the largest SAR-denominated revolving credit facility, the largest singletranche syndicated corporate loan financing and the second-largest syndicated SAR corporate loan financing ever concluded in Saudi Arabia.

The company was originally exploring a facility size of up to SAR 7 billion, but following an overwhelming response from the banks , the management decided to increase the facility to SAR 9 billion to accommodate the demand from the banks and also further increase Ma’aden’s financing flexibility. A syndicate of 11 local and international

banks participated in the revolving credit facility, generating initial commitments exceeding SAR 17 billion (an oversubscription of almost 2.5x as compared to the originally targeted facility size) The unprecedented response from leading financial institutions underscores the fundamental strength of Ma’aden and highlights the market’s confidence in the company’s strategy as it embarks on supporting the diversification of the Kingdom’s economy.

“We are very pleased with the outcome of this transaction, particularly that the company was able to achieve very competitive terms despite a busy financing calendar. It is testament to the bank market’s confidence

in the company and its ability to deliver on its growth strategy. Ma’aden will be looking to further diversify its financing sources to support our growth plans in the medium to long term and to optimize our sources and costs of funding”, Khalid Al-Mudaifer, President and CEO of Ma’aden commented.

The importance of industrial and mining operations rules and regulations

Dr. Naser Al Dosari Legal Advisor The risks of environmental pollution resulting from industrial and mining operations are among the largest and most serious problems facing the world today. These risks are increasing day after day, and their negative impact on the environment is not limited to mankind, but also includes animals, plants, water, air, and soil, posing dangerous threats to future generations.

To avoid and mitigate potential environmental risks arising from industrial development, a number of international treaties have been signed and most countries have passed environmental bills to preserve the environment without compromising industrial progress. The Gulf region, in general, and Saudi Arabia, in particular, have a comparatively significant advantage in petrochemical, plastic, and mining industries. For this reason, the Gulf Cooperation Council (GCC) has issued a general environmental law and a unified system of environmental assessment designated for mining industries, rocks, ore, minerals, chemicals, etc. because these industries are required by law to report on the assessment of environmental impacts. Environmental assessment is defined as, “the studies conducted prior to the project licensing in order to identify potential environmental impacts as well as the appropriate means and procedures to prevent or reduce negative impacts or

achieve/increase positive returns of the project on the environment”.

In Saudi Arabia, we find that the environmental rules and regulations that organize and govern mining and industrial operations vary according to project sites, as follows: • Mining: Mines are governed by the ‘General Statute and Regulations of the Environment in Saudi Arabia’ specifically Articles (4, 5, 6, 8, 9, 11, 12, 13, and 14) which stipulate the need to adhere to the necessary action in order to protect the environment, as well as conduct the environmental measurements and studies required before and during the implementation of projects that may harm the environment. These mines are also governed by the ‘Mining Investment Statute’ specifically Articles (11, 27, 38, and 44), and the ‘Mining Investment Regulations’ specifically Article (52) relating to the provision of environmental studies, Article (55) relating to the terms and conditions of exploitation, Article (59) concerning the application procedures to obtain a mining license, and Article (60) about the terms and conditions of a mining license.

• Factories in industrial cities and technology zones: These are governed by the ‘General Statute and Regulations of the Environment in Saudi Arabia’ specifically Articles (4, 5, 6, 8, 9, 11, 12, 13, and 14). They are also governed by the ‘Regulations for the Organization of the Saudi Commission for Industrial Cities and Technology Zones’ specifically the following: • Paragraph (7) of Article (3) which stipulates: “take necessary action to protect the environment in the specified industrial cities in coordination with the relevant authorities”. This paragraph emphasizes the competence of the Presidency of Meteorology and Environment (PME) in monitoring the environmental situation in industrial cities.

• Paragraph (2) of Article (11) which governs: “the environmental impacts resulting from the allocation of land or site to industrial or technological activity and practical measures available to mitigate these impacts and risks associated with land or

site allocation”. This paragraph provides a basis for selecting the sites of industrial cities.

• Paragraph (3/b) of Article (12) which stipulates that development plans must consider: “matters relating to special environmental or planning controls”.

• Paragraph (a) of Article (15) which stipulates: “the minimum and maximum areas and environmental conditions”. This paragraph is one of the conditions for licensing industrial cities by the Saudi Industrial Property Authority (MODON).

• Plants, mining and industrial facilities in Ras Al Khair, Jubail, and Yanbu. These are governed by the environmental standards, requirements, and regulations issued by the Royal Commission for Jubail and Yanbu (RCJY) which implements several measures to protect the environment, starting from the planning stage and the selection of industrial and residential zones, and ending with production, supply of facilities, waste treatment, and regular updates of allowed standards of discharge in the air, sea and soil.

However, recent environmental studies have identified problems resulting from mining or industrial operations, where there has been a failure to follow the above mentioned environmental standards and requirements. In some cases, this can result in visible signs of pollution, for instance, from industrial and mining waste in project sites.

Therefore, industrial and mining companies operating in the Kingdom of Saudi Arabia must take into account the environmental rules and regulations, comply fully with all the applicable environmental standards and requirements, and conduct regular field visits to project sites to ensure compliance with environmental standards. In addition, they must deal with environmental observations and violations seriously and resolve them urgently after conducting the necessary research. They should also consider any environmental concerns from local communities and work together with neighboring residents in order to protect the environment.

‫ «الحد األدنى واألقصى‬:‫التي نصت على‬ ‫ وهذه الفقرة إحدى‬،»‫للمساحات والشروط البيئية‬ ‫شروط إصدار رخصة المدن الصناعية من‬ .‫الهيئة السعودية للمدن الصناعية‬ ‫بالنسبة للمصانع الصناعية والتعدينية‬ • ‫ يحكمها‬:‫في مدينة رأس الخير والجبيل وينبع‬ ‫المعايير و االشتراطات واالنظمة البيئية‬ ‫الصادرة عن الهيئة الملكية للجبيل وينبع التي‬ ‫تقوم بتطبيق العديد من اإلجراءات لحماية البيئة‬ ‫بدءاً من مرحلة التخطيط واختيار المناطق‬ ‫الصناعية والسكنية وإنتها ًء باإلنتاج وإمداد‬ ‫المرافق ومعالجة النفايات وتحديث معايير‬ ‫الصرف المسموح بها في الهواء والبحر وتلوث‬ .‫التربة بصفة دورية‬ ‫ فقد حددت الدراسات البيئية األخيرة‬،‫ومع ذلك‬ ‫المشكالت الناتجة عن العمليات الصناعية‬ ‫والتعدينية لتكون في عدم إتباع المعايير‬ ‫واإلشتراطات والمتطلبات البيئية المشار اليها‬ ‫ هذا قد يؤدي الى‬،‫ في بعض الحاالت‬.‫اعاله‬ ‫ وجود‬،‫ على سبيل المثال‬،‫التلوث البصري‬ .‫مخلفات صناعية وتعدينية في مواقع المشاريع‬ ‫لذلك يجب على الشركات الصناعية والتعدينية‬ ‫العاملة في المملكة العربية السعودية مراعاة‬ ‫األنظمة واللوائح البيئية والتقيد بشكل كامل‬ ‫بكافة المعايير واإلشتراطات البيئية المعمول بها‬ ‫وضرورة عمل زيارات ميدانية دورية لمواقع‬ ‫ هذا‬.‫المشاريع للتأكد من اإللتزام بالمعايير البيئية‬ ‫باإلضافة الى ضرورة التعامل مع المالحظات‬ ‫والمخالفات البيئية بشكل جدي وعاجل والعمل‬ ً ‫ ايضا‬.‫على حلها بعد القيام بالدراسات الالزمة‬ ‫يجب عليهم النظر واالهتمام بأي مخاوف بيئية‬ ‫من أهالي المناطق والعمل جنبا ً الى جنب مع‬ ‫السكان المجاورين للمشاريع من أجمل حماية‬ .‫البيئة‬

Ma’aden recently showcased its strategic approach to security and EHS (environment, health and safety) issues at the 15th International Conference and Exhibition for Industrial Security held from 9th 11th December at the Riyadh International Convention & Exhibition Centre.

The three-day conference was organized by the Ministry of Interior represented by the Higher Commission for Industrial Security and sponsored by Ma’aden, Saudi Aramco, Sabic and a number of specialized security companies. On behalf of HRH Prince Mohammed bin Naif bin Abdulaziz, Minister of Interior, the event was

inaugurated by the Director General of Civil Defence, Lieutenant General Saad bin Abdullah Al-Tuwaijri.

Ma’aden’s President and CEO Engr. Khalid Al Mudaifer, was one of the key speakers during the event where he outlined Ma’aden’s response to security and EHS challenges at the multiple facilities operated by Ma’aden throughout the Kingdom.

Ma’aden Vice President (A) for Phosphate and Industrial Minerals SBU, Engr. Yahya Al Yami, presented a paper entitled of ‘Ma’aden and India, Natural Partners’, at the recent Fertilizer Association of India (FAI) Annual Conference held in Agra, India.

The paper addressed the role India plays in the global phosphate market and more specifically the Diammonium Phosphate (DAP) market. Engr. Al Yami also provided an update on the growth of Ma’aden’s phosphate business including progress of the Umm Wu’al project. The FAI holds the conference annually to discuss prevailing issues affecting the fertilizer and related industries. This year’s event was attended by Srikant Jena, Indian Minister of Chemicals & Fertilizers, Sudheer Mittal, Secretary, Fertilizers, Siraj Hussein, Joint Secretary (Ministry of agriculture) as well as the managing directors of all Indian fertilizer producers and importers. More than 2,500 delegates from different countries participated in the event. Meanwhile, representatives from Ma’aden’s marketing and sales team accompanied by N.S. Rao, also visited the village of Jalesar where they interacted with farmers who are using Ma’aden’s DAP product.

MPC receives four ISO accreditations Ma’aden Phosphate Company (MPC), already one of the largest producers of diammonium phosphate in the world, has recently received certification for four ISO standards: ISO 9001 (Quality Management), ISO 140001 (Environmental Management), OHSAS 18001 (Occupational Health and Safety) and ISO 50001 (Energy Management). MPC has been officially recognized

by Certification Europe, an independent third party certification body. The certification was awarded in recognition of MPC’s compliance with effective quality, health and safety, environmental and management systems in the manufacture of ammonia and diammonium phosphate (DAP).

To achieve conformity to all four standards, MPC implemented procedural improvements, provided extensive training, increased documentation, improved reporting, set detailed objectives, targets and plans and made adjustments to systems on every level of the company.

A high level US delegation led by Nicholas Grainger, Deputy Adviser for Political Affairs and other officials from the US Embassy in Riyadh recently visited the Saudi Mining Polytechnic (SMP) located in Ar’ar Province. The delegation was received by Dr. Mohammed Gyadh Alanazi, SMP Business Development Manager, along with other executives at

the institute. The delegation toured the facilities and was briefed on the strategic partnerships between Ma’aden and the Technical and Vocational Training Corporation (TVTC) as well as with Missouri University of Science and Technology which is providing the Polytechnic with mining training programmes.
