At Kwintet we see a direct link between sustainability and high quality standards for our products. It is therefore obvious that all our products must comply with the most stringent requirements in this respect. All textile and leather products shall therefore, at least, meet the criteria specified in the Oeko-Tex Standard 100 and comply with REACH legislation; • Oeko-Tex Standard 100 is a globally uniform testing and certification system for textile raw materials, intermediate and end products at all stages of production limiting the use of harmful chemical substances to protect human ecological safety of textiles. • REACH is the European Community Regulation on chemicals and their safe use. All Kwintet direct product suppliers must sign our Restricted Substances List. The list entails all chemical substances that according to REACH legislation are restricted to be present in products imported to the EU.

Flame retardant workwear Wenaas has manufactured and supplied safety clothing and personal protective equipment to the oil and gas industry for over 30 years. In this time we have become one of the market leaders in flame retardant clothing to industry across the globe. The Wenaas brand is synonymous with renowned expertise in developing and providing the correct solution for our customers and users, balancing protection, comfort, functionality and durability. Our collection of flame retardant workwear is offered in a range of fabrics and designs, expertly engineered to provide the user with the correct level of protection when it matters the most.

GORE® PYRAD™ FABRIC TECHNOLOGY

GORE-TEX® heat and flame garments with GORE® PYRAD™ fabric technology provide durable wind- and waterproofness with optimised breathability in combination with heat, flame and antistatic protection ensuring that the garments are ideal to withstand the most extreme offshore hazards and foul weather. The lightness and softness of the fabric offer improved wearer comfort compared to traditional foul weather flame retardant fabrics.

PROTEX®

The permanently flame retardant Protex® fibre has been blended with cotton for a natural feel and maximum comfort. The antiflame properties of Protex® are a part of the fibre resin of the Protex® fibre and as a consequence cannot be removed. There is no deterioration in flame retardant performance after either repeated washing or normal use over time. Due to excellent charring characteristics the garment will not melt or drip.

NOMEX®

Nomex® is the brand for protective solutions based on a family of highly heat and flame resistant aramid fibres invented and produced by DuPont™. The high level of protection does not come from chemical treatment, but is engineered into the molecular structure of the fibre. This means that the heat and flame resistance of Nomex® is inherent and permanent, and that the protective performance will last the life of the garment. In addition to managing extremes of heat through advanced thermo technology, Nomex® protective apparel also delivers optimum comfort and durability.

Our arc protection clothing is designed for comfort and protection using the most recent fabrics and technology available. The Wenaas twin layered Nomex® arc coverall is designed to be lightweight and comfortable yet achieving levels of protection beyond the weight normally used to achieve 7kA. Utilising DPF Power Nomex® fabric, its clever grid-like weave construction forms small pillows of air when hit by the incredibly high levels of arc energy.

Flame retardant PU/Trevira CS that is light, soft and comfortable, even at low temperatures. All seams are welded to resist moisture. PBI® Matrix is a state-of-the-art outer shell fabric used in turn-out gear for fire-fighters. The fabric offers outstanding flame and heat protection in combination with superior resistance to wear and tear.

OFFSHORE

The Wenaas offshore collection is designed for use in offshore oil and gas industries with specific demands for flame retardant garments that are comfortable, durable and with minimal shrinkage.

ARC PROTECTION

Our Multinorm Protex® collection is certified after a series of EN standards and is optimal for users who may be exposed to several hazards simultaneously where garments just having flame retardant properties are not sufficient. The winter garments in the range utilise a laminated fabric that is soft and supple even in cold temperatures. The laminate breathes so moisture can escape but not enter, ensuring that the user stays dry and warm.

W112 FIRE AND EMERGENCY

For more than 25 years, Wenaas has developed and provided clothing for front line fire-fighters under the Wenaas112 brand name. The collection has emerged through a close collaboration with brigade users to find the optimal fit, functionality and comfort to meet their precise needs. We recommend that this be read carefully as the guide gives important information about the protection the garment provides along with wash care instructions and useful information that contribute to optimal protection. All garments meet the requirements of the EN 471 high visibility norm, both regarding fabric and design. The purpose of combining fluorescent and reflective materials is to provide optimal visibility in all lighting conditions. Product development is done in close cooperation with users to meet their needs, as well as with leading suppliers of quality materials. We are confident that the gloves we bring to market are of the highest quality and standard.

NITRILE

In 2012 we will start rebranding our range of Odin gloves to the recognised Wenaas brand name. Users of Odin gloves can, however, be confident that the well-known Odin quality and functionality remain unaffected as does our commitment to continuous product development to meet user needs, and ownership of the total value chain. The rebranding will create synergies that will enable us to strengthen and complete our head-to-toe offering under the Wenaas brand name.

LEATHER

Good leather is characterized as being breathable, flexible and durable. Finding the right quality leather to meet user needs, requires experience. We have this experience, and our producers have extensive knowledge and experience in tanning and finishing – important processes that de­termine the final quality of the leather. We offer protective gloves produced in different leather qualities; Ox: Durable, thick grain leather that repels water well and provides good protection against heat. Superior wear resistance makes ox leather very suitable in gloves designed for rough use. Pig: The leathers’ surface is quite porous making “breathability” better than, for example, ox leather. Pig leather becomes softer during use. Goat: The longest lasting leather. A natural content of lanolin makes it extremely soft and flexible, even when wet. Goat leather resists water well, and offers a high level of dexterity with fine work.

FABRIC

Simple fabric gloves designed as liners or for manufacturing protection (against e.g. fingerprints) are not considered as protective gloves and do not have to be CE marked. Inner gloves are also available in knitted fibre that provides excellent protection against heat and cuts.

Nitrile gloves are the first all-round gloves for use with a variety of chemicals and some solvents. The material is durable and has good resistance against abrasion, cut and punctures. Nitrile gloves are available with a number of lining variants. Synthetic rubber with added resistance against strong acid compounds, oils and fats. Thick neoprene has excellent insulating properties against heat and cold (Note: Not for use with open flames). Neoprene is soft and supple but can solidify during storage. When the material comes into contact with hot water, it becomes silky soft. Neoprene gloves may be enhanced with a granulated surface, cotton and/or by flattening the material. Thin vinyl gloves are used for short-term protection. Common vinyl gloves should not be used in direct contact with food, since vinyl can migrate from the glove to the food. Thick PVC gloves with fabric linings have good resistance to acids.

LATEX / RUBBER

Strong elastic material that comes from the rubber plant. The gloves have a wide application area, and are resistant to crude oil, fat and solvents. Rubber gloves can be enhanced with cotton lining, synthetic components and curing increasing the resistance of the material. (Note: Pure latex in direct contact with skin may cause latex allergies).

CHEMICALS

Always protect your hands when working with chemical substances as skin contact with chemicals can cause eczema, other skin disorders and even acute poisoning if handling particularly hazardous or large amounts of chemicals. Different quality gloves have different protective abilities. It is therefore imperative to assess the hazard posed to select a protective glove of the right quality ensuring that chemicals do not penetrate the glove.

WET WORK

If hands are wet or moist for more than two hours per day, skin disorders like eczema can be developed. The same applies if wearing moist gloves. Always protect the hands with comfortable dry gloves if exposed to wet liquids/ moisture for two or more hours per day. When using unlined gloves, it is recommended to use an inner cotton glove as well. This will absorb sweat and moisture from the hands and keep the wearer dry and comfortable.

CHECKLIST • • • • • • • •

Make sure that the gloves used fit the purpose. Ensure that the gloves are well fitted. Inspect that chemicals are not about to penetrate the glove. Wash hands thoroughly before putting on gloves and after the work is finished. Clean the outside of the gloves before taking them off, thus avoid touching a dirty glove with your bare hands. Make sure that the gloves are dry inside before putting them on. Moist skin absorbs substances faster than dry skin. Always have at least one extra pair of gloves readily available. Gloves that are damaged or about to be penetrated by chemicals should be replaced immediately.

Since 1953 we have designed and developed our own range of safety footwear under the FORMA brand name. FORMA safety footwear is well known for its high technological quality, and our product developers strive to always stay ahead in terms of quality, functionality, technology and design. FORMA footwear meets the various safety classes specified in EN ISO 20345, and are produced from carefully selected materials that provide users with optimal protection and comfort. CLASSIFICATIONS FORMA WENAAS SAFETY FOOTWEAR

The technology and functionality of FORMA Wenaas safety footwear are described using the following classifications. Fur lining Zipper Shock absorbing insole Waterproof Water repellent uppers Oil resistant sole Antistatic properties Heat resistant sole (HRO) Gel cushioning in the heel. Shocks to the heel are effectively absorbed through a gel cushion located in the heel. Nail protection L-protection® gives protection from sharp objects penetrating the sole area and reaching the skin. Materials used can be steel or non-metallic aramid fibres. Toecap Aluminium toecap: An aluminium toecap achieves a weight reduction of 40% compared with steel. The lighter weight also improves balance. Composite toecap: A composite toecap is about 40% lighter compared to steel, giving better balance to the wearer. Composite toecaps are metal­free and do not impact metal detectors.

Designed to protect the wearer from multiple hazards. The Multinorm outsole is HRO heat resistant up to 300°C, and the footwear is EN ISO 20345 approved. ASTM 2413 05 DI insulating properties up to 14.000 volt make the Multinorm range especially suitable for utility workers.

GENERAL USER INFORMATION FOR FLAME RETARDANT CLOTHING

The directive shall ensure that all PPE sold in the EU and EEA corresponds to the relevant EN standards. These standards ensure conformity and consistent protection levels for the wearer. Products that meet the requirements of one or more standard shall be applied a CE mark.

• Flame retardant materials are designed to stop flames from spreading. Heat can transfer through the garment, resulting in burns. Layering of FR Garments helps to reduce burn injuries and if wearing flame retardant undergarments, injuries will be significantly reduced. • Do not wear non flame retardant clothing together with flame retardant garments, the protection will be reduced. • The limited flame spread properties will be reduced if the protective clothing is contaminated with flammable materials. • Once the garments have been exposed to flame, they are no longer wearable. Even if there is no visible damage the fabric will have become weak and brittle. • All reflective stripes on our flame retardant clothing are approved to EN 533, EN 469, EN ISO 14116 and EN 471 Class 2. • All linings, filling and piles in flame retardant garments are approved to EN 533/EN ISO 14116. • Store garments in a dark, dry place when not in use. Under certain circumstances, warm humid storage may cause hydrolysis with some chemically treated flame retardant fabrics which could affect the protective properties.

The PPE Directive describes three protective categories: 1) Low risk - The product only protects against minimal risks. Protective equipment in this category shall only be used where the risk is gradual and easily identified by the user. The CE mark consists only of “CE”. 2) Moderate risk - The product is tested and approved by an authorized testing institute (a notified body). The institute reviews the manufacturer’s technical documentation to determine that the product is manufactured according to a valid standard. The CE mark consists only of “CE”. 3) High risk - Products that shall protect the user against serious risks that may endanger life and health. The product undergoes the same tests as category 2, and in addition it will also be subjected to quality control once every year after approval. The CE mark consists of “CE” and the number of the notified body.

Standards for heat and flame protection

Flame protection is used to make it more difficult to ignite the fabric or minimise the spread of fire, but it does not mean that the fabric will not burn. The purpose of flame protection is to interrupt the combustion process, so that the flame extinguishes after a very short time. The various standards for heat and flame protection set strict product demands for fabric and trims. In addition, there are strict requirements for the design of the garments. The employer is obligated to carry out a risk assessment of the respective workplace, to define the right type of protection needed for each operation.

Use a coverall or jacket and trousers / bib and brace, which are approved to this standard. Two-piece protective clothing must be worn together to provide the specified level of protection. Note that the garments may not protect against burn injury if worn directly against the skin. DESIGN REQUIREMENTS: 20 cm overlap between jacket/trousers. Requirements for limited flame spread and heat resistance of inner pockets, linings, labels, badges / markings, reflective tape, etc. REQUIREMENTS FOR FABRICS: General requirements: Heat resistance at a temperature of 180°C. The fabric must not ignite or melt, and not shrink more than 5%.

USER INFORMATION

It is important to choose a garment of the correct class to suit your work. Using additional partially protective garments, the basic garment shall meet at least Class 1 standard. Use a coverall, two-piece jacket and trousers, or jacket and bib and brace that are approved to this standard. Twopiece protective clothing must be worn together to provide the specified level of protection. We strongly recommend that you use primary protective clothing such as leather apron, leggings and gauntlets with welding workwear. The protective clothing is intended to protect the wearer against small splashes of molten metal, a short contact time with flame, radiant heat from ARC, the clothing minimizes the possiblity of electrical shock by short accidental contact with live electrical conductors up to 100 V d.c. voltage. The garment is not designed to offer protection against electric shock. If there is an increased risk of electric shock in your working environment, additional insulation layers will be required. Be careful when welding in a limited space where there could be a greater concentration of oxygen – this will reduce the flame retardant properties of the welder’s protective clothing. Additional partial body protection may be required, e.g. for welding overhead.

Class 2 garments are designed to be more resistant than Class 1 garments but resistance cannot be precisely quantified. Users exposed to UV radiation are to be made aware of the risks and the need for regular checking: - A simple way to check whether this type of clothing is still protecting against UV radiation is to hold the garment up to the light of a 100 W tungsten bulb at arm’s length. (approximately 2 meters away). If any light can be seen through the fabric, UV will be able to penetrate it. Preferably the test should be carried out weekly. - Similarly, users should be advised that if they experience sunburn-like symptoms, UVB is penetrating. In either case, the garment should be repaired (if possible) or replaced, and the use of additional, more resistant protective layers should be considered. REQUIREMENTS FOR FABRICS: The requirements for fabric are divided into two classes. For help to choose the correct class, see the table Guidance for the selection of the class of welders clothing. Class 1: For less dangerous techniques and situations that cause small amounts of droplets and radiant heat. Suitable for manual welding techniques with small amounts of splashes and droplets. The fabric must be able to withstand at least 15 drops of liquid metal without exceeding an increase in temperature of 40 degrees on the back of the fabric. Class 2: For more dangerous welding techniques and situations that cause large amounts of droplets and radiant heat. The material must withstand at least 25 drops of liquid metal without exceeding an increase in temperature of 40 degrees on the back of the fabric. DESIGN REQUIREMENTS: The design of the garment shall reduce the risk of accumulation of spatter in the garment, etc. These garments will therefore not have all the pockets and features of other garments.

The garments must cover the entire body during use, for example coverall, two-piece jacket and trousers, or jacket and bib and brace that are approved to this standard. Twopiece protective clothing must be worn together to provide the specified level of protection. For full body protection, always keep the clothing fastened up, and other suitable protective equipment (helmet with protective face-screen, protective gloves and footwear (boots)) must be used. To ensure the right level of protection, undergarments or base layers must be worn underneath these garments. REQUIREMENTS FOR FABRICS: Code letter A 1 – Surface ignition, ISO 15025, procedure A - No specimen shall give flaming to the top or either side edge - No specimen shall give hole formation - No specimen shall give flaming or molten debris - The mean value of after flame time shall be ≤ 2 s - The mean value of afterglow time shall be ≤ 2 s DESIGN REQUIREMENTS: - Seams must withstand flame test - Metal components on the outer or inner layer of the garment must be covered with fabric - Garment must be possible to open after exposure to an electric arc - Buttons, zippers, etc. shall not catch fire, or increase the risk of injury - No components shall melt on the inside of the garment

Test method 1: “Open Arc test”. North American method (ASTM F1959) for measuring the Arc Thermal Performance Value (ATPV) in Joules/cm² or cal/cm². The main difference is that the ATPV is an open air test and the EN 61482-1-2 is a box test. In the open arc test the force of the blast can move in all directions and is recorded on 3 test panels. In the box test, the force of a blast will be sent into a confined direction. This means that all the power of the explosion will be sent straight onto the test panel. Test method 2: EN IEC 61482-1-2:2008 - Box arc test. The box test is mainly used in Europe to measure the protective performance of fabrics and clothing against the thermal effects of an electric arc. In this test, the fabric is exposed to an electric arc confined within a box with a specific electrode arrangement. This standard has two classes. Class 1 represents exposure conditions for a short circuit current of 4kA and class 2 respectively 7 kA. The defined duration of the electric arc is 500 ms in both test classes. A fabric passes the test if the heat being transferred behind the fabric does not cause second degree burns according to the Stoll curve. The Stoll curve quantifies the level of heat and the duration of time required for a second degree burn for a wide range of exposure conditions. Melting may not occur, max. 5 seconds burning time and max. 5 mm hole formation on the innermost side of the fabric. EN 471 High visibility warning clothing for professional use.

INFORMATION High visibility clothing has fluorescent fabric and reflective tapes to make the user more visible in all lighting conditions. REQUIREMENTS FOR FABRICS: - For fluorescent colours there are requirements for colour hue and light flux - For contrast colours there are requirements for colour fastness - For reflective tapes, there are requirements for how much light they shall reflect DESIGN REQUIREMENTS: The main requirements concern area of high visibility fabric and reflective tapes, which are shown in the table below. The areas have to be divided 50/50 on the front and back of the garment, with a maximum deviation of +/- 10%. Minimum areas of visible material required (m²) for EN 471 garments: Material Class 3 Class 2 Class 1 Background material, Hi-Vis 0,80 0,50 0,14 Reflective material 0,20 0,13 0,10 Class 3 is the safest class. Clothing with Class 3 certification can be combined with any other garment provided it does not cover the fluorescent or reflective areas on the high visibility garment. Clothing in Class 2 can be combined to achieve Class 3. If you attach logos to the garments, it is important that these do not cover a too large area of the fluorescent fabric. For example, the total fluorescent area must be at least 0.8 m2 to meet the requirements for Class 3. EN 13034 Protective clothing against liquid chemicals, Type 6 and Type PB* [6] *PB = Partial Body Protection European standard for clothing with limited protection against liquid chemicals. Suitable for work in environments where there may be a risk of chemical splash, but where complete chemical protection is not necessary. Tested chemicals, according to EN 14325 4.12: H2SO4, 30% Sulphuric acid NaOH, 10% Sodium hydroxide O-xylene undiluted Butanol-1-ol undiluted DESIGN REQUIREMENTS: The seams in the garment shall prevent water from entering through the stitches, or through other components, and ensure that the liquid runs off the fabric. If chemicals are accidentally splashed on the garment, move away from the area and gently remove the garment, making sure you do not get chemicals or liquids on your skin. The garment should then be cleaned or taken out of use. Type PB [6] -garment has not been tested as a full one-piece garment, like Type 6 garments. EN 1149-5 Protective clothing - Electrostatic properties. European standard for clothing that protects against electrostatic discharge where there is a risk of explosion, e.g. in refineries. REQUIREMENTS FOR FABRICS: An electro-static dissipative fabric must meet at least one of the following requirements: - t₅₀ <4s ore S> 0.2, EN 1149-3 - Surface resistance = 2.5 x 109 ohm, EN 1149-1 The distance between the conductive threads in the fabric must not exceed 10 mm. DESIGN REQUIREMENTS: - The garment shall permanently cover all non-compliant materials during normal use. - Labels and reflective tape must be permanently attached. Loose parts are not allowed. - Metal components (zippers, buttons, etc.) are allowed if they are completely covered by the protective electrostatic fabric.

USER INFORMATION

When using these garments, you should be properly earthed. The resistance between the person and the earth shall be less than 108Ω, e.g. by wearing adequate footwear. Antistatic footwear approved to EN ISO 20344 or EN 20345 must be used. Electrostatic dissipative protective clothing shall not be opened or removed in flammable or explosive atmospheres or while handling flammable or explosive substances. The electrostatic dissipative performance of the electrostatic dissipative protective clothing can be affected by wear and tear, laundering and any contamination. The garment should only be used in rooms with increased oxygen content following approval from the relevant safety engineer. Do not make alterations to the garments. STANDARD FOR KNEE PROTECTORS EN 14404 Knee protectors for working in a kneeling position. European standard that describes the properties of knee protectors, and not the actual garment, although the garment must have pockets of a certain size that will fit the knee protectors. PERFORMANCE LEVEL: Two performance levels are defined after performance requirements tested in a laboratory. Performance levels are determined according to the test result. Knee protection of level 1 is expected to be more suitable for use on flat floor surfaces where there are not many objects of more than 1 cm - test strength 100 N. Knee Protection of level 2 is expected to be suitable for use in harsher conditions, e.g. for kneeling on stones at mines or quarries - test strength 250 N. TYPE OF KNEE PROTECTORS: Type 1: Knee protectors that are independent of other types of garments that are fastened around the leg. Type 2: Foam or other padded fabric put into the knee pockets of trousers or those that are permanently attached to the trousers. Type 3: Devices that are not attached to the body, but moved around manually by the user.

• See the CE label inside the garment to confirm to which standards the garment is certified. The CE label also states the washing instructions, fabric content and style number of the garment. • Before use, the garment must be checked to ensure that it is complete, that it fits and that the wearer knows how to remove it. • The garment should be fastened and closed when worn. • Any repairs to the garment should be done with fabric meeting the same certification requirements as the garment, appropriate thread and accessories.

• The garment should be washed often to safeguard its protective properties. Dirty, wet or sweaty garments may lead to reduced protection. • We recommend industrial laundering for our garments. If you choose to wash the protective clothing yourself, you must always follow the washing instructions on garments carefully. • For garments approved to EN 531, EN ISO 11612, EN 470-1 or EN ISO 11611, never use a soap detergent. Protection can only be guaranteed when a synthetic detergent is used. Chlorine bleaches should NOT be used, as they chemically weaken the fabric and in some cases completely remove the flame retardant properties.

INFORMATION • For garments approved to EN 471, never use a washing agent with optical brightener or fabric softener. Use only synthetic detergents to retain the garments’ protective effect. Wash separately or with garments approved to EN 471, otherwise there is a risk of bleeding colour. • Garments with retro-reflective stripes must be washed inside out.

2 Delivery and Carriage 2.1 Delivery is made at your premises. At our discretion we may deliver the goods in reasonable instalments. Each instalment is to be treated as a separate contract, and you must accept and pay for instalments accordingly. 2.2 You must pay our delivery charges in addition to the quoted price. 2.3 You must notify us in writing of any claim for non delivery or late delivery of or damage to the goods in transit within 7 days of the date of the invoice for them. 2.4 Our liability in respect of any such claim notified to us within 7 days is limited to replacement of the goods or refund of the price, at our discretion, and does not extend to any indirect or consequential loss. 3 Prices 3.1 The price of the goods will be the current price in force at the date of despatch. All prices exclude delivery charges, VAT and, where applicable for deliveries to Jersey, States of Jersey Goods and Services Tax (GST). Any delivery charges, VAT and GST (if applicable) are payable in addition to the contract price. 3.2 Prices are valid as at the date on which this catalogue was printed, but we may change these prices from time to time. The prices in this catalogue may vary from the prices offered for our goods through our website or mobile phone site (if available). Current prices will be communicated by telephone on enquiry or displayed online valid at that point in time only. 3.3 You must pay our reasonable extra charges in respect of (a) any special arrangements made at your request in order to expedite delivery; (b) any costs, expenses and liabilities we may incur because you have given inadequate or inaccurate instructions. 4 Time Estimates Subject to availability, our standard service level is to aim to despatch goods within 2 working days of order and delivery by our chosen carrier usually takes a further 2 working days, but this is only an estimate and time is not of the essence.

These terms of business relate solely to the Wenaas Brand. 1.1 These terms apply whenever we agree to sell our goods to the exclusion of any other or inconsistent terms unless otherwise agreed in writing by a Director. 1.2 No order placed by you shall be deemed to be accepted by us until a written acknowledgement of order is issued by us or (if earlier) we deliver the goods to you. 1.3 We reserve the right, for reasons of continuous improvement, to make changes to the items shown in this catalogue. 1.4 In order for us to update and improve our range, we reserve the right to remove selected styles at the end of each catalogue year. 1.5 We do our best to limit variations in colour, but owing to technical constraints there may be appreciable differences in colour between our products and the images of them in the catalogue. There may also be appreciable variations in colour between different batches of the same products. 1.6 We make every effort to ensure that the descriptions of items are accurate, but in the event of an error being made, this will be notified to you at the time of ordering. 1.7 We are a business-to-business supplier and therefore this catalogue and these terms are addressed to business customers only. 1.8 Acceptance of delivery of goods implies acceptance by you of these terms of business.

5 Payment 5.1 We may invoice you for the goods together with any applicable delivery charges and VAT when they, or any instalment of them, are dispatched to you or to your designated recipient. 5.2 Payment is due and you become liable to pay for goods on delivery of our invoice, unless agreed credit terms apply, in which case you must pay in accordance with them.

5.3 We accept payment for goods by credit or debit card at the time of purchase or if you have registered your company name when creating your account by invoice at time of delivery. 5.4 Despite any agreed credit terms all payments for goods supplied, whether or not invoiced, become immediately due if you fail to make a payment in accordance with paragraph 7.2 (a) or anything in paragraphs 7.2(b) or (c) happens. 5.5 We will exercise our statutory right to claim interest and compensation for debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 (as amended) if you do not pay amounts due to us by the due date. 6 Risk The risk in the goods passes to you when the goods are delivered to you or to your designated recipient. 7 Ownership 7.1 We retain ownership of the goods until the price of them has been paid in full. Until ownership of the goods has passed to you, you must: (a) hold the goods on a fiduciary basis as our bailee; (b) store the goods (at no cost to us) separately from allother goods of yours or any third party in such a way that they remain readily identifiable as our property; (c) not destroy, deface or obscure any identifying mark or packaging on or relating to the goods; and (d) maintain the goods in satisfactory condition and keep them insured on our behalf for their full price against all risks to our reasonable satisfaction. On request you must produce the policy of insurance to us. 7.2 If you: (a) do not pay any invoice of ours within 7 days after it has become due or (b) pass or call a meeting to pass a resolution for liquidation, or a petition for liquidation, administration or bankruptcy is presented against you, or (c) become subject to a liquidation, administration or bankruptcy order, or to any distress or execution on or receivership over any of your assets or make an arrangement with your creditors, then you must cease at once to use any of our goods not then paid for and must return to us any of them remaining in your possession on request. On asking for them in writing we are entitled, without incurring any liability to you, to enter your premises and remove and re-sell such of our goods as are to be found there. 7.3 Nothing in paragraphs 7.1 or 7.2 gives you the right to return the goods without our consent, except in accordance with our returns policy referred to in paragraph 10. 8 Force Majeure If we are unable to perform due to any circumstances beyond our control we may suspend performance while those circumstances subsist, and subject to paragraph 8.1, any agreed date or period for deliverys to be regarded as extended accordingly. 9 Suspension and Cancellation 9.1 If any period of suspension of deliveries under paragraph 8 lasts for more than three months, either of us may cancel the contract by written notice without penalty, but you will still have to pay us for any goods actually delivered. 9.2 If any payment due to us from you under this or any other contract is in arrears, we may suspend further deliveries under any of those contracts, and if payment is not made within 7 days, after we have served a demand in writing on you referring to this paragraph, we may cancel any of those contracts and re-sell the goods concerned without incurring any liability to you. Your failure to comply with a demand for payment under this paragraph is to be regarded as a repudiation of the contract, and we shall be entitled to damages accordingly. 10 Returns policy 10.1 You may return unused goods for full credit up to 30 days after delivery, so long as they are not made to order, tabbed or personalised in any way, have not been worn or altered in any way, are still in the original packaging and otherwise fit to be returned to stock. 10.2 We will not provide any refunds or credit for non-

defective goods returned more than 30 days after the date of delivery. We reserve the right to charge you a re-stocking charge to cover our reasonable costs for dealing with and re-stocking any non-defective goods returned after the 30-day period. 10.3 Where faulty goods are returned to us for replacement, we reserve the right to credit or refund their price instead of replacing them. 10.4 When returning goods to us, you must retain proof of postage until we supply you with a credit note confirming that we have received the returned goods. 10.5 Subject to paragraph 10.6, Consumers (see paragraph 3.2) have the additional right to cancel any order without charge at any time up to the eighth working day after they have received the goods. This right may be exercised by informing us in writing within that period that the Consumer does not wish to proceed with the order, and returning any goods delivered. 10.6 Paragraph 10.5 does not apply to any goods which have been made to order or personalised in any way. 11 Training Policy All telephone conversations will be recorded as an aid to training, so that we can enhance the performance of our customer service staff. 12 Limitation of Liability 12.1 We will refund or credit the price of faulty goods, or replace them (at our discretion) but we will not be liable to you for any other loss or damage, direct or indirect, consequential or otherwise, whether or not we have been negligent, but subject to paragraph 12.2. 12.2 Nothing in these terms affects our liability for death or personal injury resulting from our own negligence. 13 Samples Samples will be invoiced to you on despatch and will be repaid or credited in full provided they are returned to us carriage paid, unused and within 30 days of delivery, otherwise the price, including any applicable carriage and VAT becomes immediately payable. 14 Intellectual Property 14.1 You acknowledge that all intellectual property rights (including patents, trademarks, trade secrets, copyright, database rights, designs, inventions, know how and any other industrial or intellectual property rights of any nature whatsoever, whether registered, registerable or not, whether present or future, in any part of the world) in all items created by, or provided to you by, us (including goods described in our catalogue; bespoke goods ordered by you; and images, designs and other materials in our catalogue and on our websites) shall (as between you and us) belong to and vest in us absolutely to the fullest extent permitted by law. 14.2 You are permitted to use our intellectual property for the sole purposes of ordering goods from us and using such goods for your own business purposes. 14.3 Other than as set out in paragraph 14.2 above, you are not permitted to use, reproduce, copy or distribute our intellectual property without our prior written consent. 15 Set Off You are not entitled to set off any debt or claim against payment of the contract price or other amounts owing to us. 16 English Law 16.1 Subject to paragraph 16.2, this contract is governed by and is to be construed and interpreted exclusively in accordance with English Law and both parties submit to the non-exclusive jurisdiction of the English Courts. 16.2 Alternative terms, for outside of the UK, may apply if goods are purchased through a Kwintet UK agent/ distributor.
