End of Year Message

1

2017

The ‘Medicover’ brand, referring to the whole company (both Healthcare Services & Diagnostic Services), stands for the same core idea across its service range: “Caring for your health is all we do”.

Fredrik Rågmark

HEALTHCARE&DIAGNOSTICS As a listed company, Medicover positions itself as a healthcare & diagnostic services provider under ONE umbrella brand which is the central focal point of the two divisions and multiple businesses that make up these specialty areas.

CEO MEDICOVER

Local brands remain an inherent part of the company’s strategy, combining the local trust and historic recognition of a brand, with the strength of Medicover overall. We seek to promote ‘Medicover’ alongside most of these local successful brands. It’s essential that we remember the strategic interests of the organisation as a whole and give the right orientation to all our stakeholders. Brand consistency is the key. It breeds trust in our audience. As one company, we combine our strengths, we are stronger. We are all ambassadors for our brands, and, eventually, for ONE Medicover!

Medicover Identity Guidelines

Dear Colleagues across Medicover,

I

am immensely proud and happy to once again have the privilege of writing to you all my end of year message.

Like all years in our history, this has been another busy, challenging and rewarding one for Medicover.

We started in 1995 and it took us eleven years to achieve the first 250,000 members, whereas the most recent 250,000 took just short of two years, illustrating the strong underlying dynamics of the business and the attractiveness of our services.

We have managed to keep up our good growth rates and that is visible in our continuously expanding team of colleagues across all our markets: by the end of 2017, we expect to be some 15 500 people altogether. 1 600 new colleagues will have joined during the year, and particularly to you, I would like to send a special welcome to our team.

One significant milestone during the year which I would like to comment on is us reaching 1 million members in our funded business (Healthcare Services).

Our public share offering was a major event for us during the first half of the year. I think we can all feel proud of the reception we have had as a publicly traded company and the belief shown by investors in our strategy and performance.

The question I most often get asked by investors is “what is Medicover’s most important asset to maintain its growth and performance?”, and I always have a short and simple answer, People”. It is all of you, who make up the collective strength of Medicover. From the early years, when we were a handful of colleagues, until now, with so many of you in so many countries and businesses, I still feel the same Medicover culture is holding us all together and, indeed, is the most important driver of our success. As we grow bigger and more diverse, with many new colleagues joining, maintaining and living our culture across the entire organisation is ever more challenging. Let us, therefore, all make sure we manage to maintain that special Medicover spirit, and I believe nothing then will be able to hold us back in our ongoing development. My warmest thanks and best wishes for the end of year season to you all and your families.

înCerc launched in Romania In October 2017, the Asociatia Medicover (part of Medicover Foundation) in Romania, launched „înCerc” - a Romanian edition of the diabetes prevention programme (“PoZdro!”), helping 12-13 year old children which had turned out a huge success in Poland. “PoZdro!” is the largest programme of this type in Europe. „înCerc” is the first ever prevention programme of the kind in Romania. The programme will last over five years and cover two cities, starting with Ploiesti. 12,000 children will be screened for an initial evaluation of health (for free and non-invasive).

It is estimated that around 3,000 children will be considered as being at risk of developing type 2 diabetes and will be invited to join the health coaching programme together with their families. In Poland, the Programme has reached more than 30 000 first year junior high school students in four cities so far.

MEDICOVER IDENTITY GUIDELINES Medicover Identity Guidelines have been developed to help communicate a consistent corporate image of our company across divisions and countries, both internally and externally, to build a strong brand globally and locally. They exist to assist you – whether you work in Healthcare or Diagnostic Services – in your daily tasks that contribute to supporting and enhancing ONE Medicover brand.

The Guidelines talk about our shared values, key attributes Medicover has as an employer, and basic corporate logo usage rules and applications in various collateral, such as, for example, business cards, power-point presentation templates or roll-ups. We are still in the process of upgrading our corporate communications tools, so updates to the Guidelines will be done gradually in the future. You will find the document and all the corporate identity resources on our corporate Intranet (Home page -> About Us -> Our Corporate Identity). Should you have any further questions, please contact Aleksandra Nowakowska from Corporate Communications Team (aleksandra.nowakowska@medicover.com).

CSR Excellence Awards for Medicover Foundation In June 2017, Medicover Foundation received three awards in two out of 17 categories: Initiatives and Philanthropy, at the prestigious 2017 International CSR Excellence Awards gala in London. The awarded projects were: in the Initiative category: Gold Award for the PoZdro! Programme; and Silver Award for the Queen Silvia Nursing Award, while in the Philanthropy: Bronze Award for the Employee Engagement.

Dear All,

I

want to start by saying ‘thank you’ to all the people in Medicover for helping make 2017 a successful year for the business and for looking after all our customers. Despite increased competition we saw our membership base growth past 1 million members.

It’s your hard work, commitment and dedication that ensures, year by year, that we enable lives, we save lives, we maintain lives and improve lives which is an engaging cause to be part of and spend our working lives on. Many events have happened throughout the year and I would like to mention a few: AMBULATORY:

99 Record growth month for B2B ambulatory Poland.

Among the innovative solutions used at the new pharmacy set up in Warsaw, designed to maximise the effectiveness of patient visits are: state-of-the-art Rowa Smart warehouse robot (automatic delivery, storage & dispensing of medicines) and unique Rowa Vmotion touch screens (virtual shelves for better display of products).

Comparing the model of care in Medicover Poland with local public system, we calculated that the employer, investing in our care, saves up to PLN 726 (€171) per employee per year. Compared to last year’s figures, the savings have increased by more than PLN 100 (€24) per employee. The analysis was calculated on the basis of the seven most common causes of medical leave among Polish workers, including the cost of absenteeism and reduced effectiveness of the disease.

New additions to Medicover family in India – we fully acquired Medicover Healthcare Private Limited “Medicover Fertility India” and the 22% shareholding of Sahrudaya Healthcare Private Limited “MaxCure” (hospitals). Within 12 months of trading, we have become the second largest fertility player in Delhi market.

RECORD GROWTH IN DENTAL BUSINESS This record growth in our dental business sales in Poland was possible thanks to the change of the approach to patients, meaning comprehensive treatment instead of single-tooth dentistry; focus on specialists, mainly implantology and orthodontics; reorganisation of clinic management, and new openings and acquisitions. Currently, we have 76 chairs at Medicover Poland.

MEDICOVER BABIES COULD POPULATE HVAR So far, our fertility business professionals have helped to bring almost 11,000 babies into the world which is equivalent to the population of Hvar, the beautiful Croatian island in the Adriatic Sea.

Welcome also to a number of new businesses that have joined the family this year, Prestige Dent (Poland), Iowemed (Romania), Max Cure (India)! Finally, I want to wish you a happy holiday and festive season when I hope you take time to rest, see friends and enjoy family as 2018 is going to be another exciting year for us all. Thank you for making me so proud to be part of Medicover.

INTERSONO BR AND NOW WHOLLY OWNED BY MEDICOVER Medicover has acquired the remaining shares of Intersono - a leading fertility services provider in Ukraine. Medicover first invested in Intersono in 2013 by acquiring 50.1% of shares. As of August 17, 2017, Medicover acquired the remaining 49.9%.

MEDICOVER EXPANDS IN ROMANIA Not only has Healthcare Services team from Romania opened a new multidisciplinary clinic in Bucharest, expanding its network in the capital to a total of 11 units, but has also acquired the Iowemed, a network of five medical centres in the Constanta county.

‘DOCTORS COLLABOR ATE TO HELP CHILDREN’

Healthcare Services reached one million members in 2017 which is a historic milestone and a recognition for the work we do! This number is equal to the population size of cities like Stockholm, Brussels or Tbilisi!

During the 6th edition of ‘Doctors collaborate to help children’ social project, held in Lviv, the best specialists from Medicover & Intersono Ukraine and “Shriners Hospital for Children” (Boston, USA) performed over 50 surgeries and examined nearly 110 Ukrainian children suffering from burns.

FERTILITY SCIENTIFIC GROUP Medicover Fertility Scientific Group was initiated by Uljana Dorofeyeva, Medical Director of Intersono to leverage our medical experience, knowledge and the wealth of data on embryology and serve as best practice sharing platform for our fertility businesses in Ukraine, Poland, the UK and India as well as build our image as a thought-leader in the field.

SENIOR CARE EXPANDS IN WARSAW The newly opened ‘Villa Spring’ is not just a regular senior care home. It is a place to have a great time along with supreme medical care. The residents decide what kind of activities will be carried out, and what passions and interests they want to develop, regardless of the permanent, shortterm, rehabilitation or holiday stays.

DIAGNOSTIC SERVICES NEWS

SEASONS GREETINGS BIOBANKING ON SCL’S OFFER Biobanking – the latest support service for laboratory research added by Synevo Central Lab (SCL) to its clinical trials portfolio. Researchers access biobanks when they need biospecimen (samples of material, such as e.g. urine, blood, or tissue) with similar traits for their research study. The new service will involve collection, storage, retrieval and distribution of such biological materials for scientific research.

GENETICS OF STR ATEGIC IMPORTANCE Following the acquisition of a leading genetic lab in Berlin, Medicover’s Genetics Unit launched a comprehensive testing menu available for all Diagnostic Services division countries, while offering genetics counselling in Berlin clinics. The genetic testing menu offers more than 400 genetic tests, including the endocrinology NGS (Next generation sequencing) panel (a DNA sequencing technology) developed in close cooperation with the German Medicover clinics aiming to offer a specialized portfolio covering the needs of endocrinologists in all our countries. Additionally, the business unit is launching noninvasive prenatal test solutions in our countries together with industry partners.

MOLDOVA REPORTING TO ROMANIA

SYNEVO AS A THOUGHTLEADER

In October, Synevo Moldova started reporting directly to the Synevo Romania’s management team, headed by Laurențiu Luca. This is a recognition of the excellent results, as the local company has developed into a profitable and successful unit, with a strong team and a solid organizational structure under the leadership of Andrei Sevcenco, Country Manager of Synevo Moldova.

‘Synevo Days’ trademark symposiums by Synevo, designed to support medical education and further advance laboratory medicine and healthcare, attracted a total of nearly 3000 healthcare specialists in Ukraine, Chisinau and Romania. The events promote an interdisciplinary approach to patient cases while highlighting the diagnostic value brought by laboratory tests.

SPECIALIZED PAEDIATRIC BDPS

SYNEVO CLINICAL TRIALS SYMPOSIUM 2017

Diagnostic Services division keeps opening specialized blood drawing points(BDPs) for children across several of its geographies. Today, we have four paediatric BDPS: in Ukraine, Romania, Moldova and Bulgaria. The paediatric BDPs are dedicated to providing quality services in a specifically tailored environment that meets the unique needs of children.

The 9th edition of SCT in Bucharest gathered almost 500 professionals working in clinical research, pharma sponsors, biotech companies and contract research organizations’ representatives and investigators from ten countries. They had a unique opportunity for peer learning and best practice sharing in the research field, focusing on innovation.

CARING FOR SICK CHILDREN

After setting up a strategic roadmap for the Diagnostic Services division, we are now shifting gears and starting implementation of our top priorities. A Group Steering Committee and designated sponsors for each initiative will work closely together with respective teams starting with a virtual kick-off on Dec 14th. We will also work on topics like big data analytics, e-commerce and point of care testing together with our colleagues from Healthcare Services and join forces to make these topics an opportunity for our division.

Synevo Ukraine launched a charity project to help children with cancer and diabetes. The goal is to raise UAH 2 million (EUR 64,000) and for this cause UAH 10 (EUR 0,32) from each blood test is donated to the kids’ charity until the target is reached. Additionally, free tests to diagnose diabetes are offered.

HISTOPATHOLOGY GOES DIGITAL IN ROMANIA Synevo Romania launched the first fully digital histopathology department in South-eastern Europe. The new technology allows the shift from the conventional microscopes to digital samples that can now be viewed on a computer screen for the very best understanding and analysis. This is a booming technology in medical lab work which will bring numerous benefits to our patients, including a significantly reduced processing time, and access to the expertise of the entire Diagnostics Division pathology team.

Medicover’s acquisition of an infectious diseases clinic Infektiologie Ärzteforum Seestraße further drives its expansion strategy and brings the network to a total of seven clinical sites in Berlin.

OUR PHYSICIANS AMONG THE BEST IN GERMANY

Dear Colleagues,

t’s been nearly a year since I joined the Medicover team back in late 2016 – yet it feels like I’ve been alongside you for way more than that. As you might imagine, taking on a new professional challenge is a socially intensive endeavour – no matter how experienced one is. Hence, I’d like to start my recap of 2017 by taking the opportunity to say Thank you! to each and every one of you for really having gone the extra mile in making me feel right at home within my new surroundings. I believe that the presence of such personal as well as professional empathy within an organization is a catalyst not only for the excellent teamwork I’ve witnessed with respect to the Diagnostic Services leadership team, but also for the awesome dedication and inspiring entrepreneurial thinking that I’ve come across throughout Medicover as a company within this past year.

And in addition to these organisation-wide achievements, 2017 has also played host to a set of localised stepping stones of major importance: For instance, within the context of high growth figures across all countries, we have benefited from the internal management skill sets gained through the last years in Synevo Ukraine & Belarus. We have established new leadership teams in both countries, as well as a joint supervisory board that addresses both territories, Romania

Medicover’s ethos is always adding value for our customers by delivering meaningful insights. As we are nearing 2018, we are closer than ever to our goal of becoming the medical partner of choice in diagnostics for all our customer classes: individual clients, such as physicians, patients and the health-conscious as well as for medical institutions and pharma companies throughout all the key geographies within which we’ve gained significant market share during the past 12 months. That being said, I want you to know that all of the hard work

that you’ve put into the year 2017 is being greatly appreciated and provides a great basis for 2018, so that we can continue to deliver on our strategic roadmap and achieve superior growth. It is this very mindset that has enabled Medicover to have reached so many pivotal milestones in 2017 such as our IPO (Initial Public Offering) in May, or our strategic roadmap implementation kick-off in June.

CORPORATE NEWS

SEASONS GREETINGS

We are a listed company since May 2017 Medicover has been, since May 2017, a listed company at Nasdaq Stockholm — one of most reputable stock exchanges in the world. We are now a public company which is traded at a stock exchange, but the Jonas & Christina af Jochnick Foundation is still our main owner after the listing.

The increased visibility and investor exposure that come with being listed means that Medicover as a company needs to communicate financial results on a regular quarterly basis, keep our owners updated on performance and other key events within the company. The greater market exposure attracts the attention of external stakeholders who want to know more about Medicover and its two divisions: Healthcare Services and Diagnostic Services. In 2018, we will publish our first annual report as a public company, which will be quite a comprehensive report on Medicover, operations, employees and development. We will, as well, for the first time start to separately report on sustainability (see more below).

Our key communications platforms and channels for reaching out to external stakeholders are our web site www.medicover.com, Medicover LinkedIn page and roadshows - a series of meetings in which top executives from our company have the opportunity to talk with current or potential investors.

Medicover to report on sustainability In 2017, new EU-legislation came into force as regards sustainability reporting and publicly traded companies with more than 500 employees. This means that Medicover will start to report annually on sustainability, i.e. on non-financial information relevant to our business practices moving towards more sustainable operations. We have already conducted materiality works within both divisions to identify the areas of most importance to us and our stakeholders as well as relevant sustainability risks and opportunities that support Medicover’s strategy. The three main pillars of sustainable business covered by this new EU-law are: Environmental (protection), Social (development) and Governance (economic development).

The overall objective is to improve risk awareness, add value to customer promise, strengthen brand management, support expansion in high risk markets, improve compliance and control, but also improve innovation of new products and services. A systematic approach to sustainability will improve longterm shareholder value, strengthen all stakeholder relations, create a stronger brand and make Medicover a more attractive employer.

SUSTAINABILITY EX AMPLES WITHIN MEDICOVER Sustainable energy (Diagnostic Services)

Responsible nurse education (Healthcare Services)

ENVIRONMENTAL

IMD Laboratories and Medicover Germany started a process of switching from their current 17 conventional electricity suppliers to one source of 100 per cent green power (environmentally preferable renewable energy). We not only reduce environmental impact but also make savings – around 140,000 € per year.

Medicover Poland has established a partnership with a public university to organise full-time studies in professional healthcare in response to the crucial social problem - a shortage of nursing staff on the labour market and insufficient practical preparation of graduates. Also Synevo Ukraine, Synevo Central Lab and Medicover Romania are engaged in projects supporting nurses’ development.

EMPLOYEE OPINION SURVEY

In 2018, we will launch the latest Employee Opinion Survey (the EOS). The EOS is the organisation-wide survey that runs every two years across all businesses and geographies within Medicover.

How do the choices you make on a daily basis at your workplace affect the environment (e.g. it’s more environmentally sound to opt for the paper bag over the plastic one)? Please recommend by the end of March 2018 one example of a sustainable action that would:

1. address the question of what we can do ourselves to contribute Ethical business (Corporate) As our company grows, we need to ensure that ethics and compliance remain the foundation of all our business practices across our operations and geographies. To supplement and expand on the Medicover Business Code of Conduct, the Medicover Anti-bribery Policy was adopted in 2017 by the Board of Directors of Medicover AB (publ) to be implemented company-wide.

Your participation, input and feedback are crucial for Medicover in defining Employee Engagement’s focus for the future and act as part of the base-line to tell us

THE EMPLOYEE’S JOURNEY

FOR BUILDING MEDICOVER AS AN EVER GREATER PLACE TO WORK FOR ALL OF US.

The launch of the 2018 EOS will take place from May 6, 2018 and all responses are treated strictly confidentially through our partner, Ipsos Mori, who have been running our EOS for the past 10 years.

It was a wonderful experience with a very good team. The ride was beautiful, with unforgettable views and places. I can’t wait for next year’s event.

Join us in 2018! And remember:

Nicolae Banu, Diagnostic Services, Romania nicolae.banu@synevo.eu

a. You should be able to cycle over 100km a day (in total, at least 700 km in a week).

One of the essential things for me on the tour is to exceed my own limits. Before the start, it seems hardly possible to cycle such a distance, but later it becomes completely natural – you simply ride.

b. You can do it, but start your preparations today:

99 Stationary bike 2-3 times per week. 99 Outdoor rides on weekends. It is a good idea to have completed a total of 100km outdoors before the rally. c. Don’t worry about the trip, we ride as a team and you are not alone!

d. Get in touch with Agata, Nicolae or Sven if you want some insight on their last year’s ride experience.

Your participation will entail some contribution. To find out more about organisation, logistics and preparations, ask Dagmara Iwaniak from Medicover Foundation, at: dagmara.iwaniak@medicover.pl

RunMedicoverRun (RMR) together for health!

Running with Medicover is infectious!

How we did it

Shortly after the half-marathon closing the official 2017 RMR initiative, our colleagues from Georgia, symbolically joined RMR taking part in Tbilisimarathon (October 22). They motivated 70 per cent of Georgian team to get off the sofa to either walk or run 10km! This is what we call team spirit! Congratulations, Guys!

To mark our company’s 22nd anniversary healthfully, Medicover running enthusiasts (both from Healthcare and Diagnostic Services) were invited to join the RMR Team and compete in four halfmarathons in: Berlin, Warsaw, Kiev and Bucharest.

TO MAKE 22, 11 NON-HOST COUNTRY AND 11 LOCAL BUSINESS COLLEAGUES were invited to participate in each market (11+11=22), but it quickly turned out that there’s a lot more of local runners who supported the initiative!

You can do it in only 10 weeks! You can easily start from zero to running 20 minutes continuously in 10 weeks, following the plan recommended by famous New York Road Runners Club. All you have to do is commit to 3 sessions per week. Take it easy and do not overexert yourself. If you find any particular step up too tough, repeat your current week until you feel fit enough to move up a level. Polish team can visit www.medicovergo.com to get a more Personal Programme.

High-class fuel for your body!

Secure your body on the run!

Runners always have to pay more attention to meals. A meal right before a run can be nearly as bad as fasting before physical exercise. Eating moderate and well composed food will properly fuel your body, yet won’t give you cramps if you consume it 1-2h beforehand.

More than 50 per cent of those who run regularly develop more than one injury per year. Mostly as a result of the overexertion! This is how to protect yourself from common sports injuries:

Not only should athletes have regular blood tests. Blood testing is recommended also for beginners to check the blood parameters before they start regular training.

Our Diagnostic Services division offers lab test bundles dedicated to those who work out actively – contact your closest blood drawing point to check the possibilities for basic and extended tests.
