HISTORICAL RATES DEBT - THE LONG AND WINDING ROAD TO FINALITY... At last there is final clarity on the issue of the Historical Rates Debt – an issue that has, over the past seven years or so, concerned and confused not only home owners, but indeed all role players in the real estate industry, including commercial and industrial property owners, investors, developers and the banks. The issue gave rise to fairly substantial insecurity in the industry, but now it has been finally put to rest by the Constitutional Court. Given that its passage through the Courts lasted more than 7 years, that during its journey it exercised the minds of no less than twelve Justices of the Constitutional Court (ConCourt), including the Chief Justice of South Africa, fifteen Judges of Appeal including the Judge President of the Supreme Court of Appeals (SCA), four Judges of the High Court and twenty Senior Counsel from across the country, we thought it might be an interesting exercise to trace its development through the various court challenges from inception up to its final conclusion. As with many things in life, it arose, as an unintended and unforeseen consequence of a completely separate issue. Section 118 of the Municipal Systems Act precludes transfer of immovable property from being registered in a Deeds Registry unless the Municipality issues a rates clearance certificate confirming that all rates and taxes incurred during the past two years have been paid. In 2010 the Cape Town Municipality refused to issue a clearance certificate to an applicant where more than two years rates had been outstanding. Payment of the previous two years rates had been tendered to and accepted by the City. Nevertheless it still refused to issue a clearance certificate, arguing that the payment had, in terms of its standing credit policy and bylaws, been applied to the outstanding
debt incurred more than two years before and therefore the debt incurred in the last two years was still outstanding. This argument was dismissed by the Supreme Court of Appeals, holding that the Municipality’s credit policy and bylaws were subordinate to the Act of Parliament. CITY OF CAPE TOWN v REAL PEOPLE HOUSING 2010 SCA
In 2013, the City of Tshwane was faced with a similar situation. It was paid two years outstanding rates and asked to issue a clearance certificate whilst there was still a substantial balance outstanding over and above the two year payment made. The City conceded that it was obliged to issue the clearance certificate against payment of only two years rates and taxes, but asked the Court to rule that the conveyancers registering the transfer had to give it a guarantee that the balance of the outstanding rates would be paid to it, from the price, on registration of transfer. It argued that it was entitled to this relief, because it enjoyed a secured claim over the property in respect of all outstanding rates and taxes and that it would lose this security once the property was transferred into the new owner’s name. The SCA agreed that the City was entitled to security, but ruled that it was not entitled to the guarantee it was claiming, because – and this is where the bombshell was dropped – on a proper interpretation of the law, as it stands, the security would not be lost on transfer into the name of the new owner. In other words, that the City would still be entitled to look to the security of the property to settle its outstanding debt even though the property now belonged to the new owner.

After these three unequivocal rulings, the position thus appeared ominously clear. Unless the law was changed by Parliament or it was declared unconstitutional by the ConCourt, new property owners could have their properties sold to satisfy the outstanding rates debts incurred by predecessors in title. Matters finally came to a head this year before the ConCourt in the matter of JORDAAN & OTHERS v CITY OF TSHWANE & OTHERS. After an exhaustive 36 page judgment reviewing the relevant section of the Municipal Systems AQct, the Court ruled that the security granted by the law to a Municipality in respect of all outstanding rates and taxes did not survive transfer of that property into the name of a new owner. But the twist in the tale lies in the reasoning behind the ruling. It did not hold that the law interpreted by the SCA was unconstitutional, as had widely been expected. In fact it refused to declare that the provision was unconstitutional because, it held, the SCA had been incorrect in its interpretation of that law in the first place. In the result however, and despite its convoluted passage through the courts, all role players can breathe a sigh of relief at last. The spectre of the Historical Rates Debt has been put to bed at last. No one, not even a Municipality, can sell your property to pay debts incurred by someone else.
