Now that the Election is out of the way, our attention can now turn to the serious business of selling houses. We are now in prime marketing time and anyone who is serious about selling this year, 2005, must ensure their property is being marketed correctly.

The deciding factor between whether a property will sell or not may well come down to the skill of the negotiator handling your sale. The estate agency industry is full of people at various levels of competence, but this market is for the strictly professional agent. It is no longer simply a matter of booking an appointment and giving a vendor a value he wants to hear. The successful agent must have empathy with all parties and an ability to inspire confidence in the guidance that is being offered. I believe that there is no such thing as a ‘bad market’. Every market condition is capable of being managed and even when confidence is low it is our job as professional estate agents to broker a successful deal to the satisfaction of all concerned. The recent success in the ratings of the TV series The Apprentice illustrates that to be the best in your profession you have to offer something either unique or substantially better than your competitor.

“a flexible approach to selling“ We have recently been successful in selling property in excess of £2m because our client vendor was prepared to take a flexible approach to selling his home. After a serious of negotiations a deal was struck for the price of the property and to facilitate the sale the vendor agreed to purchase the buyers’ own property, thus effectively closing the chain and allowing the deal to proceed swifter than waiting for yet another buyer at the end of the chain. We have now taken instructions to re-sell the part-exchanged property and this has allowed our client to move swiftly and with a substantial amount of equity for him to pursue his purchase elsewhere. This is a very simple procedure but an extremely effective method of securing a sale.

Another option is to allow the completion date of your sale to be substantially extended once contracts have been exchanged. This can often allow a purchaser more time to sell an existing property or arrange bridging finance if appropriate. It may also be worth asking your solicitor if you can have the use of your purchaser’s deposit on exchange of contracts towards your own purchase, or indeed negotiate a lesser deposit on exchange of contracts. These are only a few suggestions which, with professional guidance and expert negotiations, can make your move a lot smoother.

YOUR BUSINESS: CHOOSING YOUR COMPANY VEHICLE If you are thinking about setting up a business in the UK it can be a very daunting prospect. There is a minefield of rules and regulations to understand and comply with. For most of us the first question to decide is what type of trading vehicle will best suit the business we want to operate. Robert Laderman is a senior partner at Laderman & Co, Solicitors. “in the UK there are three main options“ In layman terms, in the UK, there are 3 main options open to you, namely to trade as a sole trader or in partnership or as a company. A sole trader operates alone, is liable for all debts, owns the business assets and makes all business decisions. Normally a sole trader will be running a small business. A general partnership requires 2 or more people. The partners are liable for all debts jointly and severally (put simply, this means that if the partnership cannot meet its debts, all of the partners will be responsible for those debts without limit). Decision making is shared and partnership assets are shared. Acts carried out by one partner will legally bind the other partners. “In an ideal world all partners will have a partnership deed. The deed will evidence, for instance, who the partners are and their roles and interests. It will also specify how they share profits and losses, how they will deal with liabilities and how the partnership is to be run. It will include provisions for, say, the frequency of partnership meetings, voting rules and procedures, whether outside interests are allowed, holiday arrangements, sickness provisions. It will then go on to define what constitutes partnership property, the name of it’s bankers, accountants, car and holiday entitlement as well as sickness provisions , rules for bringing in new partners, rules for exiting a partnership and rules to resolve disputes etc….

As every business is different each partnership agreement will be different.

“Partnership is like a marriage“ Partnership is like a marriage. The parties will often spend more time with each other than they might do with their spouse or life partner. Their financial and legal relationship can be more intricate and complicated than any relationship that they have at home. The issues arising out of a partnership bust up or a partner’s death can be terribly expensive to resolve, messier and even more acrimonious than a bitterly contested divorce. A properly drafted partnership deed can help resolve such issues. A properly drafted deed can even prevent partners from falling out simply because their entitlements and responsibilities are clearly set out in writing. Existing partnerships, by agreement with all the partners can, still enter into a written agreement and should take advice. Every partnership should have a properly written partnership agreement.

I am dismayed at the number of clients, who don’t have written partnership agreements. When they start in business they are often viewed as unnecessary and expensive and given a low priority. Bank managers, financial advisers and accountants should place more emphasis on the importance of a written partnership agreement. How many partners now choke on remembering previously uttered phrases, like, “we‘re best/good friends or “we understand/trust each other “or “we know what we mean between us.”? However well intentioned those words, the lack of a written partnership agreement can cause not only extreme grief and anxiety to them and their families but financial loss.” Over the years most professions and many businesses have chosen to closely huddle together in partnership, (encouraged by various professional bodies) rather than use any other form of trading entity. The main statutory provisions and the principal legislation relating to a partnership are contained in the Partnership Act 1890. Increasingly however large professional partnerships are finding the need to embrace a corporate structure to meet a number of their needs. This

might be in the form of an LLP (limited liability partnership) or involving a corporate partner (where a limited company is a partner). It is interesting to contrast a company with a partnership. There are two types of limited liability company, namely private and public. A company is run by its directors and owned by its shareholders (who can be the same). The company will own the assets and individuals may take part in the management of the company by being appointed directors. They may each then take an individual equity stake in the company by subscribing for the shares. In general a company director will not be liable for company losses unless he or she has entered into a personal guarantee, is guilty of fraudulent and or wrongful trading, failed to maintain and file company records, acted whilst disqualified or is in breach of a warranty of authority. If a company is insolvent i.e. can’t pay its debts and is wound up, a director’s employment comes to an end and any money invested in shares will be lost. Assets will be realised to pay debts. A public company is usually recognized by the abbreviation “PLC” whereas a private company will be recognised by the word “Limited” or “Ltd”. Public companies can apply to be listed on a Stock

Exchange, offer shares to the public and raise capital from the public.

Setting up a limited company or buying an off the shelf company is relatively easy and inexpensive however compliance with rules and regulations relating to the operation of a limited company can be expensive time consuming and complex. “Company law is often bewildering for small companies, their directors and advisers. For instance, directors are now subject to a plethora of duties many of which have been imposed, over the years, by the courts. This means, that it is often very difficult for directors to understand their duties let alone comply with them. Recognising this, the government published in 2002, a White Paper, “Modernising Company Law” and the recommendations which followed are likely to result in legislation in the next Parliament. This new legislation is likely to be aimed at small limited companies and amongst other things, clearly codify directors duties.”

BUYING PROPERTY ABROAD - the tax efficient route

It’s widely known that many Brits own or want to own foreign property across much of Europe, especially in Spain, Portugal and France. Given the huge increases in UK property prices over the last five years, it’s not difficult to understand why. And with ten more countries having joined the EU in May 2004, an explosion of interest in property in some of the old Eastern Bloc countries is changing the profile of the typical holiday home. But buyers need to weigh up the allure of a place in the sun with the reality of the UK and foreign tax regimes. Many of our clients have either bought a holiday property or are seriously thinking about it. You may have bought a holiday home as an investment, or to let out when it’s not being used. You may plan to retire there one day, or see it as an alternative to a pension scheme. Whatever, the case, it’s worth looking into the UK and foreign tax implications of property ownership in “El Dorado”. As always, specific advice is needed for each individual set of circumstances, but this article will start to scratch the surface of the tax issues general, income, capital gains, and inheritance tax that you need to be aware of.

» Owning a holiday home through a company If you own a holiday home through a company, an income tax charge could arise in the UK if you are a director or a shadow director of the company. This tax charge, which has been upheld in the courts, can be significant – and it applies whether the property is in the UK or overseas. This can be avoided but the solution is complex, so please seek expert advice.

Some common questions clients ask us: Q: Will I be able to buy my second (holiday) home through a SIPP in 2006? A: Pension Simplification legislation set to take effect in April 2006 will permit this. If you use this property for your own benefit then there will be a tax charge based upon that benefit. In the case of a holiday home, this would mean having to pay the market rate to stay there, or alternatively declaring it on your tax return as a form of taxable income.

Q: Will I be able to buy this second home outside the UK?

» How company money can be used to buy your holiday home You can use company money to buy a holiday home but, generally speaking, it is not advisable to hold this type of property in your trading company. Extracting the funds will give rise to income tax charges, reducing the amount you have to spend on your property. It is possible to use another “vehicle” to hold this property. This vehicle can be extremely tax-efficient but it involves complex tax planning which needs careful handling.

» Tax breaks for furnished holiday letting You can roll over Capital Gains Tax arising from the sale of business property or goodwill into a furnished holiday property, meaning that the payment of the tax is deferred. Furnished holiday lets can also qualify for what is known as Business Asset Taper Relief. What happens is that after two years of owning the property, the rate of Capital Gains Tax will be a maximum of 10% (and could be even lower). Losses arising from the letting of a UK furnished holiday property can be set against other income – thus providing tax relief (as long as the property is let on a commercial basis). When in Rome… (or Spain or Portugal or France…) - some foreign taxes (including local inheritance tax) and heirship rules. A number of taxes not currently in the UK tax system exist in many foreign jurisdictions – which can significantly increase the annual costs of foreign property ownership. These include wealth tax, and transfer taxes for both purchaser and vendor. More recently, in countries such as Portugal a further surcharge tax is levied on an annual basis where the registered owner of the property is a company located in one of a number of “blacklisted” jurisdictions, including the Channel Islands, Gibraltar and much of the Caribbean. If you own a property abroad you should consider having a foreign Will. This will be helpful in dealing with local heirship rules. If your current Will is not recognised in the country where your holiday home is situated, you could be in for a nasty shock – with your property passing to a beneficiary specified by the estate laws of that country rather than the people specified in your Will. Please seek advice about dealing with foreign taxation and local heirship rules.

A: According to the proposed legislation, you will, but whilst moving your property into a SIPP may be tax-free in the UK, it could be subject to tax in a foreign country. It is also likely to be quite a complex process and some SIPP providers will not be prepared to undertake this. And the fees charged by those who do offer this will be higher than those charged for UK property purchase.

Q: How do I go about setting this up in advance? A: You should start working with an Independent Financial Adviser to review your existing pension arrangements and to evaluate the pros and cons of transferring existing funds into a SIPP in advance of April 2006.

Q: Can I claim travel costs to my investment in Spain? A: If you are renting your investment property out, expenses incurred are treated in the same way as a UK business. This means that a deduction for travel expenses incurred may be given provided you are able to show that you were travelling solely for the purpose of the foreign letting and not made partly for some private purpose (for example, a long weekend away in your holiday home!).

Q: My wife and I want to invest in a block of 6 apartments abroad with another family. How can we do this in the most tax-efficient way? A: This is a complex area, and would depend of course on the country in which you invest in these apartments. We recommend getting expert advice before embarking on this.

Q: If I decide to reside abroad, how do I keep a residential investment here in a tax efficient manner? A: Again, this depends on the jurisdiction of where you settle. But irrespective of where you go, the rental profit on your UK property will always be taxable in the UK.
