REFORM OF THE ITALIAN CIVIL PROCEDURE: NEW REGULATIONS IN LABOUR LAW RELATED PROCEEDINGS

It is well known that the Italian procedural system may have some critical issues. Pursuant to the Delegation Law of 26 November 2021, no. 206, the Italian Government has been entrusted to adopt one or more decrees to reform the Italian Civil Procedure System in the next year. The objectives to pursue have been the same for years: to lighten the excessive load of proceedings and respond to the need of speed and efficiency to ensure an effective judicial protection. As part of the reform, also the labour law procedural system will be affected by some changes. Among those, two major changes regard the introduction of the assisted negotiation procedure for labour matters and the

abolition of the current dual-track-system to challenge dismissals.

ADR: SETTLEMENT AGREEMENT WITH THE ASSISTANCE OF THE LAWYERS ONLY.

One of the main changes concerns the possibility to settle labour related matters only with the assistance of the lawyers. According to Section 2113 of the Italian Civil Code employees’ rights such as outstanding remuneration of any kind, bonuses, reimbursement for expenses, indemnities, damages and so on, cannot be waived under private agreements. Said waivers and transaction can be challenged within six months from the date of termination of the employment relationship or from the date of the waiver or the transaction in case the latter ones occur after the employment termination. This means that

even if the employer and the employee enter into an agreement and mutually waive some of their rights, such agreement does not ensure that the matter is definitively settled, and the company remains exposed to possible challenges. Nevertheless, if the relevant settlements are executed before the competent Labour Offices, trade unions or before the Labour Courts, waivers cannot be challenged, and the agreement executed before such bodies become binding and definitive. As a means to incentive the use of the Alternative Dispute Resolution, the Delegation Law provides for that also labour related disputes referred to in Section 409 of the Italian Civile Procedural Code are included in the matter that can be settled under the “Assisted Negotiation Procedure”, governed by Section 2, Sub-section 1, Decree Law 132/2014, converted with amendments

by Law 162/2014, without being subject to the restrictions of Section 2113 of the Italian Civil Code. In this sense, the reform proposed by the Italian government implicitly overcome the current system under which only public bodies or trade unions would guarantee a regime of stability of the settlement agreement, being those the only subjects that are currently legitimised to ensure the will and awareness of the employee in giving consent to the settlement. The lawyers are indeed assigned the role of guarantors of the validity of the agreement reached. Considering the particularity of employment law featured by a clear disproportion of contractual power between the parties, the Delegation Law specifies that "each party is assisted by its own lawyer", distinguishing the employment matter from the general discipline of Assisted Negotiation Procedure that set out that the negotiation agreement can be reached even in the presence of only one defender. In case of labour matter, each party, the employer and the employee, shall be necessarily assisted by their respective lawyers.

“FORNERO”-PROCEDURE WILL BE GONE AFTER 10 YEARS FROM ITS INTRODUCTION

Another major change regards the overcoming of the current legal framework that provides for a “dual-track-system” in the matter of dismissals: the first, governed by Article 1, paragraphs 48 et seq., Law of 28 June 2012, no. 92, for employees hired before 7 March 2015; the second, that is the ordinary labour proceeding, referred to in Sections 409 et seq. of the Italian Civil Procedural Code, for employees hired after 7 March 2015. The reform is aimed at implementing a new procedural rule based on the principle and guiding criterion of "unifying and coordinating the discipline of proceedings to challenge dismissals, even when issues relating to the qualification of the employment relationship have to be solved”, thus implying the substantial abrogation of the Fornero-Procedure. This special procedure was introduced under the Law 92/2012 as a new process dedicated to disputes relating to the appeal of dismissals pursuant to Section 18 of Law 300/1970 (i.e., reinstatement of the dismissed employee). The main feature of this special procedure is based on the fact that the first instance judgment is formed by a first “summary” phase, characterised by a quick and swift assessment aimed at ascertaining the possible unlawfulness of the dismissal, followed by a subsequent and possible full cognisance "opposition" phase. Due to this two-phase feature, one of the most controversial aspects of this procedure

concerned the problem of compatibility of the judge in case of the assignment of the two phases of the first instance to the same magistrate. This case is not uncommon Italy especially in courts with a small number of judges. In this regard, the Italian Supreme Court and the Constitutional Court have both ruled out the incompatibility, considering that the opposition did not constitute a different level of proceedings but merely a prosecution of the same proceeding. Moreover, there was a consistent number of disputes relating to the scope of application of this special rite, having the provision provided for the possibility to claim for issues “relating to the qualification of the employment relationship" and which "are based on

identical constitutive facts", leaving however, the doubts about which questions could be proposed with this rite and which were excluded. Moreover, the procedural remedy applicable in the event of claims which are unrelated to those that can be proposed with the Fornero rite is still controversial. Already in 2015, with Legislative Decree 23/2015 the Italian legislator excluded the application of Fornero-Procedure in case of dismissals of employees hired after 7 March 2015, therefore, it is not surprising that the current government decided to eliminate such procedure that despite objectives of efficiency and rapidity that the legislator of 2012 had intended to pursue, had ultimately the effect of further aggravating an already overloaded procedural system.

COLLECTIVE LAYOFF PROCEDURES

On 31 December 2021, the Law of 30 December 2021, no. 234, in force since 1 January 2022, (Budget Law 2022), provides for a specific procedure for employers staffed with 250 or more employees (except for those which meet certain requirements; for example, those in economic-financial conditions that are likely to occur in crisis or insolvency) that intend to shut down a production unit, thus fully decommissioning the relevant activities, and dismiss at least 50 employees owing to said shutdown. With this regulation the Italian Legislator intends to adopt measures aimed at preventing the relocation of businesses, by establishing onerous and burdensome fulfilments for the employers in the information and consultation procedure. Within such a procedure, the employer – among others – must draft and supply to the unions and public bodies a plan whereby it has to specify those measures which are planned to be adopted to mitigate negative consequences on redundant employees (for example, recourse to social shock absorbers, payment of an incentive to leave to employees who “accept” being dismissed, measures aimed at their professional requalification, etc.) and to clarify if there are potential acquirers for its business or an undertaking hereof. A meeting among the employer, the unions and public bodies which is aimed at the joint examination of the plan must be scheduled. Further to said examination, there are two possibilities. • If a trade union agreement has been reached, the plan is signed and the employer undertakes to implement it within the established times and methods. • If the agreement has not been reached, the employer may initiate the procedure pursuant to Law no. 223/1991, only once the 90 days have elapsed: in this case, the duration of this subsequent procedure has (understandably) been reduced to 30 days and takes place in administrative offices. The recent Budget Law therefore establishes an articulated discipline in terms of the required formalities: in fact, for the failure to sign the trade union agreement, the employer is required to pay the dismissal contribution – provided for in the increased amount equal to triple (Article 2, paragraph 35, Law no. 92/2012) – increased by 50%. If – despite that – it decides to proceed with the procedure pursuant to Law no. 223/1991, the employer will be required to pay also the dismissal contribution in the amount not increased. Finally, in the event of non-submission of the plan (paragraph 235) or if the plan

does not contain the essential elements established by law (paragraph 228), the dismissal contribution provided for by Article 2, paragraph 35, Law 92/2012 (i.e., tripled) is increased "by an amount equal to double".

CODE OF BUSINESS CRISIS AND INSOLVENCY ENTERS INTO FORCE: NEW REGULATIONS GOVERNING BUSINESS TRANSFERS

In 2019, the Legislative Decree 12 January 2019, no. 14 containing the "Code of business crisis and insolvency" implemented the Delegation Law of 19 October 2017, no. 155, that enacted an organic reform concerning insolvency procedures in Italy. The entry into force of this Code has been postponed several times but – except for some provisions that are already applicable – it should become (the hypothetical tense seems however rather appropriate) effective from 15 July 2022. From an employment law perspective, this Code has relevant impact in the Italian regulation concerning transfer of undertakings. The Code has in fact largely amended Section 47 of the Law of 29 December 1990, no. 428, which along with Section 2112 of the Italian Civil Code establishes the main legal framework for company transfers. In general, whenever the transferor employs more than 15 employees (regardless the number of employees whose employment relationships are actually transferred to the transferee), both the transferor and the transferee must trigger a unions’ information procedure at least 25 days before the date on which the transfer agreement or any binding agreement hereof between the transferor and the transferee is executed. This procedure, upon the unions’ written request hereof, may lead to a joint examination with the internal works councils and/or the external trade

unions having requested such a joint examination. Within the framework of the transfer transferor’s employees are granted with several rights which include the one to have their employment relationships automatically continuing, by operation of law, with the transferee, thus maintaining any rights arising from such employment relationships. Among others, the transferee has to grant the transferor’s employees with any entitlements set forth by the collective bargaining agreements which apply to their employment relationships as at the transfer date, until their expiry, unless such agreements are replaced by those which govern the employment agreements of the transferee’s employees. Moreover, the transferor and the transferee are jointly liable with respect to those sums owed to the transferor’s employees as at the transfer date. However, the Italian law had allowed to depart from such protections for those companies facing crisis or under insolvency procedures raising inconsistences between the Italian provisions and the European Directive no. 2001/23/EC objected by the Court of Justice of the European Union. The new regulation has still maintained the possibility to derogate from the principle of the legal continuity of the employment relationship established under Section 2112 of the Italian Civil Code insofar the agreement with the unions is reached within the information and joint examination procedure and to the following extent: • in case of restructuring agreements or special administration procedure not leading to the shutdown of the business, the transferor’s employees are entitled to any rights out of those outlined above, while only the working conditions may be changed under the agreement with the unions; • in case of bankruptcy, restructuring

Angelo Zambelli agreements or compulsory administrative winding-up leading to the shutdown of the business, the agreement with the unions may derogate from the protections of Section 2112 of the Italian Civil Code and the joint liability between the transferor and the transferee do not apply (in such cases, moreover, the transferor shall pay to its employees the end-of-service allowance); • in the event of a special administration procedure leading to the shutdown of the business, for the transferor’s employees having their employment relationships continuing with the transferee, such protections “automatically” do not apply, unless the agreement with the unions otherwise provides cover. As we may see, year 2022 reserves many changes in the employment law sector. We will see how such measures will affect the labor market and if they can respond to its needs.
