CONCEPT AND INNOVATION IN THE BABY PRODUCTS INDUSTRY and the importance of protecting intellectual property in your business

Innovation is the life blood of business and the British have a long-standing reputation as being leaders in this field. British inventors and designers are always thinking about how to design and invent products which work better, more easily, more efficiently and/or are more cost effective to produce. The Baby Product Association has long recognised and supported the importance of this aspect of the industry and its Concept & Innovation Awards have allowed the industry to highlight and promote its top inventors and designers. 3volution (a boutique law firm specialising in intellectual property, commercial agreements, GDPR, corporate transactions and dispute management) is a proud sponsor of these awards. While intellectual property law is not usually well understood, its importance in business has reached a far greater audience further to the success of Dragon’s Den. The question all potential investors ask is “have you protected your intellectual property?” So, what do they mean?

Intellectual property (‘IP’) is an intangible legal right which governments may choose to give their inventors and designers to protect and promote innovation in their country. Further to legislation passed by the UK government your new concepts and innovations may have unregistered IP protection further to laws relating to trade secrets, unregistered design right and unregistered trade marks and copyright.

Unregistered IP rights are ‘free’ and you don’t need to take any formal steps to register these rights or pay any fees to benefit from them. However, you do need to keep evidence of: • when the new work was created and • by whom. Also the rules on how long such rights last varies from: • 10 years from the first time you market or sell a product which has unregistered design right protection, to • for as long as you use a trade mark or keep a trade secret confidential (think, Coca Cola recipe!)

However unregistered trade mark rights only exist where you can evidence that you have used your mark(s) to advertise and sell goods or services. This is not such an important restriction as it used to be because most businesses now have a website on which goods and services are advertised, but do keep: • records of how long your website has been live • visitor numbers • sample (dated) pages showing what was being advertised on the web pages etc • copies of orders and invoices and anything else that will demonstrate how far your mark is and was recognised and used. You should also use the trade mark notice ™ for all your unregistered trade marks whether these are word marks or logos.

Registered IP: Investors are more interested in registered IP rights as these are easier to protect and are capable of being charged (i.e. you can secure loans with registered IP). Registered IP rights are: • patents – which protect a novel invention – lifespan of 20 years • trade marks – indefinite lifespan provided you pay the 10 year renewal fees • design rights – 25 year lifespan again, provided you pay the 5 year renewal fees. National protection: You can obtain registrations in the UK and in other countries provided your work meets the qualifying criteria (which is different for each type of right) and you pay the relevant fees. IP transactions: You can also license, charge and sell IP rights and such transactions are all subject to particular rules set out in the relevant IP legislation.

Tax credits: where you invest in research and development and/or obtain a patent for your invention you may be able to obtain tax credits.
