message from the president

On the right track!

Fundação do Futebol - Liga Portugal has a clear mission in what sport, and football, in particular, can offer to communities, beyond the spectacle on the pitch. After these first four years, we can proudly say that this mission has been accomplished with total merit.

This mission belongs not only to the Fundação do Futebol -Liga Portugal, but also to the 34 Clubs that comprise our Professional Championships. We are extremely proud to see the proactivity of the clubs in this new role that football has taken on, forging closer links with their communities and showing the true potential of the beautiful game and the impact it can have on the evolution of society.

During the 2021-2022 sports season, Fundação do FutebolLiga Portugal sought to continue the work done in previous years, using the notoriety that football has and the passions it stirs to leave a mark of involvement and support of Professional Football to solitary causes belonging to the different communities spread throughout our Country.

Social inclusion, involvement in great humanitarian causes, the protection of values, the promotion of science and technology in Football and Environmental Sustainability remained as the main flagships of our activity, and for us, these are fundamental aspects on the path towards a more inclusive, tolerant and fairer society.

The war in Ukraine was one of the great humanitarian causes that echoed around the world and that had the support of the Fundação do Futebol - Liga Portugal and the Sports Societies, through campaigns that played a fundamental role in the survival

of those who remained in the country and in the integration of Ukrainian citizens in Portugal.

In another context, Fundação do Futebol - Liga Portugal was present, for the first time, at Rock In Rio-Lisboa, through a stand where athletes of our competitions, artists, influencers and Ambassadors of Liga Portugal passed by, and besides capturing the interest of the general public, signed the official match ball for the new sports season, the season in which Football Does Not Stop, later auctioned in favour of the sustainability of the oceans. It is with great joy that I look at what we have managed to build over the years with the Fundação do Futebol - Liga Portugal. A Professional Football with a prominent role in building a fairer society, with the participation of all parties that comprise it. We are on the right track and are ever closer to achieving our great goal: one Club, one Community, one Foundation!

The SDGs require action-taking by governments, businesses and civil society from all over the world in order to eradicate poverty and create a decent life and opportunities for everyone, within the planet’s capabilities. For businesses, particularly, the SDGs are an opportunity to create and implement solutions and technologies that can solve major world challenges, helping to interconnect business strategies and world priorities. In 2015, 17 Sustainable Development Goals were created and ended in a global model to be approached worldwide: end poverty, promote prosperity and wellbeing of everyone, protect the environment and fight climate change.

The business sector has a crucial and essential role in the management of these needs, particularly in the communities where they are included. Fundação do Futebol – Liga Portugal identifies itself with the safeguarding of the goals included in the 2030 Agenda, and believes that by asserting its own social role it will be able to contribute to achieving the international and national goals. As such, all of the mentioned projects presented in the action plan will be based on various SDGs and will be a way to promote and disseminate the 2030 Agenda. 4 accounts report 2021-22

The 2021-22 season was a time of great challenges for the Fundação do Futebol - Liga Portugal, starting with the renewal of the institutional partnership with Santa Casa da Misericórdia de Lisboa.

In addition to this important pillar, the Fundação do Futebol - Liga Portugal also had the support of its founder - Liga Portugal. This season, all direct and indirect expenses were properly allocated to the Fundação, so this financial year reflects the totality of the activities developed.

At the end of this fourth year of activity, the Fundação do Futebol - Liga Portugal, which does not aim to obtain positive economic results, but only to fund the activities planned for the period, presents a positive net result of 61 118,73€.

Thus, the main financial items for this season are presented below, presenting positive and balanced operating results, within the objectives that had been proposed at the beginning of the season.

NOTE 3 MAIN ACCOUNTING POLICIES

NOTE

3.1 MEASUREMENT STANDARDS USED IN THE PREPARATION OF THE FINANCIAL STATEMENTS

Note 3.1.1 Financial Instruments

Debts of third parties

Receivables are stated at cost and presented in the balance sheet net of any impairment losses, recognised under the Impairment of receivables (losses/reversals) in order to show their recoverable amount.

Impairment losses are recorded following events that indicate, objectively and in a quantifiable manner, that all or part of the outstanding balance will not be received. To this effect, the Fundação takes into account market information that shows that the client is in default of its responsibilities, as well as past information on overdue and unreceived balances.

Recognised impairment losses correspond to the difference between the book value of the receivable balance and the respective cost. To date, the amortised cost does not differ in its nominal value.

Loans

Loans are recorded in liabilities at cost minus transaction costs that are directly

46 | 2021-22 SEASON | ACTIVITIES AND ACCOUNTS REPORT

attributable to the issuance of these liabilities. Financial charges are calculated at the effective interest rate and recorded in the income statement for the period in accordance with the accrual scheme. The portion of the effective interest related to commissions with the issue of loans is added to the book value of the loans if they are not settled during the period.

Whenever there is a compulsory right to offset assets and liabilities and the Board of Directors intends to liquidate on a net basis or to execute the asset to settle the liability simultaneously, they are offset and presented in the balance sheet at their net value.

Suppliers and debts to third parties

Debts to suppliers or other non-interest-bearing third parties are recorded at cost. Financial liabilities

Financial liabilities are classified according to the contractual substance of the transaction, regardless of the legal form they adopt.

A financial instrument is classified as a financial liability when there is a contractual obligation for its liquidation to be made through the delivery of money or other financial assets, regardless of its legal form. Financial liabilities are initially recorded at cost, minus transaction costs incurred, and subsequently cost minus impairment loss.

Note 3.1.2 Cash and bank deposits

The amounts listed under “Cash Flow and Bank Deposits” correspond to cash values, bank deposits, time deposits and other treasury applications, which mature in less than three months and can be immediately altered without significant risk of change in value.

Note 3.1.3 Economic periodization

Expenses and income are recorded in the period to which they refer regardless of their payment or receiving, in accordance with the accrual accounting method. The differences between the amounts received and paid and the corresponding revenues and expenses are recorded under “Other receivables” and “Other payables” or “Deferred charges”.

Note 3.1.4 Current taxes

With regard to income taxes, these are recorded in the Fundação results statement and include the effect of current taxes.

Current income tax is calculated on the basis of taxable income, in accordance with the tax rules in force.

Deferred taxes refer to temporary differences between the amounts of assets and liabilities for accounting purposes and the respective amounts for tax purposes,

as well as those resulting from tax benefits obtained and from temporary differences between the tax and accounting results. The Fundação did not record deferred taxes.

According to the legislation in force, the declarations are subject to review and correction by the Tax Authority during a period of 4 years (5 years for Social Security), except when tax losses have been granted, tax benefits have been granted or inspections, complaints or challenges are underway, in which case, depending on the circumstances, the time limits may be extended or suspended. Since this is the start-up year, there are no periods subject to revision.

Note 3.1.5 Revenues

Revenue is measured at the fair value of the consideration received or receivable. The recognised revenue is deducted from the number of returns, discounts and other rebates and does not include VAT and other taxes related to the sale.

Proceeds from the sale of assets are only recognised in the income statement when (i) the significant risks and rewards of ownership of the assets are transferred to the buyer, (ii) continued management involvement is not maintained with a degree generally associated with (iii) the amount of revenue can be measured reliably, (iv) it is probable that the economic benefits associated with the transactions flow to the entity and (v) the costs incurred or to be incurred in relation to the entity can be reliably measured. Sales are recognised net of taxes, discounts and other expenses related to their realization, at the fair value of the amount received or receivable.

Proceeds from the provision of services include fixed contributions and variable contributions which essentially include inscriptions and fines and protests. These revenues are recognised in the income statement when debited to associates. In the rendering of accounts, the necessary adjustments are made to this income, resulting from the application of the principle of economic periodization.

Nota 3.1.6 Subsequent events

Events occurring after the balance sheet date that provide evidence or additional information about conditions that existed at the balance sheet date ("events that lead to adjustments") are reflected in the financial statements of the Fundação. Events after the balance sheet date that are indicative of conditions that arose after the balance sheet date ("non-adjusting events"), when material, are disclosed in the notes to the financial statements.

Nota 3.1.7 Judgments and estimates

When preparing the financial statements, the Fundação’s Board relied on the best knowledge and experience of past and/or current events considering certain assumptions regarding future events.

The financial statements do not include any significant accounting estimates.

The estimates were determined based on the best information available at the date of preparation of the financial statements. However, events may occur in subsequent periods that, not being foreseeable at the time, were not considered in these estimates. Changes to these estimates that occur after the date of the financial statements will be adjusted prospectively. For this reason, and given the degree of uncertainty associated, the actual results of the transactions in question may differ from the corresponding estimates.

Changes to these estimates that occur after the date of the financial statements will be adjusted in the income statement prospectively.

NOTE 3.2 OTHER RELEVANT ACCOUNTING POLICIES

Note 3.2.1 Cash flows

The cash flow statement is prepared in accordance with NCRF 2, using the direct method. The Fundação classifies under “Cash and cash equivalents” investments with a maturity of fewer than three months and for which the risk of value change is insignificant, including the captive amounts of time deposits.

The cash flow statement is classified under operating, financing and investment activities. Operating activities include receipts from customers, payments to suppliers, payments to personnel and others related operating activities. The cash flows covered in investing activities include, in particular, acquisitions and disposals of investments in subsidiaries and receipts and payments arising from the purchase and sale of fixed assets.

Cash flows covered in financing activities include, inter alia, payments and receipts for loans obtained, leasing contracts and payment of dividends.

Note 3.2.2 Foreign currency

All assets and liabilities presented in foreign currency are converted into functional currency using the official quotations in force on the reporting date. Favourable and unfavourable exchange differences arising from differences between the exchange rates in force on the date of the transactions and those in force on the date of collection,

payment or the balance sheet date are recorded as gains and losses in the income statement for the period.

Exchange differences associated with accounts receivable/payable whose maturity is not defined are recorded in the income statement for the period when such accounts receivable/payable are depreciated/disposed/settled.

Note 3.2.3 Value judgments made by the managing body in the process of applying accounting policies and which had a higher impact on the amounts registered in the financial statements

When preparing the financial statements in accordance with NCRF-SNL, the Board of the Fundação uses estimates and assumptions that affect the application of policies and reported amounts. Estimates and judgments are continually evaluated and are based on past experience and other factors, including expectations regarding future events considered probable under the circumstances on which the estimates are based, or as a result of information or experience gained.

Nota 3.2.4 Key future assumptions

The attached financial statements were prepared on an ongoing concern basis, from the books and accounting records of the Fundação, maintained in accordance with generally accepted accounting principles in Portugal.

Due to the pandemic situation, decreed by the World Health Organization (WHO) on March 11, 2020 the Fundação continued to implement a set of measures and good practices in accordance with the recommendations of the Directorate General of Health and the WHO in order to protect all employees and the continuity of its activity through remote working. Despite the constraints resulting from this pandemic, the Fundação was not indifferent to the difficulties that many families and projects are going through, having, as already mentioned, actively contributed to mitigating the effects of this situation.

Despite the existence of a high level of uncertainty, Fundação believes that it has the financial resources and assets to maintain its activities, and therefore the Board of Directors reiterates that it is appropriate to use the assumption of continuity of operations in the preparation of the attached financial statements.

Events occurring after the balance sheet date that affect the value of assets and liabilities at the balance sheet date are included in the preparation of the financial statements for the period.

Note 3.2.5 Main sources of uncertainty

This note refers to the main assumptions regarding the future, adopted in the preparation of the attached financial statements, which may imply a significant risk of material adjustments to the valuation of assets and liabilities for the next financial periods.

financing operations (such as Euribor) or that includes a spread on the same index, does not contain any contractual clause that may result in the holder losing the nominal value and accumulated interest (excluding cases of credit risk). Contracts to lend or borrow on a net basis are also measured at cost less Impairment.

All financial instruments traded on a liquid and regulated market are measured at fair value.

As long as Fundação holds a financial instrument, the measurement policy will not be changed.

In activities subject to corporate income tax (IRC) the reconciliation of the effective tax rate is as follows:

The Fundação is an organisation that does not engage in a commercial, industrial or agricultural activity as its main business, meaning that its corporate income tax base corresponds to the designated “global income”, corresponding to the sum of the income of the various categories considered for IRS purposes, as well as any asset increases obtained free of charge (Article 3 no. 3 paragraph b) of the IRC Code. However, the Fundação could benefit from one of the subjective exemptions foreseen in article 10 of the Corporate Income Tax Code (IRC Code), in case it guarantees the attribution of the status of “private institution of social Solidarity” (IPSS), or the status of collective person of mere public utility that pursues, exclusively or predominantly, scientific or cultural purposes, of charity, assistance, beneficence, social solidarity. Given that the Fundação does not verify for the moment any of the characteristics described above, it will not be able to benefit from these exemptions.

NOTE 8 FINANCIAL INSTRUMENTS

NOTE 8.1 MEASUREMENT BASES

It is Fundação’s policy to recognise a financial asset or liability only when it becomes a part of the contractual provisions of the instrument.
