Career Advancements Jane Provo, executive director of the Denton Affordable Housing Corp., was reappointed to the Federal Home Loan Bank of Dallas advisory council. According to Provo a news release, Provo’s role on the council will mean carrying out the mission of the organization — increasing the supply of affordable housing for lower-income households and people with special needs. Provo’s third term on the advisory council began in January. She has served as the council’s chairwoman since 2011. Her term will expire Dec. 31, 2015. The advisory council’s 13 representatives, who come from state, community and nonprofit organizations, advise the Federal Home Loan Bank board of directors on affordable housing and economic development issues. The Federal Home Loan Bank of Dallas is one of 12 district banks in the federal home loan bank system created by Congress in 1932. The Dallasbased bank is a member-owned cooperative of more than 900 members and associated institutions in Arkansas, Louisiana, Mississippi, New Mexico and Texas. Kirkpatrick’s nephew, David M. Robinson, 43, a licensed architect, will assume the role of managing director of the firm and oversee the technical staff, while Kirkpatrick’s Robinson daughter, Katie Hizen, 32, current director of public relations, will become managing director of operations and oversee the Hizen administration, finance and marketing departments. I The Weitzman Group’s Blake Shipp was promoted to vice president of the commercial retail division of the company. On behalf of a Cencor joint venture, Shipp also handles the leasing of Golden Triangle Mall. Shipp has been recognized as a top-10 producer for Weitzman’s Dallas-Fort Worth office and was named “Rookie of the Year Heavy Hitter,” by the Dallas Business Journal in 2010 as one of the leading commercial real estate brokers in North Texas.
He is a member of the International Council of Shopping Centers and the North Texas Commercial Association of Realtors. Shipp received his bachelor’s of business administration in real estate and finance from the University of North Texas. I Harold Willis has joined Hammerle Finley Law Firm as a full-time geriatric care manager. In his role, Willis will serve as a health and human services specialist, guidWillis ing and advocating for families caring for older relatives or disabled adults, according to a news release. As a Texas certified guardian with more than 37 years of experience in the health care industry, Willis understands all aspects of hospital and ancillary facilities, Medicare and Medicaid rules and regulations, as well as national, state and political influences on the industry, the release said. A Denton resident, Meredith has been an employee of the Denton County MHMR for the past seven years. Meredith said he has run four times on behalf of the center. He participated in the two Cowtown marathons, as well as two El Scorcho competitions in Fort Worth. In total, Meredith has raised $2,130 for Denton County MHMR. Earlier this month, Amanda Luna joined the Hammerle Finley Law Firm as a family law and litigation lawyer. Luna won an award from Victim-Witness Assistance Luna Program for assisting family violence victims in a number of prosecutions. Grow with the best “It is important to not just invest in the right fund, but also to invest in the right way” — This column, September 2011
T
he investment world has recently been shocked by the recent events in Cyprus, a tiny Eurozone country. As part of that nation’s bailout, large bank depositors are being required to “sacrifice” as much as 70 percent of the cash in their bank accounts. This unfortunate development is an unsettling reminder that cash in the bank may not be a risk-free asset. Of course, this is hardly news to long-time readers of our articles about the ongoing “War on Savers.” We have focused on the “hidden thief” of inflationary central bank and government poli-
Jonathon FITE | cies, rather than the overt robbery of Cyprus. But the net effect is similar: cash and cash-like assets such as bonds are becoming worth less in terms of their purchasing power. Readers are heeding the message. Their first consideration, understandably, is on which fund or type of fund they should invest in. We urge them to focus on Value Investing, the investing approach that has outperformed
others over the decades. Investors must then ask themselves, how should they invest within those funds? Our September 2011 article “Stick With The Best” explored the right way to invest in funds. The key takeaway of that article was that after finding a good fund, investors should stick with it through tough periods. This simple lesson will help avoid the results of many investors, who flit in and out, endlessly chasing one hot fund after another, and lose lots of money in the process. In our own investment partnership, we have been very fortunate to have rational, long-term oriented partners — a far cry from the typical, fickle fund investor. Still, over the years we realized we must equip our partners with tools for insight into
the best way to grow with us. This is a trickier task than it might seem at first glance. We expect markets to be rangebound for several more years, and for markets to oscillate between periods of ebullience and gloom-and-doom. As value investment fund managers, we must be positioned to exploit the markets, and simultaneously inform our partners so they can do the same. Here is what we found: Just as the best time to invest in a company’s stock is when the stock price is at a big discount to its intrinsic value, the best time to add to a fund is when its overall portfolio is at a big discount to the total intrinsic value of the holdings. We devised an “ABC” opportunity grading score for the portfolio. An “A” grade would correspond to periods when the portfolio was at a discount greater than 50 percent to the intrinsic value of its holdings. Such a deep
portfolio discount is not frequent — think the 2008-09 financial meltdown and the late-2011 period where the U.S. debt ceiling debacle and Eurozone debt crisis battered global markets. A “C” grade was when the discount is less than 30 percent. “B,” where the portfolio resides the majority of the time, is between those extremes. As it turns out, grade “A” periods are ideal times to grow the fund both from the perspective of new investors and existing investors. The benefit to new investors is obvious since they are buying into wonderful bargains. Since this new cash gets deployed into the best available bargains, the overall composition of the portfolio skews to become even more undervalued! To get our heads around this, let’s first suppose that you owned 100 percent of the following

Is owner financing residential real estate safe?
O
wner financing in Texas has historically been a valued tool to sell real estate to parties who for various reasons couldn’t qualify to borrow from institutional lenders. However, in 2008 and 2009, owner financing was directly affected by federal and state regulatory changes. In 2009, Texas was directed by federal law to adopt Chapter 180 of the Texas Finance Code, now better known as the Texas SAFE Act. The acronym “SAFE” stems from the Secure and Fair Enforcement for Mortgage Licensing Act which was part of the federal Wall Street Reform Act of 2008. These Acts were spurred by the belief that the liquidity crisis in the financial markets was caused in part by mortgage fraud and subprime mortgage loans. One of the objectives of the federal SAFE Act was to provide uniform requirements for state licensed loan originators, or what we in Texas formerly referred to
Scott ALAGOOD | as mortgage brokers. The Texas SAFE Act renamed the mortgage broker as a “residential mortgage loan originator” or “RMLO” and broadened the State licensing requirements necessary to perform certain functions associated with the issuance of a residential mortgage loan. This is where the problem arose for owner financed transactions. The Texas SAFE Act defines a RMLO as any individual who for compensation or gain, or the expectation thereof, either takes a residential mortgage loan application or offers or negotiates the terms of a residential mortgage.
Certain exclusions and exemptions from licensing are provided in the statute, including licensed real estate brokers and salespersons, licensed manufactured housing brokers, no interest/fee loans, loans to an immediate family member and loans involving the sale of the owner’s homestead. Even licensed attorneys may be subject to further licensure where the negotiation of a mortgage loan is not an ancillary matter to the attorney’s representation or the attorney takes an application and offers or negotiates the mortgage terms. Any owner financing transaction which does not otherwise fall under one of the exempted categories will clearly meet the definition of an RMLO and require licensure by the party offering or negotiating the mortgage loan. The Texas agency responsible for enforcing the SAFE Act is the Texas Department of Savings and Mortgage Lending. Violations of the SAFE Act include license sus-
pension, a fine of up to $25,000, and restitution to the buyer. At this point, it is unclear what “restitution” means. Fortunately, the commissioner of the Department of Savings and Mortgage Lending issued a notice in August of 2010, setting forth a seller financing “de minimus” exception to the Texas SAFE Act. Before the federal and Texas SAFE Acts, Section 156.202(a)(3) of the Texas Finance Code exempted from licensing “an owner of real property who in any 12 consecutive month period makes not more than five mortgage loans to purchasers of property for all or part of the purchase price of the real estate against which the mortgage is secured. The commissioner pointed out that in adopting Chapter 180 of the Texas Finance Code, the legislature had amended Section 156.202, but left Section 156.202(a)(3) intact. Since the amendments to Section 156.202
were passed after Chapter 180, the commissioner determined that the legislature intended that the de minimus exception remain. Unless there is a subsequent statutory amendment or rule, or the U.S. Department of Housing and Urban Development issues a conflicting ruling, the commissioner has stated that the de minimus exception will continue to be allowed by the Department of Savings and Mortgage Lending. In considering whether or not a transaction falls within the de minimus exemption, the 12month period is a rolling period, and not determined on the basis of a calendar year. Also, for business organizations, the term “owner” will in all probability be viewed at the ultimate ownership or control level. This means that a person will not be allowed to transfer ownership into separate business entities (i.e. corporation,

Back in the day, one parent had custody of a child upon divorce and that person maintained all the rights and powers associated with that child. Over the last thirty-five years custody law has evolved into the creation of “Joint Managing Conservatorship.” Joint managing conservatorship was created in 1979 and was further improved in 1987. This means that some or all of the primary rights to the child may be shared. There is a presumption that joint managing conservatorship is in the best interest of the children. If the court decides the case, the court must choose a parent who will establish the child’s primary residence. However, by agreement the parties can decide that neither parent will establish the child’s primary residence. In that circumstance the parents must designate an area for the childrens’ residence in which they both will live. As for parental rights, there are rights that both parents have at all times unless limited by court order. “Custody” fights really revolve around certain important parental rights as follows: (1) the right to establish the primary residence of the child (2) the right to consent to medical, dental, and surgical treatment involving invasive procedures (3) the right to consent to psychiatric and psychological treatment (4) the right to receive child support (5) the right to make decisions concerning the child’s education If parents cannot agree on who will establish the primary residence of the child, sometimes the courts will appoint a third party professional(s) to perform a social study and/or psychological evaluations. These reports can be quite painful for one or both parents. When parents cannot reach a resolution, courts have no choice but to utilize third party professionals, who are paid by the parents. These professionals give the court objective data to assist the court in making a decision. Beginning in September 2009, parents could agree that the child’s

residence would be within a specified geographical area therefore neither parent would have the exclusive right to designate the primary residence of the child. While this provision often placates parents regarding the designation of a primary residence, it raises questions about the school the child will attend and which parent will make educational decisions. The Texas Education Code allows a child to attend a school in the school district in which either parent resides. Therefore the real hurdle for parents in conflict is that of which parent’s residence will determine the primary residence of the child and how educational decisions will be made. The parents must also decide the right to consent to invasive medical, dental and surgical procedures. The first question that parents argue about with invasive medical procedures is what in the heck is an invasive medical procedure? Is it a new tattoo? Is it a piercing of the ears or other appendage or body part? Is it implants and braces? It is best if parents have differing views to define what invasive medical procedures do not entail because basically an invasive procedure is any procedure that is invasive to the body. Common types of invasive medical procedures
are shots and medication. Parents will sometimes name tie-breakers for medical and educational decisions such as the child’s primary care physician or the school counselor. The same problems exist in making psychological and psychiatric treatment decisions. In this day and time doctors prescribe medications routinely for such things as ADD or ADHD and parents will have varying views on whether a child’s behavior should be modified with medication or otherwise. Who makes the decision to evaluate the child? Who makes the decision after evaluation to treat the child? Who makes the decision to institutionalize the child or put the child in a residential treatment facility if necessary? Like the educational and medical decisions, a tie breaking mechanism needs to be in place when the parents simply cannot see eye to eye on these delicate situations. Divorced parents may utilize, if they agree, a first right of refusal. This means that the parent who will not be with the child for a designated period of time during that parent’s time must allow the other parent the first right to watch the child while that parent is away. These provisions work for some families and not for others. The
more parents are willing to work together, the more these type of provisions are not necessary and can be cumbersome. A major area of conflict for parents often is the school and non-school extracurricular activities. Usually there is a parent who wants to sign the child up for every conceivable camp, training session, special instruction known to man. The other parent believes the child needs moderation in all of these areas and demands that there be no pressure to attend sports or music camps or special instruction. Parents often make agreements about extracurricular activities but such orders can create more problems than they are intended to resolve. Unless the parents agree otherwise, the parent in possession of a child is not obligated to take a child to any extracurricular activity during their time as it is that parent’s right to decide what they do with their time with the children. Parental alienation can be a real problem. Parents who alienate the child from the other parent are often in complete denial and oblivious they are doing it. Parents who think they are winning by getting a child on their side are most often the parent the child resents in adulthood. Children just want peace and stability, to be children, and for their parents to act like adults and not use them as pawns and messengers. The best thing parents can do is to reach agreements regarding their children. Children do not choose their parents, rather each parent chooses the other parent. Divorce is painful enough and children should expect their parents to be able to reach agreements regarding them. The hardest thing for parents to realize is what is best for their children versus what is best for the parent. Parental decisions that are best for a child can be a painful decision for the parent. If I had only one thing to say after 20 years of practicing family law, it would be that the most admirable parents I know are those parents with the ability to put their differences aside and coparent for the children. Those are true “parents,” but it takes both.

Further, since you are a diligent value investor, you have carefully analyzed the assets, earnings power, and growth prospects of each of these holdings to arrive at an intrinsic value estimate for each holding. Your portfolio, with a market value of $2.5 million and an intrinsic value of $5.5 million, is at a 54.5 percent discount — solidly in grade “A�. Now, let’s say that you brought in a business partner who invested $1 million, which you quickly deployed into your cheapest holding, Company 2, by purchasing 20,000 more shares at $50 each. Let us now think about how this was beneficial. The market value of the portfolio would thus rise to $3.5 million, while the intrinsic value would rise to $8.5 million. The intrinsic value of your 71 percent ownership interest would be $6.1 million, a hefty bump up from your 100 percent ownership interest of $5.5 million. And you have created this improvement without adding a dime of your own into the fund, not to mention avoiding the taxable capital gains of “churning� your portfolio, for example by selling Company 3 stock to buy Company 2 stock. The portfolio discount has improved from 54.5 percent (an “A�) to 58.8 percent (an “APlus�), creating better upside potential for both of you! Chamber luncheon set for April 26 T
he next Denton Chamber membership luncheon is scheduled for Friday, April 26 at the Buffalo Valley Events Center. Besides the graduation of the 2012-13 Leadership Denton class, there will also be a presentation on “The Missing Link” in local economic development. The 8,300-acre area west of I-35 and south of U.S. Highway 380 was designated in
Chuck CARPENTER | the City of Denton’s 1999 Comprehensive Plan as the pri-
mary zone for industrial use. It currently includes the Denton Airport, and existing major private employers such as Peterbilt, Tetra Pak, May Day Manufacturing and Target. Fortunately, there are still significant parcels of land available for even more capital intensive projects. Additional private development translates to longterm career opportunities, and significant improvements that
will be appraised for property taxes. Revenue from property taxes subsequently provide municipal services and help fund public schools. The only “missing link,” or component, is access to additional natural gas. Existing private infrastructure for gas distribution in this area is at capacity. Based on not being able to respond to prospect requests
representing $1.4 billion in capital investment since 2008, the Denton Chamber board of directors has endorsed the referendum on the City of Denton ballot for May 11, 2013 authorizing construction of a new gas pipeline into the area. Although Denton Municipal Electric will own the pipeline, actual operation and maintenance may be contracted. Managing the growth of Denton D
enton is currently ranked the seventh fastest growing city in the United States. Even through the tough economic times of the past few years, Denton has continued to grow and has been able to weather the storm much more effectively than many of the communities across the nation. Now that the economy is recovering, we are seeing unemployment rates drop and foreclosures decline. I believe that over the coming years, we are going to see the Denton community explode with growth. As a community, we need to be proactive in planning for and responding to that growth. When we wake up in 10 or 20 years, what will Denton
Aimee BISSETT | look like? What do we want Denton to look like? How do we get there? In order to answer that question, I think we need to look first at the question: who are we as a community? Denton is unique in many ways, one of which is our progressive and innovative sustainability initiatives. Our municipally owned utility com-
pany, Denton Municipal Electric, provides 40 percent of energy needs to Denton residents through renewable energy sources. DME partners with a wind farm in Muenster, Texas, to buy wind power for Denton. What you may not know is that “40 percent renewable” is the highest percentage of any city in the United States. Denton is a leader nationally in many of our sustainable initiatives, from our landfill operations to our highly effective Keep Denton Beautiful programs. “Sustainability” is a popular buzzword lately — but what exactly does it mean? For something to be sustainable, it requires three components. We’ll call them the “three E’s”:
I Environmental — most people think that sustainability is synonymous with environmentally-friendly. While this is an important component of sustainability, it is not solely sufficient as a definition. I Economic — in order to be truly sustainable, an initiative must also be economically viable. It must be affordable and cost-effective. I Equitable — perhaps the most important and most often overlooked component of sustainability, it must be accessible to all populations within the city, distributed fairly, and be socially responsible. In 2010, the city of Denton adopted a Strategic Plan with five key focus areas. One of
those focus areas is Sustainable Economic Development. How do we manage our growth in such a way that it is sustainable? How do we steer our growth so that when we wake up in 10 or 20 years, we find the Denton we’d like to see? There are cities across the nation that are beginning to think about their growth in this context, and several “Smart Growth” Initiatives have been born out of this new way of thinking. Some core concepts of Smart Growth include: I Raising residential densities in new growth and existing neighborhoods, so that we can better manage our “sprawl” and keep our core city vibrant. I Promoting mixed land uses and pedestrian friendly neighborhoods, in order to minimize our reliance on automobiles. I Emphasizing the use of BISSETT | CONTINUED ON PAGE 17

State of Denton’s economy By Dawn Cobb and Karina Ramírez
Numbers tell only part of the story of the economy in Denton and area communities. The other part is perception, local business owners and officials say. The unemployment rate and both commercial and residential foreclosures are down year over year while home sales and new commercial and housing permits are up for the same period. Retail is ramping up with new stores opening at Rayzor Ranch, Golden Triangle Mall and other areas of town. Industries are seeing growth with the projected addition of the Target Distribution Center on the city’s tax rolls and new Peterbilt suppliers moving to town. But some say there’s still a sense of apprehension from
month to month in how the economy is progressing. “The average member is doing some struggling,” says Chuck Carpenter, president of the Denton Chamber of Commerce. While he is optimistic about the future, he feels there is “realistic apprehension” among business owners, primarily due to what effects they will see with the national healthcare reform. “I’m generally having a sense that cash flow is limited,” he said. “But I personally feel it’s all going to have a happy ending. It’d be a whole lot harder to do
what I do in any other city than Denton.” A UNIQUE PLACE Denton’s diverse economy is a key factor to its stability in challenging economic times, says Sennett Kirk, owner of Kirk Securities Corporation. Texas and other low-tax states are better off than the nation in general, he said. “Just like the U.S. is the best game in town compared to Europe, China…the same is true for Texas and Denton,” Kirk said.

For instance, when the housing bubble burst, the crunch crippled other areas. But the state and region didn’t have the appreciation or higher values, so they did not suffer the same setbacks, he said. “We’re certainly going to perform better than the country as a whole,” Kirk said. The U.S. and, for that matter, Texas, will not likely see gross domestic product growth in the 5 to 6 percent range. “Those days are gone,” he said, but growth will likely still occur in the region. Denton’s healthy mix of industries and universities provide the stability and companies are still building regional distribution centers in Denton through efforts by the chamber
and city economic development departments, he said. “I just think we’ll continue to perform a lot better than the national economy.” ON THE RETAIL FRONT Thad Bonduris, who has owned Bonduris Music for more than 20 years, did not feel the effects of the most recent economic recession until the last quarter of 2012. “It finally did (have an effect), but I realize that I am a luxury business and we are at the higher end when it comes to pricing,” Bonduris said. But the business owner used the downtime to regroup by expanding his business and creating a recording studio at his current location on North
Locust Street. “The community continues to give us positive reinforcement so I am optimistic things will continue to improve,” he said. In the retail world, Golden Triangle Mall has finished its first phase of renovations and is in the process of building a food court and new entrances to the facility built in 1980. The mall also recently announced a new major tenant, Buckle, a retail clothing store catering to the city’s large young adult population. Mall tenants — ranging from Macy’s to DFW Shoes to Barnes & Noble Booksellers — are seeing strong sales this year, according to Matt Ludeman, manager of the Denton mall. January figures were strong, though followed by a slightly lower February. “We are seeing a good trend from the national retailers that have been with us for 24 or more consecutive months,” he said. A few miles north on Interstate 35, Rayzor Ranch officials recently celebrated the long-awaited opening of Kohl’s Department Store and has added several smaller restaurants and other retail outlets. According to Karen Dickson, vice president of economic development for the Denton Chamber of Commerce, sales tax records reflect the city’s growing retail base. “Sales tax collection has been going up, so we are doing well there,” she said. THE NUMBERS In February, housing sales in Denton County totaled 560, up from December’s 487 total and November’s 556. March through November of 2012 also showed significant increases over the previous two years, reaching a high of 892 homes sold in August — the highest since June of 2006, according to statistics from the Texas A&M Real Estate Center. The unemployment rate for Denton dropped to 5 percent while the county recorded a 5.5 percent unemployment rate in February, according to the Texas Workforce Commission. Both were down from the same period last year as well as several

A real estate sign indicated that a home has been listed for sale. preceding years. Permits for new commercial in Denton jumped from 1 in January 2012 to 3 in January 2013. More notable was the increase in total values of the commercial permits year over year. In 2012, the January permits were valued at $529,805 — significantly lower than the estimated $5.03 million in commercial permits filed in January 2013, according to city of Denton records. New residential permits also are strengthening, according to the latest available data from the city. In January 2013, the city granted 36 residential permits for new houses, up from the 16 permits granted in January 2012. REALITY SETS IN While some anticipate a 2 percent gross domestic product growth in the next year, it could be much worse, Kirk says. “We’re not going to get back to the rocky years and that’s a good thing,” he said, adding that the years of strong growth often saw strong falls in the form of a technology bubble or housing bubble burst.

“The healthiest thing that’s happened with all of this turmoil in Washington and political gamesmanship is that, now, people are ignoring it. That is what affected 2012 — people were wondering what’s going to hap-
pen,” he said. “What they learned is they just need to go about their own business. That’s healthy when people quit looking to Austin or Washington for salvation. That’s the way it should be.”

Road to see $90 million in improvements FM2499 will see $90 million in improvements thanks to a partnership among the Texas Department of Transportation, the Regional Transportation Council and Denton County. Officials have come together to fund the extension of FM2499 from State Highway 121 North to Denton Creek.
