Going Up Wells Fargo Earlier this month, the old Wells Fargo bank drive-through facility, located two blocks south of the Denton Square between Elm and Locust streets, was demolished. Jack Bell Properties is planning a 49unit mixed-use development on the property. Mark Martin, a local architect, said the property will look similar to the nearby Victoria Station, with one- to three-bedroom units including retail and office space. The approximate completion date is in December.

Cigar Frogs Cigar Frogs, a new piano bar, will cover three buildings totaling 4,837 square feet located at 100 N. Interstate 35E. The new business sits on 1.8 acres located on the east side of I-35E, just south of the Fort Worth Drive exit. The site is in an area that features strong restaurant and retail activity. The bar will be the second location for Joe Dunham, who is looking to start a franchise of his Midland-based business he opened in 2009.

Career Advancements Lee Standley was recently hired by the county to oversee the management of the 4H program and some of the outreach programs the county uses to give students a Standley taste of what 4H offers. Standley was born and raised in Crockett and moved to Decatur in 1997 to do extension work. He worked for Parker County in 2000 and went to the U.S. Department of Agriculture in 2004. Program cuts left Standley with the choice of sticking with the agency and likely getting relocated or finding something else. He will oversee 200 traditional 4-H clubs, along with outreach programs that often coincide with school curriculum and can give students a taste of 4-H, which Standley hopes will show that the program is a good fit for them. I Last week, Dr. Vince Baugher and the Spinal Decompression & Chiropractic Center were honored with a Five-Star Service Award by Integrity Management, a chiropractic consulting organization based in Lincoln, Neb. The award was developed by the consulting firm to promote superior chiropractic clinics that excel in patient treatment, customer service and professionalism, a news release said. “Just as five-star hotels are synonymous with quality service, five-star clinics ensure patients they will receive quality care,” officials with the center said. The Spinal Decompression & Chiropractic Center was one of the few clinics chosen among 60,000 chiropractic clinics across the country to receive the recognition. Guthrie is the daughter of Terri and Ron Guthrie Guthrie. Kelsie Guthrie was chosen as an Anglin Public Relations intern in 2011 during her senior year of college. Beware of Cheery Yields “You pay a very high price in the stock market for a cheery consensus.” - Warren Buffett
M
r. Buffett penned those words over 30 years ago. In his August 1979 treatise for Forbes, Buffett implores his readers – specifically large pension fund managers – to consider buying stocks. After a decade of horrible returns for most people, stocks had lost their appeal. The prices of stocks were in the doldrums. Yet, while stocks seemed cheap, pension managers were exiting stocks in droves to load up on bonds. Buffett thought this was silly — 30 years ago. He could have penned the article yesterday and it would have been just as relevant.
Jonathon FITE | In the years following Buffett’s article, bonds got crushed as interest rates rose to the midteens and equities began their multi-decade rise. But there’s a big difference between today’s pension manager and his 1979 predecessor: today’s 10-year bonds fetch a measly 1.5 percent versus 9 plus percent back then. Bonds prices have much further to fall now (remember as prices fall, yields rise; conversely a 1.5 percent yield represents an
insanely high bond price). Yet for some reason, most folks still shy away from cheap equities and feel warm, cozy, even cheery when they buy incredibly highpriced U.S. Treasury bonds. Unfortunately, because of these perversely low yields, investors are also cheerily clipping coupons elsewhere including leveraged bond-funds, high priced Real estate investment trusts (REITs) and most recently, blue-chip stocks. The shift to this last group has been good to see. Perhaps the message this column has been expressing for some time is starting to get through. The highest quality equities have had a nice run of late: Wal-Mart, Johnson & Johnson, Pfizer, Microsoft, Coke, Hershey and among others have seen its prices appreciate nicely. Maybe
folks realized that these compounding machines, which offered dividend yields higher than 10-year treasuries, also had pricing power that might enable those dividends to grow ahead of inflation in the coming years. Many of these companies are priced much higher than they were just 12 months ago, but most are still far from being expensive. But turning down a different path, some hard-core, yieldstarved investors have ventured out a bit further on the risk spectrum. REITs typically borrow lots of money to buy commercial properties which generate steady rental income streams. Whether the properties are hotels, apartments, assisted living centers, mini-storage or office buildings, the hope is rents generated far exceed the mortgage, utilities and management costs. Interestingly, REITs also benefit from special tax treatment; they do not pay corporate
income taxes as long as they pay out 90 percent plus of earnings to investors. As a result, these companies’ dividends are often much higher than their bluechip brethren. Unfortunately, investors who could not slake their thirst for yield at the bluechip fountain have gorged themselves on the juicy dividends coming from these REITs. Adjusted funds from operations (AFFO) are a key metric for many REITs, and investors should remember only to pay a reasonable multiple of this truly distributable cash flow. Unfortunately, while analyzing several REITs as investment prospects for our hedge fund, my business partner and I found most were priced far in excess of a reasonable AFFO multiple. Furthermore, these REIT stocks are often trading at two or three times the net value of the properties they own! Investors seem to think these REITs will FITE | CONTINUED ON PAGE 6

Local store celebrates 50th anniversary Since March 5, Dinah, an 11year-old Labrador-Pyrenees mix, and Gus, her 7- or 8-yearold Staffordshire Terrier mix friend, and the staff at the Ethan Allen store at the corner of Oak and Elm streets have been celebrating the store’s 50th anniversary. It’s been a quiet affair, said Bill Thomas, who opened the store in 1962 when it was known as Thomas’ Ethan Allen Gallery. Bill Thomas said prior to acquiring the store, when he was 35, he worked as a wholesale distributor covering North Texas and southern Oklahoma. The job included lots of travel and dealing with the owners of hardware stores, furniture stores and
lumberyards. One day he went to the Ethan Allen store and spoke to the owner, who asked him to bring his wife, Janie, to the store’s liquidation sale. It was there, he said, he began to think about possibly taking over the store. The store, he said, has been at the same location since 1949 – 13 years before he took over. I
Firm finishes apartment revitalization, refinance California-based National Asset Services (NAS), a real estate firm specializing in tenant-in-common property management, recently announced the completion of the revitalization and refinancing of the Cooper Glen Apartments, a 240-unit complex located in Denton.
NAS officials said in a June 19 news release they had successfully worked for a 14-month period to address all levels of management, marketing and legal resources connected with the property. “Within three months, occupancy levels increased from approximately 75 percent to over 90 percent and stabilized around 95 percent after one year,” officials said in the release. Sally Beauty Holdings Inc. announced last month it raised
more than $1.3 million for Susan G. Komen for the Cure during its first year of its partnership with the breast cancer charity. From April 2011 through March 2012, the company and its operating units, Sally Beauty Supply and CosmoProf, raised funds for the nonprofit through a 5 percent donation of sales revenue from designated products, including collecting donations at the registers in its stores. This is the second year Sally Beauty Holdings has had the fundraising program for Susan G. Komen. The program will continue to run until March 31, 2013. Sally Beauty Holdings Inc. is an international specialty retailer and distributor of professional beauty supplies with annual revenues of $3.3 billion. The company runs two business

benefit from 100 percent occupancy forever and will be able to steadily raise rents without a tenant ever balking. In our experience, this assumption leaves investors standing on shaky ground. Yet, it seems the 5 percent or 6 percent yields these REITs throw off create a cheery consensus which causes many investors to overlook such potential issues. Perhaps the most concerning reach for yield lies in the strong performance of leveraged bond funds. Over the past few years, investors have poured hundreds of billions of dollars into bond funds. When you review your 401k options and look at the recent returns, many of these funds have had quite a ride. Investors love it when the prices of their investments rise. But even though funds that have risen dramatically in price have much less potential to deliver future returns, folks cheerily chase them higher. In addition to being pricey, leveraged bond funds have some particularly worrisome characteristics. “Leveraged” simply means borrowed money. In essence, for every dollar of investor money, these funds go borrow another dollar, $2 or more. This gives them more “juice” when things are going well, but can speed declines when investors decide to exit. They also tend to buy lower quality credits. For example, if these funds go buy corporate debt from companies not quite as robust as Coca-Cola, they might be able to fetch 5 percent, 6 percent, 7 percent yields or more. While these yields are higher, they come from companies whose prospects may be less secure. But investors starved for income continue to gobble these funds up. As the fund prices inevitably rise, the yields begin to fall. To keep investor demand up, many funds have begun paying out more than just the coupons received from their loans. They are returning paid in capital too. To see how this works and
how it becomes problematic, we’ll explore a simple example. Let’s say a fund loans out $100 and gets paid $5 in interest – this loan has a 5 percent yield. Now let’s say you are sick and tired of getting zero percent in your savings account and you want to buy the loan this fund just made so you can collect the 5 percent yield. But you are not the only one who is desperate for this 5 percent income. Lots of people are cheerily bidding for this loan. So, you wind up paying $125 for the loan. Now, your $5 in income only results in a 4 percent yield. Now let’s say the fund manager wants to keep others interested in his fund, so he decides to kick in another $1.25 each year, subtracting this amount from the principle you eventually get paid back at the end of the loan. It makes his fund look like it still has a 5 percent yield ($5 + $1.25 = $6.25 / $125 = 5 percent). But you don’t get your $100 back at the end, you only get $98.75. This treatment is always disclosed, but often in the fine print. Most investors don’t take the time to understand where the yield is coming from, only that it is juicy, that the price of the fund has risen over the past three years and that if the fund is doing so well it must be a great investment. In fact the opposite is true, since such funds often trade far above the value of the bonds they contain. The fact these funds are also leveraged only adds fuel to this combustible concoction. Chasing cheer can feel good. Your buddies are talking about how well their bonds did last quarter, how “safe” they are, how stocks are so volatile you should just avoid them altogether. So you join the crowd. Few want to consider stocks that have done nothing for the last 10 years, or even worse, those that have cratered of late. Who wants to buy coal companies today, which have been decimated by cheap natural gas and fallen 90 percent in the past 9 months? Or those big
bad banks that caused all this craziness four years ago? Or cyclical industrials that have exposure to countries in Europe? There is no cheeriness there. And prices are cheap. Somewhere in that pile of hated, ugly assets are likely to be a few decent businesses that present wonderful bargains for
diligent value investors. But it’s hard to go where it is hated, feared, or despised even though that’s where the rewards lie. It’s easier to buy what feels good. But remember, you pay a very high price for a cheery consensus. Jonathon Fite is a managing partner of KMF Investments, a Texas-based

Collaborative Law – The Other Road to Take Through a Divorce. When a couple decides to divorce, they can choose a process that is designed to help spouses and families reach respectful solutions – they can choose Collaborative Law. The road to resolution in a divorce does not have to be a treacherous one. Often times divorce litigation leaves irreparable damage to finances and relationships. By taking the other road and choosing the collaborative law process, parties make a conscious effort to minimize any adverse impact the divorce will have on their futures.

An integral part of the collaborative process involves the establishment and understanding of the parties’ goals, interests and concerns with regard to the process, the parenting plan, the division of the marital estate and post-divorce relationships. Mr. Navarrette believes that “everyone’s commitment to the process is paramount to allowing the parties and attorneys to focus on the likelihood of reaching the end of the road with amicable agreement.” The Team Approach
In the collaborative law process, parties can work together to reach agreements that are focused on their individual and mutual goals through interest-based negotiations. “The collaborative law process allows each party to have a voice in the outcome of their case,” says Eric A. Navarrette, attorney in the Denton office of KoonsFuller, P.C., a law firm exclusively limited to the practice of family law. Mr. Navarrette believes that “a person’s ability to have a voice in the outcome of their case will carry a lasting impression on future relationships and obligations, and co-parenting with their ex-spouse.” When a divorce is imminent, it is imperative that the parties understand that postdivorce relationships and obligations are inevitable, especially when children are involved. While the parties in the collaborative process are adversaries and may have competing interests, the process itself encourages cooperation and collaboration to discuss and solve problems together. Generally, the collaborative law process was designed with the principle goal of helping people increase the chances that they will reach an agreement in a way that is less destructive financially and emotionally to the parties and children. Commitment to Resolution One of the greatest benefits of the formal collaborative law process is that when the formal collaborative law participation agreement is signed there is no doubt that the parties and their attorneys are serious about settling the case. Signing a formal collaborative law participation agreement commits the parties to obligations of full disclosure of information and commits the attorneys to withdrawing in the event the process is terminated. This is a serious commitment to attempt to settle from both the parties and their attorneys. In the collaborative law process, the focus is solely on settlement through interest-based negotiations. Interestbased negotiations are centered on try-

Leadership program to start this month
T
he 28th class of Leadership Denton will convene Aug. 24, embarking on a monthly series of informative sessions that will run through April 2013. As an affiliate of the Denton Chamber of Commerce, this program seeks to help make area citizens better aware of opportunities for community and philanthropic service, as well as all levels of public office. There are 19 participants in the current Leadership Denton class. There have been 471 graduates of the program since the first class convened in 1986. Although not intentional, the gender quotient of graduates has maintained an approximately 50 percent male-female ratio. The present class consists of 10 males and nine females. There have been six members of the Denton City Council that have graduated from Leadership Denton, including the current mayor, Mark Burroughs. Mayor Burroughs is also a former general chair of Leadership Denton and presently serves as an officer and on the board of the Denton Chamber. Two members of the current Denton Independent School District Board of Trustees are graduates, Dr. Glenna Harris and Mia Price. There have been 10 chairs of the board of the Denton Chamber of Commerce that have graduated from Leadership Denton: Carl Anderson, Michele Barber, Richard Hayes, George Highfill, Perry McNeill, Lee Ann Nutt, Ellen Painter, Connie Pelphrey, Marty Rivers and Randy Robinson. Art in the city T
he City of Denton has a long-standing relationship with the arts community, but why is art important to us as a municipality? The Denton Plan states, “Public art provides a number of benefits to the city. It can create interest, create local distinctiveness, provide a memorable image associated with the city or certain districts within the city, lend character to urban spaces and make the urban environment more attractive.� Denton has experienced a rich tradition of promoting the arts for over a century. The first art course was taught in 1894 at the University of North Texas (Texas Normal College and Teacher Training Institute), and in 1901 at Texas Woman’s University (Girls Industrial College). Both art programs have a significant impact on Denton, making it a home for hundreds of professional artists and influencing Denton’s visual heritage. Denton tends to be a progressive city when it comes to art. The City of Denton feels so strongly about supporting art that they have included a base of 2 percent for the arts from all future Capital Improvement Programs, with the option and flexibility to increase to a 4 percent maximum, based on needs and economic conditions. In 2011, the city of Denton’s Public Art Committee commissioned 2010 Texas Poet Laureate Karla K. Morton to write 25 poems about the history of Denton. The Committee then commissioned artists from the Denton community to create works of art inspired by Morton’s poems. The result is a stunning exhibition and book – Passion, Art, Community: Denton, Texas in Word and Image. The exhibition will be on display Aug. 26 – Oct. 28 in the Meadows Gallery at the Center for the Visual Arts, 400 E. Hickory St., and features original

works of art. The works include paintings, photographs and collages. Each piece is accompanied by the poem that inspired it. The opening reception will also include a book signing by Karla K. Hastings to go out of business this month Denton’s Hastings Books Music and Video will close Aug. 17. Going-out-of-business sale signs have been placed at the store. A recorded phone message announced last month to customers that the store was selling everything and gift cards could still be redeemed online. “The location’s profit was less than required by management,” said Brad Massie, advertising manager with the parent company, Amarillo-based Hastings Entertainment Inc. The Denton location employs 35 full-time and part-time employees, he said. The company also cited the increasing growth of rental kiosks
and subscription-based services in movie rentals, a continuing slump in the video game industry plus the current economic environment, which has impacted consumer discretionary spending, as reasons for its continued loss in revenues. The Denton store, at 2311 Colorado Blvd., opened in 1992. Hastings quickly became a popular place to purchase recorded music, and it’s been a favorite in the Denton Record-Chronicle’s Best of Denton readers poll since 1994.

It isn’t clear what attracts creative people to Denton. The music scene, the artistic culture, the two universities and the community feel all come to mind. These elements make Denton a welcome place for a creative class to build businesses around their art and attract other creative people. Sean Starr, who recently moved to Denton from San Francisco, can’t put his finger on what “it” is that makes Denton, well, Denton. But he likes it.
“Denton’s just got a really awesome creative vibe,” said Starr, owner of Starr Studios, a branding agency focused on making signs.
Whatever “it” is, the city hopes to brand it and sell it. That’s why city officials are beginning to have discussions with creative minds like Josh
Berthume, who founded a creative agency called Swash Labs, and Chris Flemmons, who started the 35 Denton music festival. Berthume said members of the creative class of Denton don’t step on each other’s toes, but instead push one another to produce higher quality work. “We like to see each other succeed,” he said. There is a dedication to the craft, whether it’s music, art or design, he said. “That has created a high bar,” Berthume said. “It’s almost a community standard we hold
each other to.” It’s something similar to the early days of Austin, he said. Many describe Denton as being the way Austin was decades ago. “The joke I hear is Denton is like Austin was when it was cool,” Berthume said. He sees the parallel. “Denton is going to be different and I think that’s to our credit,” he said. The city is trying to figure out how to take advantage of something that is already working pretty well, he said.

BRANDING DENTON Councilman Kevin Roden calls it “creative economy.” He is trying to figure out how the city can use the momentum already created by local artists, capture it and market it. On a recent Monday night, he held a meeting with creative minds in Denton and plans to hold more. He said the younger generation is deciding what town they want to live in and then finding a job when they get there instead of going where the jobs already exist like previous generations. “They go there and then they look for a job,” Roden said. “What they’re looking for is a sense of place. People who are in creative fields like to collaborate a lot.” Roden said that cities are starting to recognize this. The city of Denton and the Denton Chamber of Commerce should take advantage of the ingredients that are already here, he said.
By holding meetings and talking with creative individuals, Roden is trying to learn from them. “How do they understand the culture in Denton? What do they think we can do as a city to help things out?” he asked. “One of the nice things about this industry is it’s not requiring a ton of incentives from the city,” Roden said. To draw in large developments, such as Rayzor Ranch, the city offers incentive packages. With this industry, people are coming to Denton for Denton. “I think we can just learn,” Roden said. “Try and figure out where that momentum is going.” Michael Seman, a research associate with the University of North Texas Center for Economic Development and Research, said policy makers should encourage the creative people to arise by simply being supportive of them Seman agreed with Roden that city officials don’t have to spend tons of money but they can offer their understanding and built-in resources to creative people. “It’s hard to dictate through policy where creativity is going to happen,” Seman said.
Artists can live anywhere, he said, but tend to be drawn to other creative people. Julie Glover, Denton’s economic development program administrator, said people who work in computer fields, music and art want to live in Denton because of the activity and culture of the city. The mind change of people seeing art as a business has happened in the past few years, Glover said. “It is an industry,” she said. “Whether it’s a piece of art or it’s a piece of music.” And other industries spring up around it. That was Chris Flemmons’ idea behind 35 Denton — to attract creative people and build industries where they could work here. THE THEORY City officials have been taking their cues from Richard Florida’s theories in The Rise of the American Class. It’s been a long-term goal of city officials to assist in building this creative class. The plan was to have an arts corridor on East Hickory Street anchored by the ART | CONTINUED ON PAGE 14

Center for the Visual Arts and the Campus Theatre. It didn’t happen exactly as the city had planned but people involved in the project, such as Fred Patterson, former publisher of the Denton Record-Chronicle, and Euline Brock, former mayor, say it turned out well. Brock, who was mayor from 2000 to 2006, said it happened organically, piece by piece. “It’s better to have things that [are] organic, that grow out of what’s there,” she said. In his book, Florida suggests it is an organic process. Florida’s theory is there are two groups of people — the super-creative core and the creative professionals. The first group includes writers, artists, entertainers and designers. The second group comprises knowledge-based professionals, such as high-tech sectors. The super-creative core is well represented in Denton, Seman said. The quality of life and having an open-minded community are part of what attracts the creative class, Seman said. MOVING IN Since he’s been in Denton, Starr has created a sign for Bookish Coffee on the Square and he’s also working with Jupiter House to re-do its branding campaign. Starr put a gold leaf design in the front window of the coffee shop on the Square and painted signs on several walls. Starr Studios creates full branding campaigns, which are centered on Starr’s signature hand-painted signs, which take about five hours to paint. Right now, Starr and others have to go into Dallas to get work. He wants to get to the point where people from Dallas and Fort Worth come to Denton for the creative class. “I personally see the potential in Denton to become known in the Dallas market as a creative center,” Starr said. And that’s something he and others want to promote. Starr wants that to happen by

GSATi (Global Solutions and Technology Inc.) is another company that sees Denton’s creative potential and wants to be a part of it. GSATi, which offers technology services, marketing services and management services, is setting up shop in Denton because of the vibrant downtown community and its collective nature, said Jason Bodor, director of finance with the company and a Denton resident. “The community itself was a good representation of our company,” he said. The company will be moving to the Texas Building on the Square in October. Previously the employees were working from their own homes but decided it would be good to have an office for collaboration. Bodor pushed the company to have its space in Denton. “We wanted a building with character and we wanted a town with character,” he said. The company exposed its employees to the Denton culture and they agreed it was the right place. The company also sees Denton’s potential for a future labor pool as the business grows, Bodor said. LABOR TALENT POOL Many of the potential creative minds to fill the labor pool come from the University of North Texas and Texas Woman’s
University. There are 2,250 art and design students at the University of North Texas, said Robert Milnes, dean of the College of Visual Arts and Design. Creative people tend to hang out with other creative people whatever they’re doing, Milnes said. “So what you want is a nucleus of creative people who then push each other to new heights,” he said. That’s why there is a mix of creative folks in Denton. “It’s not a historical accident but it has historical precedence,” he said. “The arts are fragile and, if you plan them too careful, they never grow,” he said. One of the areas of design that’s grown because of the Internet, Milnes said, is communication design. That’s what GSATi falls into. “What’s expanded that industry is the Internet,” he said. “People are communicating more visually than ever before.”

few years, Milnes said. The arts building will be on Mulberry Street. It will be the first UNT building to face Denton, he said. Not only do the college students from both UNT and Texas Woman’s University add to the creative class in town, they also hang out at venues where art is performed and displayed. To promote the creative class that is building up in downtown, the city plans to make improvements to East Hickory Street to improve the “walkability.” The city plans to make the sidewalks the “arts walk of fame” and it also will redo the water and sewer aspects under the street. Glover said the form-based code, which allows buildings to be mixed use, also helps encourage arts and artists because it allows them to live above their shops. Another boost for the creative class has been the addition of the A-train. Milnes said the train offers a way for people to get back and forth to work from Denton to Dallas, but it must offer something else. “It has to be something that’s unique and better than something that’s 25 miles away,” he said, such as restaurants, clubs, exhibitions and performances other area cities don’t offer. Those are the sorts of things that are unique, he said. “If you have a lot of them, it’s better than having one or two,” he said. “The interesting thing is it’s both an economic force and a sort of cultural force that have gained ground and at a level they changed things,” Milnes said.
