Wells Fargo merges with Wachovia Wells Fargo and Wachovia announced a historic merger and integrated their operations in Texas. Wells Fargo now has more than 700 banking locations in Texas and has become the largest retail bank network in the state with more than 1,000 ATMs, a news release stated. “Our team members have been planning and working for 18 months to make this transition go as smoothly as possible,” said Wells Fargo’s Texas Regional President Chip Carlisle in the release. The Wachovia Corp. merged with Wells Fargo & Co. in December 2008. 8-2
USPS conducting study on delivery operations The U.S. Postal Service is conducting a study to determine the feasibility of relocating delivery operations now housed at some smaller post offices to nearby larger postal facilities. Included in the study are Denton County offices in Krum, Pilot Point and Justin. Postal service officials said the move would result in lower overhead and administrative costs, and increased efficiency and productivity. Customers would continue to use the same mailing address and ZIP code, and delivery customers with “left notice” items would continue to pick these up at the their local post offices. Local post office retail and post office box services would remain, officials said. No timetable has been set for the completion of the study. 8-4
Council moves toward forming TIF district Denton City Council members took the first step toward forming a special tax district to pay for downtown improvements — one of the top recommendations
in a recent study on ways to improve the downtown area. The council voted 7-0 to approve a “notice of intent” to create a tax increment financing district, or TIF, for about 400 properties in and around the downtown Square and central business district. The move lays the legal groundwork for the city to approve the tax district later this year, but it does not obligate the city to do so, said Linda Ratliff, the city’s economic development director. Denton’s proposed tax district could generate more than $23 million over its 30-year life by capturing some of the increases in property values over that period, Ratliff said. City officials still must decide exactly what projects the district would fund, but possibilities include parking facilities, streets, sidewalks and drainage improvements, she said. 8-6
Senior tax exemption given preliminary OK Denton seniors may get some relief on their city tax bills. The City Council informally agreed to restore a planned $5,000 increase to the $30,000 senior homestead tax exemption in next year’s budget. The increase was planned last year but fell victim to cuts in the proposed budget released in late July by the city manager’s office. Council members discussed the $594 million spending plan for more than four hours during a budget workshop. A vote is set for Sept. 21. 8-7
DCTA outines four options for rail service In response to public feedback, much of it critical, Denton County Transportation Authority officials have crafted four service options for the Atrain rail project. The proposals address the controversial topic of night and weekend service from Denton to Carrolton, but officials say the alternatives come with addition-
al financial costs that need to be considered. Officials are considering July 2011 to begin service. 8-8
Independent Bank buys out Town Center Bank Independent Bank Group Inc. has announced it bought out Town Center Bank. The McKinney-based holding company finalized the acquisition July 31, giving Independent Bank Group two locations in North Texas — Denton and Coppell. In addition to the Town Center Bank acquisition, Independent Bank Group also acquired First Bank of Farmersville. The purchase is scheduled to close later this year, pending regulatory and shareholder approval. First Bank, with $100 million in assets, has locations in Farmersville, Lavon and Princeton. These combined transactions will bring the number of Independent Bank Group banking locations to 25, with nearly 300 employees and assets in excess of $1 billion.
Stratus opens master franchise in Denton Stratus Building Solutions of North Texas recently opened a new master franchise in Denton, located at 1108 Dallas Drive, Suite 300. Thomas Mosley and Jacquelyn G. Shaw-Mosley are principals of the new company, which provides environmentally friendly cleaning, commercial cleaning, landscaping and lawn care services, as well as services for building owners and managers, according to a news release. The company plans to hire additional office employees, since the owners foresee expansion to other franchises. 8-10
Call center coming to Hickory Creek Hickory Creek has reached a
prospective deal with an Irvingbased company to bring a nearly 23,300-square-foot call center to Cornelius Town Center, a move that could bring hundreds of jobs to the area, the town’s economic development corporation announced. The deal with Stellar U.S. LLC hinges on whether town leaders approve an incentive agreement with the company, said Barry Steele, the town’s economic development consultant. The town’s economic development board is expected to hold a public hearing and vote on the incentive agreement Aug. 26. The Town Council would have the final say next month, Steele said. Stellar is a subsidiary of Stellar Global LLC, which operates 16 “outsourcing centers” worldwide, handling customer service, sales and other calls for various companies. 8-14
Ponder calls for Nov. 2 election on bonds The Ponder Town Council called an election for $4.57 million in general obligation bonds that would be used to build a new municipal complex on a 100-acre parcel on the western edge of town. The election will be held Nov. 2 as part of the fall general election. One portion of the town’s sales tax, a quarter-cent devoted to road maintenance, also will be on the ballot for reauthorization. Preliminary plans for the first phase of the complex include: baseball, softball and football fields with concession stands; a new Town Hall with storage for public works; and an events center. Plans include enough parking for trailers or trucks, and the center could be booked for stock shows and equine events, as well as graduations, banquets and family gatherings. The second phase would include room for a possible fire station, which would help the Ponder Volunteer Fire Department outfit itself for both sides of the railroad tracks. First-responders have occasion-
ally had to call for assistance when a train has blocked eastwest access in the center of town. 8-17
City Council approves downtown plan Denton City Council members voted to accept the Downtown Implementation Plan, while stressing that the plan itself wouldn’t actually implement anything. City leaders said they considered the 150-page document a nonbinding guide, even though it had been described as a tool to implement a 2002 downtown master plan. The plan, prepared by Jacobs Engineering Group Inc. under a $224,995 contract with the city and released in July, includes proposed standards for land use, parking, parks and open space, architecture and streets in the downtown area. Recommendations include putting screens around trash bins, adding more public parking spaces and creating a system of bicycle lanes. Under the plan, the city would form special taxing districts and seek outside grant money to pay for public improvements. It also calls for a “form-based code” for the downtown area that would set design standards but allow flexibility through a system of waivers. The plan covers a 155-acre area bordered by Carroll Boulevard to the west; Parkway, Withers and McKinney streets to the north; Exposition Street to the east, including the site of a planned downtown bus and passenger rail station; and Sycamore Street to the south. 8-20

When investing, start with value “The value of any stock, bond or business today is determined by the cash inflows and outflows — discounted at an appropriate rate — that can be expected to occur during the remaining life of the asset.” — John Burr Williams
W
hat’s an investor to do? It is remarkable how many strategies you read about when looking to invest your money. High-frequency trading, currency shorting, put/call spreads, leveraged ETFs — each promises its own magic. But what strategy builds wealth consistently over time? Value investing. Sure, if you shine a spotlight on one particular year or two, any strategy may take its lumps. But given the market downturn of the last few years, and the gyrations of the past few months, this question is very relevant for investors with any meaningful time horizon. Therefore, a little evidence is warranted. I refer readers to Joel Greenblatt’s The Little Book that Beat the Market, where he goes
Jonathon FITE | to some length examining various academic studies proving this point. But this debate is not a new one. After his stellar performance in the 1960s and ’70s, Warren Buffett tired of the argument he was an anomaly, a lucky aberration. So, in the 1984 fall edition of Hermes, the Columbia Business School magazine, he penned an article showing how a group of investors all outperformed their market alternatives. One lottery winner? Maybe. But how could all these proof points be random occurrences? More importantly, what was their common characteristic? They all supped from the same font of knowledge; they were taught by Benjamin
Graham, the father of modern value investing. Well, if value investing works, how do you do it? The key is really pretty simple: Quantify the true value of a business — and buy it for substantially less. Many investors think that this can be achieved by simply buying a stock that some business magazine highlighted with a target price much higher than the current market price. Or, they may see that a stock has fallen by half, and believe that it must be a bargain. In other words, they focus on “buying it for substantially less” instead of “quantifying the true value.” Unfortunately, such thinking can lead to staggering losses. My main focus while investing is to quantify the true value of a business, its intrinsic value. In order to accomplish this, you have to answer two questions: I “Is this business understandable?” and I “Is the value quantifiable?” Most people answer a quick yes to these questions, and most people are mistaken. Given the arcane reporting, emerging
nature, or highly cyclical character of many businesses, I commonly answer, “I don’t know.” And I move on. But if an investment falls within your circle of competence, the recent rise or fall of its price is not immediately relevant to the task at hand. You must first quantify the value of the business to determine whether it is cheap. Fortunately, in his annual letters to his shareholders, Buffett clearly explains how to do this by quoting John Burr Williams (see the quote at the beginning of the column). A company’s value is based on the money it generates for its owners over time. We quantify this through a measure that removes the massive distortions often caused by various accounting conventions, providing a picture of the company’s true performance, a term that Buffett coined “owner earnings.” But, as Buffett says, owner earnings must be discounted. What does this mean? Let’s begin here: If you were going to lend me $100 for the next year, how much would you
want in return? $100? Well that’s a start. You at least want your money back. But you would also demand some rate of return for your loan — something at least as good as the money you could make someplace else. Let’s say you want $110 back — that’s a 10 percent return on your money. So, in this scenario $110 one year from now is worth $100 today. You just discounted a cash flow. Let’s expand this further. Let’s say the owner of a convenience store put his business up for sale and is willing to sell it to you for $750,000. You investigate the business further and determine it generates $100,000 a year in owner earnings. You believe you could operate the business similarly to the current owner for the next 10 years and then sell it for what you paid for it. Should you invest in the business? Well, let’s assess the business’s intrinsic value and determine if the current owner is asking a fair price. Applying the same math as we did on your $100 loan to me, we can see the intrinsic value of this convenience store is $903,614.

Since the current owner is willing to sell it to you for $750,000, you could buy the business today at a 17 percent discount. Not bad, but not a huge discount either. Either way, why would the owner be willing to sell it to you for less than what it is worth? Maybe he has some medical bills he needs to pay. Or perhaps he bought a bunch of AIG stock with borrowed money, and the bankers are calling in their loans. Who knows why people sell good businesses at crazy prices, but it happens every day. The key is to be thorough, to be diligent and to know how to exploit bargains when they come your way. Sometimes, it is more appropriate to value a company based on assets it owns, rather than just on the cash it produces. Considering whether the replacement cost of a company’s assets are worth far more than they are being accounted for may result in an opportunity.
Some companies may be worth a lot more than they are being traded for if they were simply shut down and liquidated. Others may provide some unique benefits to a strategic buyer, worth far more in someone else’s hands than by themselves. Whether I consider the true cash earnings of a business, its replacement value, liquidation value or strategic acquirer value, I only make an investment if I can snatch it up at 50 cents on the dollar. This allows me to have a large margin of safety if my estimate of value changes and provides significant upside when fear dissipates. But across all these approaches, it’s clear the best investors start with value. On July 28, Jason Williams, the general manager of Red Lobster in Denton, received the company’s Diamond Club Award, which is granted to 34 general managers from Red Lobster’s nearly 700 locations in North America. Darden Restaurants, Red Lobster’s parent company, gave Williams the award for demonstrating the company’s core values of respect, integrity, genuine caring, hospitality and teamwork, according to a news release. I Bobby J. Harrison was promoted to president of Flowers Foods bakery in Denton in late July. In his new role, Harrison will oversee manufacturing and sales operations that serve Texas, Oklahoma and portions of Kansas and New Mexico
with fresh bakery foods sold through retail and food-service customers, a news release stated. Harrison had served as president of the Flowers bakery in Tyler. I Sue Shaw retired Aug. 6 after 23 years of service with DATCU, according to a news release. Friends and co-workers at the credit union Shaw threw a party in Shaw’s honor, where she was offered good wishes and congratulations and was thanked her for her dedication to DATCU. Shaw worked in the lending department at the Denton credit union.

issues in the city’s current ordinance. The committee and council now have until early November to make needed changes after the council agreed to the extra time. The committee has also asked the city for some extra resources to accomplish its work. The committee was appointed after the City Council imposed a 120day moratorium in late May. Charged with combing through Chapter 114 of the Corinth Code of Ordinances, the committee is trying to address a host of public health and safety concerns about natural gas drilling close to homes, schools and businesses.
Residential foreclosure postings spike Denton County reached a new high in residential foreclosure postings, with 1,972 homes posted for the third quarter of 2010, according to Addison-based Foreclosure Listing Service Inc. The number of Denton County homes posted for foreclosure increased 10 percent from the second quarter this year, and was 13 percent higher than the third quarter of 2009. Tarrant County saw no increase in foreclosure postings over the previous quarter, while Collin County saw a 3 percent increase and Dallas County a 4 percent increase.

Denton’s unemployment rate decreased by a tenth of a percentage point from 7.0 in June to 6.9 percent in July, with 4,467 people looking for work. During the same period, the county’s unemployment rate increased by a tenth of a percentage point to 7.7 percent, with 27,591 people looking for work, according to data released Friday by the Texas Workforce Commission.

DCTA discontinues city runs for Access bus A deeply divided Denton County Transportation Authority board agreed with a staff recommendation to discontinue city-to-city runs by the DCTA Access bus by Oct. 1, voting 6-5 in favor of the change. The move came after an analysis showed that the Access bus, which provides curb-tocurb transportation for seniors and people with disabilities, likely would cost the agency $1.7 million next year without the switch to “zone” service. DCTA officials said the number of Access riders is disproportionate to the cost of the service. Riders on the regular bus pay a $1.25 fare, but according to DCTA records, those trips cost about $6.61.

From lackluster to luxe

Patrick Russell and his two roommates share a renovated home near the University of North Texas. The rent’s cheap and it’s better than campus housing, the UNT student says. But there are some disadvantages to his living conditions, including his unwanted roommates — rats. While Russell says he’s not too concerned about the rats, he and his roommates will deal with the problem. After all, the 19-yearold says, you get what you pay for.
Other students at UNT and Texas Woman’s University have their own horror stories of unwanted animals like rats or opossums moving in, or a gaping hole somewhere in the residence, or heating, air conditioning or appliance problems. Denton has its share of slum-
like housing conditions and slumlords, city officials say. However, some Denton developers and builders have already begun to change the housing landscape surrounding UNT and TWU, to one they hope to call a high-quality living environment.
With loft-style apartment buildings opening near the campuses and plans for more on the way, including the anticipated Fry Street project, there’s a revitalization of apartment living for people in Denton. While local and national foreclosure postings remain high, Denton’s housing market is assisted by more than 50,000 students who flock to the area to attend college. Denton’s college-town status is one reason that the city’s home sales continue to remain relatively stable, compared with
the rest of the nation, said Jim Gaines, a research economist with the Real Estate Center at Texas A&M University. “College towns help stabilize the market. Plus, Denton County is in a pattern of growth and there’s been a lot of economic development in the last 10 or 20 years,” Gaines said. “While none of us is immune to the world, the area has held up pretty well.” The students helping stabilize Denton’s housing market are also the segment of the population most susceptible to slum-like
conditions, he said. “Landlords can get away with it because students have no economic power to complain about it,” Gaines said. “They have no choice but to live with it. The slums provide housing to people who can’t afford good housing.” Slums exist even in places like New York, a place typically associated with wealth, he said. Slum-like housing conditions fill a needed socio-economic gap, Gaines said; otherwise, some people would not have available housing at an affordable price. UNT Housing Director Elisabeth Warren said students are cost-conscious, and when it comes down to either paying tuition or living in a quality home, students would choose paying for school. “Not everyone has someone willing to pay for a $1,000 apartment,” Warren said. “At UNT, we have regular, middleclass students and they are serious about getting an education, and they will do what it takes, even if it means their creature comforts are unmet.” While Warren and her staff in the housing office don’t recommend off-campus housing to students, there are several reputable options in town for students, she said, such as the University Courtyard, The Ridge at North Texas, or by-the-bed student apartments, which have become popular in recent years. While North Texas is far from the slums of New York, Denton does have its share of slumlords and less-than-desirable housing conditions — problems some people are willing to live with, said Alex Payne, a local real estate agent. Payne described one particular house he wouldn’t let his dog live in, but that students continued to rent, he said. “If there is a lack of quality housing at affordable prices, kids are left to live further away from campus, or sacrifice and live in those kind of environments. But then I think what starts to happen is people redevelop properties,” which means more high-quality properties are available closer to campus, he said. Along with revamped code enforcement policies, it’s getting more difficult to be a slumlord,

Payne said, indicating that several property owners in the area are known as such, but refusing to name them. If people have a choice in where they live, it’s simply not as profitable to be a slumlord, he said. There’s already turnover in a low-income residential area west of UNT, he said. Several apartment complexes there have been renovated and redeveloped. “For me, the ideal situation is that [the area] is redeveloped, which I’ve seen mostly happen around the fringes,” he said. A NEW WAVE Rick Martino says when he first laid eyes on the area, a neighborhood called Owsley, he saw a sea of apartments that served a practical purpose and provided housing to UNT students. But as the years went by, the apartment complexes became old and outdated, said the Denton property owner and investor. “While they were good at a time, now they are very old and need refurbishing, renovations and rebuilding,” he said. Martino owns two apartment
buildings in the Owsley neighborhood, built after the original structures were torn down. The project was something he invested a lot in, he said, because the improvements would be good for him, the city and UNT. The second rebuilt apartment building opened for occupants in July. Along with the Owsley-area apartment buildings, Martino has also invested in an apartment project at 1119 W. Hickory St., near Fry Street and UNT. The industrial, loft-style apartments feature attached garages and exposed wood beams. “I think it’s really important to see us develop and improve the city and the surroundings,” he said. While some university students will try to pack into houses or apartments, perhaps seeking a party atmosphere, most students — especially in light of the economic downturn — are more serious, more focused on their future careers and need a good place to live, Martino said. That need has increased demand for quality housing

around campus. UNT senior James Odell, 25, said he’s learned from bad apartment experiences of the past and now checks out property manager reviews on social networking websites before he’ll sign a lease. But he understands reviews go both ways — that some students who write negative reviews didn’t take care of their apartment or expect to get their deposit back, he said. Odell keeps an eye out for shoddy construction work and appreciates quality, he said. “There are not a lot of apartments that have quality and I
expect that in a college town,” Odell said. “People take advantage of college students, but that’s the nature of the apartment game. If your apartment manager is competent, you’re going to pay more.” Martino agrees. Slumlords don’t take care of their tenants or properties, but he has employees in place who do a good job managing his properties, he said. “Our key is to take care of the tenants,” he said. “There’s good and bad tenants and there’s good and bad property managers. the property and management team, we offer good places to live.” THE PROFESSIONALS With the last of the courtyard pavers in place, the newly completed Hickory Street Lofts, at 311 E. Hickory St., is already attracting attention. Brandon Martino, president of The Martino Group, said the apartments will likely attract young, working professionals. Brandon Martino is a developer for the project along with Lee Ramsey, a principal of Links Construction. “There’s been a lot of interest, especially because we’re new down here,” Brandon Martino said. The apartments range from 580 square feet to 1,250 square feet and feature details not typically found in apartments in the Denton community, such as hardwood floors, granite countertops, exposed ductwork and high ceilings, he said. Along with the 22 one-bedroom apartments and six twobedroom apartments, all loftstyle, the ground level of the
building will feature 2,475 square feet of retail space. The developers overlooked no minor detail and included every amenity important to downtown living, such as having washers and dryers in the apartments, Ramsey said. “It was a priority for us to have everything right here, so people could stay downtown,” Ramsey said. The lofts, which have an “urban feel,” won’t likely attract as many students as young professionals because of the monthly rents, they said. The developers also constructed and manage Rick Martino’s three apartment buildings. Along with those apartments, Brandon Martino and Ramsey developed and manage an apartment building at 1512 N. Elm St., located near TWU. The North Elm Apartments were also finished this summer and have an urban design similar to the Hickory Street Lofts. Ramsey said he has worked on several infill lots in the city, including the two apartment buildings in the Owsley neighborhood, and enjoys replacing something outdated or no
longer useful with a project like a needed apartment. “It’s what I’m passionate about,” he said. THE HOMESTEAD Home foreclosure postings have continued to increase in Denton County recently, but there are signs the posting rates will decrease in the future, officials said. Time will help the housing market recover and will help the market climb its way back up, said George Roddy Sr., president of Foreclosure Listing Service Inc., in a recent interview. The housing recovery in Denton County is lagging behind Collin, Dallas and Tarrant counties, he said, explaining the lag is tied to the county’s late-blooming development. Gaines, the real estate research economist, said housing sales in Denton County fell dramatically in July, but home prices have held up relatively well. Denton County saw 443 homes sold in July, down from 619 sales the previous month. In May, there were 765 homes sales, a 12-month high, according to data collected by the Real

The spring months were good months, but without the aid of tax credits and with bank loans more difficult to secure, home sales will likely stay stagnant until early next year, Gaines said. “In the past year the data has been influenced by government programs, and for the rest of the year, into early next year, we’re comparing an unsubsidized market with a subsidized market,” he said.
It will be difficult to get a true data reflection of the market, he said. For now, economists and industry professionals are preparing for the worst, but hoping for the best. “The next few months are kind of iffy, but maybe the market will do better than we think it will do,” he said. “Now we just have to wait and see.” CANDACE CARLISLE can be reached at 940-5666889.
