MADAM CHINO Agreement to Exhibit/Consignment Release and Indemnification Agreement The use of MADAM CHINO Showroom is conditional and dependent upon compliance with all rules and regulations as established by MADAM CHINO LLC. MADAM CHINO LLC and Showroom assumes no liability either explicitly or implicitly in permitting you to display your art and craftwork in the space, and you must assume any and all risks incident to the display. The artwork(s) will not be insured by MADAM CHINO LLC during transit to or from the showroom or during the exhibition. MADAM CHINO LLC will not be responsible for any loss, damage, or theft of the artwork(s) while in possession of the MADAM CHINO. MADAM CHINO LLC will take the utmost care to prevent any such occurrences. As well, the artist warrants and represents that he or she is the sole legal owner of all right, title and interest in all artwork, including all related intellectual property interests such as trademarks and the exclusive copyright in all artwork, and has the full right and authority to enter this agreement and grant the rights granted in this agreement. The artist also warrants and represents that the display of the artwork at MADAM CHINO LLC does not and will not infringe or violate the rights of any other party, including any copyright interests. The Artist shall indemnify, defend and hold MADAM CHINO LLC harmless from any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney’s fees, which arise from any claim by any third party of an alleged infringement of copyright or any other property right arising out of the display of the artwork. The Artist understands that the display of the artwork at the gallery is subject to the sole discretion of the gallery and any or all of the artwork may be immediately removed from the gallery at the sole and exclusive discretion of the gallery. The Artist grants to MADAM CHINO LLC, royalty free, perpetual license to display the artwork in the space provided therein and online for promotion, for the entire duration of the exhibit. All amendments and modifications of this agreement will be with mutual consent of both parties. “I understand that in offering my works of art to be displayed at MADAM CHINO LLC, Milwaukee, Wisconsin, that I release and discharge and agree to indemnify and hold harmless MADAM CHINO LLC, its officials and employees from all loss, cost, damages and liabilities for injury or damages or theft occurring during or arising from such works of art including the matting and framing of such works of art. “I acknowledge and agree to be bound by all of the above conditions of MADAM CHINO LLC for exhibition purposes. MADAM CHINO LLC Art Exhibition Procedures MADAM CHINO makes available exhibit space for local artists. To apply for exhibit space, please complete an Indemnity Agreement, Application to Exhibit, and Inventory Form while retaining the Exhibition Procedures for your reference. The current exhibition space includes: The display area is 4 foot wide, 17" deep, by 12 foot high hand-built multi-use wooden shelving with various display height options including flat ply board shelves, closet posts and moveable dowels for hanging, additional racks for fiber ware, and/or arrange-able wooden display crate shelves, and potential for a soft sculpture ceiling installation. Furniture display area is 2 feet deep by 4ft wide. The display area is 4 foot wide, 17" deep, by 12 foot high hand-built multi-use wooden shelving with various display height options including flat ply board shelves, closet posts and moveable dowels for hanging, additional racks for fiber ware, and/or arrange-able wooden display crate shelves, and potential for a soft sculpture ceiling installation. Furniture display area is 2 feet deep by 4ft wide. The following procedures are designed to facilitate the agreements of art exhibits: 1. Exhibit space is available to individual artists for items agreed upon by Artist and MADAM CHINO including both Quarterly 4 month periods for Gallery Wall Art Exhibitions, and conditionally arranged consignments of handmade objects, starting at 12 month periods of display. 2. Read and complete the Indemnity Agreement, Exhibit Application, Procedures, and Inventory forms herein and return to a MADAM CHINO Liaison along with your works clearly marked with descriptions, and any promotional material for display. 3. Artwork will remain in possession of the MADAM CHINO for the entire duration of the show, 4 months for Wall Art Exhibitions and up to 12 months for consignments, and will not be transported offsite during the show. A list of remaining works and/or a check or PayPal funds transfer for sold work will be emailed to artist at the time of closing, with a request to pick up artworks within a 6 month period. Please clearly mark your shipping address and email address in the completed form above. Madam Chino will be responsible for shipping any sold works to buyers, and buyers will be emailed with tracking and delivery confirmation numbers for any shipped packages. Artists will be responsible for Delivery and Pick up of unsold artworks to and from Madam Chino. 4. An Artist’s Statement is optional for display during exhibition. 5. MADAM CHINO will take a 60%/40% consignment, where the artist will retain 60% of the selling price. All sales are final.
