There are two types of conversations an employer can have with an employee when it is looking to settle an employment dispute or discuss an employee’s departure from its business. “Without prejudice” and “protected conversations” allow an employer to have a frank, off-the-record discussion with an employee, enabling matters to be resolved quickly and effectively.
The outcome of these types of conversations is usually recorded in the terms of a Settlement Agreement. This is a written document which safely wraps up the process by recording the terms of the conversation and prevents the employee from pursuing an employment or court claim against the employer in the future.
These conversations can be a useful tool for employers; however, it’s important to be careful about when and which approach to take, as there are risks and limitations when initiating and having these conversations.
This term usually covers a situation with an employee where a dispute has arisen, and a frank conversation takes place to try and settle the dispute. If the conversation or
rely on this convention and should consider having a protected conversation instead. Conversations or correspondence should be clearly communicated as “without prejudice” at the outset to ensure that the content is not to be shared or intended to be admissible in employment or court proceedings. Written correspondence is usually marked “without prejudice” to label the position clearly. Where terms will be attached to such an offer, such as a requirement to sign a settlement agreement or other specific terms, then the conversation and/or correspondence should contain additional wording that the offer is made “without prejudice” and “subject to contract”.
Employers also need to be aware of what they say in such meetings or correspondence. If they include comments or wording that amount to threats, blackmail, dishonesty, fraud or a serious abuse of such privilege, any protection will be lost, and an employment tribunal or court may gain the right to review such correspondence.
In circumstances where a dispute does not exist or is questionable, employers
to an employee, where they have unfair dismissal rights, as they know that the discussions cannot be used in a subsequent unfair dismissal claim, provided the approach is not used improperly. ACAS has drafted a code of practice on S111A-protected conversations, which gives examples of what might be considered “improper”.
Protected conversations similarly have specific limitations. They cannot be used to protect the content of discussions in claims for automatic unfair dismissals, such as whistleblowing, raising health and safety issues, etc. It also cannot be used where there are claims of discrimination, breach of contract, unlawful detriment or harassment, amongst other claims.
If you are considering initiating a without prejudice or protected conversation and would like technical and practical advice on how best to approach the employee and document the agreement in a Settlement Agreement, please contact Dee Woodcock at Lester Aldridge.

Every day carers are responsible for 24/7 care, medication, dealing with falls, personal care and night-time calls, never having a break for themselves and often struggling with feelings of isolation.
Lewis-Manning Hospice Care hold a monthly Carer’s Support Group, held at St Mary’s Church Centre and from this Jo Sharkey, Family Support and Bereavement Lead, had recognised from carers stories, the need for them to have a ‘day off’.
Jo and Nikki Cluley, Corporate Partnerships Fundraiser, then worked closely together to plan an ‘away day’ at sea in Poole Harbour, as a surprise for a group of carers of patients from the hospice. Planning was needed to care for the patients, to enable the carers to enjoy a relaxing day knowing their loved ones were well looked after, and the hospice was opened specially with extra staff added to make this happen.
The group of 8 carers enjoyed the trip on a fabulous 70ft Sunseeker, hosted by loyal hospice supporter Paul Lester (McCarthy Stone Chairman) and his daughter Kate from Silver Spirit Yacht Charters, followed by a delicious buffet lunch onboard.
Jo Sharkey, Hospice
Family Support & Bereavement Lead, said: “It has been so valuable for the carers to have this time out, to allow them to just be themselves.
“As carers it is possible to lose one’s identity as a wife/husband/partner/daughter/ son and this day has allowed them to be in the company of others who understand.
“It would have given them time out with no worries, no need to rush back and offered complete relaxation. I’ve loved seeing the smiles on everyone’s faces!”
The Carer’s Group is held at St Mary’s Church Centre, on the second Friday of each month, from 10-12. Get in touch if you would like to know more.

Dorset’s sculpture park and art venue, Sculpture by the Lakes, has been recognised for its exceptional quality gardens and plant conservation efforts by achieving official Botanic Garden Status – an accreditation held by only 83 gardens in the world.
Botanic Gardens Conservation International (BGCI) recognises gardens which conform to the highest international standards and make significant contributions to plant conservation. Sculpture by the Lakes joins just seven other gardens across the country which hold the accreditation, including The Eden Project and the National Botanic Garden of Wales.
Garden Director at Sculpture by the Lakes, Monique Gudgeon, said: “This accreditation is testament to years of hard work and dedication by our team, and I’m so proud that we’re officially the only garden in Dorset – and 8th in the UK – to achieve such a renowned mark of status.” www.sculpturebythelakes.co.uk

The chamber has been supporting businesses for over 100 years, encouraging and inspiring businesses of all sizes. We’ve helped many people to find their feet in the local business community, by providing an environment where they can connect with likeminded people. In recent years we’ve represented the concerns of businesses to the local councils, contributing to a significant cut in the cost of car parking charges. We played an important role in the establishment of the Weymouth BID, in whose operation we take a keen interest.
Dorset temporary structure manufacturer Mar-Key Group has relocated to a large new facility in Christchurch due to significant business growth. More than doubling their turnover since the pandemic, they were recently ranked 4th out of 100 of the fastest growing SME’s in the Solent region.
The business has invested in excess
of £750,000 in new machinery and facilities, providing a fantastic platform for further expansion and enabling them to meet demand from a growing number of international customers. The lack of available warehouse space in the UK has also led to a sharp rise in the number of businesses turning to temporary structures as a solution to
Enhanced IT have provided vital support to Mar-Key Group in their recent move into their new head office and manufacturing facility in Christchurch.
Head of Managed Services at Enhanced IT, Jonathan McHarg advised: “We have worked with the business for 3 years now and It has been a real pleasure supporting them through such an exciting time in their expansion.
“Their growth and recent move have seen Enhanced supporting the business in many ways: facilitating the migration of their remaining services to the cloud, moving them to a simplified, flexible phone system that supports hybrid working, installing the new site with networking and wireless facilities, kitting out meeting rooms with state-of-the-art technology to support Microsoft Teams rooms and providing ongoing 24/7 IT support.
“The IT upgrades and installations will enable Mar-Key Group to continue their journey of growth and stay connected with their much-expanded team of staff.”

increase their space, which has subsequently fuelled growth in the sector.
Through their membership with the Made in Britain campaign, Mar-Key Group champions British manufacturing and often proudly talk of their Dorset roots. What began as a small marquee business back in 1991 has flourished into a brand serving multiple blue-chip organisations and contracts to some of the biggest events in the country. Such substantial growth has earnt them a reputation within the industry for quality product and service, and demand for temporary structures continues to increase.
Originally based in Throop, Bournemouth, the new site on Airfield Way, Christchurch will house both the Manufacturing and Head Office operations and sees the floorspace increase from just 2,400 square feet to over 12,000 square feet.
Commenting on the move, CCO Jade Carpenter said: “This is such an exciting time for Mar-Key Group.
“The growth we are experiencing is incredible, so it was essential that we relocated to enable us to meet demand and continue on this path of expansion.”

Learning first-hand about products rarely gets better than being offered to drive a Maserati courtesy of Hendy Maserati in Poole. Hendy is the largest car group in Dorset and Maserati has been part of the group’s portfolio since the end of 2022.
On one of the hottest weekends of the year, I thoroughly enjoyed test-driving the Maserati Grecale Modena, a mid-size SUV which combines premium versatility with elegance, performance, and plenty of innovation.
First impressions from the outside are that this is a good-looking luxury SUV, a good size but not too big to make it impractical. It’s striking, but not ostentatious.
Once you get into the car, it oozes quality throughout. From the seats to the dashboard, you know you’re sat in a special car, with the front and back spacious and plenty of room in the boot.
Inside, the standout tech specs include the traditional Maserati clock face which transforms into a veritable in-car concierge, courtesy of voice control. Everything is touchbased with the technology controlled from
the displays. The main central screen is the largest ever seen in a Maserati and there’s another display for the extra controls and a third for the passengers in the rear seats.
All of the tech is very intuitive and straightforward to use. I was particularly impressed with the sat nav. Start the engine and you immediately hear that throaty exhaust and out on the road you really appreciate the performance of the four-cylinder 330-hp engine.
It’s a great drive, and very smooth at lower comfortable speed with sure-footed handling. You’re reminded that you’re driving a Maserati with its great and steady acceleration when you need it, accompanied by that beautiful exhaust growl which all adds to the joy of driving this car.
At the heart of the performance and handling is the 100% Maserati Vehicle Dynamic Control Module (VDCM) system and the option of five different drive modes depending on the conditions.
After driving the car for a few days, I was also impressed by the economy and the car
doesn’t seem to use as much fuel as you may think. Ownership of this vehicle would be easy. It’s spacious, powerful, happy around the town and would eat the miles in complete comfort on a longer journey. Italian flair at its very best. To find out more visit www.hendy.co.uk
Hall & Woodhouse has announced that underlying profit before tax recovered in the year to 28th January 2023 to £4.4 million.
Total Profit before Tax was £10.4 million as it again benefitted from profits on disposal of non-strategic assets and the marking to market of its interest rate swaps. Net debt rose as it completed the purchase of three new Managed Houses (the Red Barn, Woolacombe, the Wiremill, Lingfield and the Royal Lion, Lyme Regis), opened the Frog, Mindenhurst and maintained its investment across its Managed House and Business Partner estate.
Chairman of Hall & Woodhouse, Anthony Woodhouse, said: “Our post pandemic plan was to return to close to normal levels of trading and profitability but, as I warned last year, the terrible war in Ukraine had a profound effect on the economy with rapid inflation not seen since the 1980s.
“Although revenue levels were encouraging, margins were squeezed as costs and wages rose at a greater pace than we were able to pass on to our guests and customers. In
this environment the profit outturn was a creditable performance, although still well below pre pandemic levels.
“Our Managed House business, where our results are more operationally geared to the volatile external environment, suffered the brunt of the margin squeeze. Business Partnerships had a solid year performing as expected, showing the robustness of this business model. We were delighted to be awarded the Publican Tenanted Pub Company of the year in recognition of this.
“We continued to reap the benefits of our well established Badger and Rio brands and our world class brewing operation.
“In challenging times, it becomes clear whether organisations are committed to their purpose and values. Last year the Company demonstrated its commitment clearly. Two examples amongst many that I would highlight are the continued adherence to paying the Real Living Wage as a minimum and the donating and raising of over £600,000 to local good causes. We were honoured to receive the PubAid Corporate Community
“Apart from a heavily weather affected July, trading since the year end has been very encouraging with strong like-for-like sales growth across the estate. It is clear that the divergence in performance between well invested pubs with the right offer and correct team levels and those not in that position is becoming increasingly marked.”

Expanding outsourced human resources specialist Purple HR has relocated to bigger headquarters to facilitate strategic business growth.
The family firm, which works nationally and globally, has moved to Cedar Park, off Cobham Road on Ferndown Industrial Estate – just yards from its previous serviced office premises.
This change not only enables Purple HR, founded in 2010, to grow service lines for retained and ad hoc clients but also provide employees with high-standard working environment.
The firm is sharing an office building with long-established accountancy and financial services firm Ward Goodman which reassessed its own accommodation requirements and freed up space.
Purple HR Operations Director Leanne Fitzmaurice said: “We had outgrown our previous premises and it was time to leave the serviced office environment to set up on our own.
“Cedar Park proved to be the perfect fit and our close working relationship with Ward Goodman – we advise each other’s clients when required – is set to be cemented further as we occupy the same building.” www.purplehr.co.uk
Poole-based Keeley Fox Interior Design was appointed as the Interior Designer for AFC Bournemouth’s new multi-million pound training ground in January this year.
The new training ground, which is anticipated to take a number of years to complete, is already in use, with one full-sized pitch being used by Academy teams.
Some of the interior design scope given to Keeley Fox Interior Design for the new facility includes the main reception, the First team reception, the First team’s lounge, the media suite and the First team’s changing room. The design team is already in the initial design concept stages and expects to complete the design development by early summer this year.
Keeley Fox, Director of Keeley Fox Interior Design, commented: “We are delighted that AFC Bournemouth has recognised our commercial talent and has appointed us to lead the Interior Design for this very important project.
“It means so much as a local design firm to be able to support our club, and the new training ground is an incredibly positive addition to the area. It will bring many opportunities for young athletes, up-andcoming footballers, and the businesses supporting them.”

A few years ago, when Dorset Chamber first started having public conversations about the menopause, it was considered a fairly taboo topic. Thankfully, the tide is turning, and more and more employers are starting to talk about the issues affecting their workforce. Menopause Awareness Day on 18 October is an opportunity for those issues to be discussed, debated and explored across the world. A recent CIPD study showed that 59% of working women between 45 and 55 say menopausal symptoms have a negative impact on them at work, but for many people, particularly men or younger female co-workers, the thought of discussing the menopause with female colleagues in the workplace can feel very uncomfortable.
Here are some ways you can support colleagues:
1. Educate Yourself: Take the time to learn about menopause, its symptoms, and its impact on women’s physical and emotional well-being. Understanding the challenges they face is the first step in offering support.
2. Be Empathetic: Show empathy and patience towards women dealing with menopausal symptoms. Recognize that these symptoms can vary greatly in intensity and duration. Always respect women’s privacy and confidentiality when discussing menopause-related matters.
3. Flexible Work Arrangements: Advocate for flexible work arrangements, such as flexible hours or remote work options, to accommodate women experiencing menopausal symptoms like hot flashes or fatigue.
4. Offer Wellness Resources: Promote access to wellness programs, stress management techniques, and healthcare resources that can help women manage their symptoms effectively.
5. Encourage Self-Care: Support self-care initiatives by encouraging regular breaks, providing access to relaxation spaces, and promoting a healthy work-life balance.
6. Normalize Menopause: Help reduce stigma by normalizing discussions around menopause and its impact on women. Encourage an open dialogue with colleagues to create a more understanding workplace culture.
7. Lead by Example: As a colleague set a positive example by actively supporting women in menopause and promoting a culture of inclusivity and empathy within your workplace.
*Government Report on Menopause
World Menopause Day takes place every year on 18 October and can provide a good opportunity to remind your workforce about the support that is available to them.
Symptoms of menopause and perimenopause vary from person to person but are likely to impact a large part of your workforce either directly or indirectly. Without support, symptoms can lead to an increase in absences. The increasing number of women in the workforce aged 50 to 64 means there are more and more women dealing with symptoms whilst working.
As managers, it is important to understand what policies and procedures you have in place to provide support to these individuals so that you can be ready to have confident conversations around this issue in the same way as you would for any other health-related matter.
The support you provide can have a huge impact, helping build confidence and trust and sending the important message that you value them as individuals and support them to thrive at work.
Where someone is struggling, the solutions don’t always need to be complicated; simple adjustments may be enough to allow them to continue to perform their duties to the fullest, perhaps increasing airflow in the office environment or reviewing work patterns or uniforms.
There is now a wide range of useful resources available to assist you in considering what adjustments may be necessary or appropriate, but you should remember that each person is different, and what works for one may not work for another. A supportive discussion in an appropriate and sensitive manner can go a long way in removing the stigma and feelings of isolation that can be experienced and help you understand what changes would help that individual most.

In spite of challenging market pressures, the Dorset Chamber international trade team has been very busy supporting global trade with businesses across the region. June was the busiest month so far this financial year, with the team helping to export over £45 million worth of goods ranging from cosmetics to oil field parts.
The team has also helped many companies to ‘go global’ using the British Chamber of Commerce Global Network in their export journey which facilitates access to over 75 different markets around the world. Visit www.dorsetchamber.co.uk/international-trade to find out more about how we can help
The Government has agreed to a delay of three months to introduce remaining sanitary and phytosanitary controls and full customs controls for non-qualifying Northern Ireland goods, which will now be introduced from January 2024. This gives traders the benefit of additional requested time to prepare for the model. Customs controls on Irish goods entering Great Britain will be introduced from 31st January 2024. Under the Windsor Framework, qualifying Northern Ireland goods will continue to have unfettered access to the UK market, whether those goods are moving
directly from Northern Ireland to Great Britain or moving to Great Britain from Northern Ireland via Ireland. Safety and Security declarations for imports into Great Britain from the EU or from other territories where the current waiver applies will be introduced from 31st October 2024.
Further detail is provided on the UK Single Trade Window, which will underpin the new approach to controls. When fully operational, this will provide a single digital gateway for users to provide the data needed to trade and apply for licences and authorisations for trusted trader schemes.
The ‘Northern Ireland Retail Movement Scheme’ will go live from 1 October 2023. Businesses in Great Britain (England, Scotland and Wales) will be able to move prepacked retail goods as well as certain loose goods including fruit and vegetables through the “green lane” to Northern Ireland, under the Windsor Framework.
Think of a commodity code as a product’s unique ID – it’s like the DNA of your goods. Whether it’s high-tech gadgets or exotic spices, every item has its distinct code that communicates crucial info about it.
In the world of trade, precision is key so why not join us on Wednesday 1st November to unravel the enigma of commodity codes. Reserve your spot now and embark on that journey.
“The International Trade Team at Dorset Chamber are very good at helping businesses find the right level of support. Sometimes an off-the-shelf solution is right, but at other times a more bespoke approach gives the best value for money and a more effective answer.”

The UK and Australia recently agreed to a free trade deal, which will have a big impact on companies in both nations. The origin status and lower rate of customs tax will be imposed on products exchanged between the two countries are two important components of this agreement. According to the rules of the agreement products made in either the UK or Australia will be given origin status and be qualified for lower rates of duty. But only if you can demonstrate that the items adhere to the origin requirements.
The Customs Declaration Service has already replaced imports in the UK, and you can no longer make import declarations using CHIEF. While CDS Exports was initially set to take over in November 2023, HMRC has opted to postpone this transition after engaging with the broader trade community, until 30 March 2024. This delay aims to guarantee a seamless shift and provide traders with ample time to transition smoothly.
