A YEAR MILESTONESOF

As global economies began to recover from the Covid-19 pandemic in 2021, Maire Tecnimont achieved two new business records. Our order intake was €6.4 billion, an all-time high, driven by solid sector fundamentals. And our backlog also set a new record, reaching €9.48 billion – double the average over the ten-year 2010-2020 period - driving future growth for years to come. This extremely impressive performance is evidence of the strength of the business drivers underlying the energy sector as demand rebounded, as well as of the solid trust demonstrated in us by our current and new clients.

Maire Tecnimont transmits its “Made in Italy” know-how across its Italian and foreign supply chain, creating value at home and abroad. As we move forward with our new projects in the UAE, Nigeria, India, USA and elsewhere, we will bring our “Italian ingenuity” to these and other geographies by working with local companies and students to create the engineers of tomorrow.

NextChem can be considered also our way to embody what I like to call “humanistic engineering”. When people talk about “Made in Italy” today, it is easy to forget that Italy’s engineering prowess stretches back for centuries, even millennia. Our country’s scientific patrimony is intertwined with humanism, and this makes Italy the perfect place to develop a new engineering approach that responds to the vast environmental and social needs of our times. That’s why in 2021 we created Evolve, Maire Tecnimont Foundation which helps people understand the fundamental role that engineering can play in this era of ecological and digital transition, putting the historical, technical and cultural identity of the Maire Tecnimont Group at the service of training the next generation of humanist engineers.

Last year was a very important one for Maire Tecnimont, when we created a solid basis for the new historical records in our commercial performances. We are honored by this important recognition of our hard work, our competence, and the validity of our business model. With these remarkable results in 2021, Maire Tecnimont demonstrated its unique capability to operate across diverse geographies and in sectors stretching from petrochemicals to green chemistry.

As the world return to near-normal in 2021, our company was quick to take advantage of market opportunities presented by the economic recovery. The energy transition came into sharper focus last year as the true challenge of our times. Current dramatic events of beginning 2022 are rapidly changing the international energy scenario and posing even tougher diversification targets for Europe, Governments and companies are increasingly looking for advanced technological solutions for the energy transition, confirming our strategic choice to set the bar high for ourselves in this rapidly evolving sector with our NextChem company.

I am very pleased to have been chosen to lead Maire Tecnimont as CEO and Chief Operating Officer at a time when geopolitical and energy challenges make our Group’s expertise even more mission-critical than ever.

We have seized a significant number of new awards in other geographies, from Sub-Saharan Africa to India, with a strong focus on latest technologies such as machine learning to digitalize plant processes and relevant deliverables. This exceptional and geographically-balanced order intake and backlog can pave the way for a leap in terms of size. And our green chemistry company NextChem is ready to harvest the seeds planted over the previous year in terms of licensing green technologies, engineering design and feasibility studies.

Our biggest award of 2021 was Borouge 4, a $3.5 billion contract in the United Arab Emirates to make the Ruwais facility into the world’s largest single-site polyolefin complex. At peak, we will have a team of 1,300 specialists working on this project at offices, and 19,000 workers on site. This award shows the vital importance of our execution capabilities to support Borouge in developing its petrochemicals value chain since the end of the 1990’s, and is a credit to the 40,000 people working with us overall around the world.

Last year was also a milestone in another way: an increasing number of international regulations was approved to fight global warming, making the energy transition even more important than ever. Our green chemistry company NextChem is advancing the energy transition with a portfolio of hydrogen and other green technologies. Last year was a fruitful one for NextChem, which embarked on new initiatives leveraging our decades of experience in hydrogen production and green expertise.

Looking back at 2021, what strikes me is how the flexibility and resilience shown by our Group and our people in the face of operational challenges during the Covid-19 epidemic allowed us to achieve a solid financial performance and positioned our Group for a diversification and in the meantime for managing the even more challenges situations occurred over the last weeks. As a result, last year we set new milestones for our company, with a record order intake of €6.4 billion, and we are brimming with exciting new projects. Our record €9.5 billion backlog doubled the average over 2010-2020 period.

In the wake of the pandemic, when long supply chains were vulnerable, that strategy has changed. The result is a wave of new production facilities that will be constructed in Europe. The importance of building new capacity in raw materials transformation that gives Europe the opportunity to not depend on countries outside of the EU for essential goods has become very clear.

INNOVATION

We are using the new tools for the management of engineering deliverables (DD) as well as the Vendors’ documentation (VDM), with the goal of optimizing the internal distribution within the project team and the review cycle. At the same time, we are implementing the Advance work Package (AWP) methodology to support the constructability analysis, to better visualize the construction sequences and to efficiently execute the construction activities at site.

We have unusual schedule constraints with a very late opening of the site compared to usual projects. This allows us to guarantee a significant availability of documents valid for construction and material ready to be installed at the opening of the site. At the same time, it requires to the project to carefully define the management of the material delivered well in advance compared to the request date on site: high focus shall be made on material proper preservation and temporary storage. Once the access to site is granted, a challenging construction schedule requires to identify well in advance the more efficient construction sequences.

The project plays a fundamental role in the UAE’s economic development, because it will make Ruwais the world’s largest single-site polyolefin complex. Maximizing local value creation is definitely one of the our most important project objectives,

by enhancing the UAE’s industrial supply chains and increasing the award of purchase orders to reliable local contractors. Furthermore, we plan to engage local employers at the construction site, training them on the job with the aim of developing their professional growth, giving them suitable career perspectives in a highly specialized field.

WE PROVIDE A WIDE AND INTEGRATED RANGE OF SERVICES

With the launch in 2021 of the Stami Green Ammonia technology, Stamicarbon has become an ammonia licensor for small-scale ammonia plants. It is a CAPEX competitive technology, offering a solid reference base, high reliability and proven design. Besides in grass roots, it can also be applied in existing plants, as part of a hybrid technology solution to make existing fertilizer production more sustainable. Next to ammonia production it can be used as a renewable energy carrier (e.g. in shipping fuel) or as a renewable feedstock for other processes. The Stami Green Ammonia technology offers a total solution for carbon-free and sustainable ammonia

Next to urea, we offer two types of nitric acid technologies: mono pressure for capacities up to 600 tons per day and dual pressure to 2,000 tons a day. Both processes are characterized by high tail gas temperature and are designed for maximum energy recovery, reliable operation and minimal greenhouse gas emissions.

Ultra-Low Energy Design that results in unrivalled energy savings by reducing both steam and cooling water consumption considerably. It can be applied in grass root urea projects, as well as in revamping existing urea plants, irrespective of the original technology or age of the plant. In 2021 the first two plants went into operation in China. Further there are two plants under construction in Turkey and China and two new licenses for a customer in China were signed.

We take care of every fertilizer development requirement: from feasibility studies to basic engineering, from selecting licensors to developing lump-sum turnkey projects. We offer procurement and construction services of new urea plants and revamping existing ones, thanks to Tecnimont expertise.

Our Stami Digital portfolio offers digital process solutions and services to improve plant effectiveness and boost plant productivity. This suite includes remote guidance, process monitoring and automatic plant optimization. Also part of the suite is a high fidelity real-time dynamic training simulator for urea and granulation plants, as well as for the adjacent ammonia, nitric acid and urea ammonium nitrate (UAN) plants.

Thanks to our expertise in ammonia-synthesis plants based on steam reforming of natural gas, we offer large scale methanol plants with the most reliable and advanced technologies in the world.

The Gemlik Gubre plant is the first plant realized by Tecnimont in ThisTurkey.urea plant is based on Stamicarbon’s state-of-the-art Ultra-Low Energy Technology and is the third of its kind in the world. Steam consumption is up to 40% less here than for other urea projects. Cooling water consumption by about 16% less compared to traditional CO2 stripping processes.

Examples of ongoing projects include the upgrading of important major refineries, like the Socar Baku Modernization Project, which represents a milestone in downstream refining. It includes also Rijeka Delayed Coker, a mix of complexity and engineering challenges which strengthen Maire Tecnimont positioning in the refining business, in particular in the “bottom of the barrel” technologies such as the delayed coking. The Group will provide the full technological cycle of crude oil processing, a key driver to meet the growing market for cleaner fuels and to ensure a higher output of high-margin products with minimization of the overall carbon footprint.

Tecnimont has been awarded by Nigerian National Petroleum Company (NNPC) for the rehabilitation works of the Port Harcourt Refinery Complex. The Scope of Work envisages the Engineering, Procurement and Construction (EPC) activities for the full rehabilitation of the two Port Harcourt Refineries aiming to reach 90% of its nameplate capacity (210.000 bpd).

In order for the long lead items to reach the plant area, we needed to cross the French state-owned railway that cuts the refinery in two. But the weight and size of the equipment was so massive that it was necessary to interrupt traffic on France’s TGV high-speed line, remove the electrical line that powered the train, and reinstall it after the equipment’s crossing. We erected a 25 meters temporary steel bridge over the railway, and then dismantled it afterwards. Everything was completed in 20 hours.

In recent years, following the gradual disinvestment of the major IOCs, ownership has passed to the National Oil Company and, in particular, to TodayNNPC.Tecnimont, thanks to the work carried out in past years, is invited quite frequently to tenders by NNPC. We are optimistic about becoming a reference point for other strategic projects for the country’s development.

International oil companies (Mobil, Chevron, ENI, Total etc) first started investing in Nigeria back to the early 1960s. Thanks to these projects, local companies have developed a level of expertise sufficient to meet our business needs. In addition, both for economic reasons and for issues related to logistics and security of expatriate personnel, relying on local resources is a must.

THE CHALLENGE

Using the latest digital technologies is one of the cornerstones of the Port Harcourt Refinery project. Thanks to augmented reality HoloLens smartglasses, a Knowledge Mining platform, and the extensive use of laser scanning, we have been able to drastically reduce the time needed for part of the engineering activities, while producing top quality results. These technologies, developed “in house” with top international partners (such as Microsoft), have been made available and transferred to local companies. For the first time in Tecnimont’s

NextChem’s MyRechemical waste-to-chemicals conversion technology allows the production of “circular” fuels like circular hydrogen, methanol and ethanol.

Low-carbon Refinery: we are also developing technologies for advanced 2nd generation biofuels. These types of biofuels will be a will be a driver for decarbonization in the transportation sector, especially for long-haul road-transport and air travel, where electrification is more challenging. In partnership with Saola Energy, NextChem has introduced in its portfolio an innovative solution for small scale hydrogenated vegetable oil (HVO, also called Renewable Diesel) plants, tackling feedstock availability limitations while reducing logistics, transportation costs and operations complexity. The partnership with GranBio means our portfolio now includes the 2G Ethanol technology that converts lignocellulosic, non-food biomass to renewable, low-carbon intensity biofuels.

Low-carbon Polymers and Plastics: our proprietary MyReplastTM Upcycling technology can starting from plastic waste, produce new raw materials which can substitute virgin polymers in the production of high-value plastic goods. Thanks to the industrial roots and experience of our Group, today we know how to design future-proof biopolymers plants, based on biological feedstocks like sugars, instead of the conventional fossil-based. We also develop solutions for chemical recycling, which enable the treatment of a wider range of otherwise non recyclable plastics, turning them into valuable carbon neutral hydrocarbons for a true circular economy.

Low-carbon Hydrogen: the gateway to e-fuels and low-carbon Ammonia. A mix of innovative proprietary and well-established market technologies constitutes the engine of NextChem’s hydrogen proposition: a portfolio of complementary technologies that allows users to kickstart the new hydrogen economy, leveraging on the local availability of low-carbon resources and feedstocks, transforming them into hydrogen and its derivatives, like e-fuels for the heavy mobility decarbonization, or low-carbon Ammonia and Green Fertilizers.

We aim to develop solutions for scaling technologies in the industrial sector and for the widespread substitution of traditional transport fuels, petrochemicals and fertilizers, biobased feedstock alternatives.

Carbon Capture Storage and Utilization: the flow is being reversed, from the extraction of hydrocarbons to the re-injection for sequestration and safe storage, from dumping a waste gas into the atmosphere, to its recycle and utilization as a precious source of carbon. Carbon Capture today represents one of the immediately applicable bridging solutions that can allow society to achieve its long-term carbon neutrality goal, even for hard-to-abate sectors. NEW FEEDSTOCKS FOR NEW PROCESSES: THE GREEN ACCELERATION STARTS HERE

The Green Circular District model is mainly aimed at green recovery of industrial brownfield sites, above all in the petrochemical and steel sectors. NextChem has partnered with GranBio to license GranBio 2G Ethanol technology for cellulose ethanol production worldwide. GranBio’s Ethanol 2G technology is able to convert non-food biomass into low carbon and renewable biofuels, with innovative solutions to reduce water waste and to recover residues from the process.

Memorandum of Understanding for the realization of a new biorefinery in South America for the production of Renewable Diesel. The biorefinery will be able to produce 200,000 tons of high-quality Renewable Diesel per year from second-generation organic feedstocks (non-food competitive).

The capture of CO2, its value enhancement and its reuse are a fundamental component in reducing greenhouse gas emissions necessary to achieve climate goals aimed at containing global warming. In order to achieve climate neutrality by 2050, the contribution of technologies for the capture, valorization and sequestration of CO2 will be crucial.

NextChem is the licensor of combined technology and provides customers with engineering, procurement and construction services and training to ensure full success in the use of technology. NextChem and Essential Energy USA Corp. signed a contract of Front-End Engineering Design and a

NextChem has also been awarded a contract by TotalEnergies to carry out a FEED and supply its technological know-how to implement a Sustainable Aviation Fuel (SAF) plant in Grandpuits, France, capable of processing 400,000 tons/y. The project is part of the plan to convert the Grandpuits Refinery into a zero-crude platform that will include a Bio Refinery, where NextChem is already engineering Europe’s first plant to produce compostable and biodegradable plastics, with a capacity of 100,000 ton/y.

NextChem is working to increase the availability of sustainable plastic in Europe. NextChem has been awarded a contract by Total Corbion PLA, a 50/50 joint venture between Total and Corbion, to carry out a Front-End Engineering Design for its 100,000 tons per annum Poly Lactic Acid (PLA) plant in Grandpuits, France. The plant, due to be operational in 2024, will be the first of its kind in Europe Maire Tecnimont Group’s heritage in polymerization of traditional plastics combined with NextChem’s portfolio of innovative solutions for green chemistry ensures the necessary know-how to manage this industrial project.

Waste to chemicals

NextChemworldwide.hasdeveloped a range of solutions that recycle CO2 to produce new chemicals, in view of an increasingly circular economy based on industrial symbiosis.

Chemical recycling can recover plastic and dry waste that is no longer recyclable. Waste to Chemicals and Waste to Fuels solutions, which NextChem has developed through its subsidiary MyRechemical, can transform waste into high-quality chemical materials and low carbon fuels, such as hydrogen, methanol, ethanol.

NextChem and Paul Wurth, a company of the SMS Group and leading technology provider for the steel industry, will join forces to promote the combined use of electrolysis and syngas production in the iron and steel industry. The cooperation between NextChem and Paul Wurth is aimed at developing an advanced technological solution to convert natural gas into synthesis gas, known as syngas, to be used during iron ore reduction. The utilization of syngas (a mixture of carbon monoxide and hydrogen) allows for the decrease in the portion of fossil fuels required, thus reducing CO2 emissions in steel production process.

NextChem, through MyRechemical, signed an agreement with Johnson Matthey, a global leader in sustainable technologies, for cooperation to commercially develop “waste-to-methanol” technology worldwide. The methanol derived from this process can be used as an intermediate for low-carbon additives in the blending of gasoline and diesel, replacing the fossil-based component with one derived from recycling, as well as a raw material for the chemical, construction and plastic industries. Ultimately this ensures a lower carbon footprint, demonstrating the sustainability of this

compressor, purifying and compressing them, thus allowing the capture of about 25,000 tons per year of carbon dioxide which would otherwise be released into the atmosphere. The technology used for the capture of CO2 in emissions gasses operates at high efficiency and low power consumption even at low concentrations. It has already been widely used to capture emissions of hard-to-abate industrial sectors

technology. Methanol is an important intermediate product used in many goods that play a role in everyday life such as resins, plastics, insulation and fibers. It can be used as a fuel in transportation and, critically, is a potential enabler for decarbonization. NextChem also signed an agreement with Acciaierie d’Italia for a feasibility study to use circular gas (syngas) in the Taranto steel mill. This circular gas is obtained thanks to NextChem’s Waste-to-Chemical technology, which is based on the recovery of carbon and hydrogen present in plastic and dry waste through a partial oxidation process.

NextChem and MYTILINEOS’ Renewable and Storage Development Business Unit have signed an agreement to develop engineering activities for the implementation of a green hydrogen plant via electrolysis in Italy. The technology for CO2 capture in flue gasses has already been widely used for emissions of hard-to-abate industrial sectors worldwide. In the early days, the captured CO2 would be mainly used to enhance the production of downstream processes (Urea or Methanol). With this innovative solution, the CO2 can be sequestered and stored for good, reducing the greenhouse gas generated by industry.

This carbon capture plant will be able to separate the CO2 from emissions from the natural gas plant’s turbo compressor, purifying and compressing it, thus allowing the capture and handling of about 25,000 tons per year of CO2 which would otherwise be released into the atmosphere. It calls for cooperation among partners in Germany, in Japan and in Italy. The coordination during the Covid-19 pandemic restrictions was successful thanks to the professionalism and the intercultural awareness shown by the team members involved.

This Program will also guarantee a smooth succession planning for project and departmental management positions.

With specific reference to the main European companies, the equal-pay analysis reveals the absence of a gender gap when staff join the Group and a reduction in the gender salary ratio, taking into consideration the remuneration of female employees - up to 30 years old - with white collar and middle management roles. With regard to executives aged over 50, on the other hand, there has been a slight decrease, of 3 percentage points compared to 2020.

Maire Tecnimont Group continued to invest in young people, with 31% of permanent recruitment in 2021 made up of staff aged 30 or lower, 90% of them being graduates in engineering and other technical disciplines. The average age at our company was 43 years old, in line with 2020, and the average age of top and middle management was 46.7 years (48 in Italy and 45.2 abroad). For white collar staff the average age is lower, at about 39, without a substantial difference between Italy and overseas. Our local content hiring strategy allows us to develop a competitive positioning advantage and generate added value through the transfer of skills and know-how, by incorporating workers from the local supply chain into our workforce. This is confirmed by the fact that 89% of the 6701 new hires made for the project teams at the various sites and recruitment in the North Africa & Sub-Saharan Region, for the launch of certain projects, concerns staff of local nationality.

To achieve this, Maire Tecnimont created opportunities for its employees to discuss and listen to each other on the topics of gender diversity and inclusion, activating engagement and training as an integral part of the Group’s sustainability strategy. This also strengthens the heritage of ethical principles and values on which we base our identity and culture.

These sessions, through various focus groups and idea generation workshops, involved more than 50 colleagues in 2021, with different professional and cultural backgrounds, geographical origins and seniority. They provided ideas and feedback related to gender inclusion for a Diversity, Equality & Inclusion program to be carried out soon and of even greater scope.

Each of our corporate functions encourages a process of awareness and sensitization, also in terms of leadership model and behaviour, to achieve an increasingly broad recognition and expression of everyone’s talent. In 2021, Maire Tecnimont Group’s staff rose about 7% to 6,358 employees, of which around 80% were permanent. The number of permanent employees hired in 2021 more than doubled to 480, compared to 233 in 2020. These numbers demonstrate our continuous investment in human capital and search for new talents able to support and contribute to the company’s long-term growth. Recruitment rose across all of the Group’s main foreign engineering centers: in Mumbai, at Tecnimont Private Limited, the increase was 180%; in TPI, Germany, 67%; in Stamicarbon, The Netherlands, 36% and, lastly, in Moscow, OOO MT Russia, 9%. The only decreases in personnel were in the Middle East area and Malaysia, and were due to the substantial completion of some projects that were located in those areas. When it comes to gender diversity, 21% of the Maire Tecnimont Group’s entire population were women in 2021, at the same level as 2020 and in line with all sector benchmarks. Maire Tecnimont Group made progress in 2021 in the four cluster areas of its sustainability strategy: Climate, the circular economy and the environment; Health, safety and diversity; Innovation that creates well being; Value for communities where we operate. We have indicated specific targets for our ESG agenda to be achieved over the duration of our strategy. In the Environment cluster, we are prioritizing the fight against climate change by reducing our emissions; reducing the emissions of plants we build or revamp for customers; and developing and deploying new technological

solutions that are already low or zero carbon and that allow us to achieve carbon neutrality objectives more quickly. In 2021 we set up Met Zero, a Technical Task Force dedicated to CO2 reduction, and created vertical working groups aimed at reducing our Group emissions to achieve carbon neutrality targets. In 2021 we signed several plant engineering agreements with clients interested in our energy transition technology portfolio in Europe, the USA and South America, India and the Middle East to eventually build plants that, once in operation, will reduce greenhouse gas emissions.

Lastly, we have set ever-higher targets for creating value in the areas and communities where we work, in terms of In-Country Value and Corporate Social Responsibility. Along with our help to communities during the Covid emergency, we were particularly active in India in 2021, where we set up a centre for Research on Waste Recycling and Circular Economy created with the National Institute of Technology, Karnataka (NITK) to train local professionals.

The Maire Tecnimont Foundation will draw from an historical archive of 7,000 drawings and projects by Italy’s most famous engineers and architects, and will be dedicated to training the “humanist engineers” of tomorrow. They will be able to contribute to the evolution of humanity by providing outstanding technological solutions, inspired by advances in technology and artificial intelligence and able to interpret social, ethical and environmental needs in the era of the energy transition and digitalization.

Engineering is now facing a major challenge: learning to understand and interpret scenarios that require historic paradigm shifts, providing creative, innovative and effective responses for a future that combines economic growth with the protection of our planet’s resources.

In our Health, safety and diversity cluster, we are consolidating a strong focus on multiculturalism and inclusion. Safety was a main focus in 2021, (for example with the Stop & Coach Program), as were projects for wellbeing at work sites. We worked with internal focus groups and idea generation workshops to listen employees perception and proposals on D&I, and set up a Diversity & Inclusion working group. The Group’s new Flourishing Program created in 2021 selects young talents and helps them to grow more rapidly, creating the skills we need for our future.

This evolution inspired us in 2021 to create Evolve, Maire Tecnimont Foundation.

This wide-ranging vision has not, however, led us to lose sight of immediate and pressing needs. We have responded to emergencies as they happen, with an approach called for by the situation. Our timely and tangible assistance programs during the second wave of COVID-19 in the first part of 2021 in India are an example of this approach.

In March 2021, thanks to the continued support of our Group, a scholarship program was launched to set up an interdisciplinary research center, the “Maire Tecnimont Center for Research on Waste Recycling and Circular Economy,” at National Institute of Technology, Karnataka (NITK), one of India’s 31 National Institutes of Technology. Annual scholarships are awarded on the basis of merit, income and gender balance. The center is part of Maire Tecnimont’s 2020 Corporate Giving directed towards developing new skills and high-level training courses in the field of the energy transition in India. As part of the agreement with NITK, the program created a small plant using food waste from canteens and halls of residence to generate biogas, which is needed on the NITK campus. The pilot plant, designed to serve as a functional facility for training young engineers to study the use of waste as a raw material, was inaugurated in March 2021. In addition to having an educational value for people at the NITK, when fully operational the plant will be able to cover part of the campus’s electricity needs by using the bio material (500 kg/day) produced internally (canteens, cafeterias, student lecture theatres). It will meet part of the campus’s energy needs while reducing the impact and emissions associated with NITK activities.

The scholarships will provide Bachelor of Technology (B.Tech) and Master of Technology (M.Tech) students with financial support to cover tuition fees and expenses for a period of 12 months. The collaboration with one of the most prestigious engineering institutes in India will also be an important opportunity for a mutual exchange of knowledge between our Group and IIT-B through a series of lectures and experimental thesis projects overseen by our technical teams.

TACKLING EDUCATIONAL POVERTY AND THE DIGITAL DIVIDE Mumbai, India

slum children in India have been severely affected by the disruption of access to education due to the Covid-19 pandemic, which has magnified the effects of the digital divide in the younger section of the population, exposing children to further educational poverty. Most children are also malnourished and lack the protein and the essential nutrients in their diet that allow them to develop properly, including cognitively. It is therefore essential not only to provide them with tools that facilitate learning, but often also to help them improve their health. The Maire Tecnimont Group decided to collaborate with India’s leading university and research institute, the Indian Institute of Technology - Bombay (IIT-B), to design and develop a project to encourage learning and access to digital tools for marginalized children in the Malwani slum, Malad, Mumbai. IIT Bombay works with Abhilasha Foundation to assess and monitor the nutritional status of underprivileged children in targeted urban areas and rigorously analyses the physical and cognitive health status and the impact of nutritional products on these children. This nutritional aspect is an integral feature that is a necessary prerequisite for the success of the project, which includes the creation of safe, equipped spaces for computer literacy classes.

Our Group, in collaboration with the Indian Institute of Technology – Bombay (IIT-B), is supporting a project that aims to provide higher education opportunities for deserving young people of both genders in Mumbai. The scholarship program allows economically marginalized but talented students to pursue higher education.

During 2021, we strengthened a few of our most important Open Innovation initiatives. Federated Innovation at MIND is a collaboration in the area of Green Tech and Sustainability with Italian energy companies A2A, Enel X and ENI. We worked together to set out an Innovation Agenda containing the strategic guidelines and objectives for the next 2 years. MIND is an innovation hub in Milan, Italy that involves national and international leaders to partner in scientific, technological and digital experimentation. The companies will experiment with technological, scientific and digital innovation projects using an innovative and collaborative methodology, the “Federated Innovation Model”, which combines open innovation with more traditional corporate innovation practices.

An Open Innovation management strategy is a critical success factor in today’s market, along with its implementation process that must become part of the corporate culture in the broadest sense. Given that sustainability issues are increasingly an integral part of corporate strategy, Open Innovation is essential to support the achievement of strategic sustainability goals and the expected business benefits, and contribute to the process of change and transformation of the company over time. The key element to address this profound transformation is Open “Green” Innovation – the right combination of innovation (product, service or process) and sustainability, in order to develop new sustainable solutions in line with the SDGs.

We participated in the 2021 edition of OPEN ITALY, a network bringing together large companies, Italian Startups and SMEs and innovation enablers such as accelerators, research centers, venture capitalists and young talents. Last year’s edition gathered 50 large corporations, 374 startup candidates and almost 2,000 solutions proposed to respond to company challenges. Maire Tecnimont contributes to OPEN ITALY through its green chemistry company NextChem, allowing the Group to capture a dealflow of solutions that represent opportunities for the development of green projects.

With innovation becoming a critical factor in success, in 2019 Maire Tecnimont established a synergetic collaboration with the LUISS Guido Carli University by launching a professorship for Open Innovation and Sustainability, the first of its kind in Europe, and in 2021 confirmed its commitment to the collaboration for the next eight years. Our collaboration with Luiss also includes contributing to the topic of the circular economy with lectures as part of the dedicated professorship.

was launched in 2021 by CDP Venture Capital, ENI, LVenture Group and ELIS, with the support of Corporate Partners ACEA, Maire Tecnimont and Microsoft. ZERO is part of the state-run investment fund Cassa Depositi e Prestiti (CDP) National Accelerator Network, and was created to support startups demonstrating strong business potential and a zero-impact solution for the environment. For Maire Tecnimont, projects like ZERO are an ideal way to strengthen or develop new partnerships. The program’s verticals are perfectly in line with the Group’s strategic objectives and the UN SDG’s.

Caracol and NextChem (Maire Tecnimont’s green chemicals company) created BELUGA, a joint research project to design the world’s first 3D printed monocoque sailing boat prototype using recycled MyReplastTM material. The boat was presented at the 2021 edition of the Fuorisalone furniture and design trade show in Milan. MyReplast technology combines innovative optical separation techniques with formulation processing in an extruder, making the process a true UpCycling. Contaminated, low value mixed polyolefin waste is thus restored to a level of purity and quality that allows it to be processed and made into new objects, replacing virgin polymers.

At Milan’s Polytechnic University, at the entrance to the Chemical Engineering faculty, a plaque reminds students that in 1927 Montecatini (Tecnimont’s forerunner) was among the first companies contributing to the purchase of equipment for the newly established laboratory. The Group’s long standing collaboration with the Milan Polytechnic has been further strengthened with partnerships for research projects and the funding of a chair of “Engineering and Management of Chemical Projects”, launched in 2018 for 15 years, as well as an intense cooperation in the field of teaching, specialization and orientation of young people.

In the international field, the Group started working with BHOS (Baku Higher Oil School) in Azerbaijan in 2018, supporting the university’s specialization course and its research equipment. In India, a collaboration has been underway since 2020 with the National Institute of Technology Karnataka, with the opening in March 2021 of an interdisciplinary research center, the Maire Tecnimont Centre for Research on Waste Recycling and Circular Economy. Further projects are underway with the Technical University of Eindhoven, the École des Mines in Paris and the Spanish research center Tecnalia.

Today, the technology is mature enough that we can develop solutions that fit the business model of the plant owner and not vice versa. We started by transforming the most relevant processes of the EPC phases, to make them simple and adaptive. Digital transformation allows the project team to have immediate access to various data sets related to the status of ongoing EPC activities. Similarly, the availability of shared data on digital platforms enables new, more evolved forms of extended organization and joint collaboration between the various operations centers and stakeholders working on complex projects. Our Group is at the forefront of digitalization in our sector, after having started to digitalize our organizational processes, engineering design and plant construction many years ago. In 2021, Maire Tecnimont consolidated this experience into a single platform, launching its digital technology suite NextPlant, which delivers important sustainability advantages during the operation and maintenance phases of an industrial plant and helps plant owners save on costs and increase energy efficiency. NextPlant also enables us to be much more quick and efficient in our own EPC processes.

The energy transition depends on adopting digital technologies including blockchain, which Maire Tecnimont believes can be used to certify the carbon footprint of raw materials by equipping them, for example, with eco profiles documenting the amount of water, energy and other materials used in the production process.

NextPlant, our digital suite for plant operation & maintenance

One of the first potential environmental issues that arises from digitalization is the carbon footprint generated by data centers and their energy consumption. According to the International Energy Agency, data centers consumed roughly 200 TWh of electricity in 2019, around 1% of global energy consumption. At the same time, internet traffic rose nearly 40% during the first quarter of 2020. That’s why Maire Tecnimont started a gradual process of de-materialization of its data centers a few years ago, with the twin goal of supporting both the digital and energy transitions. Our Group chose to move its ERP onto RISE with SAP, housed on Microsoft’s Azure cloud platform in a process that will be completed at the start of 2022.

In 2021, Maire Tecnimont Group renewed the ISO:27001 Certification for the management of corporate information. According to the standard, focal points have been identified for compliance and security management issues that operate under the direct supervision of the ICT HoD.

NextPlant delivers a range of customer benefits. The underlying goal is to natively design and build more efficient, much less energy-intensive, more adaptive and interconnected industrial plants. In the future, plants will be hyper-connected and designed to handle fluctuations due to feedstock volatility and variability. Future green chemistry plants - a natural response to the energy transition - will be smaller, more widely distributed, and will require the adoption of digital native solutions to be managed efficiently in order to save on operating costs and reduce the carbon footprint in design and operations. NextPlant is designed to meet the needs of the energy transition by decarbonizing processes and operations across the entire value chain. As a result, industrial facilities will be more adaptable and sustainable in terms of total investment cost and environmental impact.

Following these training and mentoring activities, the Program was implemented in the field by using a “Stop & Coach Card”. This tool gives workers the authority to stop an unsafe action or situation and manage the coaching activity. The front side of the card features the ‘stop’ symbol; the back side contains a series of questions that support the coach during the session. The Stop & Coach Card is delivered inside a kit that also includes the Safety Observation Card, a useful tool for recording and following up on non-compliant situations.

For the 2021 event, 160 colleagues including the Construction team (Site manager and Site HSE manager) and the Group’s top management took part, connected from the main offices and from 24 construction sites in 17 countries.

Maire Tecnimont Group held the fourth edition of our two-day HSE workshop in 2021 on World Day for Safety and Health at Work, which is promoted by the International Labour Organization (ILO).

Our sites employ about 36,500 people, including Maire Tecnimont’s Construction team as well workers employed directly and indirectly. Seven of our top managers were present.

During the two days, we featured a program dedicated to HSE on our corporate television channel, and we shared the event on social media so that external stakeholders could see how the health and safety of our people represents a core value for the group.

The pandemic has placed even more emphasis on the need to establish guidelines to ensure people’s safety and health. As safety is not only a priority for us but a core value, the workshop was a valuable opportunity to share best practices and strengthen our shared HSE identity – a litmus test showing that our “Safethink HSE Awareness Program” has already managed to implement and strengthen, a new shared health and safety culture in just a few years. The high levels of participation and involvement from all the construction sites showed how much the new HSE identity is shared and embedded in the Maire Tecnimont Group.

Technology Construction Departments, organized the fourth HSE Workshop and provided specific branded materials (posters, banners, t-shirts, and polo shirts). The goal of the event was to share implemented best practices, look back on lessons learned from 2020, and talk about new goals and expectations for 2021.

In 2021, the Group reduced the intensity of greenhouse gas emissions for construction sites compared to the years 2020 and 2019 (pre-Covid), while for offices the figure is in line with that of 2020.

Analysis of the trends of the last few years confirms the Group’s commitment to excellence in injuries prevention. Our figures consistently remain well below the IOGP(3) benchmarks, and since 2015 the trend is decreasing, as one can immediately see in the above chart(4)

Over the last three years, a total of more than 195 million man-hours were worked at the Maire Tecnimont Group’s hydrocarbons business unit construction sites.

Maire Tecnimont Group makes all its suppliers/subcontractors aware of these issues so that they undertake to respecting human rights in their work. We are therefore constantly engaged in pre-qualifying our suppliers, contractors and partners, a process which sees hundreds of suppliers assessed each year on their performance, including human rights and social accountability issues. The promotion and protection of human rights in the supply chain is also managed through audits at our construction sites, including sub-contractors’ “leaving camps”.

Our stakeholders’ trust in us is based on the cornerstone of our strong ethical standards, the full compliance with laws and regulations, and the scrupulous and profitable management of our finances. Our Business Integrity Policy is an integral part of the measures that the Group has already adopted and implemented to prevent corruption, promoting transparency for the benefit of the Group’s reputation and performance.

2021 has been a very remarkable year, as our solid financial performance has further confirmed that Maire Tecnimont is on a stable growth trajectory. Revenues grew by 8.9% to €2.86 billion, EBITDA profitability was perfectly in line with the annual guidance at 6.1%, and Net Income increased by 48.5%.

2021 will also be remembered as the year when we had our highest ever order intake (€6.4 billion) and backlog (€9.5 billion). This extremely impressive performance is concrete evidence of the strength of the business drivers underlying our sector, as well as of the solid trust that our clients, recurrent and new, put on our Group.

In spite of our record year, our commercial activities keep on running at full speed, with over €63 billion worth of opportunities both in our traditional business and in Green Energy. The latter continues on its expansion path, with new technology-driven and EP and EPC projects started that will lead to additional ones in 2022 and beyond.

The Board of Directors and the Board of Statutory Auditors are appointed by the Shareholders according to a slate-voting system that protects also the rights of the minorities.

In order to promote business ethics and compliance, we have created two internal committees with advisory functions, the Remuneration Committee and the Control Risk and Sustainability Committee. This last committee enacts an Internal Control and Risk Management System, consisting of a set of rules, controls and grievance mechanisms to prevent illicit behavior and protect our global reputation. The increase in Maire Tecnimont’s share price stems from the continually improving operating-financial results throughout the year, as well as the steady and significant growth in the order intake, which in 2021 reached a record high for the Group, thanks to the awarding of major contracts both in new regions and with long-standing clients.

The COVID-19 pandemic in 2021 continued to impact the global economy. However, with the successful global roll-out of vaccines, a growing sense of confidence has taken hold, leading to brisk economic recovery in many countries. The international stock markets have reacted well, with overall rises in Europe recovering to pre-pandemic levels.

Maire Tecnimont Share Performance

The average daily trading volume in 2021 was 1.3 million shares, at an average price of Euro 3.04.

The share price increases also reflect the Group’s leadership position in the development of Energy Transition and Green Chemistry technologies, along with a Business Model firmly rooted in the creation of sustainable value. Throughout 2021, Maire Tecnimont remained keenly committed to investor relations, continuing to use the remote communication tools required during the pandemic. During 2021 Maire Tecnimont had online meetings with 290 investors on the main global stock markets. Overall interactions were up 78% on 2020, testifying to the growing interest of institutional investors in the Group.
