Assignment of Copyright Agreement This Assignment of Copyright Agreement is made and entered into as of the date of grant set forth below.

BETWEEN:

[COMPANY NAME] (the "Author”), a corporation, organization with complete address.

AND:

[ASSIGNEE NAME] (the " Assignee”), with complete address.

WHEREAS, Author has created original works of authorship fixed in a tangible medium of expression (hereinafter termed works), namely the following materials: [Insert Title of Works] WHEREAS, Assignee is desirous of acquiring the entire right, title, and interest in and to said Works and in and to any copyrights thereon arising and/or granted in the (Country Name) and foreign countries; NOW, THEREFORE, for other goods and valuable consideration received by said Author from said Assignee, the receipt and sufficiency of which is hereby acknowledged by said Author, ASSIGNMENT:  In consideration for the execution of the Deed of Gift, the receipt and sufficiency are hereby acknowledged, Donor hereby irrevocably conveys, transfers and assigns to (Name), and (Company Name) hereby accepts, all of Donor's right, title and interest in and to the following (the "Assigned Copyrights"): the copyright registrations applications for registration and exclusive copyright licenses set forth in Schedule hereto and all issuances, extensions and renewals thereof; all rights of any kind whatsoever of Donor accruing under any of the foregoing provided by applicable law of any jurisdiction, by international treaties and conventions and otherwise throughout the world.  any and all royalties, fees, income, payments and other proceeds now or hereafter due or payable with respect to any and all of the foregoing.  any and all claims and causes of action, with respect to any of the foregoing, whether accruing before, on or after the date hereof, including all rights to and claims for damages, restitution and injunctive and other legal and equitable relief for past, present and future infringement, misappropriation, violation, misuse, breach or default, with the right but no obligation to sue for such legal and equitable relief and to collect, or otherwise recover, any such damages.  The Author agrees that all right, title, and interest in the Work, including subsidiary rights and the right to maintain copyright in the name of the Board of Regents of the
