Assignment of Copyright Agreement This Assignment of Copyright Agreement is made and entered into as of the date of grant set forth below.

BETWEEN:

[COMPANY NAME] (the "Author”), a corporation, organization with complete address.

AND:

[ASSIGNEE NAME] (the " Assignee”), with complete address.

WHEREAS, Author has created original works of authorship fixed in a tangible medium of expression (hereinafter termed works), namely the following materials: [Insert Title of Works] WHEREAS, Assignee is desirous of acquiring the entire right, title, and interest in and to said Works and in and to any copyrights thereon arising and/or granted in the (Country Name) and foreign countries; NOW, THEREFORE, for other goods and valuable consideration received by said Author from said Assignee, the receipt and sufficiency of which is hereby acknowledged by said Author, ASSIGNMENT:  In consideration for the execution of the Deed of Gift, the receipt and sufficiency are hereby acknowledged, Donor hereby irrevocably conveys, transfers and assigns to (Name), and (Company Name) hereby accepts, all of Donor's right, title and interest in and to the following (the "Assigned Copyrights"): the copyright registrations applications for registration and exclusive copyright licenses set forth in Schedule hereto and all issuances, extensions and renewals thereof; all rights of any kind whatsoever of Donor accruing under any of the foregoing provided by applicable law of any jurisdiction, by international treaties and conventions and otherwise throughout the world.  any and all royalties, fees, income, payments and other proceeds now or hereafter due or payable with respect to any and all of the foregoing.  any and all claims and causes of action, with respect to any of the foregoing, whether accruing before, on or after the date hereof, including all rights to and claims for damages, restitution and injunctive and other legal and equitable relief for past, present and future infringement, misappropriation, violation, misuse, breach or default, with the right but no obligation to sue for such legal and equitable relief and to collect, or otherwise recover, any such damages.  The Author agrees that all right, title, and interest in the Work, including subsidiary rights and the right to maintain copyright in the name of the Board of Regents of the


 

University System, is, or shall be by assignment through this Agreement, exclusively vested with (Name) Cooperative Extension. The Author warrants, that the Work does not infringe any valid copyright or other proprietary right of any other person, that the Author has the power to convey all rights granted and assigned in this Agreement. the Work contains no libelous, defamatory or other unlawful material and Author (jointly and severally) agrees to hold (Name) Cooperative Extension harmless from any claim, suit or proceeding based on the grounds that the Work contains such harmful matter, and agrees to indemnify ____ Cooperative Extension for reasonable expenses incurred in defending, settling, or otherwise responding to such claims; and d. that the copyright has not been assigned previously nor the Work published. If the Work includes any copyrighted material not in the public domain, the Author will obtain permissions for the use of such material, and provide copies of such permissions to____ Cooperative Extension before the Work is published. This instrument contains the entire and only agreement between the parties and supersedes all pre-existing agreements between them respecting its subject matter.

COPYRIGHT:  Company shall have the right to secure copyright for the Work, and any renewals or extensions thereof, in their names in the United States and elsewhere.  The Assignor hereby irrevocably appoints Company, its successors and assigns, Assignor’s attorney in fact with power of substitution in the name of Company to execute on Assignor’s behalf any and all documents necessary to carry out the terms of this Agreement.  The Assignor agrees to execute any document that Company or the Publisher may deem necessary to protect the rights granted hereunder. CONFIDENTIALITY: Only duly-authorized Company officers, employees, and agents will have access to information furnished or obtained in connection with the test; that they will maintain and protect the confidentiality of such information to the greatest extent possible; and that they will share such information only to the extent necessary to make employment decisions and to respond to inquiries or notices from government entities. WARRANTY AND INDEMNITY: The Author is the sole proprietor of the work, the work does not infringe any existing copyright. The Author will indemnify Company against loss, injury or damage (including any related legal costs or expenses properly incurred) occasioned to Company in consequence of any breach by the Author. PAYMENT: Company will pay the Artist the sum set out in Item of this Agreement. This sum shall be the total consideration for the work. The Author agrees that they shall have no future claim for royalties or compensation from the use of the work.


SEVERABILITY: If any provision of this Agreement is held by a court to be unlawful, invalid, unenforceable or in conflict with any rule or law, statute, ordinance or regulation, it is to be severed so that the validity and enforceability of the remaining provisions are not affected. APPLICABLE LAW: This Copyright Assignment and any claim, controversy, dispute or cause of action (whether in contract, tort or otherwise) based upon, arising out of or relating to this Copyright Assignment and the transactions contemplated hereby shall be governed by, and construed in accordance with, the laws of the (Country Name) and the State of (State Name).

I have carefully read the foregoing and fully understand its contents. I acknowledge that my signing of this consent and release form is a voluntary act on my part and that I have not been coerced into signing this document by anyone.

IN WITNESS WHEREOF, the both parties has caused this Agreement to be signed by a duly authorized officer, and Participants has affixed his/her signature hereto.
