ANNUAL CONTRACT FOR REPAIR / SERVICE AND PREVENTIVE MAINTENANCE OF CCTV SECURITY SYSTEM & EQUIPMENTS AT SBP BSC (BANK),RAWALPINDI State Bank of Pakistan, SBPBSC (Bank), Rawalpindi invites sealed Tender on the above, from the Contractors/ Contracting firms who are enlisted with Pak. P.W.D., M.E.S., Quasi Government Body, State Bank of Pakistan, Engineering Council or any reputed organization, to participate in the tender. TRERMS AND CONDITIONS:-
1. The Contractor to whom work shall be awarded, will enter into a written contract agreement with the Bank on prescribed Performa. 2. The contractor shall carry out all types of routine checking repairs, service & preventive maintenance of the equipments round the year deputing one professional and skilled person who will be available in the Bank during the usual Office hours to ensure trouble free operation and smooth service. 3. The periodical maintenance/servicing for the CCTV Security System and Equipments shall be carried-out on weekly basis in presence of the Bank’s representative and a report duly signed by both the representatives will be prepared by the contractor. He will also maintain proper record for repair of the equipment and replacement of parts etc. for future reference. 4. The maintenance & servicing of the CCTV Security System and Equipments shall be carried out as per the recommendations of the manufacturers given in the manuals and as directed by the Engineer Incharge. 5. The servicing/maintenance of the CCTV Security System and Equipments will normally be carried-out with the prior permission of the Bank. There shall be no limit on emergency calls/complaints/visits for repair/maintenance and upkeep of the equipment under contract round the year. 6. The contractor shall attend to the maintenance/repair work on priority basis even after office hours or on holiday(s) / Sunday(s) if so warranted at any time due to exigencies/emergencies and will put the CCTV Security System and Equipments on smooth operation in the minimum possible time without claiming any extra charges. 7. The entire work shall have to be carried out as per the professional codes and instructions and with the required skilled labour under the supervision of the qualified Engineers/Mechanics etc. and in accordance with the service manuals of the CCTV Security System and Equipments. The contractor will not be allowed to sublet the work to any third party.

8. The senior Engineer of the contractor shall be personally available to look after and supervise the work or provide necessary superintendence for the same and shall be required to adhere to the programme of work. 9. All routine and normal repairs will be done by the contractor at his own cost and the total bid will be inclusive of all such repairs. 10. All consumable items like normal lubricants, grease, nuts, bolts, washers, brushes, cleansing material and sand papers etc. shall be arranged by the contractor at his own cost. The rates quoted by the contractor shall be inclusive of all these items. 11. All materials, labours, tools & plant and instruments of every kind necessary of the proper execution of the work as well as items incidental thereto shall be arranged by the contractor at his own cost and the rates shall be inclusive of these items. 12. Spare parts (if necessary) shall be provided for replacement by the Bank free of cost if available in the stock. Spare parts not available in the stock shall be arranged/purchased by the contractor after obtaining written approval from the Bank pending reimbursement of the cost on producing of invoices/bills/cash memos etc. The Bank may also on its discretion make direct payment to the supplier. The Senior Engineer of the contractor shall take full responsibility to advise the Bank well in advance regarding he parts anticipated to be required for the maintenance purpose so that they may be procured well in time if not available in the stock. 13. The Bank shall not be involved any way if a loss or damage occur to any of contractor’s person or installation subject of this agreement what so ever arising out or as a consequence of the execution of the work and all liabilities in this regard shall be borne by the contractor. 14. The contract shall remain valid initially for a period of one year i.e. up to 31-12-2013. However, the same is extendable for a maximum period of three (03) years on the existing revised rates, terms and conditions by mutual consent of the parties. 15. No payment other than those due against the work actually executed and priced at the accepted rates and measured/checked jointly shall be admissible. 16. No advance payment shall be made. However, the bills of the operation/maintenance/service charges will be submitted by the contractor after satisfactory completion of the work each month and will be paid accordingly. 17.TERMINATION OF CONTRACT. “The Bank” reserves the right to terminate this contract / agreement upon 30 days’ notice in writing or till any suitable alternate arrangement is made by “the Bank”, whichever is earlier. “The Bank” shall, however, have the right to terminate the contract forthwith without any compensation if “the Contractor” fails to provide the services to the utmost satisfaction of “the Bank” or commits any other breach of its obligations under this Agreement. 18.SECURITY DEPOSIT. “The Contractor” shall deposit 10% of tendered amount with the Bank as Security Deposit, refundable on the expiry of the term of the agreement.

19. Any dispute arising between the parties shall be settled mutually and decision of the Head Engineering, SBP, BSC (BANK), Head Office, Karachi shall be binding for the parties in this regard. 20.PROCEDURE OF PAYMENT “The Contractor” shall submit his invoice marked as “Monthly Charges for Repair/ Service and Preventive Maintenance of CCTV Security System & Equipment” by the end of each month and payment will be made by “the Bank” latest by 10th of each month, after proper scrutiny and verification. If there are any claims against “the Contractor”, the Bank is hereby authorized to deduct the same. Further the applicable Govt. taxes will be deducted from the contractor’s bill(s) as per rules. 21.SCHEDULE OF PAYMENTS i) Penalty for non operation shut down / break
down of CCTV SECURITY SYSTEM / EQUIPMENT’’ due to Contractor’s negligence. ii) Monthly charges for ‘’Repair/Service and Preventive Maintenance of CCTV security System & Equipment’’.

1.
INTRODUCTION The project is aimed at connecting universities in Pakistan through Video Conferencing System, so that students of such universities, who are not in a position to benefit from high profiled teachers, could have the opportunity to learn from them, exchange their ideas, contribute and communicate their views in order to enhance their knowledge and capabilities. Pakistan’s education standard will become comparable with any of the world class universities. Higher Education Commission aims to give Pakistan a bright future through young, qualified and energetic generation. Higher Education Commission (HEC) intends to purchase IP-Based Video Conferencing System/ Solution. HEC needs high-tech Video Conferencing System (VCS) through which online lectures and discussions/conferences can be held. This will enable universities to share information, resources and knowledge with each other. Higher Education Commission intends a complete solution which can be economically scalable, interoperable and can be integrated with existing similar setup at universities. This Tender Document describes the scope of work, technical specifications and commercial requirements for supply, installation, testing, commissioning and maintenance of the Video Conferencing System / Solution.

SCOPE OF WORK The Project proposal includes supply of equipment, installation, integration, testing, commissioning and maintenance/support of fully functional IP-based Video Conferencing System along with the collaborative tools at sites as mentioned in Annexure A. The Video Conferencing System/ Solution must be scalable/ reliable and should have the functional & technical specifications as set out in Annexure D. The network should be evolved with Internet Protocol (IP) connectivity with SIP, H.323 and ISDN. The proposed units/equipment should be interoperable with all famous brands internal & external MCUs/CODECs available in the market. The system should have latest audio & video CODEC in order to provide the maximum quality achievable by any technology currently available in the market. All systems should allow connectivity of computers to run Power Point presentations, share information, exchange of files and any image that is being displayed on the computer screen and should be possible to see presenter and presentation at the same time. The Video Conferencing System should have the ability for making all conferences highly secured on IP. The scope of work includes design, packaging, supply, installation, integration, commissioning and one year warranty with maintenance of all equipment as in BoQ. The items listed in Annexure B and all those things and accessories deem necessary and explicitly not covered in BoQ including material/consumables and services required for supply, erection, testing, commissioning, test run, operation and maintenance of the Video Conferencing Solution (VCS). Training for knowledge transfer to engineers/operators and support personnel will also be the responsibility of the Bidder. After completion each site, area is to be squared up and waste to be removed.

GENERAL GUIDELINES FOR THE PROJECT A group Video Conferencing System integrated with Dual Display, Audio, Rack and Cabling system needs to be installed at sites as in Annexure A. 3.1.

Video Conferencing System The Video Conferencing System should be able to cover the site, by its own cameras as well as external cameras through distributing the class in number of video presets using video control system. The proposed system should support multiple sites connectivity, i.e. point to multipoint configuration. The sessions should have the capacity to be recorded as well as telecasted on to ordinary computers on network. The offered solution shall sustain levels for capacity performance, scalability, availability and manageability that meet present and future requirements. Audio/Display System For clear pick up of audio and video, the proposed Video Conferencing System should have integrated Speakers, Mics integrated mixer, and Dual display screens that need to be installed at Sites as in Annexure A.
BIDS SUBMISSION REQUIREMENTS The objective of bid submission requirement is to provide bidders with the information to submit their bid in response of this Tender Document according to the specifications defined in this Tender Document and in order/sequence as set forth in this document. A Bidder who has responded to any previous Tender Document issued by HEC should not assume that the requirements are the same, as may have been in the past. Bidders must follow requirement for their proposals/bids as given below. Bidders must confirm the following standards in the preparation and submission of the bid. 4.1
For this tender PPRA’s ‘Single stage-Two envelope Procedure’ as per clause 36(b) for open competitive bidding is adopted.

Sealed Bid clearly marked as “ORIGINAL” and should be clearly marked as Technical Proposal/Financial Proposal in bold with ‘01’ copy of technical proposal only and affixed to different envelope at a clearly visible location. a. TECHNICAL PROPOSAL i. Technical Proposal must include the complete solution proposed by the Vendor with filled-in specification sheets marked with Yes or No in the compliance column. ii. If the specification sheets ask for providing any details, those should be provided as attachment to the Technical Proposal. iii. After review of the Technical Proposal, ALL bidders will be asked to give a demonstration/presentation of their solution on a date and time which will be communicated to bidders after bid opening. iv. Based on the Technical Proposal and the presentations, bidders will be selected in order of preference and their Technical Solution. ii. The prices quoted by the bidder must include all taxes, customs and freight charges for delivery and installation at the required locations at its own risk and cost. iii. This Video Conferencing Equipment is for educational institutions. HEC, therefore, expects significant educational and volume discounts. iv.Financial proposals of the bidders found technically non responsive will be returned unopened. 4.3
Two (02) additional hard copies in separate ring binders and One (01) soft copy on separate CD for each of the complete Technical Proposals in sealed envelopes, including all sections and exhibits, shall be submitted. 4.4 The Bidder shall furnish earnest money equivalent to 2% of the total value of Bid in the form of Bank Draft issued by a scheduled bank of Pakistan in favor of “Director General (Finance), Higher Education Commission”, valid for at-least one year and enclosed in a separate envelope along with respective financial proposal. No Bid shall be entertained without earnest money. Earnest money of the successful bidder will be released at the time of submission of Ten percent (10%) Performance Guarantee of the total contract value while signing the Contract Agreement. 4.5 The successful bidder will be required to deposit Ten percent 10% of total contract value as Performance Guarantee in the form of Bank Guarantee issued by a scheduled bank of Pakistan in favor of “Director General (Finance), Higher Education Commission” at the time of signing of contract agreement and will be released with payment against the first invoice. 4.6 Proposals sent to Higher Education Commission by fax or email will not be accepted. 4.7 Failure to abide by any instructions of this Tender Document may, at the HEC’s sole discretion, result in rejection of the Bidder’s Proposal and disqualification. 4.8 Bidder’s Proposal/Bid/Offer must be received, in writing, at the Office of IT Consultant / Project Director, HEC by the date and time specified herein. HEC will not be responsible for any delays in delivery or expenses for the development or delivery of proposals. Any Proposal/Bid/Offer received after Proposal/Bid/Offer submission date and time will be returned unopened. 4.9 Bidder must fully respond to each requirement within the Technical specifications by fully describing the manner and degree by which the Bid meets or exceeds said requirement(s). 4.10 It is the responsibility of the Bidder to clearly identify all costs associated with any item or series of items in this Tender Document. 4.11 The Bidder must include and complete all parts of the cost Proposal in a clear and accurate manner. Omissions, errors, misrepresentations, or inadequate details in the Bidder’s cost proposal will be considered as valid ground for rejection of the Bidder’s proposal. Costs that are not clearly identified will be borne by the Bidder. The Bidder must complete the respective “Cost Information Submission Form” for Annexure C in this Tender Document, which outlines the minimum requirements for Page 6 of 36

providing cost information. The Bidder should supply supporting details as described in the Cost Information Submission Form. 4.12 If a bidder has quoted multiple options, then bidder should submit the earnest money equal to 2% of highest quoted option. Further the amount of any optional equipment shall be added to total bid value and so accordingly the earnest money.

SELECTION PROCEDURE HEC's intent in issuing this Tender Document is to award a contract to the lowest evaluated bid and best responsive Bidder who meets required standard of specifications and other factors. Technical evaluation of the firms shall be based on information provided in Technical Proposals. As a part of technical evaluation, bidders will be asked to conduct demonstration. For quoted equipment. Product(s) not fulfilling the requirements in the actual demonstration or bidders who do not conduct demonstration as part of technical evaluation will be technically disqualified even if their brochures claim to be adequate for the same. On the basis of technical evaluation, the financial proposal of only technically responsive bidder (qualified bidder) will be opened in the presence of their representatives that choose to attend. For this tender Weight age of Technical and Financial proposals shall be 70% and 30% respectively. For qualifying in Technical responsiveness, bidders shall fulfill ALL the requirements as laid out in Annexure H i.e. “Mandatory Requirements”. If any of the mandatory requirements is not met by the bidder, the bid will be rejected straightaway. Moreover, bidders will have to secure 60% score in each part of Technical Evaluation Criteria (available as Annexure L) totaling to 70% Weightage assigned to Technical Evaluation, i.e. 18 out of 30 in Part A and 24 out of 40 in Part B. Financial proposals of bids found technically non-responsive will be returned unopened. The bid found lowest evaluated bid or highest scorer will be accepted. After the approval of contract award, a contract agreement on the stamp paper worth Rs. 100/- shall be executed by the firm with selected bidder within 15 days from the date of issuance of Letter of Intent.

The Commission reserves the right to accept/reject wholly or partially any tender without assigning any reason at any stage of the tender process. The decisions of HEC will be binding on all concerned and will not be changeable in any case at any forum or any court of law. An effort by a Bidder to influence HEC, directly or indirectly THROUGH UNFAIR MEANS in HEC’s proposal evaluation, proposal comparison or contract award decision, to meet or discuss with any HEC official unless desired by the HEC may result in the rejection of Bidder’s Proposal and black listing for any future tender of HEC. All participating recipients of this Tender Document will be notified in writing through email/letter and web notification by the HEC, regarding any changes made to this Tender Document for the purpose of clarification. All responses to this Tender Document shall become the property of HEC. HEC will not bear any expense incurred in the preparation of proposals in response to this Tender Document. HEC will not allow any compensation to the Selected Bidder for any variations in the rate of exchange of rupee against dollar or any other currency. No additional claim arising out of change in legislation, exchange rate variation or any sort of taxes will be entertained. The Bidders must Bid for an integrated solution. Bids/Proposals will remain open for acceptance for 180 days from the opening date. Bidders must not type in or otherwise alter or re-key any of the original text of this Tender Document. If the HEC determines that the bidder has altered any language in the original Tender Document or amended/changed/deleted/substituted any terms and conditions of this Tender Document, the HEC in its sole discretion will disqualify the bidder from further consideration at any stage. The Tender Document issued by HEC is the official version and will supersede any conflicting Tender Document submitted by the bidder. Bids are liable to be rejected if they are not conforming the terms, conditions and specifications stipulated in this Tender document. During the examination, evaluation and comparison of the bids, the HEC at its sole discretion may ask the bidder for clarifications of their bids. The Bidder’s cooperation during the evaluation process in providing HEC staff with adequate responses to requests for clarification will be considered a factor in the evaluation of the Bidder’s overall responsiveness. Lack of such co-operation may, at the HEC’s discretion, result in the rejection of the Bidder’s Proposal. The request for clarification and the response shall be in writing/email. However, no change in the price or substance of the bid shall be sought, offered or permitted after bid submission. The amount submitted as Earnest Money shall be refunded to the unsuccessful bidders after the decision of “Tender Committee” for the award of said tender. If there is a discrepancy between unit price and total price in the submitted bid which is obtained by multiplying the unit price and quantity, the unit price shall prevail and total price shall be corrected. If there is a discrepancy between the words and figures, the amount in words shall prevail. If there is a mistake in addition/ totaling, that shall be corrected. Page 8 of 36

6.19. The bid security is required to compensate HEC against the consequences of: 6.19.1. Subsequent unauthorized variations and/or modifications of the terms of bid. 6.19.2. Premature withdrawal of the bid before the completion of the bid evaluation. 6.19.3. If the bidder does not accept the correction of his bid prices which is in the interest of Commission. 6.19.4. Failure of the bidder to sign the resultant Contract, in the event of such Contract being awarded to it. 6.19.5. Occurrence of any of such events as solely judged by HEC, will entitle HEC to forfeit the bid security. 6.20. Incomplete and conditional tenders will not be entertained. 6.21. Bidders indemnify HEC against all third party claims of infringement of patent trade mark, industrial design rights arising from use of the goods of any part thereof in Pakistan. 6.22. For this tender all updates/changes shall be communicated through email and also be posted on HEC website. 6.23. In case of any dispute between the two parties of any matter arising out of after signing the contract agreement, the case shall be referred to Executive Director, HEC whose decision shall be final and binding on both parties. 6.24. The Bidder indemnify HEC against all third-party claims of infringement of patent, trade mark industrial design rights arising from use of the goods or any part thereof in Pakistan. 6.25. HEC or its representative shall have the right to inspect and/or to test the equipment to confirm their conformity to the contract specifications. The Technical Specifications shall specify what inspections and tests HEC requires and where they are to be conducted. HEC shall notify the contractor, in writing, of the identity of any representatives entrusted for this purpose. 6.26. Only transactions, amendments, changes and/or variations in this Tender Document that are in writing from HEC and duly agreed upon by HEC shall be considered official. No negotiations, decisions, or actions executed by the Vendor as a result of any discussions with any HEC employee shall be considered official. 6.27. In case of delay the Executive Director HEC reserves the right to impose a penalty not exceeding 10% of the total amount of the Contract @ 1% for each week of delay. 6.28. If the work is not executed according to the satisfaction of the HEC, the Executive Director HEC reserves the right to reject it altogether or impose a penalty not exceeding 50% of the total amount of contract. 6.29. If the work is not to the satisfaction of the Executive Director HEC, the Executive Director HEC has the right to cancel the order, get work done by some other tenders at the risk & cost of the vendor, subject to the condition that if the HEC has to pay any amount in excess of the agreed amount, the difference will be recovered from the vendor. 6.30. The bidders are required to submit Integrity Pact on a stamp paper of Rs.100/attested by Notary Public as per sample attached to Annexure-L in case the Bid amount is equal to or exceeds 10 Million Rupees.

7.
HARDWARE AND SERVICE REQUIREMENTS Following are the minimum hardware and service requirements which the Selected Bidder/vendor will be required to fulfill. 7.1.
Delivery and Installation should be at the Sites/Locations as per Annexure- A at the risk and cost of successful bidder. 7.2. Vendor must install all equipment and components and must ensure that the proposed equipment is fully operational and function properly at all variables. 7.3. Vendor must furnish components, wires, connectors, materials and parts, equipment for the complete installation of the system, in accordance with recommendations of the equipments manufacturer. Installation shall follow standard broadcast wiring and installation practice, and shall meet or exceed industry standards for such work. 7.4. Vendor must observe proper circuit polarity. No cables shall be wired with polarity reversal between connectors with respect to either end. Special care shall be taken while wiring cables, to ensure that constant polarity is maintained. 7.5. Vendor must provide adequate protection to install equipment against electrical surges. 7.6. Vendor must ensure that all systems are in first class working condition and free of short circuits, ground loops, video noise and excessive system noise or any fault affecting its efficiency/quality/life. 7.7. At time of installation, Vendor must provide owner’s manuals, manufacturer’s data sheets, and a complete equipment list. 7.8. At the time of installation, Vendor must provide comprehensive system schematics, labeling and showing detailed connections to all equipment. 7.9. Vendor shall provide on-call support (6 days a week) including assistance with operation and maintenance of the system at respective location(s) all free of cost for a minimum period of one year from the date of the first successful start/functioning/operation of the equipment and subsequent issuance of site acceptance. 7.10. A site survey may be required at no cost to HEC to determine specific cable runs and cable management associated with the desired system. Any components needed during installation resulting from failure to perform a site survey must be provided at Vendor’s expense.
8.
WARRANTY Following Warranty clauses are applicable to the equipment under this tender, 8.1.
8.2.
Selected Bidder shall provide Free of Cost Warranty/Services for the equipment (items) and Software support and ensure that all equipment (items) and its parts supply to the sites as per Annexure ‘A’ are not reaching end of line in next ‘2’ years and free from any sort of defects for the warranty period. A Service Level Agreement (SLA) will be required to establish appropriate level of support for speed repair and replacement. Each and every call will be attended by competent staff of the Bidder within 3-4 hours of its notification either on phone or in writing during business hours (9am -5pm). rectification of fault will lead to consequential financial damages to the Vendor/Bidder. The Successful Bidder will warrant that the equipment supplied under the Work Order/Purchase Order are new, un-used (non-furbished) and incorporate all recent improvements in design and materials and which should be of good quality as per acceptable standards.
9.
PROJECT IMPLEMENTATION PLAN The Bidder should provide a detailed Project Implementation Plan in MS Project/ Primavera/Any other Planning software as part of the Technical Proposal. This will be the basis for ensuring that the Project Implementation is regulated under defined time lines. This will also form the basis for HEC to claim Liquidated Damages, for inclusion in the Contract, relating to delays, besides supplies and services not conforming to specifications, and/or other Contract commitments.
10.
MEET OR EXCEED SPECIFICATIONS For all categories the specifications provided in this Tender Document are the minimum requirements of HEC. Bidders must meet or exceed these specifications to meet the actual requirements of this Project and its successful practical implementation. But in such cases, additionally proposed or altered specifications should clearly be highlighted to enable HEC to clearly identify modified specifications.
11.
TERMS OF PAYMENT 11.1. No payment shall be made in advance to the Contractor as mobilization advance. 11.2. Fifty percent (50%) cost of equipment shall be paid and will be released after successful delivery of ALL equipment. 11.3. Thirty percent (30%) cost of equipment shall be payable to the Contractor upon successful installation, integration, testing with HEC sites & commissioning of equipment as elaborated in the Scope of Work specifically and in Tender document generally. 11.4. Twenty percent (20%) cost of equipment shall be payable to the Contractor upon Performance Assessment Test (PAT) and Final Acceptance Test (FAT) of project deployment which will be conducted no less than two (02) months subsequent to the commissioning of all the equipment. 11.5. Ten Percent (10%) of the payable amount against each invoice/payment will be retained as security/retention money and will be released after completion of first year standard warranty period. 11.6. All payments shall be made through cross cheque in the Pak Rupees. Taxes will be deducted at source as per government rules at the time of payment. 11.7. If the progress of the work is not to the satisfaction of the Executive Director, HEC. Executive Director HEC has the right to cancel the order, get the work done from third party selected in accordance with the PPRA rules subject to the condition that if the first party has to pay any amount in excess of the agreed amount, the difference will be recovered from the second party.

12.
CLARIFICATION AND AMENDMENT IN TENDER DOCUMENT A bidder requiring any clarification of the Tender Document may so notify to contacts given bellow in writing or via email. HEC may respond in writing through email, letter or web notification to any request for clarification of the Tender Document, which are received at least seven (07) days prior to the date of Bid submission. Written copies of any response (including details of the original query but without identifying the source of inquiry) will be sent to all Bidders who have received the Tender Document, by e-mail, or Fax. Sealed bids along with bid security amounting to 1% of the total bid price in the shape of Pay Order/ Demand Draft/ Bank Guarantee in favor of â&#x20AC;&#x153;Karachi Tools Dies & Moulds Centreâ&#x20AC;?, valid for a minimum period of 45 days should be submitted before or on 10th December 2012 (10:00 a.m.) Tenders will be opened on the same day at 10:30 a.m. before the Tenderers who intend to be present. A bidder may apply for any Single or all items on DDP basis.

Tenders which do not comply with our conditions or submitted after date and time prescribed shall be rejected and returned. No Tender will be issued on the date of opening. KTDMC reserves the right to accept / reject any or all bids as per PPRA rules 2004 and has the right to vary the required quantity as per requirements if necessary.
