BY-LAWS OF
MINNESOTA BAPTIST ASSOCIATION MINNESOTA ASSOCIATION OF BAPTIST CHURCHES I FISCAL YEAR The fiscal year of the Association shall begin May first and close April thirtieth of each year.
II DUTIES OF OFFICERS The President, and in his absence, the Vice-President, shall preside at all meetings of the Association and of the Board of Trustees, and perform such duties as usually pertain to the office of president. The Recording Secretary shall keep a record of the proceedings of the Association and of the Board of Trustees. He shall keep a complete file of Association annuals. These files and records shall be kept at the home office, unless otherwise directed by the State Missionary. The Treasurer shall receive all funds of the Association. He shall disburse and administer all current funds upon the order of the State Missionary, or, in his absence, the President, as duly authorized by the Board of Trustees. Investment of funds shall be made by him upon the order of the Finance Committee, as authorized by the Board of Trustees and an annual report, duly audited, to the Messengers. The State Missionary, under the direction of the Board of Trustees, shall be the executive officer of the Association and shall: Devote himself to all ministries of the Association in both the administration and the accomplishment of the stated purposes of the Association. Be responsible for the disposition of all the legal and documentary requirements of the Association. Arrange the agenda for the Board of Trustee meetings for their adoption. All satisfactions of mortgages held by the Association shall be executed by the President, or the Vice-President, and the Treasurer. All other instruments in writing, necessary or proper to be made in behalf of the Association in the usual course of business shall be executed by the President or the Vice-President and the Recording Secretary. III THE BOARD OF TRUSTEES
The Board of Trustees, eleven (11) of whom shall be a quorum, shall hold all the property of the Association, transact all business entrusted to it by the Association, and such other business as may be necessary from time to time, and shall make a written report at each Annual Meeting. In accordance with the Object and Purpose of the Association, the Board shall promote and oversee any and all state mission enterprises fiscally supported by the Association. The Board shall be authorized to employ a State Missionary. The Board shall have the authority to appoint such assistants to the officers of the Association as in its judgment may be at any time necessary, or desirable.
