FIVE GENERATIONS IN, BLUMKIN FAMILY SETS SIGHTS ON EXPANSION

In Omaha, nothing is more synonymous with family-owned businesses than NFM. The fact that the company is not only expanding on a monumental level but also ushering in a fifth generation, stands testament to the furniture empire finding the right balance, 86 years strong.

Building the Legacy

Founded in 1937 by Rose Blumkin “Mrs. B” as Nebraska Furniture Mart, the furniture store has been a staple in the Omaha community ever since, with each following generation of the Blumkin family having a hand in the business. Now a fifth-generation family member is taking an interest in the business, 17-year-old AJ Shefsky.

“It feels special to be a part of something bigger than myself,” Shefsky said. “I’m thankful to have so many great role models to learn from.”

Grandson of Chairman Irv Blumkin, Shefsky was recently hired in sales.

Irv Blumkin is joined by his brother Ron Blumkin, who serves as vice chairman.

The hierarchy had generally remained the same since 1983, when the brothers took over the president and CEO roles. But in 2017, the grandchildren of Mrs. B, Ron and Irv took a unique approach and stepped down from their hands-on roles, appointing a non-family member as president, Tony Boldt.

The Blumkin brothers not only saw a need for someone to oversee the day-to-day operations, but to also create a structure that would foster a positive environment for the family members involved.

“Mrs. B always said every family needs a mother and every business needs a boss,” Ron Blumkin said.

The meaning behind that, he said, was that making decisions by consensus often creates hostility among family members.

“In many cases, for whatever reason, family members don’t get along, and they can’t always come up with a consensus and that creates hostility and bickering and fighting and that’s when the business doesn’t become the priority,” he said of case studies he’s read on family-owned businesses. “We learned that lesson and we have always decided that there has to be a final ultimate decision maker.”

Other family members in the business include Ron’s son Matt, Irv’s son Ryan and son-in-law Andy Shefsky, who is AJ’s father.

Redefining on a Bigger Scale

NFM has a long history of improving upon its business model, which it continues to do today. In 1995 the company opened a store in Des Moines, Iowa. Starting from scratch, this was the first foray outside of Omaha.

“We felt pretty confident after that, that we could do it on a bigger scale,” Ron Blumkin said.

The company then opened a store in Kansas City in 2003. Creating the ideal facility with a strong management team was an exciting project for the Blumkins.

“That store, I would just tell you, everything that could go wrong probably did go wrong,” Ron Blumkin said. “For two and a half years, it was fantastic learning lessons — As the best way to describe a rough situation. The store matured and grew and at that time, it was America’s single largest home furnishing store.”

NFM went on to build a larger store in the Dallas/Fort Worth area in 2015. But the company is not done there just yet. Upon purchasing 423 acres, 100 of those dedicated to the store, the Berkshire Hathaway-owned company went into the development business with a mixed-use development called Grandscape. With Ryan Blumkin leading the charge, the area includes Scheels as an additional anchor tenant with retail, restaurants, entertainment venues and hotels on the development.

“We now have another playbook that we’re going to try when we open up our next big store, which will be in Austin in 2026,” he said of the 1.2 millionsquare-foot facility expected to break ground in 2024.

Family Business Playbook

Along with NFM’s development playbook, the family also follows one to maintain its longevity.

“The biggest challenge always will be just finding the right people and putting them in the right position,” Ron Blumkin said.

Irv Blumkin noted the importance of the family members joining the business that actually want to be there and aren’t forced into it. He also recommends family members get outside experience to gain a different perspective.

“No matter how much people tell you that they’ll tell you like it is, in the end, you’re the boss, many times they’ll tell you what they think you want to hear,” he said. “When they don’t know you from Adam, and you’re in a different community and Nebraska Furniture doesn’t mean a thing to anybody, it’s a whole different experience. And both of us were blessed to have that experience.”

In the end, the brothers said there are many positives to running a business with family.

“It’s fun having family in the business and it’s great having youth and innovation and yet still have experience, and combining both,” Irv Blumkin said. “We’ve been blessed and grateful and lucky to survive. Now our fifth generation is involved in the business and it’s just a treat.”

TIMELINE OF NFM

1937 – Rose Blumkin establishes Nebraska Furniture Mart in the basement of her husband Isadore’s shop.

1950 – NFM begins offering electronics and appliances at its flagship store at 2205 Farnam St.

1970 – A second location is added on 72nd Street.

1975 – After the May F4 tornado left a path of destruction on 72nd Street including the NFM’s 72nd Street location, the store was rebuilt.

1980 – The downtown location closes and the 72nd Street location becomes the main focus.

1983 – NFM is purchased by Berkshire Hathaway. Ron and Irv Blumkin take over.

1994 – Mega-Mart, focused on electronics and appliances is added to the NFM campus.

1995 – A store is opened Des Moines, Iowa.

1997 – Mrs. B retires at the age of 103.

1998 – Rose Blumkin passes away at the age of 104.

2003 – The Kansas City store opens.

2015 – The Dallas-Fort Worth store opens.

2019 – Nebraska Furniture Mart rebrands to NFM.

2026 – NFM’s fifth store is anticipated to open in Austin, Texas.

In the latest study of its kind released in May, PwC’s Global Family Business Survey reported that while 72% of the more than 2,000 owners from across the world want their businesses to remain “in the family,” only 34% had what was characterized as a “robust, documented and communicated” plan in place for such successions and transitions.

Many Midlands family-owned and family-operated businesses appear to be bucking those trends, strategically and actively embarking on those processes to pass the torch seamlessly from one generation to the next.

Husband-wife founders, Abby and Ryan McLeay, have brought their 17-year-old daughter into the Zen Coffee Company fold.

“I typically oversee our managers, baristas and frequently work and serve customers in the stores,” Abby McLeay said. “Ryan runs our warehouse, store orders and is at all three stores throughout the week.”

The duo also works offsite events, their daughter works in multiple store locations as a barista, and even the younger kids are usually present at the stores.

“All [aspire] to work here in some element,” McLeay stated. “We hope to see that in the future, but no pressure if they choose not to.”

She isolated their “balancing strengths” as a driver of their success.

“Our connection with our team really is like a family and all of our baristas really mean so much to us on a personal level and vice versa,” she added. “We really strive to give our children such a great example of work ethic and they get to partake in much of the process with us, which is really neat to see evolve as they grow.”

McLeay said one of the joys of running a family business is the “full control” they have over everything from schedules to decision-making to

contributing to the community.

Conversely, she admitted it can be tough to separate work from home, especially when one or the other is “in overload.”

“Having a large family, we have many activities that are ongoing,” she explained. “Having three locations, there is always something happening in the stores. So, it’s hard to get breaks. The risk of loss is something we always have to consider.

“There will always be a positive and negative to us running our own small business. Our emotional and sentimental attachment to the business and our teams sometimes makes it hard to make decisions that are necessary.”

For Brenda Veasman, owner of Flowerama on Pacific, including family members with the time, skills and willingness to help makes a big difference when overcoming the hurdles of opening a business.

it gave my brother who specializes in HVAC to help me select and install coolers, and assist when I had mechanical issues,” Veasman said. “The help my mother provided, not just financial when needed, but also the gift of time, which was so much fun as she worked for me doing small things that made a big difference.”

For instance, Veasman recalled how they made hundreds of bows and prepped flowers for corsages during prom season.

“It also kept us close as adults,” she added. “Getting to know and love her even deeper was a great gift.”

Over the years, Veasman said her sons have also been a great help.

“This has been a good opportunity to get to know them better and to help shape their view of what it takes to lead and get the job done,” she said.

Veasman, too, isolated the challenges of drawing a line between family and work obligations.

“Because, for my business, the work they do is generally volunteer, family members can sometimes think they do not need to conform to the same business rules as regular employees,” she said. “It can also be difficult for me, receiving unsolicited advice and, if not followed, the feelings that sometimes follow.”

Generally, though, Veasman said family businesses have dynamics

that simply cannot be duplicated with non-family employees.

“If something goes wrong, everyone jumps in and family is the strongest common denominator because you are operating from a base of love rather than obligation,” she explained. “At its best, you are closer and, as an owner, you can see who shares your passion and is most suited to continue your legacy if that is your goal.”

Curbing challenges

Dingman’s Collision Center has been a family-owned and -operated business serving the community since 1996. Its family leadership in the industry can be traced back to first-generation, Francis Dingman, the father of founder, Boyd. The second generation includes Boyd’s wife, Diana. Their children, Andy, Darcie and Travis Dingman, round out the third generation continuing a legacy in auto repair that dates back to the 1930s.

“The spirit of our business has been very consistent since the beginning – having solid values, integrity and the love and enjoyment of having the privilege to serve others in our community,” said Travis Dingman. “The cherry on top is having a full team that embraces and embodies the same values that we started from.”

When further asked about its ability to survive as a shop for 27 years, Dingman said they simply remember “where we came from and how we got there.”

Furthermore, he said they have made a point of staying on top of the “next thing” in the industry – a key attribute being leveraged to serve customers and the community for years to come.

Green Beans Coffee Omaha is rooted in the efforts of late retired United States Air Force Senior Master Sergeant, John C. Sievers, and his wife, Angela. A 26-year veteran, Sievers became acquainted with the company while deployed in Afghanistan and Iraq.

“Although there are several locations worldwide, they are on military bases or international airports,” said Amber Ford, operations manager. “John opened the first independent, veteran, familyowned locations in Nebraska so he could continue to give back to the military in his community. He truly created something so much more than a coffee shop. We are still the only locations like this in the United States.”

Over its pioneering, nine-year history, Ford said they have created a community and family.

“Most coffee shops today are in and out drive-thrus, you don’t necessarily feel like you are a part of something going to bigger chains,” she noted. “John never wanted this to be about making money, it was about the experience and giving back. That is the easy part for family-owned businesses, but it absolutely comes with its difficulties.”

Similarly, Ford said marketing can be challenging for small, family businesses.

“You aren’t working with a PR or marketing group, because you don’t have the financial means to always do so,” she said. “You have to be creative, working with local schools, military organizations and using social media on a regular basis.”

Notably, she said the company strives to treat each customer as if “they have been with us since day one.”

“We have had to overcome so much after the loss of John in 2022, and we try to keep his legacy and dream going by doing what he taught us,” Ford noted. “Focus on what’s important and everything else will fall into place.”

If ever there was a business that is bucking dire business survivorship and succession trends, it would be All Makes, the furniture and machine solutions firm started by Russian immigrant, Harry Ferer, in 1918.

“All Makes is fortunate to represent four generations of the same family over the last 105 years,” said EVP and Chief Financial Officer Amee Zetzman. “By the time the great-grandchildren take over, 97% of family-owned businesses are gone.”

Zetzman is referring to findings from a National Bureau of Economic Research study, which was widely publicized in outlets ranging from Businessweek.com to Harvard Business Review. So, just how have they been able to be among the select 3%?

“We strive to create a culture where we embrace our team as a trusted part of our family,” she explained. “In doing so, this can generate challenges as well. We celebrate our wins and struggle over the losses, but we try to always be there for everyone.”

Accordingly, Zetzman emphasized nurturing relationships – starting with the internal team, as well as clients and vendors.

“We rely heavily upon these relationships to continuously fuel the successes we’ve had for more than a century,” she said.

Zetzman said she is thrilled they have still managed to remain family and friends through all of the challenges, and she is also proud of the entrepreneurial spirit that “runs deep within our family.”

That “spirit” prioritizes not only serving one’s own team, clients and vendors, but also being strong stewards in their communities, she said.

“We continue to grow as a team and our business portfolio expands beyond furniture and into technology,” Zetzman concluded when rounding out sources of pride for the venerable family establishment.

Guidance from those in the know

Zen’s McLeay encourages business owners to trust, be aware and make decisions based on knowing that everything being done today is for the future.

“Know when to put work down,” she added. “These days of young children won’t last forever – and neither will you. So, take the trip, make the memories and have trust in your teams who want to be there so you can take a day off. And do the same for them.”

Flowerama’s Veasman emphasized that guidance really depends on the level of family members’ involvement.

“If you are bringing family into the business to ensure business continuity after you retire or pass away, be sure to communicate fully and clearly what you are doing in that regard and why, not only to the people who will be next in line but also to those who won’t,” she said. “That will help avoid hurt feelings after the fact.”

If they are in business while working with you, Veasman continued, it is recommended to have significant upfront communication regarding clarity of roles and decision-making.

“Make sure income is spelled out and, above all, make sure to agree that no matter what happens with the business, your love for your family does not change,” she summed up.

Travis Dingman indicated that business owners should always be aware of the advantages and challenges unique to family businesses.

“Communication is important,” he said. “Enjoying family time together outside of the business environment is important, even if there is a lot of business time together.”

For those just launching a new family operation, Ford of Green Beans urged taking a deep breath.

“It’s not that serious,” she said. “Remember that you and your

family come first above all, this is a rollercoaster of a journey with many highs, many lows and everything in between. Focus on what’s important.

“Life is short, as we were unfortunate to find out with the loss of John. No amount of money or success can bring him back. Enjoy what you are doing. So, it never becomes a job but a passion. John taught us all that.”

Zetzman of All Makes, too, emphasized communication; specifically, how it’s important for everyone to understand there are separate roles within the organization.

“Clearly defining what those roles include and consist of is paramount,” she explained. “Assign responsibilities based on individual personalities and the ability to accomplish what’s required. Then, do all you can to try to flourish and succeed in those roles. Don’t be afraid to reassess and adjust when changes may be needed.”

The mergers and acquisitions market is continually evolving. The business markets – on a regional, national and global scale – are increasingly connected through M&A deals.

The pandemic, the war in Ukraine, and talk of an impending recession changed many facets of business operations in the last year. While the economy is still a rollercoaster ride, local experts anticipate M&A activity to be strong.

Pandemic Impacts

Coming out of the pandemic, many business owners had new perspectives, which continue to influence M&A activity in 2023.

“A lot has changed since the pandemic, including significant

interest rate increases that haven’t been seen in decades,” said Jeff Herdzina, president of ExitBig. “This has put significant pressure on banks and the ability of some buyers to secure the necessary lending power to purchase a new business.

With the assistance of government programs such as the Paycheck Protection Program and the Employee Retention Credit, Herdzina said some owners have chosen to sell after strengthening their balance sheets.

Brad Lehl, Omaha-based managing director for Peakstone, a middle-market investment bank with headquarters in Chicago, noted that companies that came out of the pandemic demonstrating a resilient business model became more coveted.

“In some cases, we saw targets trade for higher multiples if they

came through COVID in good shape,” he said. “Rather than simply talk about being recession-resistant, companies could point to actual performance during a generational downturn. Many of these companies traded for strong multiples, as there was scarcity value and tangible evidence of a strong underlying business.”

Nicole Konen, M&A shareholder for Koley Jessen, said that companies are now more inclined to consider strategic M&A as a means of diversifying risk and strengthening their competitive positions.

“Deals were happening at extremely high multiples, with extremely speedy closings, and with seller-friendly terms,” she said. “Coming out of the pandemic, considering higher interest rates and more economic uncertainty, earnings before interest, taxes, depreciation, and amortization (EBITDA) multiples have decreased across industries (to levels that were more commonly seen pre-pandemic). In addition, transaction times are stretching longer as buyers are able to conduct

more thorough due diligence and be more selective about their investments.”

Both 2021 and 2022 were record years for Carson Group’s wealth management M&A sector. Michael Belluomini, who serves as the company’s vice president of mergers and acquisitions, said that he believes the influx was due to pent-up demand from the pandemic. So far this year, Carson Group has completed four full acquisitions and expects to receive signed agreements for several other opportunities by the end of the year.

“We maintain a strong pipeline of local opportunities in the state,” he said. “Financial services and wealth management remain a vibrant part of the local community. With our respected peers of Orion, Charles Schwab and FNBO here in town, Omaha is a uniquely attractive market for talent. While 2023 will not be a record-setting year, it does forecast to be our third strongest year ever.”

Prominent 2023 Trends

Konen noted that the availability and terms for representations and warranties insurance have become more favorable, but there are fewer deals to obtain it.

“Policies are becoming more customizable for the specific transaction at hand, and coverage is becoming more comprehensive,” she said. “There has also been an increase in issue-specific coverage, particularly for specific matters like taxes, environmental matters and intellectual property.”

She also noted that clients are seeing a higher prevalence of postclosing disputes this year, whether it’s a post-closing purchase price adjustment, disagreement over an earnout, or an indemnity claim.

Rising interest rates and macroeconomic uncertainty are also having an impact on how buyers are entering – or not entering – into transactions.

“Transactions have become more difficult to execute in the past

year,” said Gary Grote, managing director at Bridgepoint Investment Banking. “It is more of a buyer’s market, as transaction multiples have declined (still remaining above historical average) and all-cash deals have become tougher to come by. Deal terms like earnouts and seller carryback notes are reemerging in the market. Due diligence is rigorous and protracted.”

Despite that, Grote remains hopeful that Nebraska’s M&A deals will remain strong. Earlier this year, Bridgepoint worked on a significant M&A deal with an Omaha-based business nurse staffing firm.

“The metro area has proportionately more nurse staffing firms than any city in the country, a result of industry pioneer Larry Courtnage (C&A Industries founder) building a significant staffing firm here that spawned numerous startups through the years,” he said. “We anticipate further staffing industry consolidation, so the metro area should remain in the M&A spotlight.”

Herdzina reiterated how interest rates have been one of the biggest current challenges, as it’s driving down deal value. However, that’s not completely preventing deals from closing.

“This doesn’t sit well with many sellers who have worked much of their life growing their business and have a target age to sell,” he said. “As a result, we are seeing more deal value being placed in seller notes with lower interest rates to narrow the gap between the parties. This helps the buyer have more affordable debt service and the seller can reduce some tax liability by deferring purchase price until they receive payments on the seller’s note. This helps the bank as well have less risk on their note.”

For Peakstone, add-ons are making up a large portion of the company’s recent deals.

“Strategic buyers are still looking for add-on acquisitions, especially those backed by private equity firms,” Lehl said. “Firms that have funding in place are well-positioned to win deals that don’t depend on new loans.”

Forecasting for the Remainder of 2023

Experts noted that M&A movement has been slower this year compared to the onslaught of deals that happened amid the pandemic, but there is promise.

“We anticipate that M&A activity will continue to be strong, particularly with add-on transactions that can be funded without new debt,” Konen said. “We also expect that buyers will be more willing to obtain new debt toward the end of 2023, as they have had time to adjust to the new market conditions and want to complete deals prior to year-end.

“While many of the national trends you read about are focused more on large M&A transactions in the public space, Omaha is known for its vibrant mid-market businesses involving small to mid-sized companies. Private mid-market transactions have the benefit of being streamlined and efficient, with more flexibility to find a workable path forward when issues arise.”

The Right Conditions

Herdzina noted that signs are pointing to a continued positive upward growth trajectory in M&A activity, but a few important factors are at play.

“We do expect activity to continue to increase due to the combination of aging owners, uncertain economic conditions and an increased desire to work for yourself,” he said. “We also see strategic acquisitions increasing as a way to grow and capture additional market share and talented employees which are challenging to find and hire today. As more awareness continues to get to the owners about exiting their business, we feel this will help them have their businesses more sellable.”

Grote agreed that the remainder of 2023 looks bright, but said beyond that, it is looking promising.

“We believe M&A activity will increase slightly in the last quarter of 2023, but is poised to accelerate dramatically in 2024,” he said. “Sellers have had time to digest lower business valuations, while buyers have adjusted their pricing models to reflect lower leverage and higher interest rates. Activity has remained brisk in smaller tuck-in deals.”

Belluomini is also anticipating what the future holds for the world of mergers and acquisitions.

“We are at the start of the largest wealth transfer in American history as baby boomers move wealth to Gen X/Y,” he explained. “Likewise, many financial advisers are within five years of the age of their clients; therefore, we expect a bull market for wealth management M&A to continue for the next 10 to 15 years.”

Nebraska is attractive to buyers as many businesses here have a proven track record with an established customer base.

“There are many companies with simple but strong business models around Omaha and in Nebraska,” Lehl said. “A few deals we are involved with here are in recession-proof, stable industries that draw strong interest. Institutional investors have to deploy capital, so they are always looking for a solid deal. Being out here in Nebraska can be a good hunting ground for buyers, as this part of the country sometimes gets overlooked.”

NEBRASKA’S EXPORTS GROWING, BUT LABOR FALLS SHORT

Nebraska’s export portfolio has grown but as experts point out, the persistent labor crunch continues to impede firms from maximizing their potential overseas.

“Manufacturing is Nebraska’s largest industry sector and there’s nowhere to go but up. The only ingredient we’re missing is workers,” said Mike Johnson, chief operating officer and executive vice president of the Nebraska Chamber of Commerce and Industry. “If we could just get a hundred thousand people to move to Nebraska, it would save our towns and our cities across our state. It would breathe new life into our communities. From a manufacturing perspective, it would just explode.”

According to the National Association of Manufacturers, total output from manufacturing was $16.9 billion in 2021, accounting for 11.8% of the total output in the state and employing 9.9% of the workforce. Of this, food processing represents the largest manufactured export; over $3 billion worth, Johnson said.

“The common Nebraskan would not be too shocked to learn food processing is the lion’s share of our exports to our trade

partners,” Johnson said. “Everything from intermediate products like packaged meats and soybean oil or corn oil, to finished products like bacon, sausage or steak.”

The Nebraska Department of Economic Development listed the state’s five leading exports in 2021 as soybeans ($4.27 billion); corn ($2.4 billion); beef and beef products ($1.8 billion); nuclear reactors, boilers and machinery ($1 billion) and optic medic and surgical instruments ($454 million). The top five trading partners that year were China ($3.3 billion); Canada ($1.9 billion); Mexico ($1.6 billion); Japan ($1.4 billion) and South Korea ($862 million).

In 2018, the state set a record for exports, per the Office of the United States Trade Representative, at $8 billion of made-inAmerica goods to the world. In 2022, Johnson said, the total was $8.9 billion of international exports to the world in manufactured goods. The number of Nebraskans employed in manufacturing also grew, from about 63,000 in 2016 to 100,000 in 2021.

“I think ag technology has done wonderful things to increase the bushels per acre and it couldn’t come at a better time,” he said. “The world at large is finding itself in a need to feed the growing global population. I think the need for Nebraska food products is exacerbated because of the awful war in Ukraine.

“I’m 100% speculating here, but I think increased demand from global partners is going to continue for years due to the growing population and because of constrained supply due to the war. If I were in food production here in Nebraska I would feel pretty good. The U.S., and particularly Nebraska, are going to see more opportunities for exports to feed the world.”

“It’s noteworthy that we have more people working in the industry now than we did before COVID,” he said. “But Nebraska manufacturers also have long backlogs of orders and the number one constraint to getting those orders filled is lack of available workforce. I can comfortably estimate we’ve got more than 10% growth in [manufacturing] jobs; call that over 10,000 jobs available to fill.

Increases in economic development funding in North and South Omaha were secured in LB 531, and the passing of LB 727 provides extensions for various projects happening around the metro. But the work doesn’t stop at the last gavel. In the interim, LR 197 will study benefits of mega-sites for advanced manufacturing, aerospace, automotive, energy and other transformational industries.

All of the work being done in the legislature leads to greater economic development for the region.
