Johnny’s Cafe FAMILY-OWNED RESTAURANT A HISTORICAL LANDMARK
Billing itself “Omaha’s original steakhouse,” Johnny’s Cafe is among few legacy restaurants remaining in the metro. A recent $50,000 national grant it received only reaffirms the intention of the Kawa family that owns and operates Johnny’s to keep right on serving customers.
Co-owners and sisters Kari Kawa Harding and Sally Kawa said that after making it through the pandemic when many restaurants didn’t, Johnny’s is doubling down on what makes it special — its history.
“The fact we’ve been in South Omaha for 102 years says something. We’re not going anywhere,” Sally Kawa said.
That’s welcome news to fans of the 102-year-old destination spot given that all but two other historic urban core steakhouses in town, Cascio’s and Gorat’s, have gone under.
Johnny’s, meanwhile, is on its third generation of Kawa family members owning and operating it at 4702 S. 27th St.
In a July press release the family behind the South Omaha landmark
announced its selection by the Backing Historic Small Restaurants Grant Program sponsored by the National Trust for Historic Preservation and American Express. Johnny’s is one of 50 historic restaurants around the nation that the program funded this year.
“We’re very happy to get it,” Sally Kawa said.
The grant is supporting new landscaping, lighting and signage. Vintage photos of the stockyards and packing plants that helped Johnny’s prosper will adorn the exterior.
Work began in late September and should conclude this fall. The sisters want patrons to know the facelift is only focused on the sleek, mid-century modern exterior, not the western-themed interior. Featuring a baronial, ranch-house look, complete with massive T-Bone arches, saddle stools, a mural of grazing cows, cattle brands adorned cabinets, stockyards photos and cowboy paintings, the decor captures the brawny surroundings that made Johnny’s a go-to place.

Preservation advisor, recommended that the sisters apply for the grant because of Johnny’s history-laden past. That ode to long ago remains untouched in the distinctive decor.
“It is classic Western kitsch from another era maintained in grand style with no attempts to modernize it, thus retaining its historic authenticity, character and charm,” Haecker said.
The masculine, dark-hued interior “is kind of what makes Johnny’s, Johnny’s,” said Sally Kawa, who acknowledges it’s a homage to the past.
Historian Gary Kastrick, who grew up with the café as an ever-present fixture, said, “Johnny’s is to me a shrine to South Omaha that represents its working-class spirit and character. It’s survived a lot of change that other businesses did not and like everything that lasts has established itself as a traditional part of South Omaha’s fabric.”
In its heyday, Kastrick said, Johnny’s was where bankers and brokers in three-piece suits rubbed shoulders with ranchers and truckers in dirty overalls and dung-covered boots. It still attracts a diverse crowd.
As for the cuisine, it’s still American comfort food done simple, not fancy.
“I think the nostalgia plays in quite a bit, especially at lunch, where we do old-school specials: oxtails, roast turkey and sage dressing, liver and onions, breaded chicken livers, meatloaf. Short ribs, prime rib and steaks (cut in-house) are menu staples every day,” Harding said. “A lot of people want that home-cooked meal like their mom or grandmother used to make.”
Storied past
Founded in 1922 by Polish immigrant Frank Kawa as a saloon and sandwich counter serving a roughhewn, blue-collar community of Eastern European laborers, Johnny’s grew by the 1950s into a sit-down restaurant. Thanks to the brisk business it did and to profits from Kawa’s Prohibition-era bootlegging, Johnny’s flourished even during economic downturns. Sons Tom and Jack grew up in the business. After Frank’s death in 1961, the brothers took over, expanding and modernizing the company.
“I think a lot of credit should be given to our father and uncle Tom because when they redid this in the ‘70s they put a lot of thought into it,” Sally Kawa said.
Kastrick said Johnny’s symbolized success to aspirational families like his.
“We looked up to Johnny’s. It was our South Omaha steakhouse,” he said. “It represented a bit of luxury amidst an unrefined industrial area. It was a little pricey for us so we only went occasionally but whenever we did it would be a treat.”
Continued draw
Memories created there draw people back, even descendants of ranchers who came to sell livestock.
“If they got a good price for their cattle or hogs they’d get to come here and have a hamburger and a sundae,” said Harding, who hears stories from customers reliving those old times.
Private parties account for a chunk of its business. Johnny’s is where the retirement dinner for Jack Nicholson’s character in “About Schmidt,” the 2002 film by Omaha’s own Alexander Payne, was staged.
Many anchors in Omaha are defunct, but Johnny’s still stands.
“It’s remarkable to me that it still exists,” said Kastrick, adding that its survival is a testament to the family that’s held it together.
“We want to do this tradition for our grandfather we never met but for our father also, and for the name. It’s good to be part of that,” Harding said.
Homecoming
At their father Jack’s urging, the sisters studied and worked in hospitality outside Nebraska with no intention of returning. When he asked them to help run the restaurant, they came back and eventually bought him out of the business.

“They’re doing a good job,” Jack Kawa said. “They’re still here — that’s 90% of the battle. That means [we] made a lot of good decisions along the way keeping up with trends because you can see on the sidelines the ones that haven’t.”
The Kawa sisters figure they’ve inherited a desire to please customers.
“It’s in our blood,” Sally Kawa said. “On the good days, it’s like having a great party in your living room with people you like, and they’re all having a great time, and you get to talk to everyone a little bit. That’s when it’s really fun — when people are happy. And then there’s the reality of the other days when things aren’t going as smoothly and you’re spending your time doing paperwork. But the good outweighs the bad. There’s never a dull moment.”
Hospitality, Jack Kawa said, “is a very difficult business — you’ve got to be flexible, sincere and do a damn good job of preparing food and keeping everybody happy on both sides of the dollar.”
Lessons from him guide the sisters.
“You’ve got to buy a good product, put out a good product, stand behind your product, and you don’t take that for granted,” Sally Kawa said. “In the Midwest you get the best of the best when it comes to beef, but there’s a whole lot of other factors that go into it.”
“You’ve got to have great staff and we are blessed with a great staff. Our father taught us the importance of treating staff with fairness and kindness because they are crucial to the success of your business. Also, it is important to be present at the restaurant and give it 100%. We’re here every shift. We work the restaurant, we greet the people, we try to know you by name, and I think that makes a difference, too.”
The fast-paced, ever-changing work appeals to the sisters.
“You never know what’s going to happen. You don’t know who’s going to be a guest in the restaurant. You don’t know what’s around the corner and we love that aspect of it,” Sally Kawa said.
Since the pandemic, finding “adequate, skilled staff for both the back and front of the house,” she said, “has been very challenging, along with keeping up with the increased minimum wage requirement.”
Together with payroll pressures, inflation has driven up food costs, thus forcing menu price increases. It means operating at a thin margin.
If there was a blessing in disguise,
Sally Kawa said, it was that COVID-19 forced innovation.
“You just had to step up and really think outside the box and maybe in a way it was good for us,” she said.
“We had to get lean and mean and now we do all the accounting ourselves in-house,” Harding added.
It’s not the first and won’t be the last time Johnny’s adapts. After the Big Four packers closed and stockyards moved, Johnny’s was deemed old-fashioned, passe and on its last legs. Now it’s a retro, cool, revitalized must-see, the sisters said. Nostalgia brings in older patrons. Curiosity leads young people there.
Even though a building its age requires updates and repairs, Harding said, “The bones are the same — and that’s saying something.”
Business is not back to pre-pandemic levels and may never be due to new consumer dining habits, including ever more takeout and delivery options.
Knowing what the public wants is always a moving target; that’s just
part of the nature of this business, Sally Kawa said.
“People that do come out want to enjoy the experience more — they want to have the cocktail, appetizer and dessert in addition to their entrée,” she added.
No fourth-generation Kawa is involved in the business.
“We’re not anywhere close to turning the reins over yet so we’re not really looking at that, and they haven’t expressed any interest,” Sally Kawa said of the next generation. “We’ll cross that bridge when we get closer to it. You never know. After all, we weren’t interested in it when we were younger.”
The sisters have been with the restaurant for 30 years.
“We’re still here, we’re still going strong,” Sally Kawa said.
What explains Johnny’s making it this long when few others have?
“If there’s a secret sauce,” she said, “it’s that we take the traditions seriously and we honor the history. It’s a lot of hard work — and a little bit of luck.”

David Nabity, the president of Nabity Business Advisors, often works with self-made and successful family business clients. However, for these businesses to thrive across generations, it’s essential to have solid succession and long-term planning in place.

gross domestic product and employ 83.3 million people, according to the Deloitte 2024 Family Enterprise Survey. In the Midwest, these businesses cross diverse industries from agriculture to retail, providing economic stability.
The survey revealed gaps in perceptions between current and next generations.While the current generation largely does not expect to sell, a larger percentage of the next generation is considering selling their family business. However, interest in succession planning had a high perception of risk for both generations at 63%, indicating it has been a low priority for family-owned businesses.
Secrets to longevity
“My goal is to do everything I can to help my team members live the life they want to live by paying them well and allowing flexibility for family,” said Pat Lawlor, owner of the 128-year old Lawlor’s Custom Sportwear. “If someone is a good parent, they are certainly someone you want to work in your company.”
According to its website, Lawlor’s Custom Sportswear, a family business since 1896, started as a bicycle shop in Lincoln, Nebraska, founded by Irish immigrant Nicholas Lawlor. Generations later, in 1995, his great-grandson, Pat Lawlor, expanded the screen-printing division, becoming a leader in providing apparel for major teams.
Todd Simon, chairman and chief steak evangelist for Omaha Steaks, said he’s witnessed the same kind of evolution.
“It has been so exciting to see the evolution, transformation, and re-invention for the company started by my great-great grandfather over 100 years ago,” he said.
He valued four decades of perspective and enthusiasm to speak passionately about the business and for holding the team accountable, he said.
Succession fundamentals
A 2024 survey conducted by First Bank Center for Family-Owned Businesses highlighted key success factors: adapting to economic changes, focusing on diversification and growth, meeting customer expectations and managing family dynamics and succession.
Nabity’s firm specializes in advising family-owned businesses on navigating the complex decision to keep the business or sell it. Succession planning ensures that the children are prepared to lead, addressing challenges of entitlement or lack of interest.

competence and the emotional intelligence of the children,” Nabity said.
Lawlor’s succession plan includes training his management team to operate the company.
“I started helping at the store in third grade to earn a ticket to the Husker game,” Lawlor said. “Now I need to put that same energy into training my managers to do the work I have been doing for 30 years.”
For Omaha Steaks, the Simon family and investors entrusted Nate Rempe in November 2023 to lead as CEO and president. A formalized succession plan is in place to cultivate the next generation of leadership.
“As a family-owned business you always need to ensure you have a fantastic leadership and operational plan in place to support the family and bring in those skills,” Simon said. “That’s exactly what we have in place today — exceptional talent that is both Simon family and ‘honorary Simon family’ leading the business.”
Planning ideally begins 10 years before the owner’s retirement and is reviewed periodically, ensuring smooth leadership transitions and minimizing estate taxes. For example, estate tax laws are likely to change for 2026 after the presidential election, Nabity said.
Retention incentives ensure key executives are retained during post-sale transitions or if the owner passes away. Nabity emphasized succession planning must come before estate planning and outside expertise is necessary to navigate tough challenges.
Building a legacy
While profitability is a top success factor in the First Bank Center for Family-Owned Businesses study, generation two and generation three leaders view family-oriented factors of togetherness, succession and legacy building as more important.
Lawlor said his staff members created a family atmosphere and “look out for each other.”
“We have four families working at Lawlor’s where both the parents and their adult children work for me,” Lawlor said.
Building on the Lawlor’s legacy is a 401(K) plan that will give most full-time employees financial freedom by age 60.
Simon said with the support of Omaha-based investment firm McCarthy Capital, Omaha Steaks expects accelerated growth while staying true to its mission and remaining a fifth-generation, familyrun Omaha business.
“I like to say Omaha Steaks is an overnight success that took 100 years, and building a brand, brick by brick over five generations has allowed us to nurture that integrity and make it central to our culture,” Simon said.
In September, Omaha Steaks was recognized with the local and international 2024 BBB Torch Award for Ethics. He explained the company is a product of planning that guides the company in doing right by their customers, suppliers and employee team, who are considered “part of the family.”

Timeless customer service
The Family Enterprise Survey said customer loyalty builds trust in the organization and the family, while the mission bridges the current and next generations.
“Customer service is timeless,” Lawlor said, emphasizing the importance of maintaining personal connections and demonstrating endurance through two World Wars, two depressions, two pandemics and the regular cycle of recessions.
“We’ve shown up every day for 128 years,” Lawlor said.
“The best part of running Lawlor’s is watching my team show their teamwork and talent when we are having to fulfill obligations that seem impossible to accomplish,” Lawlor said.
Simon said trust in the leadership team, “well-conceived core values” and empowered employees give staff a greater sense of purpose and unified direction to build the brand and “shape our vibrant culture.”
“You can’t run a business with 1,500 team members that scales to about 6,000 during the holidays, without having a strong operational team,” Simon added.
Doing it right
The Deloitte survey concluded each generation of family businesses impacts communities. Best practices in clear communication, succession planning and continued innovation can reinforce generational and business alignment.
Omaha Steaks focuses on change, Simon said, evolving with the times, and providing clarity on goals and objectives for growing the business.
As for Lawlor’s Custom Sportswear, it will continue to change with technology ushering in updates to operational and production capabilities.
“I think Nebraskans will always love sports, so my job is to make sure we are providing the fan gear that the fans want,” Lawlor said. “Sometimes teams will come along that I know nothing about. I try to be open to new opportunities without being reckless.”

70 YEARS OF SERVICE, ONE TANK AT A TIME
“We want to be their favorite stop of the day,” said Brooke Shallberg about their guests.
Shallberg is the COO of Taylor Quik Pik, a third-generation familyowned chain of convenience stores founded on the principles of hard work, respect and giving back to the community.
“We really strive to be a fun place for both our customers and employees,” Shallberg said. “It doesn’t have to be such a serious place. We want it to feel homey.”
The past
Shallberg’s grandparents, James and Rae Taylor, founded the Taylor Oil Company in 1954. James was raised on a farm in Orum, Nebraska. Before graduating, he enlisted in the Navy to serve in the Korean War. Rae was the daughter of an Arkansas coal miner who met James while he was docked in San Diego, California.
When starting the oil company, their mission was to supply farmers and service centers with the fuel they needed to work. Shortly after, James took the opportunity to create a convenience store under the name Taylor Quik Pik.
With the help of their son, Brad Taylor, his wife Laura, and their team, Taylor Quik Pik grew to 31 stores across Eastern Nebraska and Western Iowa. In the early 2000s, Brad Taylor took over the family business and decided to close 24 stores in order to focus on the seven most successful ones. He wanted to make sure standards were maintained across every building bearing the Taylor name.

end of 2024. Though the locations of the new stores are under discussion, they will remain in the Eastern Nebraska and Western Iowa area.
“We want to grow the right way, sticking to family morals,” Shallberg said.
Shallberg and Taylor plan to grow their stores slowly and intentionally to maintain their focus on community in the small towns they occupy.
Four gas stations have “giving pumps” that give a portion of proceeds to the school districts in town.
“The customers line up at that specific pump. It’s a fun way to give back,” Shallberg said.
They plan to put in a “giving pump” at every store. One of the areas the siblings decided needed improvement was their food options.
“We want to offer quick but delicious food, because our customers are usually in a rush to get in and get out,” Shallberg said.
Three years ago it launched its own pizza brand called Hometown Pizza. To bring their brand to the community, they donated free pizzas to the nearby schools and homegrown businesses to show communal support. They also allow schools to buy the pizzas at cost.
Taylor Quik Pik works hard to have the newest items on shelves. There’s been an energy drink boom over the last few years, and the team works to stay ahead of the curb.
“It’s a combination of listening to the customers, tips from suppliers, and paying attention to the world around us,” Shallberg said.
Being a smaller business, it can shift plans and implement items faster than larger competitors.
For the past 70 years, Taylor Quik Pik has serviced small towns. The next generation is getting their turn and plan for another 70 years of bringing communities together.

Lisa Schiele, inclusion manager for Lueder Construction, said that the masonry company began 140 years ago and from day one, worked with laborers from all origins.
“Diversity, throughout the workplace and within the community, is essential for societal growth,” she said.
In addition to offering educational support for trade partners, construction students, and its internal team, Lueder also supports Greater Omaha Chamber’s REACH Program and is a participant in the construction mentorship-protégé program.
Lisa Kimmel, senior marketing and proposal associate for Weitz, said that for Construction Inclusion Week, the company will focus on a different subject each day that will help employees engage with topics connected to diversity, equity, and inclusion.

Turner Construction, which was one of the founding companies of Construction Inclusion Week, has worked hard to encourage positive change in the industry for generations to come. One of Nebraska’s largest employers, family-owned and Grand Island-based Chief Industries is celebrating 70 years in operation.
The construction, manufacturing, transportation, ag storage and energy business traces its origin story to visionary Virgil Eihusen.
The late entrepreneur launched Chief in a garage with just his tools and a Ford pickup. Since then, Chief has grown into an international company employing some 1,400 people.
Grandson DJ Eihusen leads the company today as CEO and president. His father Robert Eihusen led it before him. But there would be no Chief without its ambitious founder, who went on to launch the grain handling and storage business Global Enterprises. He also developed Indianhead Golf Course and Indianhead subdivision in Grand Island, where Eihusen Arena bears his name.
As a young man, Virgil Eihusen worked as a bakery bread route driver, Ace Hardware associate and door-to-door salesman. In 1954 he started a one-man construction and remodeling shop, then became a dealer of steel farm buildings and grain bins, expanding into the erection of steel grain bins and commercial steel structures. This laid the foundation for Chief Industries, whose early growth was aided by the sale of a collision repair and alignment products company he also started.
Evolution
Through innovations, expansions, and acquisitions Chief has evolved into a diversified company with seven branded divisions:
Chief Construction; Chief Buildings (metal building systems); Chief Fabrication; Chief Carriers (flatbed trucks); Chief Agri (grain storage, aeration, material handling products); Chief Ethanol; and BonnaVilla (modular homes).
Chief Development Services, which formed in 2011, develops the company’s own properties through land acquisition financing, permits, engineering, project management and construction processes.
Roger Bullington, president and general manager of Chief Construction and Chief Development, ascribes its success to consistent leadership over time.
“The continuity with the Eihusen family has been big,” he said. “I’ve known all three CEOs. I worked for all of them. I’m really grateful for the ownership structure. They’re managing for the long-term and not a shorter stock price. It’s a family focus. They’ve given me and many others an opportunity to spread our wings and flourish in a career here at Chief in our home state.”
As he sees it, Chief’s assembled a winning team and formula.
“When you’ve got passionate, dedicated, disciplined employees like we do and you give them the road map for taking care of customers you’re going to find success with those virtues and values,” Bullington said.
“Since I first got here in 1986 it’s always been take care of the customer, give them more value than what they’re paying for, give them great service, open communication, business integrity. That’s been consistent in my 38 years here.

“We came up with a motto for that not too many years ago — trusted, tested, true. I think it comes down to the people mostly and to the corporate structure supporting each one of the divisions financially and strategically. Being family-owned there’s not a lot of politics. You know where you stand from a management standpoint. It’s let’s get the job done and have fun doing it and give value to the customer.”
DJ Eihusen agrees.
“The fact we remain a family-owned and operated business is one of our competitive advantages,” he said. “Business is a lot like life, it’s about surrounding yourself with the right group of people, and our people are our differentiator.”
Eihusen embraces Chief’s seven decades legacy.
“For me, reaching this 70th anniversary represents the fulfillment of a legacy — a promise to carry forward the principles of integrity, innovation and community that have been at the core of Chief since its inception,” he said. “It’s about more than just business, it’s about family, people and making a positive impact on the community.
A fourth generation of Eihusens is intentionally learning the business from the ground up to prepare themselves to lead when the time comes.
“Businesses like this don’t happen just by chance,” said Chief Director of Marketing and Communications Beth Freirichs. “Chief’s leaders definitely have a strategic vision. They want to make sure they continue that foundation. There are definitely plans to keep it family-owned. That learning, development and growth of that next generation is happening today across different divisions.”
Bullington enjoys leaning into that legacy. As for the company marking almost three-quarters of a century in business, he said, “There’s just a lot of pride in that longevity, continuity and stability.”
He was instrumental in Chief entering development services and takes pleasure in meeting community needs with solutions. His motivation to become a developer was to identify projects Chief could develop from start to finish.
“First in development, you’ve usually got to get the land so the initiative was to buy some high-profile land in great locations and then combine community needs with building and development solutions,” he said.
Notable impact
Chief’s vertical integration across its construction services, buildings, fabrication and carrier units, he said, allows for streamlined communication, bundling and client-friendly price margins on projects. Its initial development, The Railyard on Canopy Street in West Haymarket in Lincoln, was a public-private partnership that created 300,000-plus square feet of mixed-use new construction, including
business offices, hotel, financial space and residential housing.
The physicians-led Fountain Point Medical Community project in Norfolk features health care and senior living components. Prairie Commons in Grand Island attracted Bryan Health, Tabitha Senior Living, Unity Eye Care, Allen Capital Group, a Starbucks, a Spring Hills Suites by Marriott, all anchored by Chief’s new corporate headquarters, which is now under construction and expected to open in fall 2025.
The 200,000-square-foot Tabitha complex includes skilled, memory care, assisted and independent living.
“Making that happen was quite an accomplishment and really good for Grand Island,” said Bullington. “There’s 608,000 square feet of building construction completed so far at Prairie Commons and there should be about a hundred and some thousand of additional space completed in the next 18 months.”
In the case of both Prairie Commons and Fountain Point, he said, “We partnered with local investors to give people the opportunity to invest in their communities and hometowns.”
Chief received the CRE Summit Development of the Year for the Prairie Commons project. It marked the first time in the history of the CRE summit a project outside of Lincoln or Omaha got recognized as the state’s development of the year.
As thrilled as Bullington is with the award, real satisfaction come from fulfilling community needs.
“It was a doorstep into Grand Island that needed to be developed,” he said. “It’s a mixed-use class A development with two miles of bike trails in a very high-profile location.
Across segments
Manufacturing and warehousing builds make up another sizable segment of Chief’s work.
“Manufacturing/warehousing has always been a strong sector for Chief Construction because it aligns itself well with Chief Buildings metal building solutions as a primary framing and cladding system,” he said. “The other big thing right now is ag equipment dealerships and auto dealerships. We’re doing Titan Machinery and Murphy Tractor in Grand Island. Those are two big projects. We’ve done Tom Dinsdale, Rowe, Anderson Ford, Andersen Jeep auto dealerships.”
Design-bid-builds, where anybody can bid, account for only 5% of its projects. A more preferred delivery method is design-build, which accounts for about 30% of Chief Construction projects.

management with the construction of the building,” he said. “We provide the client an end price very early in the process once we find the scope and get the drawings done. So the architectural services are underneath our umbrella, too, as a construction company.”
By far Chief Construction’s most preferred delivery method is construction management.
“About 65% of our business model and revenue stream is under the construction management model,” he said.
Schools, worship centers and fire stations are among other communitybased projects Chief tackles.
“A lot of these communities need a place to gather and sometimes that means we build a dedicated community center and sometimes that means building a fire station that doubles as an event hall,” he said.
When a town has a perfect storm of multiple needs that have funding Chief ends up doing several projects.
“In Broken Bow we did a school, a car wash, a big hotel addition, and a Custer County judicial center,” he said. “That community kind of just got on a wave and we were there to help them build.”
Chief is strategically positioned to cover the state with construction offices in Lincoln, Hastings, Grand Island, Kearney and North Platte.
“These cities need a strong contractor to help their communities grow and build,” he said. “We try to be their community contractor. That’s why we planted our flag with office locations in those communities.”
Omaha on the horizon
In-state projects extend as far east as the Omaha metro and will likely do so more in the future.
“I can see where Omaha is in our horizon,” Bullington said. “Whether that’s in 2025 or after, I think it’s pretty inevitable we would grow to Omaha because there’s only so much business in outstate Nebraska and we’re the largest contractor in outstate Nebraska.”
Chief’s already made itself known with Timpte Trailers in Council Bluffs, Equitable Bank in Elkhorn and Levander’s Auto & Body Shop in Millard.
“References from existing customers is a huge part of our business,” he said. “Luckily we’ve had enough great case studies and successes for repeat business. Success breeds success. We’re kind of in that growth path right now with a lot of opportunities out there for builds and a lot of it’s word of mouth.”
Intersections with Omaha area businesses even happen on Chief’s home turf.
“We’re really proud that some of the largest development companies in Omaha are investing right now in Grand Island,” Bullington said.
“Woodsonia, Woodbury, HDR, Olsson, Davis Design, Holland Basham Architects, White Lotus are all doing projects in Grand Island and accessing our services to facilitate them. So there’s a huge Omaha footprint on a lot of this development going on here today.”

Jeff Herdzina, founder and president of ExitBig, said he has been watching the baby boomer effect closely. He said the fact that it hasn’t hit full force yet gives business owners looking to sell and retire a golden, if narrow, opportunity.
“There’s no question from a supply and demand perspective, as more of the baby boomers look to get out of their business, more businesses will hit the market and the multiples a business owner can get now are going to go down,” he said. “It’s simple supply and demand.”
“I’ve actually been saying that for a few years now, but the baby boomers haven’t fully come into this as quickly as once thought. This is because many of these businesses are not ready for sale, there’s still some work to be done there. So, I think for someone who wants to sell due to aging, there’s no better time than right now.”
The situation is compounded by the fact that not every company listed for sale in a given industry is automatically the right takeover target. Herdzina stated the firm sometimes serves as a mediator when non-financial factors, such as company culture or management style, are not in alignment.

“We are very involved with our clients from a consultative perspective,” he said. “I am a big believer that the makings of a successful merger lie with the companies’ culture and if that doesn’t match well, the chances for a successful merger are generally low.
“In fact, if we’re faced with a deal that will have short-term success but not long-term success, we have no problem steering a client in a different direction.”
Buy now, pay later
Most people focus on the due diligence and negotiations leading up to the sale and the first day of ownership. However, professional consultants also help their clients pay attention to what happens after a company changes hands, particularly regarding tax implications.
“The multiples people are getting for their businesses are still pretty strong,” said David Mayer, executive vice president and partner with Dvorak Law Group. “All of us are unsure as to how that’s going to change because of the uncertainty of the political environment. That affects the decision to explore a sale or take the chips off the table.”

Nonetheless, Mayer said Dvorak Law has enjoyed a steady diet of merger and acquisition work despite the challenges in the economy of late. He said even through wild swings in the market and interest rates, the industry finds a way to keep moving forward.
“For our law firm, the volume of transactions is up but the transactions we’re seeing are smaller because there’s still a lot of capital in the system from federal stimulus packages,” he said. “We also still have a lot of private equity and other strategic companies out there buying companies, but usually with smaller valuations.
“A lot of times it’s more about people getting access to capital. Also, in the Midwest, we don’t go through the large fluctuations that the coasts do and so we have more conservative companies that have continued growth opportunities, even in challenging times.”
Future outlook
Despite the many challenges M&A presents, companies continue to pursue them as a means of expansion that generally outpaces organic growth. This is shown in the optimistic forecasting that KPMG reported in August where 57% of respondents overall expect more M&A activity in 2025 than in 2024 and 84% of respondents in private equity look for bigger things in the new year.
Jim Zipursky, chairman and CEO of Corporate Finance Associates Worldwide,
noted the best deals go beyond merely increasing market share or number of locations.
“Buyers buy for many, many reasons but generally it always comes down to buy versus build,” he said. “Is it more efficient and effective to buy a business than it is to build that business? Companies are either proactive or they’re reactive; businesses that are more proactive, the reason for acquiring can be as simple as taking out a competitor. For those who are reactive, maybe they hear a company is coming up for sale or something actually came on the market and they jump on it.
“At the same time, it’s more than just market share. In today’s market companies are looking to acquire talent. Many of our clients will look at acquisitions because they have an aging workforce, an aging management team, and acquiring the business will inject new blood into the system. It may be a technology play or buyers acquire a company to get to certain customers and this allows them to break into that customer base.”
As for the future, Zipursky was confident the market would perk up next year, somewhere.
“Industries go through waves,” he said. “The analogy I use is the balloon maker at the carnival. When you squeeze one end it gets skinny but the other end gets fat. While some industries will do poorly, others will be doing very well, even within a certain industry.”

Chinese Stocks Just Had a Week. Can it Last?
Last week, Chinese stocks went on a historic run due to new government stimulus measures to jumpstart its ailing economy and real estate market. That government announced multiple interest rate cuts, reduced reserve requirements for banks, lowered mortgage rates on existing homes, providing funding to buy back stocks, and more. In just five days, China’s CSI 300 index rose over 25%, which is a record. Over the same period, its broader Shanghai Composite Index climbed over 21%, the strongest since 1996. After languishing near multi-year lows months ago, Hong Kong’s Hang Seng Index is now Asia’s best performing stock market in 2024, dethroning Taiwan. To top it off, David Tepper, a famous US hedge fund manager, did an interview on CNBC where he said to “buy everything” in China. Should long-term investors follow?
We’re skeptical. China has many self-inflicted issues to overcome. After opening up its economy to foreign investment and embracing a market-based economy during the 2000s, President Xi and the Chinese Communist Party have burned a lot of bridges over recent years. It has cracked down on its technology industry with sweeping regulations that disrupted businesses, levied large fines, caused mass layoffs, and even forced key founders to flee the country. This has torn apart its previously budding start-up industry, which is shown in the chart above. To have this happen during the emergence of crucial new technologies like artificial intelligence is problematic for this global superpower.
Furthermore, China’s population is declining due to its “One Child Policy” that didn’t end until 2015. In fact, estimates project that China’s population is expected to decline by over 200 million people over the next 30 years. Not only will this weigh on economic growth but also its overbuilt real estate sector. Economists now estimate that China may have 90 million empty housing units. Assuming three people per household, that’s enough for the entire population of Brazil. Multi-national companies have been diversifying their supply chains away from China since the pandemic, and President Xi just reiterated his vow to “reunify” with Taiwan – by force if necessary.
Sure, Chinese stocks are cheap, but they’re cheap for a reason. We believe China’s issues are structural and can’t be fixed with monetary and fiscal stimulus. To us, this seems more like a trade instead of a long-term investment.

Mark Lampe is a finance leader with over 30 years of experience in various roles. Recently he joined Fusion, a local health care staffing company, as its CFO. Prior to joining Fusion Lampe was the CFO for California-based Monte Vista Farming. He was born and raised in Omaha and received his MBA from Creighton University, and bachelor’s degree from the University of Nebraska-Omaha.
You’ve been in the finance world for 30 years, holding a variety of positions and becoming an expert in several areas. What accomplishment are you most proud of professionally?
Two things. One was a multi-year project when I was with ConAgra brands about 15 years ago. At the time they didn’t have good visibility between the raw materials and the packaging for each branded product. I was part of the effort that put a solution in place to create that information so the company could better understand how commodity markets would affect businesses, and how to adjust prices accordingly.
Second, when I was with Monte Vista Farms. They added an owner that was a private equity fund so they needed to get ready for an audit. They also needed more budgeting and planning capabilities. We quickly built the capabilities and had the tools to do that within a year’s time. That was a neat journey to be a part of.
U.S. News Reports listed financial analyst and business operations manager as two of the most stressful jobs in 2024. As a CFO, how do you take care of your mental health and avoid burnout?
No. 1, I try to listen to my body. You can usually tell when you’re getting down or fighting something off, so I try to listen to my body and when I feel that way I try to do a better job of getting rest and eating better. No. 2, I find that walks help a lot, so some form of exercise. And, No. 3, I really try not to work more than five days a week. You have to give yourself at least one mental break a week.
Job swap: if you could do any other job, what would it be and why?
Landscaping. I do my own landscaping in my yard, and I love it. I love being outdoors and the feeling after you’ve completed a project or weekly maintenance, and it’s just so beautiful and satisfying. I also entertained being a marine biologist. I love being in, and seeing the ocean, but as a kid from Nebraska, I wasn’t sure how that would go.

convenience store or somebody greets you with a smile when you’re having a tough day. They’re little things, but to me, they’re inspiring and big.

PILOT PROGRAMS SHOW ROBOTS MAY NOT THREATEN JOBS

Though food service workers and economists have long worried about the impact technology would have on the restaurant labor force, pilot programs in several fast-casual restaurants over the last few years have shown it may not have the negative impact they feared, a labor economist says.
Technology plays several roles in food service, but the industry has seen the adoption of touch screens, AI-powered ordering and food prep machines over the last few years. And even more recently, it’s become more likely that a robot is playing a part in your food preparation or delivery.
Robots may take shape as your bartender, your server or your food delivery driver, but many are like the “collaborative” robots just rolled out in some Chipotle restaurants in California.
The company is testing the Autocado, which splits and prepares avocados to be turned into guacamole by a kitchen crew member, and the Augmented Makeline, which builds bowls and salads autonomously underneath the food line while employees construct burritos, tacos and quesadillas on top. Chipotle said 65% of its mobile orders are for salads or bowls, and the Augmented Makeline’s aim is improving efficiency and digital order accuracy.
The company said it invested in robotics company Vebu and worked with it on the design for the Autocado and invested in food service platform Hyphen, which custommade the Augmented Makeline for Chipotle.

gate process before determining their broader pilot plans,” Curt Garner, Chipotle’s chief customer and technology officer, said in a statement.
The company said the introduction of these robots will not eliminate any jobs, as the crew members are supposed to have a “cobotic relationship” with them. The aim is that crew members will be able to spend more time on either food prep tasks or on providing hospitality to customers.
Ben Zipperer, a low-wage labor market economist at the Economic Policy Institute, said the early fears around automation and robots threatening jobs in the food service industry are not being realized. Automation has shown to make workers more productive and effective, he said.
Robots have also been shown to make businesses more efficient and profitable, Zipperer siad, which creates an “offsetting demand factor.” That increased demand and profitability can actually help keep the cost of food for customers more affordable, he added.
When one action is freed up by a robot, the restaurant has more freedom to place workers on other highdemand tasks.
“Either those workers are still going to help produce guacamole, because people want to buy more of it,” Zipperer said of the Chipotle announcement, “or there’s other things that that business is trying to produce but can’t allocate the labor towards, even though they have demand for it.”
Zipperer pointed toward automated food purchasing with the use of touchscreen kiosks, which has been widely adopted in fast food service. In these cases, workers get shifted away from cash registers and toward more back-ofhouse jobs like food prep or janitorial work.
McDonald’s shows an example of this. The fast food restaurant was one of the earliest adopters of touchscreen kiosks, with thousands of stores using the technology to collect orders by 2015, and screens becoming nearly ubiquitous by 2020.
Last week, the company said the kiosks actually produce extra work for staff, as customers tend to purchase more food than they would at a cash register. The machines have builtin upselling features that cashiers don’t always have time to push with customers, and the introduction of mobile ordering and delivery has created jobs that front-of-house staff are relegated to.
Many fast food CEOs have threatened that raising minimum wages across the U.S. would equate in job loss to autonomous machines and kiosks. And while some franchise owners may take that route, it’s not a trend across the whole country. Jobs at quick-service and fast casual restaurants were up about 150,000 jobs, or 3% above their pre-pandemic levels in August.
As technology takes more of a role in food service production, businesses that want to succeed will find the balance of cost-saving efficiencies and valued work by their employees, Zipperer said.
“As long as there is demand for what that business is producing, that will allow workers to not feel a lot of the negative effects of technology,” he said.

The aggregate number of shares which the Company shall have authority to issue shall be Fifteen Thousand (15,000) shares of a par value of One-hundred Dollars ($100.00) each, amounting in the aggregate to One Million Five Hundred Thousand Dollars ($1,500,000).
ARTICLE VI
All corporate powers shall be exercised by or under the authority of, and the business and affairs of the Company shall be managed by or under the direction, and subject to the oversight of, its board of directors (the “ Board of Directors ”), except such powers expressly conferred upon or reserved to the shareholders, and subject to any limitations set forth by law, these articles of incorporation, or the bylaws of the Company.
ARTICLE VII
Annual meetings of shareholders of the Company shall be held annually in or out of the state at the time and place stated in or fixed in accordance with the bylaws for the election of the required members of the Board of Directors and the transaction of any other business as may properly come before the shareholders for their action. Each shareholder shall be entitled to one vote and shall have the right to vote in person or by proxy, on a form prescribed by the Board of Directors. All proxies shall be filed with the Secretary of the company at least five days prior to any annual or special meeting of the shareholder and shall expire eleven months from their effective date unless otherwise stated in the proxy. Special meetings of shareholders may be called by the Board of Directors and notice of such special meeting stating the purpose thereof shall be mailed to each shareholder at his last known address at least thirty days prior to the date of the proposed meeting and no business shall be transacted at any special meeting of the shareholders except such as may be named in the notice mailed to the shareholders.
ARTICLE VIII
A director of the Company shall not be liable to the Company or its shareholders for money damages for any action taken, or any failure to take any action, as a director, except liability for (i) the amount of a financial benefit received by a director to which the director is not entitled; (ii) an intentional infliction of harm on the Company or the shareholders; (iii) a violation of Neb. Rev. Stat. §21-2,104; or (iv) an intentional violation of criminal law.
No amendment to or repeal of this Article VIII shall apply to or have any effect on the liability or alleged liability of any director, or on the indemnification available to any director or officer, for or with respect to any acts or omissions occurring prior to such amendment or repeal.
If the Nebraska Model Business Corporation Act is amended after the effective date of these articles of incorporation in a way that authorizes the further elimination or limitation of the liability of directors, then the liability of directors of the Company shall be eliminated or limited to the fullest extent permitted by law.
ARTICLE IX
To the fullest extent permitted by applicable law, the Company is authorized to provide indemnification of (and advancement of expenses to) directors, officers, employees and agents of the Company (and any other persons to which applicable law permits the Company to provide indemnification) through bylaw provisions, agreements, vote of shareholders or disinterested directors or otherwise, in excess of the indemnification and advancement otherwise permitted by applicable law.
Any amendment, repeal, modification or elimination of the foregoing provisions of this Article IX shall not (a) adversely affect any right or protection of any director, officer, employee or other agent of the Company existing at the time of such amendment, repeal, modification or elimination; or (b) increase the liability of any director, officer, employee or agent of the Company with respect to any acts or omissions of such director, officer, employee or agent occurring prior to such amendment, repeal, modification or elimination.
