Everyone always has a friend that has a lawsuit and it turned out a certain way for them and they want the same result even if the cases are not the same.
The best advice I have received: To always compliment the marketing department. About my family: Surrounded by amazing women. A wife, three girls and a female puppy. Something else I’d like to accomplish: Time travel. How my business will change in the next decade: The use of technology. The legal profession has been slowly adapting to technology but over the next ten years advances in technology will continue to make it easier to communicate and share information with clients, witnesses and the courts. SUCCESSFUL M&A TRANSACTIONS TAKE MULTI-FACETED APPROACH BY DAVID KUBICEK

Successfully merging two companies is a labor-intensive job that requires careful planning and good communication. Companies merge for many reasons, but most fall into four main categories — growth, synergy, diversification, and reaction, according to Goosmann Law Attorney Aaron Adams. Adams broke down each category: Growth — increasing or protecting market share, accessing new markets, acquiring new products or services, gaining access to resources and capabilities, and achieving economies of scale. Synergy — when the acquiring firm believes that by combining the aggregate parts of merging firms the resulting business will generate benefits exceeding the sum of the separate parts of each company.

Diversification — acquiring a diverse business outright may be a less risky way for an acquiring firm to diversify its stock portfolio than investing directly in other, often unrelated, businesses. Reaction — when a transaction by one firm in a market triggers an M&A response from other firms that perceive the initial M&A transaction as a ‘strategic indicator’ of an emerging trend, or threat, to which they should respond.
The big decision
Many Nebraska organizations are seeing the appeal of an M&A. According to Bridgepoint Investment Banking’s Midwest M&A Quarterly Report, M&A activity involving Nebraska-based buyers and/or targets reached the highest

volume since 2016 in the third quarter of this year at 32 transactions. Business owners looking into a M&A may ask themselves if they are looking for liquidity or to sell. “There are many private credit and minority equity options available that allow a business owner to transition their company to an existing management team or maintain control of their business while ‘taking some chips off the table,’” said Gary Grote, managing director at Bridgepoint Investment Banking. A primary reason for selling a business is when the owners retire or are not passionate about the business anymore and are looking for a new challenge, said Jeff Herdzina, founder and president of ExitBig. “The owner might take the business from

startup to say $5 million in revenue and 20 employees, and it maxes out their skill set, so a new buyer can bring in a new skill set to take that business to a new level,” he said. When a merger or acquisition happens, it must be the right time for both companies, according to John Haver, senior vice president of marketing and strategic development at Senior Market Sales (SMS). Senior Market Sales, an insurance marketing company with more than 320 employees at its Omaha headquarters, is actively pursuing acquisitions as a growth strategy, it most recently acquired Medicare Instructors. “[At SMS] our focus is on quality and on taking care of the people involved,” he said. “By quality, we mean we’re being very selective. The right partner has to be a strategic fit, as well as a culture fit.

The right time
“A strong economy always helps,” said HBE Managing Partner Scott Becker. “Right now might be a good time for businesses with excess cash. Lower interest rates
and a strong stock market make [an M&A] attractive.” Whatever the reason for the merger or acquisition, both parties must be ready. “Transactions can be really stressful on a team,” Herdzina said. “Having the company in a good solid position may be the best time for the business to be passed off.” Doing a thorough check on a company as the acquirer is highly important. Terry Kroeger, president and CEO of Smith Kroeger, emphasized the need for firms to do their due diligence concerning revenues and
expenses on firms they’re acquiring. “What capital needs might be approaching that business?” he said. “How sustainable is the revenue stream? Are there any efficiencies you could realize after you make the acquisition? “Have a really good understanding of what the business is and if the management’s going to stay, and make sure you’re comfortable with them. Or if management’s not going to stay, who’s going to run this for you?” Herdzina emphasized asking the seller on their readiness.

“Ask questions around the seller’s readiness to exit the business,” Herdzina said. “Sometimes people are just having a bad week. It doesn’t mean they’re ready to sell. “I ask them if they’ve ever sold or bought a business before. If it’s their first time, there’s a lot more coaching. What will the company look like when the current owner steps out? Often the owner is very hands-on in the day-to-day operation, and this could be detrimental when they leave.” Determining business goals and intentions takes a team of professionals.

as you’d hoped it would, so you must be flexible and ready to roll with the punches, depending on what occurs after the acquisition. Make sure your due diligence is complete and have fun with it. It can be really exhilarating.”

The two companies must be enough of a cultural match to make their overall business operations a good fit, Becker said. “Communication is so important,” he said. “How long will the current management team and the owners still be involved in the business? Are there any large sales concentrations where it’s important the customer stays on?” Kroeger said it’s important to have a post-acquisition plan for everything that must be transitioned over. Here again, communication is key. “Who will sign the checks,” Kroeger said. “Who will help build the business if you’re going to make any staffing changes, and how will you’ll execute that? Whenever you do a sizeable acquisition there’s ‘execution risk.’ Like anything else in life, it never goes quite

“The primary post-merger concern is integration of people and culture,” Grote said. “Sometimes the business owner will remain involved in some capacity for a year or two to ensure a smooth transition of significant customer, vendor and employee relationships.” Developing a concrete plan can ease that transition. “In my mind, there are four things to think about [after the acquisition],” Adams said. “Develop a profit and loss statement, understand current weaknesses and strengths of the new or combined business and what has changed from before the transaction, consider multiple options for the new organizational structure before settling on one, and communication with employees. Be flexible and realistic with what you are trying to accomplish through the transaction. During due diligence, unanticipated things come up all the time.”

No Rest for Real Estate Firm
R&R NEBRASKA GROWING PRESENCE IN INDUSTRIAL, OFFICE MARKET Mike Homa doesn’t believe in doing anything small and from the looks of it, neither does his employer, R&R Realty Group. In less than five years, the Des Moines-based commercial real estate company has announced the presence of its subsidiary arm, R&R Nebraska, with a foot in both the industrial/warehousing and office markets. “Our first projects in development started with industrial,” said Homa, a former banker and now R&R Nebraska president. “We’ve built and leased over 800,000 square feet of industrial warehouse space in the last three years and have our fourth building, which will take us up to right at 1.1 million square feet, under construction right now. That development is down on the Highway 370 and Highway 50 corridor. “The other area where we’ve been developing is office. We completed in June a 180,000-square-foot Class A office building. The development is called Fountain Ridge and it’s in the 192nd and Dodge area. And on Oct. 4, we broke ground on a medical office building that we are building and partnering with a medical group, MD West ONE. That’s on the west side of 192nd Street on 20 acres we own there.”
Addressing New Needs Considering the challenges of the pandemic era — affecting everything from materials to labor — 20 acres is a pretty bold initial footprint. Homa said R&R Nebraska isn’t as interested in being just the biggest as it is being the commercial real estate agency of choice and builds its properties accordingly. This has helped it weather the recent market swings. “When it comes to warehouse buildings, tenants want taller, clear heights,” he said. “We’re building buildings that have 32-foot clear heights and that allows warehouse users to come in and put in very tall racking from floor to almost ceiling. “We’ve seen in some cases that with that type of structure, companies can reduce the amount of square footage they need because they can go vertical. They have these robotic picking machines that go up and down the aisles and go all the way up and get what they need.

“The other things that we’ve done and brought to the market is trying to get as much natural light into these warehouse buildings as possible with big entrance areas with glass and windows all along all the sides of building. We’ve also really focused on making sure we allow for expansion parking for customers that need extra truck and vehicle parking space, and increased power capacities to the buildings.” The company’s office building pays similar attention to detail. Homa said tenants and their employees expect more from office buildings, especially after getting a taste of remote work arrangements. “People are really looking for what amenities are provided as part of an office building,” he said. “It’s a war for talent right now and if employers can have nice office space with amenities that employees can utilize throughout the building, they’re going to have a better chance of recruiting the type of talent that they want. “What we’ve done is we’ve loaded our office building with amenities. There’s a Starbucks kiosk cafe. There’s a full fitness center with men’s and women’s locker rooms with showers, Peloton bikes, full array of cardio and weight equipment. We have a food court. We have excellent rooftop patio areas, conference rooms that are available for all the tenants of the building to use so that they don’t have to have so many conference rooms in their individual spaces.”
Strategy Homa said while leasing takes all comers, the company was strategic in the placement of the building, putting it in close proximity to Methodist Women’s Hospital in the hopes of absorbing ancillary health care tenants. He’s also targeting tenants that need larger footprints such as call centers, and said location is a big selling point in that effort. “For the Omaha market, we really felt like we wanted to have access visibility to the West Dodge corridor,” he said. “Everything in Omaha tends to go off the West Dodge spine, if you will. Our philosophy, and it’s worked very well for us in Des Moines, is that we want to locate our office buildings where a lot of the owners of businesses — presidents, CEOs — are located. I’d say those are the two biggest reasons why we really liked this 192nd Street corridor.” Homa said while the jury is still out on whether or not work-from-home will continue wholesale, there’s no question many companies are cutting back on their space as a result of pandemic-era changes. Still, he looks forward with optimism. “In the conversations that I’ve been having, some companies say they need everybody back in the office. They perform better as a company when people have their heads together in the room and they’re focused on a project versus being on some kind of a Zoom call,” he said. “Engagement is big and company culture is big.”

ANGELA MCGRAW BRIDGES TECH DIVIDE AT DO SPACE Angela McGraw acknowledges that there were “plenty of women” leading in the tech space long before she was even alive — the new director of innovation hub Do Space sees herself as a “piece of the puzzle, a partner and collaborator.” “Historically the tech space has been a male-dominated field,” McGraw said. “Although the positions that women hold and the opportunities that are available have improved significantly, there is still room to grow.” Statistics bear this out; the National Center for Women & Information Technology, for instance, reports that 57% of professional occupations in the workforce are held by women. However, only a quarter of professional computing occupations are held by women. And, even more striking, just 18% of chief information officers in the top 1,000 companies are women. McGraw now leads the pioneering library, which has been characterized as the “nation’s first technology library” since its opening in 2015. She succeeds the likes of Rebecca Stavick, co-founder and former executive director. Stavick currently serves as the chief executive officer of Community Information Trust, the 501(c)(3) organization that operates Do Space. The duo is working together to build opportunities for both Do Space and the Metro. “I was inspired to join Do Space, because I saw it as an opportunity to continue educating the community on the importance of tech literacy and STEM education,
especially among the next generation,” McGraw said. “I am excited to expand Do Space’s community impact and take our mission of promoting digital equity to the next level.” In its six years, Do Space has asserted itself as a technology equalizer, enabler, educator and innovator via its digital workshop and learning experiences. “One of the biggest challenges, which also happens to be the favorite part of my job, is figuring out new ways to execute our mission,” McGraw said. “So, we have the largest impact within the Omaha community as possible.” Well before McGraw was surmounting industry- and community-wide obstacles to tech and opportunity access and inclusion, she was quite literally jumping hurdles. “In 2015, I was inducted into the University of Missouri Kansas-City Athletic Hall of Fame,” she said. In fact, in the 2015 write-up to correspond with her induction, UMKC reported that McGraw, who was then Angela Harris, set two school records: in the 55-meter hurdles and 100-meter hurdles, among numerous other achievements in track and field.

McGraw would go on to earn a Bachelor of Arts from UMKC and a Master of Education from the University of Nebraska-Lincoln. “Initially, I planned to pursue a career in public relations,” she said. “My love for writing, building relationships and ability to see the big picture is what led me to choose public relations as my first career choice.” In fact, her first job after college was as a manager with the Metropolitan Entertainment & Convention Authority (MECA). “This was an exciting time for me,” McGraw recalled. “The department that I managed was new. So, I had the opportunity to set the vision and implement the strategy to make my vision a reality.” Through the experience, McGraw learned how to create an “inclusive working environment,” and the importance of having what she calls a “fluid leadership style.” “I then moved to higher education and taught digital arts at a for-profit institution,” she said. “In this position, I honed my classroom management and
curriculum building skills.” McGraw would remain in higher education for seven years as the University of Nebraska at Omaha’s iSTEM Coordinator, and as Metropolitan Community College’s assistant director for secondary partnerships. “In these positions, I focused on program development, budgetary and financial operations, marketing, community engagement efforts, and grant writing,” she said. “My career path has included opportunities that prepared me for my current role as the Do Space director.” McGraw credits her traction in the field to communication and collaboration, and inspires others by “leading through example.” She quotes Maya Angelou: “My mission in life is to thrive; and to do so with passion, compassion, humor and style.” Going forward, McGraw is applying that passion, compassion, humor and style to, as she puts it, “address the issues causing the digital divide within our city,” in an effort to ensure Omaha is “one of the most digitally-equitable cities in the nation.”

CRAIG MOODY LEAVING HIS MARK ON OMAHA, PLANET EARTH When Craig Moody was introduced as a Midlands Business Journal 40 Under 40 honoree in 2010, the environmental consulting company he co-founded, Verdis Group, was just starting to make noise in the local market.
Whether the motivation be moral or monetary, clients are beating a path to Verdis’ door. Two years ago was the company’s best and after a lukewarm 2020, 2021 picked up right where 2019 left off, with 2022 forecasting bigger still.

In more than 10 years since, Verdis Group has grown substantially as companies see the benefit of reducing their impact on the planet through sustainability planning, waste reduction and transportation management. “For the first five years we kept saying we’re ahead of the wave,” he said. “We’re out front, we’re doing great work, but there’s a ton more that’s coming and we’re in front of the movement that is going to crash, and crash in a good way. I think one of the key things that’s changed is that the wave is upon us now.
“I’ll say that we’ve never had a huge challenge recruiting people,” he said. “A big part of that is because the work we do is pretty unique, certainly in the Midwest, and it’s purpose-driven. Young people especially want a career that’s really purpose-driven and we check that box for them pretty clearly.” Verdis Group employs 12, mostly in Omaha. Moody said while the company had already employed a remote work model, the pandemic refined that system in a way that helps buttress Verdis against fluctuations in the local labor market.

The success of the company has spurred Moody’s personal growth as a leader, both at Verdis and in the community, something that’s noted by those around him. “I don’t think this is said about male leaders as often, but he is deeply thoughtful and self-aware about his responsibility and his obligation to others and to the world around him,” said Stuart Chittenden, an Omaha business consultant who’s known Moody for 14 years. “He’s also highly collaborative. I mean he’s very, very competitive, but at the same time, highly collaborative and thoughtful of others. He’s driven but driven in a way to also involve other people in his journey.” Moody’s journey includes not only his business interests, but the many nonprofits he’s championed over the years as well as having been elected to the OPPD board of directors in 2017. “As a community I think there’s a lot to unpack,” he said. “How are we finding opportunities for younger generations? How are we diversifying the leadership of the community and finding opportunities for everyone to participate in decisionmaking? That’s big and that’s messy. “We’re after, in my view, a community that is built upon the needs, wishes and desires of that community, but that takes work. And I know there are a lot of people who are mindful of that, working on it, focused on it. I just think we can’t
lose sight of it. It needs to be something we don’t take our foot off the gas pedal, so to speak.”

“I’m better for having known Craig,” said Amanda Bogner, president of Energy Studio and chair of the OPPD board of directors. “I think he is a natural consensus-builder, and he has an optimistic outlook for the community. He’s also excellent at taking a lot of information and synergizing it to get that big picture understanding. It’s not a skill I have, so I seek it out in others, and I really appreciate it when I find it.” Looking forward to what lay ahead, Moody was philosophical about his place in the Omaha business community and his responsibilities as a citizen of the planet. “I think as I get older, it’s increasingly my role to not be in the middle of everything and not be doing everything, but to be ensuring that others are prepared for and have the opportunity to step into those roles,” he said. “I’m in my mid 40s now and I was definitely a troublemaking do-gooder throughout my 30s. That’s a term I really enjoy using. Now I’m just kind of interested in who are those other troublemaking do-gooders that I can coach or mentor to go out and effect change in the community. My personal mission is to catalyze systemic change for the better.”

BUY LOCAL MOVEMENT DRIVES BLACK BOTTOM BISCOTTI Sophia Jordan started Black Bottom Biscotti nine years ago when she saw an opportunity. The idea for the company came when the bakery that she regularly purchased her favorite biscotti from stopped making it. She knew that store-bought biscotti wasn’t what she wanted. She acted and crafted a recipe for a cranberry pistachio biscotti and the encouraging results inspired her. She started selling it at craft fairs and to people who wanted to give them as gifts, as well as for their own personal enjoyment. She negotiated a lease with a building owner and in October 2012, she opened the doors of Black Bottom Biscotti. For Jordan, her business isn’t just something she loves — it is part of who she is. “I want to leave Black Bottom Biscotti as a legacy to my future generations,” Jordan said. Black Bottom Biscotti creates biscotti and scones that are individually packaged. All products are made in-house from scratch from real butter and real eggs, with no added preservatives.
“Our biscotti is flavorful and filled with particles like nuts, dried berries, and chocolate chips,” Jordan said. “They are dried to be crisp, not rock hard, so you decide whether to dip or not to dip. We call it ‘Undippably Edible.’” This holiday season, the company will reintroduce its Rugelach, a Jewish cookie that has a butter and cream cheese-based pastry with a filling rolled into it. The biscotti and scones are also sold at local coffeeshops and specialty stores, and are shipped throughout the United States. Corporate rates are offered and gift packages can be customized for mailing. “We don’t skimp on added ingredients,” Jordan said. “Most of the commercial biscotti I’ve seen had very little cranberries and nuts in their cranberry and nut biscotti. “You can see and taste the cranberries and nuts in ours. Then, we dip them in a decadent chocolate coating, white or dark. When we started it was just dark chocolate, hence the [company] name, which also became a play on me being African American. But as our flavors expanded, we needed a white chocolate for flavors like lemon blueberry, lemon poppyseed and pumpkin spiced.”

As with any business, there are learning curves. “The biggest challenge I have faced and had to overcome was me,” Jordan said. “Never having been in the baking or any food industry, I learned on the job. “There were things I didn’t expect, like the real cost of running a business, when and how to let an employee go, and how to keep an employee you want to keep. And of course, COVID, which I continually work through. But the biggest challenge I have had to overcome is going from an employee mindset to one of a business owner. This is an unexpected transition I had to make and am still making.” Jordan is committed to learning the skills needed to keep expanding Black Bottom Biscotti. “There is no 9-5, there is only get it done,” she said. “In looking for help from others and asking questions, I feel more confident and less afraid.”
Current Growth In 2019, Jordan noted that Black Bottom Biscotti saw a record decrease in sales of 36%. However, so far this year, it had an increase in gross sales of over 100%, mainly due to its mail order option. She has also noticed more people wanting to buy local and small. “COVID-19 and the Black Lives Matter movement were instrumental in people seeking out ways to gift in the midst of isolation at home and supporting small, local Black-owned businesses,” Jordan said. She noted that partnerships from local businesses have been important to her sustained success. “Ted and Wally’s and A Hill of Beans have been with me since the beginning, and we are still doing business together,” she said. “I believe working with each other is crucial to economic growth in Omaha and I continually reach out to small business like myself to do business with.”
A Sweet Outlook The outlook for Black Bottom Biscotti is a positive one. Jordan is working to increase brand awareness and sales by working with a marketing company. She is
also looking at different business models and is in the process of writing a business plan for the next phase of the company, which will be moving to a new location. “I want our biscotti to be known for its home-baked goodness, flavor, and wide range of varieties,” she said. “The future of Black Bottom Biscotti is to be known as the best biscotti this side of Italy.”

insurance FOCUSED ON VIRTUAL VISITS? THE PROS AND CONS OF A NEW TWIST IN health plans
At the height of the COVID-19 pandemic, people often relied on telemedicine for doctor visits. Now, insurers are betting that some patients liked it enough to embrace new types of health coverage that encourages video visits — or outright insists on them. Priority Health in Michigan, for example, offers coverage requiring online visits first for nonemergency primary care. Harvard Pilgrim Health Care, selling to employers in Connecticut, Maine and New Hampshire, has a similar plan. “I would describe them as virtual first, a true telehealth primary care physician replacement product,” said Carrie Kincaid, vice president of individual markets at Priority Health, which launched its plans in January as an addition to more traditional Affordable Care Act offerings. The often lower-premium offerings capitalize on the new familiarity and convenience of online routine care. But skeptics see a downside: the risk of overlooking something important. “There’s a gestalt of seeing a patient and knowing something is not right, such as maybe picking up early on that they have Parkinson’s,” or listening to their heart and discovering a murmur, said Dr. David Anderson, a cardiologist affiliated with Stanford Health Care in Oakland, California. He said online medicine is a great tool for follow-up visits with established patients but is not optimal for an initial exam. When enrolling in one of the new plans, patients are encouraged to select an online doctor, who then serves as the patient’s first point of contact for most primary care services

and can make referrals for in-person care with an in-network physician, if needed. It’s possible patients never meet their online doctor in person. Many insurers offering virtual-first plans hire outside firms to provide medical staff. The physicians may hold licenses in several states and not be located nearby. Insurers say participating online doctors can access patients’ medical information and test results through the insurers’ electronic medical

records system or those of the third-party online staffing firm. What might prove tricky, experts warn, is transferring information from physicians, clinics or hospitals outside of an insurer’s network. Sharing patient information via EMRs is challenging even for doctors operating under traditional insurance plans with in-person visits — especially moving data between different health systems or specialty practices. The virtual-first concept was so new that Priority Health called those enrolling this year to ensure they understood how it worked. “If people were more comfortable with brickand-mortar, they should choose other options,” Kincaid said, adding that the plans have drawn 5,000 enrollees since January, a number she hopes will double next year. Other versions of telehealth plans are available, offered by big names such as Humana, Kaiser Permanente, Oscar and UnitedHealthcare. Some emphasize but don’t require that primary care starts online. Some are aimed directly at consumers. Others are sold to employers. Oscar Virtual Care health plans, sold in several states including Texas, Florida and New York, allow patients to choose between online or in-person services.

“These are not virtual-only plans,” said Marianna Spanos, an Oscar vice president and general manager of its virtual care division. “You can always opt to see a more traditional provider.” Although Kaiser Permanente uses its own in-house medical staff, most insurers rely on contracted physicians, mental health therapists and other staff members, often provided by San Francisco-based Doctor on Demand. Doctor on Demand launched in 2013, aimed at individual consumers. Starting with a Humana contract in 2019, it has since expanded to offer staffing for several other insurers. The company, which has its own electronic medical records system, hires a range of primary care, mental health and other medical providers. Physicians must be boardcertified. Pay is partly based on how many patients they see, and there is no upper limit. Some want to work part time, for example, and many work from home. In general, virtual-first health plans may carry lower premiums or provide such financial incentives as no copays for online visits. All boast that members can get appointments quickly, sometimes within minutes. Patients with serious problems are assisted in arranging emergency help. If online

physicians determine patients need a blood test, immunization or a visit with a specialist, they refer them to a local practice, clinic or specialist within the insurer’s network. As a strategy to contain costs, think HMO 2.0. “There’s more control over the patient interaction and where they get referred,” said Sabrina Corlette, a research professor and co-director of the Center on Health Insurance Reforms at Georgetown University. Still, patients should be aware that some of these plans may allow a brick-and-mortar visit only if their virtual doctor, who may have never examined them in person, deems it necessary. Skeptics note that many circumstances demand in-person care. One recent study estimated about 66% of primary care visits required it. For example, it’s impossible to check reflexes and difficult to examine tonsils for infection virtually. Patients in some programs, including
Harvard Pilgrim’s, are sent kits that can include devices like blood pressure cuffs and thermometers — though at-home medical measuring devices are often not as accurate as those used in offices. Online physicians may also ask a patient to feel for swollen lymph nodes, shine a light into their throat while on camera or take other actions to help the physician diagnose a problem. Kincaid, at Priority Health, noted that Doctor on Demand also sets protocols on children’s wellness visits, which it says must be done in person. “It’s important for children’s wellness visits to get accurate height and weight measures and immunizations,” Kincaid said. When considering virtual-first plans, advocates say, patients should look closely not just at premiums but also at deductibles and copayments, which may be set at levels that discourage in-person care. Rules are varied and dizzying.
The VirtualBronze plan offered through the federal ACA marketplace in parts of Texas by Community Choice Health, for example, requires hefty patient contributions for many types of in-person visits. Patients incur no copay for using online Doctor on Demand physicians for primary care visits or for accessing in-person preventive services as defined by the ACA, such as immunizations or cancer screenings. But for other in-person services, Community Choice’s virtual plan will cost patients out-of-pocket because they pay the cost of the care until they meet an annual $8,530 deductible. Kaiser Permanente’s Virtual Complete plan offered to large employers carries no copay for online care. Patients can opt to see an in-person doctor three times a year for primary care if they’re willing to pay a copay. After those three visits, any additional in-person visits are subject to a deductible.

Plans sold through federal or state marketplaces and those offered by employers must meet the ACA’s requirements. That includes a range of services, from doctor visits to hospital care. Corlette, at Georgetown, said consumers should be wary of plans that are not ACA-compliant.
