Omaha Corporate Cup Attracts Huge Turnout

Thousands of runners hit the streets April 13 for the American Lung Association’s 44th annual Omaha Corporate Cup running event, presented by Green Plains Inc. Nearly 3,000 athletes of all running levels raised $210,000 through the event, held at Aksarben Village. The longstanding event, which is a fixture on Omaha’s running calendar, featured professionally timed races of 5K and 10K as well as untimed 5K, mile and kids’ run distances. Individuals, families and corporate teams from across Nebraska were featured. Proceeds from the Omaha Corporate Cup go to fund lifesaving research for treatments and cures to help more than 227,000 Nebraskans suffering from lung disease.

TOP 5 THINGS TO KNOW

Eppley traffic a mixed bag in March

Eppley Airfield’s passenger count is well behind last year’s while cargo loads are way up, according to March figures released by the Omaha Airport Authority.

Total passengers last month numbered 433,602 compared to 467,336 in the same month last year, a 7.2% decrease. Year to date, the airport has accommodated 1.15 million passengers compared to 1.2 million last year, a 5% decline.

Frontier was the loss leader both in same month year over year, down 38%, and year to date headcount, down 53% year over year.

By contrast, the amount of cargo/mail was up sharply over 2024. Same month totals were up 22% from 9.2 million pounds to 11.2 million pounds. Year to date, Eppley has handled 31.9 million pounds of cargo/mail, up 24% over 2024’s 26 million pounds over the same time period.

Aircraft operations, a category that includes general aviation, air carrier and taxi and military traffic, was up 2.7% same month and 6.6% year to date compared to 2024 totals.

Nebraska Beef Council rolls out passport

The fourth annual Nebraska Beef Passport will launch on May 1 as part of the Nebraska Beef Council’s Beef Month celebration. The Beef Passport highlights more than 40 restaurants and independent meat processors across the state.

The promotion awards passport holders points for each visit to participating locations which can then be redeemed for prizes offered by the Nebraska Beef Council, plus each visit is an entry for a grand prize drawing of $250 in fresh beef.

The Nebraska Beef Passport campaign runs May 1 through September 30.

“We’re excited to kick off this year’s Beef Passport,” said Adam Wegner, director of marketing for the Nebraska Beef Council. “We’ll have several new locations on the passport, including some hidden small-town cafes and a popular burger joint in Omaha. We’ll also be including several Nebraska meat processors again, which were a nice addition last year.”

Beef Passports are available for free on mobile devices or can be printed directly from GoodLifeGreatSteaks.org, which also provides complete details about the program as well as a list of participating restaurants and processors.

Governor appeals to EPA over ethanol

Gov. Jim Pillen has signed on to a letter with a bipartisan group of governors to the Environmental Protection Agency. The executives are asking Administrator Lee Zeldin to issue an emergency waiver ensuring regulatory consistency for fuel suppliers heading into the vacation season.

Nebraska is already one of several states approved to sell E15 year-round starting April 28, but a nationwide waiver will help provide a stable supply of fuel

while stemming shortages and price hikes during the summer driving season.

The letter cites a “national energy emergency” related to the ongoing war in Ukraine as well as “other geopolitical factors that have left U.S. stocks of crude oil and petroleum products near 20-year lows” as justification for the waiver. The undersigned governors are asking the measure to cover both E10 and E15 blends.

Housing advocate honored by ICAN

Amanda Brewer, Habitat for Humanity of Omaha CEO, is the recipient of the 2025 ICAN Leadership Award. Brewer is the 10th individual honored by the award, presented annually in partnership with Kiewit Corporation at the ICAN Women’s Leadership Conference.

Brewer has spent nearly 28 years with Habitat Omaha, rising from volunteer to CEO. In that time, she has helped build and now leads the top Habitat for Humanity affiliate in the country based on the number of people it serves.

In her award nomination it was noted that in 2023 and 2024, Habitat Omaha hosted clinics on transferring deeds that helped 362 families secure nearly $77 million in generational wealth. Additionally, through a donation from MacKenzie Scott’s Yield Giving fund, Brewer is helping to establish a coalition among Habitat for Humanity affiliates across Nebraska to build capacity and serve local workforce and affordable housing needs.

ICAN praised Brewer in a release as “a passionate, collaborative leader who is working to solve the shortage of affordable housing, where in Omaha alone, more than 70,000 affordable housing units are needed.”

New resource serves current, aspiring Omaha businesses

The City of Omaha has unveiled a free online resource, ONEBiz, developed by the Omaha Department of Human Rights and Relations. The tool offers a variety of step-by-step guides and access to other resources to help entrepreneurs start and build a business as well as interfacing with relevant city departments. Users can create a free profile and receive customized lists to follow in setting up, launching and/or growing a business. This includes accessing various resources such as the Nebraska Enterprise Fund and the Nebraska Business Development Center, among others.

50 Years of Legal Excellence

THROUGH THE EYES OF VETERAN LAWYERS AT FIVE OMAHA LAW FIRMS

I view us as a modern firm with established roots.

Omaha had quite a year in 1975, the year in which the Midlands Business Journal rolled out its first issues. The year opened with a January blizzard, the worst in many years, and a May tornado which tore through much of the city’s 72nd Street corridor with three fatalities and more than $150 million in damages.

Looking back over the past 50 years through the eyes of veteran lawyers at five Omaha law firms with a total of 416 years in business shows a continual influx of legal expertise, strong communication skills and remarkable business acumen. Through the years, these firms have demonstrated the ability to nimbly pivot as the needs of Omaha clients change and challenge the norm.

Two differing but noteworthy legal cases garnered attention 50 years ago. The owners of Midtown Palace, an Omaha club featuring live performances by female dancers — with various amounts of skin showing — challenged the validity of the city’s obscenity ordinance that was used to prosecute the dancers. The Miller v. California U.S. Supreme Court decision of 1973 that defined what was obscene was central to the local situation.

Also that year the Omaha Public School District made national news when a federal court judge ordered that all OPS schools be integrated. While racial segregation was not an official school district policy, the court’s mandate found that it resulted from a long history of housing discrimination in the city. A districtwide busing plan was drafted, vetted at neighborhood meetings, and put into action with only minimal problems. Such community acceptance put Omaha in the national spotlight among communities in similar situations.

New technology is making older law firms more competitive. Historically, law firms have been slow to adapt and invest; on average only one percent of revenues goes toward technology. That compares to 3.5% for other businesses.

Additionally, one 2024 study found

- CHRISTOPHER HEDICAN, MANAGING PARTNER, BAIRD HOLM

67% of law firms in the U.S. are using AI for some process automation: formulation of policies, setting guardrails to protect confidentiality, testing closed-source language models that do not explore sensitive information and open internet. Twenty-nine percent of law firms have expressed a cybersecurity breach. A rule-ofthumb being suggested: outsource key technology skills lacking in a business.

Below are several longtime law firms, along with a brief history and founding story, key insights, signature achievements and other views from senior partners.

Baird Holm (1873)

Managing partner Christopher Hedican, a 1990 graduate of the Washington University School of Law, said the secret sauce for Baird Holm is in its motto: “We take the right path even though it isn’t the easy path.” The firm with an integrated team of about 100 attorneys offers legal help licensed in 17 states.

“I view us as a modern firm with established roots,” he said. “The firm offers full service including specialization in business law, litigation and intellectual property.”

Health care has been an anchor for Baird Holm’s growth for several years. Nine attorneys founded a national heath care attorneys group and with passage of the Civil Rights Act of 1964, legal talent has galvanized around individual health care as a civil right.

Renewable energy over the past 20 years has ridden a wave of tax credits and deductions and through lobbying of firms such as Baird Holm, windmill construction has boomed.

While the roots were set by Baird Holm founders Milton and Carroll Montgomery 152 years ago, Hedican said there’s been little reluctance to toe the status quo line.

“To serve our clients, we have to recognize their rapidly changing needs,” Hedican said.

For example, the need for electronic payment processing involves increased needs for privacy, hence the passage of the Health Insurance Portability and Accountability Act of 1996. Baird Holm hired Robert L. Kardell, a former FBI agent with a background in technology and accounting, as the seventh member of its cybersecurity group.

AI is going to impact everything, especially at the larger law firms.
- THOMAS J. MALICKI, PARTNER,

ABRAHAMS KASLOW & CASSMAN

Abrahams Kaslow & Cassman (1944)

Energy law has been a 30-year staple for the Omaha firm Abrahams Kaslow & Cassman, an 81-year-old firm founded on corporate law, estate and trust planning, mergers and acquisitions, probate and trust administration.

Partner Thomas J. Malicki, a 1987 graduate of Creighton University School of Law and a partner in the 16-attorney firm, said demand for power plant construction agreements, planning for solar farms and analyzing the natural gas market are important niches in the firm’s growth.

“Everything from mom and pop operations to national companies,” he said. “Overall, the client relationships we’ve built over the years have been longstanding ones. You’ve got to look forward and identify what’s coming.”

Changes in the death tax since 1987 have been staggering, he said.

“AI is going to impact everything, especially at the larger law firms,” he said. “In the last five or six years its use has picked up speed.”

At present a new module is being tested for helping set up policies and procedures.

Through the years, Malicki and several of his colleagues have combined to caution the general public against using basic advice and contract documents readily available on the internet.

“Being a lawyer teaches you to analyze issues and to use a certain mindset in order to do something,” he said.

Another practice area is mergers and acquisitions. The performance of the economy — especially in times of inflation — can cause business owners to achieve economies of scale by seeking a combination.

Some firms will thrive while others will die if they are not intentional about investing and promoting the next generation of leaders.

McGrath North (1959)

At McGrath North, Jonathan L. Grob is president of an organization with 75 attorneys and about 55 support staff. A 2007 graduate of the University of Nebraska College of Law, who also earned a specialized taxation degree from New York University, Grob said McGrath North has targeted becoming a regional law firm over the past 10 years, especially for technology (including artificial intelligence) and data centers.

“We recently were involved in one of the largest technology initial public offerings since 2021,” he said, adding that McGrath North benefits from long-term relationships with industries in Omaha including manufacturing, food and agriculture and insurance.

One of the reasons for McGrath North’s longevity is that the firm has continually

Kutak Rock (1965)

- JOHN PETR, PARTNER, KUTAK ROCK

Back in 1965, Robert Kutak founded a new law firm in downtown Omaha on a few handshakes and with a commitment that the growth of the venture would not be in the name of any of the attorneys and other professionals, but that success would be attributed to the firm and how the client was served.

Over the past 60 years, Kutak Rock has grown to 500 attorneys in 19 offices in 14 states and the District of Columbia. About 400 office in downtown Omaha.

Although Kutak died in 1983, his impact is instilled in the firm’s foundational philosophy. Partners John Petr and Buck Heim said their offices at 1650 Farnam St. are an example of the civic focus of Kutak Rock, which in the 1980s purchased and renovated the former Omaha National Bank headquarters.

Petr, partner and chair with a specialty in public finance, and Heim, partner with a specialty in health care, said Kutak Rock is successful because of the entrepreneurial spirit and commitment to innovation that permeates most ventures. For example, they cite the firm’s venture in the ‘70s and ‘80s to go into municipal bonds to finance public debt.

ROBERT J. KUTAK, LEFT, HAROLD L. ROCK AND WILLIAM G. CAMPBELL, 1973 KUTAK ROCK’S

Kutak Rock perceived the use of municipal debt backed solely by the relevant corporate credit-industrial revenue bond financing to finance tens of billions of dollars of projects. Tax increment financing is another tool for development and redevelopment.

Heim, who came to Kutak Rock after 14 years with another firm, appreciates the emphasis on technology for office efficiency; from three to four percent of revenues is appropriated for technology.

“We’ve got to remain nimble, responsive and creative,” Petr said.

Kutak Rock’s diversity and inclusion policies have also paid dividends the partners said. One of the firm’s former attorneys, Lindsey Miller-Lerman, is a member of the Nebraska Supreme Court.

We’re using technology to serve our clients more effectively and better.

Erickson Sederstrom (1968)

- WILLIAM T. “BILL” FOLEY, PRESIDENT AND MANAGING PARTNER, ERICKSON SEDERSTROM

WIlliam T. “Bill” Foley, president and managing partner, is in his 34th year with the firm that employs 27 attorneys, two paralegals, and eight legal assistants. For the Blair native, the biggest changes he’s seen are in technology and communication.

“We’re using technology to serve our clients more effectively and better and we are going into the courtroom less,” he said. “Instead, we’re using video and with greater efficiency.”

Foley said he remembers learning to use the firm’s first email system.

Document management, while seeming like a hefty investment at the time, has made data retrieval much easier. At present, new modules such as AI Protege is being tested and will be used for setting policies and procedures.

“In the early ‘90s it seemed like I was on the phone all the time but with email and video conferencing the technology is there for us to use instant information in working with clients and doing things such as testing the effectiveness of questioning,” he said.

Long-time clients include CHI Health Immanuel and CHI Health, which provided growth opportunities for the firm. Foley said the firm has also developed specialties in labor law and insurance defense work.

In the late ‘90s, Foley increased work on the question of how shareholders of a business should be able to treat themselves within the organization.

Mergers and acquisitions tend to be cyclical based on the national economy. Small Business Administration loans that previously amounted to $250,000 now top $1 million.

A change Foley has seen during his long tenure as a lawyer is the willingness of firms to show flexibility in working with younger associates who are seeking to balance firm with family time.

“More women are practicing outside the office now,” he said.

Erickson & Sederstrom was founded by the late Don Erickson and Charles W. Sederstrom, who is of counsel.

LAW What Every Business Owner Should Know

EXPERTS: BE PROACTIVE WITH CORPORATE COUNSEL TO SAVE MONEY, HEADACHES

We preach being proactive and not reactive.
- TOM LANGAN, ATTORNEY, DVORAK LAW GROUP

Of all the things a new or existing business owner needs to think about to keep themselves in operation, legal matters rank right near the top. Unfortunately, many business owners fail to manage their legal affairs proactively and wait until they have a problem before they seek an attorney’s help, costing them extra time and money to resolve their issue.

“We preach being proactive and not reactive,” said Tom Langan, attorney with Dvorak Law Group. “Reactive is you only call a lawyer when something goes wrong but being proactive, you can oftentimes avoid things from going wrong.”

Langan said a company should meet with their legal firm at least annually to discuss updates to the law or to talk about potential legal exposures a company may not know about.

“Just discussing what’s changed with your business in the prior year can help avoid a lot of headaches moving forward,” Langan said.

Call early, call often

Unusual circumstances, such as mergers and acquisitions or expansion of existing operations, generally require more frequent meetings with legal, even if such things are only in the planning phase. The same goes for business succession, which Langan said many

business owners wait too long to address with their attorney.

“If a business owner is looking to exit, whether that’s a sale transaction or passing it on to family, they should reach out to their attorney well in advance,” he said. “We can discuss pre-transaction planning strategies that can help the sale process go much smoother and there’s often ways to save on taxes as well. The more runway we have on that, the more benefits there can be.”

Of course, for those who haven’t discussed things with counsel lately, now is a good time to get caught up, given the high level of activity from the new administration in Washington.

Jeana Goosmann, managing attorney and CEO of Goosmann Law Firm, said while it is impossible to predict how campaign promises will actually come into being, in the case of the Trump administration there are some hints based on past performance that can help feed a company’s business strategy.

“If we’re reflecting on past deregulation under the Trump administration, the most notable impacts were in environmental, labor and financial regulations. Many businesses saw short-term relief in compliance burdens such as fewer reporting requirements or loosened restrictions on independent contractor classification,” she said. “However, deregulation often comes with legal gray areas. For instance,

loosening federal rules doesn’t shield businesses from state-level enforcement and it can create inconsistency or confusion in compliance strategies.

“Moving forward, businesses should be careful not to interpret deregulation as a free-for-all. Legal exposure may still exist, especially as state laws and public expectations around privacy, ESG practices and workplace standards grow more stringent.”

Law is constantly changing

Legislation at the state level is also a challenge for many businesses to keep track of, despite the severe consequences businesses often face by not complying.

“A top legal trend for businesses right now is data privacy and cybersecurity regulation,” Goosmann said. “From state-level laws like California’s Privacy Rights Act to global rules like the General Data Protection Regulation, businesses are expected to handle personal data responsibly. Noncompliance can mean hefty fines and damaged reputations so even small businesses collecting emails or tracking user behavior on their websites can be affected.”

For new businesses, there’s a lot about the legal side of being an entrepreneur that founders simply don’t know, said Marlon Lofgren, corporate shareholder with Koley Jessen.

New entrepreneurs often underestimate the importance of business formation and governance.

- MARLON LOFGREN, CORPORATE SHAREHOLDER, KOLEY JESSEN

“New entrepreneurs often underestimate the importance of business formation and governance,” he said. “Many startups begin operations without selecting the optimal business structure. Whether forming an LLC, S-corp or another entity, the choice impacts liability, taxation and operational flexibility.

“Also if the owner formed the entity using one of the services available online, we often find that the entity was not fully formed correctly or capitalized, which can present problems. Early consultation with legal counsel is essential to establish proper incorporation and governance frameworks.”

Major issues

Lofgren said all businesses needed to be aware of intellectual property protection and contracts and compliance, regardless of how long they have been in operation.

“Securing patents, trademarks or copyrights is vital for protecting unique ideas, products and brand identities,” he said. “This is not solely relevant for tech startups — any business with a distinctive offering can benefit from robust intellectual property protection.

“Establishing well-drafted contracts with vendors, partners, employees and customers is crucial. Additionally, many startups overlook industry-specific licenses, permits and regulatory requirements, which can expose them to legal and financial risks.”

Specific trends business owners must be aware of right now, as over the past couple of decades, has been the continuing encroachment of technology at a breakneck pace. Currently, implications related to artificial intelligence and cybersecurity remain headliner issues.

“If a company collects any kind of personal data — customer emails, website

cookies, purchase history, et cetera — they need to disclose, secure and manage it properly,” said Mary Vandenack, attorney with Duggan Bertsch. “Even small businesses are targets; a data breach or ransomware attack can lead to lawsuits, loss of customer trust and regulatory fines.

“Businesses using AI for hiring, customer service or content creation are under the microscope. States are proposing regulations to prevent algorithmic bias and ensure transparency.”

Vandenack said in the latter case especially, businesses face potential liabilities many don’t even know are there.

“If AI tools are used for hiring, decision-making or customer engagement, and those tools lead to biased or inaccurate outcomes, businesses can face discrimination claims or regulatory action,” she said.

“To protect themselves, companies should audit AI tools for bias or ethical concerns, disclose when AI is being used in a process that affects individuals such as job applications, and stay on top of emerging AI regulations in their state or industry.”

Hire for today and tomorrow

Given all the ways that business owners require legal advice, from business formation to succession planning, choosing the right firm for representation is absolutely crucial during the life of any enterprise.

Dan Pauley, partner and founder of Smith Pauley, said it pays to shop around when looking for competent legal advice. He advised looking for a firm that is not only experienced but provides a broad base of legal expertise under one roof.

“There are still some very sophisticated groups around the country that are highly specialized in health care regulatory compliance or with the FCC

Pauley added that it is not only important to hire expertise needed for today but to hire a firm with the capacity to handle issues as a company expands.

“It’s very advantageous for a company to find a legal firm that has enough bench strength to be able to grow with them,” he said. “I think for clients, finding a firm that is going to have the team, the desire, the interest and the ability to stick with you, grow with you, and be proactive for you is probably the key. There can be a lot of factors that drive that but overall, that’s the most critical thing now, actually getting a team that’s dedicated for you.”

Million Dollar Man

S. SCOTT MOORE

HOMETOWN: ELKHORN

EDUCATION: UNIVERSITY OF NEBRASKA-LINCOLN, HISTORY

S. SCOTT MOORE’S UNIQUE BRAND OF FUNDRAISING HAS MEANT TENS OF MILLIONS FOR LOCAL CHARITIES

Like a lot of success stories, S. Scott Moore’s entrance into the world of auctioneering was a complete confluence of circumstance. His late father, Jim, former president of MEGA Corporation, regularly volunteered his time to local nonprofits to conduct live auctions at their fundraising events. Scott would tag along to these as extra help until one day his father turned the tables on him.

“About a year into working with my dad, I’m in his office and the phone rang and he basically said, ‘Well, I don’t do that anymore, but my son will do it. I’ll have him give you a call,’” Moore said. “He hangs up the phone and he looks at me and he says, ‘The Humane Society wants you to do their fundraiser gala, auction for them.’

“I looked at him and I said, ‘I have no idea how to do that. I don’t know what to do,’ and he looks at me and he goes, ‘Oh, you’ll do just fine.’ I mean, that’s how it started.”

Moore, now a partner with Lee & Associates, bought a cassette tape on auctioneering, practiced for four weeks and gathered all the intel he could on the event. He did so well that first time out — in front of 850 people, no less — that 25

years and an estimated $60 million in funds raised later, he’s still at it although at a somewhat slower pace than he used to. The magnitude of what he’s been able to do for great causes is enough to give him pause even after a quarter century doing it.

“I mean, obviously it makes you feel good,” he said, then added with a laugh. “You know, you either give your time, your talent or your treasure, and I don’t have much treasure.”

Reading the room

One of the things that makes Moore so good at what he does is the ability to adapt his auctioneering style to the situation. Charity auctions aren’t like livestock or estate sale crowds, he said, where verbal acrobatics are meant to raise maximum money in the shortest time. Galas, by contrast, require a softer touch.

“Most auctioneers are trained to sell things, and they’re trained to sell it quickly,” he said. “One of the things I learned from my dad is, when you’re doing benefit

In commercial real estate, the buyers know what they’re doing. They’re not there by mistake.
- S. SCOTT MOORE

auctions you are not selling anything. You are performing and everyone has to understand you. You want everyone to feel comfortable.

“What I also learned from my dad is you don’t need to nickel and dime it. If this is a trip to Napa Valley for six people, you don’t need to sell it for, $1,000, now $1,025, now $1,050. It’s $1,100, $1,200, $1,500 $2,000, sold.”

The art of the auction Moore said the process is even more different when selling real estate, which he approaches like the famed auction houses approach a piece of art.

“In that situation, there’s no fast talking at all,” he said. “In fact, I normally begin by asking if anyone wants to start the bidding and I will wait minutes before the next increment. So, ‘I’m at $900,000. How about a million?’ and I’ll wait. If you’ve ever seen someone auction a Van Gogh, they’re not going fast and I view real estate the same way. I’m selling something that’s a one of a kind, it’s unique, there’s no other like it and here’s your opportunity to buy it.”

In fact, Moore said, the auction is actually the easiest part of the transaction. The real skills he’s developed over his decades in business lie behind the scenes and the legwork leading up to the sale itself, from soliciting motivated potential buyers to attend to helping them do their due diligence.

Removing objections

“In commercial real estate, the buyers know what they’re doing. They’re not there by mistake,” he said. “My job is to identify who would be buying it, whether its hotels, motels, apartments, warehouses or office buildings. As an example, I sold a hotel in Alliance, Nebraska, and who’s my buyer? Someone who owns other hotels within a 150-mile radius. So, you identify those people and you get them on the phone or you email and you directly solicit those people.

“Then, gathering the due diligence material for a particular asset is paramount. You want to remove any question a buyer would have on a particular property. You don’t want them to say, ‘Well, how’s the roof? Does it leak?’ Instead, you hand them a roof report up front. We want to remove as many questions as we can by providing as much documentation as possible.”

FIVE FASCINATING FACTS

MY PROUDEST ACCOMPLISHMENT IS MY FAMILY — MY WIFE, WENDY, AND OUR SEVEN KIDS.

A HIDDEN TALENT NOT MANY PEOPLE KNOW ABOUT ME IS I CAN SING AND PLAY THE PIANO.

THE BEST PIECE OF ADVICE I EVER GOT WAS FROM MY DAD. HE SAID, “DON’T EXPECT ANYTHING WILL BE GIVEN TO YOU IN LIFE.”

ON A SATURDAY NIGHT, MY FAVORITE PLACE TO HAVE DINNER IN OMAHA IS STOKIN’ GOAT. I ORDER THE SALMON.

MY FAVORITE MOVIE IS TOUGH, BECAUSE THERE ARE SO MANY FAVORITES. IF I HAD TO CHOOSE, IT WOULD BE A TIE BETWEEN “ONE FLEW OVER THE CUCKOO’S NEST” AND “THE OUTLAW JOSIE WALES.”

In the end, Moore said, the common denominator between his work with charities and his work in the real estate market is the value of relationships.

“I started when there was no internet so you had to memorize what buildings were available for lease, what buildings were available for sale, at what price, who owns it, how long’s it been on the market,” he said. “You had to have this stockpile of information in your head and even today, when I’m talking to a client, I don’t need to pull out my phone and say, “Well, let me check.’ It’s just a habit of understanding what’s available and where it is.

“I think the ability to build relationships with people, meaningful relationships, is probably a major benefit that my generation has in the industry.”

Questioning Consensus

We’re hearing a lot of talk about the end of U.S. exceptionalism. President Trump’s trade war is driving away foreign investors and our largest trading partners. Additionally, moving from globalization towards isolationism will cause the U.S. dollar to lose its status as the world’s reserve currency. If there’s any doubt, just look at the year-to-date performance of gold versus the U.S. dollar or U.S. stocks versus international equites. The unwinding has begun, and capital markets are reflecting this reality.

While this narrative is alarming, we’ve heard it before. There was similar talk about Japan in the 1980s, especially after a firm from that country bought Manhattan’s Rockefeller Center in 1989. Investors also wondered about the implications of the Euro’s launch in 1999. In the 2000s, people were convinced that China was unstoppable and that we should be learning Mandarin.

Additionally, the U.S. may not hold all the cards, but we have a darn good hand. As the chart above shows, we’re much less reliant on global trade than our partners, especially the EU. Investors may be chasing the short-term move of international stocks versus the U.S. However, if we’re on the cusp of a prolonged period of deglobalization, we think that this will sting international firms more. According to FactSet, the 2024 forecasted earnings growth of 600 European firms has fallen from +8.5% in February to just 3.9%. As for firms in the S&P 500,

Today’s narrative in financial media reminds us of these times. We’re just over 90 days into 2025 and already the U.S. has started its Roman decline. HFS believes the reality is very different. While being as apolitical as we can, we haven’t heard President Trump say that he wants to isolate the U.S. from the rest of the world. Rather, he wants better trade deals that treat the U.S. fairly. After seeing the concerning dependence that we had on foreign manufacturing during the pandemic (especially China), President Trump wants to reduce this reliance by bringing production home. We’ll see how much he ultimately has in mind. Remember, much of this was already in motion. A 2024 survey by the American Chamber of Commerce in China found that 30% of American companies were moving part of their operations out of China or considering it. This was 40% for European firms. In 2024, foreign direct investment in China dropped by $168 billion, which is the biggest capital flight in data going back to 1990.

earnings growth expectations have only dropped from 11.9% to 10.6%, largely helped by artificial intelligence and our lead in the digital economy.

We recognize that these are highly uncertain and volatile times. Maintaining perspective and patience is challenging. Ultimately, we feel that the U.S. and its markets will come out of this period in a better spot, and we look forward to seeing calmer waters soon.

What opportunities and challenges exist for women in the legal field, especially locally?

There are incredible opportunities for women to lead in law, especially in the Midwest where strong relationships and trust matter. That said, it’s still a field where women — especially those with families — are often expected to juggle more while proving themselves at every level.

I’ve been fortunate to help build a firm where women thrive but broader systemic challenges still exist. The opportunity lies in reimagining leadership and redefining what success looks like for the next generation.

What skill sets or attributes are mandatory for success in the legal field?

Success in law requires a blend of tenacity, empathy and clarity. You must be detail-oriented and fearless in your advocacy, but also able to step back and see the bigger picture.

What led you to a career in law?

I always looked up to my father, who built a successful law practice that was rooted in integrity, intellect and a deep sense of service. As a child, I watched people come to him in moments of uncertainty and leave with clarity and confidence. I was drawn to that quiet power — to make sense of complexity, to be a problem-solver, and to help others navigate life’s most important moments — and

from a young age, I knew I wanted to follow in his footsteps. I’ve worked hard to carve my own path in the legal profession with that same spirit of purpose and care.

What advice would you give young women today seeking a career in law?

I’d say this: trust your instincts. Don’t wait for permission and don’t feel like you have to fit someone else’s mold to be taken seriously. Find your own voice, and use it unapologetically.

What charitable causes/nonprofits are close to your heart?

MIDLANDS BUSINESS JOURNAL

I care deeply about organizations that support children and families, especially those focused on early education and access to opportunity. I’m excited to be joining the board of DIBS for Kids, a local nonprofit dedicated to improving childhood literacy by making books more accessible to young readers.

What is your favorite “special occasion” place and what is your go-to order?

For a special occasion, I love the ambiance and elevated comfort food at V. Mertz in the Old Market. My go-to order is their tasting menu with the wine pairing; each dish is beautifully crafted and the experience always feels like a true celebration.

ASK AN attorney

MAGGIE ROSSITER AND DAN PAPE

When should I call my business attorney?

Running a business isn’t just about day-to-day operations or growing your customer base — it’s also about ensuring legal protection. Many business owners delay seeking legal advice but waiting until a problem arises can be expensive. The key to avoiding costly legal issues is to consult an attorney early. Here’s a guide on when to bring in legal help and why acting sooner is often the best approach.

You use “independent contractors”

Many businesses rely on independent contractors. State and federal regulators are paying attention to this and misclassifying employees as independent contractors can create significant liabilities and employment tax risks. A skilled labor and employment attorney can take the guess work out of classification.

A major life event occurred (e.g., marriage, divorce, birth or death of a child, adoption, etc.)

Every business owner should have a comprehensive estate plan to ensure assets are transferred according to their wishes, wealth transfer taxes are minimized and loved ones are adequately protected. Once in place, the plan should be reviewed periodically to ensure it remains current and effective. Major life events should serve as a trigger for business owners to contact their attorney about their estate plans.

You

want to protect your brands, creative works, or inventions

Intellectual property attorneys can help protect and secure your business’s trademarks, copyrights and patents, while also conducting diligence to ensure any intellectual property does not infringe upon existing third-party rights. Discovering someone else owns the rights after you’ve begun using certain intellectual property can be costly. Seeking early legal advice is critical to saving your business money and significant headaches, while also protecting these valuable assets.

You want to bring on a “new partner”

It is not uncommon for business attorneys to get emails or calls from clients who want to bring on a “new partner.” Before moving forward, make sure all parties are on the same page about ownership, compensation and expectations. An experienced business attorney can help review various new partner/owner options to put together a plan that will work for both sides.

Your business is struggling financially

Although business owners oftentimes do not feel their lawyer can help a financially struggling business, a skilled debtor-creditor law attorney can help explore restructuring options with creditors. Early intervention can provide critical planning before problems worsen.

You have a major dispute

Whether it is the distraction to the owner and employees, the expense involved, or the uncertainty litigation oftentimes presents, the litigation process can place significant strain on the business and its operations. An experienced litigation attorney can help navigate the legal complexities and prepare you for what’s ahead, all while allowing you to continue to maintain focus on running your business.

You are entering into a new office lease or considering buying a building

Whether entering a new lease or purchasing property, an experienced real estate attorney is essential. They know current market conditions, and how those conditions can impact a negotiation to help ensure you’re getting the best legal and tax terms possible.

The above circumstances can add value (or minimize risk) to a business if dealt with properly. The attorneys at McGrath North focus on adding value and achieving client success.
