Overview Fred Pryor Seminars/CareerTrack has been tasked to develop and deliver a customized training package based on the successful Mentor/Protégé training system of the Pentzke Group. The goal is to have a training system that can be scaled and replicated for various Pentzke Group customers. This proposal outlines recommendations based on information we received via conference call on March 3, 2010.

Objective Team with the Pentzke Group to design a training system that attracts Port Authorities, Transit Authorities, Government Agencies, and Women/MinorityOwned Construction Companies. This training system will allow Government Procurement mandates to be met by providing construction companies the operational skills needed to competitively bid on projects and secure large contracts that increase their revenue.

Strategy Applied by Fred Pryor Seminars In order to accomplish this objective we have three distinct steps that will make the training system outstanding, scalable and repeatable.

Step 1

Workbook Development and Certificates

Workbooks will be created using base content provided by our 40 years of experience and Pentzke Group’s knowledge of government contracting and mentoring development. The Pentzke Group brand will be placed on each workbook cover and the content will include specific, customized application points that you share with us.

Step 2

Facilitator Guide Development

Each course will have a Facilitator Guide. This guide will be the backbone of making the program scalable and repeatable. It enables any trainer to deliver a consistent message to participants.

Step 3

Recruitment, Assignment, and Delivery of Courses

Once the courses are developed, we will use our experience and contacts in the training industry to recruit, assign, and deliver top-notch training to participants.

Development of the Content Fred Pryor Seminars will be available for regular web-based meetings and conference calls to work in partnership with Pentzke Group representatives. These sessions will help us understand expectations of course development and deliverables. Meetings will also be scheduled to present designs, gather feedback, and expedite the project. What Fred Pryor Seminars will need from Pentzke Group As discussed during the conference call, to develop such an in-depth and thorough training system, we’ll need several things from Pentzke Group. Transparency — Pentzke Group will need to be as forthcoming as possible with previously developed curriculum and feedback. The more we can experience what has been successful in the past, the better we’ll do at developing the content, workbooks, and facilitator guides. Time — Web-based meetings and conference calls will be scheduled to streamline the development process and maximize schedules. Given these courses will be branded Penzke Group in conjunction with FPS, we will need to allow time for revisions and final product critique. Meeting deadlines on development will be critical to implementation, development, and the quality of the final product. Open and Honest Feedback — We encourage full disclosure and feedback to ensure we are working in concert with each other.

What Pentzke Group can expect from Fred Pryor Seminars

Confidentiality — We will have access to sensitive information you have developed and delivered. Please know our reputation as a training company in complex human resources depends on us keeping all Pentzke Group content private. Consistency — As a leader in the curriculum development industry we promise to develop appropriate content and instructor guides that ensure our message stays consistent and achieve the outcome you’re looking for. Open to feedback — We will encourage Pentzke Group to evaluate all content developed and delivered by FPS. In addition, please give feedback to any and all FPS representatives on the project. It’s how we know we are on track and is critical to our success on this important project. Satisfaction — Achieving Pentzke Group’s development and delivery goals is our most important objective. We will work with our content developers, curriculum designers, and instructors to make sure we hit the target. Representation — We will be combining our content with examples based on your feedback under the Pentzke Group brand. We understand the training we deliver is a reflection of you. We will use our internal quality control measures to ensure we meet the quality you expect and require.

Pentzke Group Investment The following fees are estimates based on the information from our conference call on March 3, 2010. We will communicate changes to Pentzke Group as more information is gathered. Pentzke Group will have all final decisions as related to cost increases. We’ll only work on additional services when approved Pentzke Group.

Curriculum Development In order to develop the 13 courses for the training system we will review, revise, and modify the existing content to create Trainer Facilitation Guides and workbooks. Pentzke Group will be included in presentation and feedback sessions to ensure FPS is on target in meeting your expectations. Once the development has been completed the training system will be scalable, consistent, and able to be delivered to multiple Pentzke Group customers.

Fee for training system development:

$65,900

Curriculum Delivery Each 13-course training system will be delivered in 5 hour segments. FPS will utilize our experience and contacts to certify trainers that will ultimately deliver the training system to Pentzke Group customers.

Yearly Course Revisions FPS recommends yearly course revisions to keep material current, cutting edge, and more difficult for competitors to replicate.

Payment Terms — (25%) is due upon start of the project. The remaining balance due will be invoiced monthly as the steps of the project are completed. $28,175
