Benefits of Fractional Ownership

IN A PERFECT WORLD, EVERYONE WOULD LIVE WHERE THEIR HEART LEADS THEM. Whether you crave mountain views, a home just steps from the beach, an open range to ride horses or a secluded retreat on a private lake, it’s the rare few who find the opportunity to live year round in a place that also allows them to indulge in either their recreational passions or the simple beauty of a morning view that doesn’t include an urban skyline. Many sacrifice their dream home for proximity to work and school or the desire to live close to the conveniences of big-city amenities. But the dream remains. This factor has driven a record number of homeowners to invest in second or vacation homes that allow them to retreat for a weekend, a week or even months at a time. In Santa Fe, it is estimated that approximately 15% of all single-family homes are second or vacation residents. You only need to look at the increased number of Texas, Arizona and California license plates on the roads in the summer to come to that decision on your own. What if you could indulge in all the amenities without the responsibilities? With the economy improving, Santa Fe is sure to get its share of people looking to escape the scorching heat and humidity of Texas, the unpredictable weather in the Midwest and the notoriously extreme winters of the East Coast. Often a second home sounds like the perfect solution, but many find it comes at a rather substantial cost for a home that may sit mostly vacant throughout the year. According to the National Association of Realtors, second homes are used between 39-55 days a year, translating into over 300 days where they go mostly unoccupied. While home appreciation over the long haul makes second homes a better return than staying at a resort or hotel, second homes can be costly when taking into account mortgage payments, taxes, insurance and maintenance. Based on the typical $1 million vacation home, an owner will pay between $1,950 and $2,750 a day to have the benefit of a second home depending on days used, mortgage and annual costs. That would pay for a great suite(s) at many of Santa Fe’s luxury resorts. Yet, second-home ownership continues to grow because people — more than anything — want a place that calls to their heart that they can also call home. Other part-time residences, such as Club Residences or the wellknown timeshare, allow guests to enjoy a stay away from home, but you are still renting time. What if you want to own? What if you want something that’s “yours”? What if you could escape for a week or a weekend on your private ranch without worrying about the details of ranch maintenance? Welcome to fractional ranch ownership. This innovative approach to ranch ownership offers the best of both worlds to those who want to own, but who might feel intimidated by holding the deed to an actual working ranch. Owning rural property of that magnitude is a potentially daunting task, especially when you factor in maintenance of the infrastructure, tending to horses and livestock and the other aspects of day-to-day living. Fractional ownership allows you to put aside those reservations — like owning the deed to a private resort. You plan your days to stay and when you arrive, the ranch welcomes you home like you never left. One example is a high-end, luxury, 120-acre ranch called Blame Her Ranch (BHR) which is 45 minutes outside Santa Fe in Ribera, New Mexico. Here, the owners (there can never be more than four) share the annual recurring costs like maintenance, taxes, insurance and capital improvements. And, the initial price of ownership is a fraction of the cost to own the whole ranch. This fractional concept allows many buyers to get significantly more house (or in this case ranch) for their real estate dollar. "Buying a Fractional Ranch, like BHR, is like ordering an extra-large pizza. It costs less to buy the whole thing (as you can with our ranch) versus buying it by the slice, but there is no way you will ever eat or enjoy the whole pie. It's better to split that pizza and the cost with friends and still eat as much as you want for a lot less money and a lot less waste,” explains Steve Blamer, who shared his answers to a few questions about fractional ownership opportunities at Blame Her Ranch.

Do I really own anything?

Yes, each of the four ownership opportunities comes with a deed to the property. It is yours to keep and pass down to the next generation or sell as you desire. An Operating Agreement similar to CCRs for a Condo Association outlines the rules and protects the investment of each owner. And, since it is a deeded ownership, it is just like any other real estate transaction in terms of appreciation, taxes and resale. What if I have no experience owning a ranch?

That’s part of the beauty of fractional ranch ownership. It’s a team effort and each partner shares in the gains and financial responsibilities of the property. Depending on current ownership, you can have up to three other owners, but whether you own half or a quarter, no one ever has a controlling interest. You can also rely on the knowledge of the BHR staff. This dedicated group has a wealth of experience with not only the workings of the ranch, but also the area’s best local businesses, specialists and events. Their combined knowledge can be an invaluable asset to those unfamiliar with day-to-day life in Santa Fe.

When and where do I stay?

Depending on percent of ownership, the partners of BHR get 13 to 26 weeks at both the main lodge and guesthouse. The weeks are selected by the owners in advance each year and rotate between owners each quarter so no one owner controls key months, weekends or holidays. If an owner is unable to use their allotted time, notification is sent to other owners, so it’s very possible to have even more time.

Because visits are scheduled in advance, owners never have to pack so much as one bag. A ranch manager facilitates the usage and scheduling so there is no extra work by the owners and ensures the ranch is always ready before each owner’s arrival. This includes the preparation of the residence with your personal artifacts. That means when you walk in the door, your family photos greet you with smiles, the pantry is stocked with your favorite foods and even the sheets are those of your personal preference. Every time you visit, it’s truly like you never left. And when you do depart, the ranch provides locked storage space, closets and pantries so your items are protected and secure. In this way, BHR is more than just a residence club, but a real home with all the personal touches. How much of the ranch can I use?

Closing the Impossible Deal:

THE W.T. WAGGONER RANCH by Jamie Destouet

Sculpted from the best selections of Texas landscape, the W.T. Waggoner Ranch is a masterpiece of rural art. The union of 510,000± acres, hundreds of working hands, dozens of years and many visions cumulated into a ranch so expansive and perfectly diverse, no one could hope to emulate it. In 1849, the ranch’s inception was founded on a singular idea: to work the hardest and be the best. That dedicated and rigorous craftsmanship assembled a Texas icon. Now, over a century and a half later, the same dedication and attention to detail defines the story of its sale. Once carefully tended by a group of Waggoner family members, the iconic ranch has changed hands, but not its purpose. It would be easy to boast the name, to be drawn to its well-known profile and make the W.T. Waggoner just another part of the collection, but new owner Stan Kroenke was never looking to own the Waggoner; he was searching for great land. Passionate about all things rural, from the commanding Wyoming mountains and diverse Montana wildlife to the verdant forests of Canada and vast Arizona desertscapes, Stan finds peace in the land and love in all things ranching. A topographical melting pot with a focus on excellence in breeding both great cattle and horses, the estate was the richest cake on the market. The fact that it was called the W.T. Waggoner—just the icing. Back in August of 2014, it was announced that the W.T. Waggoner was on the market and a year and a half later, the papers are signed, the deal complete and all parties in agreement. Like so many transactions of this depth and complexity, there is the iceberg effect: the part that floats above for all the world to see and the larger, much more complex web that lies beneath the surface. It’s the story of many years, names and conversations, of small successes and setbacks, of those at ease in front of the camera and those who prefer to stay behind the scenes, but all constantly moving toward a singular purpose—to keep one of Texas’ greatest works of art fully intact and in the hands of those who appreciate it most. Taking on the sale of the Waggoner required unparalleled vision, coordination between many moving parts and dedication to making a Texas ranch a household name — worldwide. And from the beginning, Sam was ready with boots on the ground, fully ready to show the Waggoner — in all its grandeur — from corner to corner. Meanwhile, Bernie had a singular mandate: market the Waggoner “to the four corners of the world.”

Long before the official announcement that the W.T. Waggoner was officially listed for sale, the whispers in several parts of the market had already become causal conversation and by the time the public read its first headline announcing its availability, Joel had already had a number of serious discussions about its sale with his client, and good friend, Stan Kroenke.

To anyone else, the task might have seemed daunting — almost impossible — but the combined skills of Bernard “Bernie” Uechtritz of International Icon Properties and Sam Middleton of Chas S. Middleton & Son would not relent once set with the task of such immense responsibility.

“Stan’s passion is the land and its workings,” said Joel Leadbetter, Managing Director with Hall and Hall. “He owns many ranches across four states and two countries, all of them successful with cattle or horses, properties that have the unique quality of being both equally beautiful and functional. The Waggoner is a perfect fit into an already impressive portfolio.”

“It was a long, under-the-radar process, but ultimately I convinced them that my outof-the-box marketing plan could work,” explained Uechtritz. And work, it did. “It’s a ranch that many people said could never be sold. The sheer size and complexity of the ranch operations and history makes for a very complicated deal. I promised the court and the families to expose the ranch to every possible qualified buyer, and that meant an aggressive, extensive marketing program in more than 120 countries that resulted in more than 900 inquiries.”

After looking at the ranch several times before, Joel was very aware of its potential, but one of the key parts of understanding the rural real estate market is knowing when a deal is right and when to wait. Joel had previously worked on proposals for the Waggoner back from 2002 to 2006, so experience told him to listen to the market and wait until the time was perfect to move forward. Once the moment was right, Joel put plans into motion.

Sam Middleton, the co-listing broker, showed the ranch more than 50 times. “People everywhere believe that American land, Texas land, is a good investment, and that was reflected in the amount of serious interest in the ranch from all over the world.”

“Honestly, the most important part of a deal like this is ebb and flow, making sure that all parties involved work together,” said Joel. “It’s about respect. These deals get done when you have brokers who trust, respect and work through the complexities together in a way that best benefits the clients on both sides of the transaction. We worked very hard to close this deal and without the unity between the sellers, the lawyers, the buyer, and everyone involved, something like this could have easily fallen apart.”

When it came time to settle on a buyer, Uechtritz took the unusual and bold step of putting out a call for offers. “With the marketing phase successfully complete, we moved into the transactional phase by setting a deadline for offers and requiring a $15 million escrow deposit in conjunction with the offers.”

With so many people involved, and so much history to be analyzed and reconciled, the sale of the W.T. Waggoner Ranch is a deal the rural real estate market may not see again in a long time—if ever. But it’s the most notable works of art that require the subtle of touches. The sale of the Waggoner has created ripples and set unique precedents in the rural real estate market and Joel was one of many pivotal pieces in facilitating the transition of such a priceless piece of American art.

Middleton says a half dozen people met those terms, and that all of their proposals envisioned a ranch kept intact, not broken up for development. “It was important to the families, whose heritage and legacy the ranch represents, that the owner be committed to preserving that legacy.” The six finalists then presented their purchase package and intentions in person to the sellers and their representatives in Fort Worth in the fall of 2015. When the dust settled, it was American businessman, professional sports team owner and rancher Stan Kroenke who the families, the lawyers, the receiver and the brokers agreed they would work with to complete a deal. “The first unanimous decision the parties ever made was to hire Sam Middleton and Bernie Uechtritz, and the second was that Stan Kroenke was the perfect buyer,” said Uechtritz. “He has the commitment to the land and the legacy; the ranching expertise necessary for this kind of operation; and the resources to ensure the excellence embodied by the W.T. Waggoner Ranch
