ThisAgreementisenteredintobetweentheDelawareDepartmentofEducation(DDOE)withoffices at401FederalStreet,Dover,DE19901andWilmingtonUniversity,hereafterreferredtoas(WilmU) withofficesat320NorthDuPontHighway,NewCastle,DE19720

A. AuthorizedRepresentative(s)

1.AndreaThompsonisdesignatedastheauthorizedrepresentativeofDDOEforthepurposes andtermofthisAgreement.

2.Dr.MicheleBrewerisdesignatedastheauthorizedrepresentativeof WilmU forthe purposesandtermsofthisAgreement.

B.Purpose

1.ThepurposeofthisAgreementistoestablishconditions,safeguards,andrequirementsunder whichDDOEand WilmU agreetoshareinformationanddata, including personally identifiableinformationfromeducationrecords,toensurethatitisconsistentwiththe FamilyEducationalRightsandPrivacyAct(FERPA)andotherapplicablefederalandState lawsandregulations.ThedataelementsexchangedbyDDOEandWilmUarepermittedbased onthefollowingFERPAexclusions:

✓ ToauditorevaluateaFederal-orState-supportededucationprogram;orenforceor complywithFederallegalrequirementsrelatedtotheprogram(FERPA34CFR §99.35(a)(l));

✓ Befor,oronbehalfof,aneducationalagencyorinstitution,inorderto:(a)Develop, validate,oradministerpredictivetests;(b)Administerstudentaidprograms;or(c) Improveinstruction(FERPA34CFR§99.31(a)(6)).

✓ Forstudies:ThestudiesexceptionallowsforthedisclosureofPersonallyIdentifiable Information(Pll)fromeducationrecordswithoutconsenttoorganizations conductingstudiesfor,oronbehalfof,schools,schooldistricts,orpostsecondary institutions.Studiescanbeforthepurposeofdeveloping,validating,or administeringpredictivetests;administeringstudentaidprograms;orimproving instruction(per20U.S.C.§1232g(b)(1)(F)and30C.F.R.§99.31(a)(6)).

2.Pursuantto14 Del.C. §§122(b)(22)and1280(a)ofDelawareAdministrativeCodeTitle14 Section200AdministrationandOperationsin290ApprovalofEducatorPreparation Programs,theDepartmentofEducationmustworkinconjunctionwithDelawareLeadership PreparationProgramsandDelawareInstitutionofHigherEducationtoensurestate-approved leadershippreparationprogramsmeetDepartmentrequirementsandstandardsforprogram renewal,Staterequirementsand,whereapplicable,nationalstandardsappropriatetothe LeadershipPreparationUnitandtheLeadershipPreparationUnit’sindividualprogramsfor

nationalaccreditation.

TheEducationRecordstobedisclosedarethoseidentifiedwithinthe‘Purpose’and ‘DescriptionofActivity’sectionsofthisdocument.Statement(s)ofworkattachedheretoas Appendicesandincorporatedherein,referencespecificthetimelines,fileformats,data variablesandprocessesthatwillbeadheredtobyDDOEand WilmU.

D.DescriptionoftheActivity

ThedataexchangedasapartofthisAgreementisforthepurposeofstateandfederalreporting aswellastheexchangeofdatafornationalaccreditationofHigherEducationInstitutions. Statement(s)ofworkattachedheretoasAppendixAdetailtheexchangeofinformation relevanttothisactivity.Thisactivityisspecifictotheexchangeofinformationneededfor:

1.TheoverarchinggoalofthesereportsistocontinuetostrengthenDelaware’sleadership preparationprogramsandserveasoneinitiativeamongstatewideandnationaleffortsto continuouslyimprovethequalityandtransparencyofleadershippreparation.

2.TheLeadershipPreparationProgramReportsdatathatareproducedandpublicly availableonabi-annualbasis.

3.DelawareInstitutesofHigherEducation(IHE)toobtainnationalaccreditationasa baselinerequirementinordertooperateinDelawareanddataneededtomaintainthis accreditation.

E.ProtectionfromFurtherDisclosureandUnauthorizedUse

1. DDOE willbetherecipientofdatafrom WilmU andwillabidebytheprovisionsofDelaware DepartmentofTechnologyandInformation(DTI)DataClassificationPolicyIN-DataClass-001 andInformationSecurityPolicySE-ESP-001.

2.DDOEand WilmU willabidebyapplicablestateandfederallawsandguidelines,including theprovisionsofFERPA,ifapplicable.

3.Personallyidentifiableinformation(PII)willneitherbepubliclydisclosednorusedtoaffect therights,privileges,orbenefitsofindividuals.

4.Electronicfilesdisclosedbythepartieswillbeprotectedviathefollowingmeans:

a.DatafilescontainingpersonallyidentifiableinformationwillbetransmittedviaWeb servicesusingSSL-TLS.

b.Filetransferserviceswillbeviasecuremeans(secureFTPorequivalent).

c.DDOEwilllimitaccesstodatacoveredinthisAgreementtoaminimumnumberof individualsnecessarytoachievethepurposestatedintheAgreement.

d.Ifthepurposesforwhichthedatafilewassentdonotrequirepersonneltoprint,display orotherwiseviewpersonallyidentifiableinformationcontainedinthedatafilescovered bythisAgreement,theywillrefrainfromdoingso.

e.Ifmeetingthepurposesforwhichthedatafilesweresentrequirespersonneltoprint, display,orotherwiseviewpersonallyidentifiableinformationcontainedinthefiles,it willbedoneinamannerthatpreventsthedisclosureofthecontentsofthefileby personnelnotinvolvedintheproject.

f.Datafilescontainingstudent-leveldataandanyprintedcopiesofsuchinformationwill bestoredinasecurelocation,suchasalockeddeskorfilecabinet,exceptforwhenin useforthepurposeforwhichitwasprovided.Electronicfileswillbestoredinsecure computerfacilitieswithstrictdataprocessingcontrolsapplied.

5.NeitherpartywillprovidedatacoveredbythisAgreementtoanythirdpartynotspecifically namedinthisAgreementortoanyentityorpersonineligibletoreceivePIIorprohibited fromreceivingsuchdatabyvirtueofafindingunderStateandFederalregulations.

F.StewardsofData

ForthepurposesofthisAgreement,forensuringDDOE’scompliancewiththetermsofthis Agreementandallapplicablestateandfederallawsandforallcommunicationsregardingthis Agreement:

1.DDOEdesignatestheDataandOperationsOfficerforDDOE,apositioncurrentlyheldby AdrianL.Peoples,Ed.D.,astheStewardofthedatasharedunderthisAgreement.

2. WilmU designatestheOfficeofTechnology,Assessment,andCompliance underthe directionofDr.MicheleBrewer of WilmingtonUniversity,astheStewardofthedata thatissharedunderthisAgreement.

G.DestructionofPersonallyIdentifiableInformation

1.WhenthedataexchangedunderthetermsoftheAgreementisnolongerneededforthe purposesspecifiedherein,thecustodianorhisagentwilldestroythatinformation.

2.Originaldatafileswillbedestroyedandelectroniccopieswillbepurgedfrom WilmU computersystemswhentheyarenolongerneededforthepurposesstatedinthis Agreement.

H.Duration

1.Unlessotherwisespecified,thisAgreementcommencesuponsignatureofbothparties.

2.ThisAgreementmaybereviewedannuallyandasneeded.Allchangesand/ormodifications willbeagreedtoinwritingbybothparties.

3.ThisAgreementmaybeterminatedbyeitherpartypriortotheenddateUptonthirtydays writtennoticeofeithersignatory.

I.Approvals

ThepartiesnamedhereinareboundtothetermsofthisAgreementincludingconfidentiality, maintenance,publication,anddestructionofdata.Allrelatedorassociatedinstitutions,individuals, employees,orcontractorswhomayhaveaccesstothedataareboundtothetermsofthis Agreement.Allrelatedorassociatedinstitutions,individuals,employees,orcontractorswhomay own,lease,orcontrolequipmentorfacilitiesofanykindwherethedataisstored,maintainedor usedinanywayarealsoboundtothetermsofthisAgreement.

Bothpartiesagreetoestablishappropriateadministrative,technicalandphysicalsafeguardsto protecttheconfidentialityofthedataandtopreventunauthorizeduseoraccesstoit.The safeguardsshouldprovidealevelandscopeofsecuritythatisnotlessthanthelevelandscopeof securityestablishedbytheDDOEDataClassificationPolicy.

J.AssignmentofRights

NeitherthisAgreement,noranyrights,dutiesnorobligationsdescribedhereinshallbeassignedby DDOEwithoutthepriorwrittenconsentof WilmU

NeitherthisAgreement,noranyrights,dutiesnorobligationsdescribedhereinshallbeassignedby WilmU withoutthepriorwrittenconsentofDDOE.

K.EntiretyofAgreement

AlltermsandconditionsofthisAgreementareembodiedhereinandintheStatementofWork heretoasAppendixA.NoothertermsandconditionswillbeconsideredapartofthisAgreement unlessexpresslyagreeduponinwritingandsignedbybothparties.
