Editor’s Note Where has the year gone! We have definitely seen a shift in the economic climate, but personally speaking it has not been as bad as expected and I trust the same can be said for you? I know we are not out of the woods yet and we will have to keep on working hard over the festive season to ensure continued growth in the coming year. However, as we approach Christmas I think the important thing to do is to work out a plan of action where you can all obtain a healthy work-life balance and by that I mean you should include taking a well earned rest between Christmas and the New Year. I know certain businesses have to be open to service their clients during this period, but hopefully for the majority of us it is a suitable time to take a break and re-charge our batteries. You will then come back to the office in the New Year ready to carry out that action plan and have renewed enthusiasm to try and increase turnover, but more importantly increase profits! Remember; Cash is King! Many profitable companies have gone out of business because of poor cash-flow, but just make sure you are not one of them. You will then be able to reap the rewards of your plans and efforts. Provision of Company Vans Income tax treatment By Andrew Hill, Director at Hill Osborne
W
here a company van is ‘’made available‘’ to an employee for private use, a benefit in kind will arise to the employee where such employee is either a director or earns in excess of £8,500 per annum. It is worth noting that it doesn’t matter whether or not the van is actually used by the employee for private trips that counts – it’s whether or not the vehicle was made available for such purpose. In certain instances therefore, where it is intended to avoid the imposition of the benefit in kind rules, there may be some merit in incorporating appropriate wording within the employee’s employment contract such that private use beyond Hill Osborne commuting is prohibited – this may go a long way Logo Variant 1
to avoiding any subsequent argument with HMRC. Private use does not include travel to and from work or insignificant private journeys. Where a van is made available for private use by an employee the taxable benefit is a flat sum of £3,000 per annum irrespective of age or CO2 emissions. So, for a basic rate tax payer the actual tax cost is £600 per annum - £3,000 @ 20%. This taxable benefit includes not only the private use of the vehicle itself but also the provision of fuel for private journeys. Business contracts can be tricky things! By Susie Sanusi, Dickinson Manser LLP Solicitors Business contracts can range from informal agreements reached verbally or by email, to detailed signed documents. Unfortunately, disputes over business contracts are common and three recent cases have raised some interesting points. Businesses commonly reach agreements by email but when does the contract arise? A recent Court of Appeal decision found that a contract had arisen even though the emails creating it referred to a formal contract for signature being to follow. Businesses should ask themselves whether those they rely on to enter contracts really understand what is required. Even signed contracts can cause problems. One recent case went all the way to the Supreme Court and concerned the interpretation of an ambiguous provision of a signed contract. The Court decided to prefer the interpretation that it considered most consistent with business common sense, although whether each party agreed with the Court’s idea of business common sense is another matter! Another case which reached the Court of Appeal recently involved a written contract, which after detailed negotiations, reflected one party’s intentions, but not the other’s. Only one person appreciated the confusion between the parties, but he kept quiet, as his company’s intentions were reflected in the contract. Once the case finally reached the Court of Appeal he was criticised and the contract was rectified, costing his company a lot of money! imple advice for employees that will keep your reputation and job safe after the potential disaster zone known as; the Office Christmas Party.
We’ve all heard the cliché, drunken declarations of love, slagging off the boss when they’re right behind you and the inevitable office snog that is talked about for years to come. The office Christmas party is a great opportunity for employees to let their hair down after a hectic year of work. However, it is vital to remember that even though you’re partying, it’s still an office event so here are some valuable tips to keep your reputation and your job safe over the yuletide season. • Know your limit: This is rule number one, people can be slightly uncomfortable mixing their leisure time with colleagues and the obvious solution seems to be to drink so much you lose these inhibitions. All this results in is a splitting hangover and a huge risk of doing something you’ll regret in front of your colleagues. Steer clear of this by drinking less, drinking more slowly or alternating between alcoholic and soft drinks. • Avoid gossip and shop talk: It’s always tempting to moan about management, slag off staff and whine about work, especially when the alcohol is flowing but this a huge no-no. Not only does shop talk make you sound like you have no life, you also run the risk of saying the wrong thing to the wrong person and if you’ve had a few then you’re probably saying it loudly enough to be heard by the person in question. Avoid like the plague.
• Flirt at your own risk: That guy or girl in accounting just smiled at you, you’ve not really noticed them around the office but they’re looking good to you right now, perhaps you should make your move? Harmless flirting can certainly break the ice at Christmas parties but it’s advisable to keep it harmless. With several glasses of house red in you, you may not be as charming as you think and they may not be as attractive as you think. • Know when your night is over: Trust your instincts on this one. If you feel too drunk, sick or likely to embarrass yourself then make your excuses and leave. There is no shame in leaving early if you need to, most employers will respect that. The campaign aims to encourage Government to bring in policies that will deliver tangible results on growth, with the manifesto setting out some of the measures that can be taken to remove burdens small firms’ face setting up and growing their business. Setting up and running a business can be a daunting prospect, but turning a good idea into a business can be one of the most positive and rewarding acts an individual can perform not just for themselves but also for the community in which they live. As well as focussing on the introduction of the Dorset Local Enterprise Partnership, several other issues were discussed - including continuing difficulties small firms face accessing finance and the all-consuming red tape and regulation that businesses must abide by. It was evident that each MP was fully aware of many of the issues that impact the Dorset small business community and are actively concerned in finding solutions. The FSB were delighted that the majority of Dorset MPs were able to meet with FSB representatives and to confirm their concern and commitment for local small businesses. The intention is for the FSB continue regular meetings with local MPs to maintain focus on the importance of small businesses to the resurgent economy.

he Government has launched a new savings wrapper, the Junior ISA, for any UK resident child who is under 18 at the time the account is established (except for those that already have a Child Trust Fund).

PROPERTY ABANDONMENT EXPLAINED! By Sharon Canning from Move on Rentals

hat is Abandonment? Abandonment is the voluntary surrender of a legal right, for example, an interest in land or property – a tenancy. Under S1 (2) Protection from eviction act 1977 it is an offence for any person to unlawfully deprive or attempt to deprive a “Residential Occupier” of the premises or any part thereof and by virtue of S5 (2) Housing Act 1988 a tenancy can only be bought to an end by the landlord obtaining a court possession order or by a surrender or similar act by the tenant. If a tenant has left some or all of their possessions then a Court will often interpret that as “demonstrating an intention to return” and that the tenant intends the tenancy to continue. Should
a landlord make a wrong decision in assuming that the tenant has left and then attempts to re-let the property only for the tenant to return then the landlord could be sued for damages! Reasons for a tenant not to have been around could be a long holiday, in jail or even in hospital due to a serious accident and therefore the tenant is legally entitled to return and take up residence again. If all avenues of attempting to contact the tenant has failed and the property shows signs of obvious abandonment, it is advisable to leave a ‘Notice of Abandonment’ on the front door for 14 days, stating a change of locks and how to contact you. If there is any doubt, always go down the route of obtaining a court order and always seek legal advice.

Break down barriers with lifelong learning By Steve Cook, MD at Seeker It’s pointless to pretend otherwise, business is having a hard time at the moment and no amount of positive spin is going to accelerate the recovery. We should be providing as much information as possible and making it easy to understand. Think about your product. What are its benefits to the customer? How can that value be quantified? For instance, we all know the value of good public relations. A positive story in the press will boost your profile and reinforce your credentials as an expert in your field, thereby increasing customer awareness which results in more prospects becoming clients and better sales.

Print it any colour as long as it’s green? By Peter Westwood, Remous Design and Print

he printing process and the way in which individual printed projects are designed both have an impact on the environment. However, there are many ways in which this impact can be reduced and the printing industry itself has come a long way over the past couple of decades in changing the way it works to reduce its effect on the environment, mainly through the use of new technologies that have become available. As environmental concerns rightly impact on all our purchasing decisions, more and more companies are looking for printers with the right ‘green’ credentials! So, if you are concerned about the measures your printer has taken in support of their environmental impact then you should check them out to see if they recognise and adopt certain procedures in their production methods and in the materials they use to produce your printed matter. For instance do they follow the guidelines laid down by the Forestry Stewardship Council (FSC) in the selection of recommended papers and boards and do they use cheaper, but more harmful, solvents and inks? To help demonstrate you are cutting down on your carbon footprint, we feel it is your duty to do as much as
you can to limit the damage to the environment. To this end we have listed a few key areas that you should concentrate on. 1. Paper: The paper used should be 100% Chlorine Free and the pulp, used in its production, is to be sourced from well managed wood and sustainable forests. (This means for every tree that is felled a new one is planted). 2. Waste: All paper waste and offcuts are collected once a week to be recycled for future usage.

Use it or risk losing it... Claims must be made by 31st January 2012
MOST commercial buildings contain some items which constitute plant and machinery. If you own a commercial property, it may be possible to claim capital allowances on a proportion of the consideration for the property in accordance with the provisions of CAA 2001, s 562. In simple terms, if the building is any of the following activities there is an opportunity to make a claim – and according to various sources, 96% of UK commercial property has not been claimed! A. A trade B. Ordinary property business C. Furnished holiday lettings business in UK or EEA D. Profession or vocation E. Employment or office So if you own a commercial property, are making a profit and paying UK tax then you must consider the possibility of a capital allowance tax refund. The whole process can be achieved in 45 days and we work closely with you, your
accountant and other professionals to ensure that once the claim has been submitted it will be a guaranteed success. We undertake a full site and property survey which will then be signed off and submitted to HMRC. The average claimant is able to achieve around £40k of refund/benefit and if we fail to find £50,000 of unidentified capital allowances, no fee is payable. Even if your accountant tells you that a claim has been made; we often find that this is not the case and by working with them we can identify ways to help. It is also important to act now as HMRC will only consider claims made before 31st January 2012.

The research measured our happiness and energy whilst watching TV, listening to the radio or music relative to going about our daily lives without, as the report says, ‘consuming media’. A number of interesting facts came out. Firstly, men are generally more happy than women and the over 25s are happier than the under 25s. Our happiness and energy also varied over the day. Our lowest energy level is unsurprisingly at breakfast time and we feel our happiest during the evening. For weekend sports enthusiasts, you may want to consider re-organising your life as energy levels take a dive on a Saturday and Sunday. On the positive side, the happiest day of the week is Saturday. The researchers then studied the effects on our happiness and energy levels when listening to the radio, watching TV or listening to music, with some very interesting results. There’s a 77% increase in happiness and a massive 280% increase in energy while listening to music. This might explains why Zumba classes are making such an impact with some people finding the music and dance addictive.
Still, for those of us that don’t have a propensity to throw ourselves around the area’s gyms and church halls, you’ll be pleased to know we can still benefit, as it turns out radio gives an even greater boost to energy and happiness levels. In fact the research shows that radio alone out performs other media such as TV and online by boosting energy levels and increasing happiness up to 100%. The research of course has a practical benefit for business. When energy is low but happiness is high, such as during the late afternoon, we are more likely to treat ourselves to discretionary purchases such as clothes, meals out and entertaining. Good news for landlords! When landlords have a tenant who can’t – or won’t – pay their rent, they usually want to get their property back so that they can re-let it to someone who will pay. So they will no doubt welcome a recent decision from the Court of Appeal in the case of Christina Sharples v Places for People Homes Limited. Ms Sharples held an assured tenancy under the Housing Act 1988. She fell behind with her rent, and the landlords commenced possession proceedings. Five days before the scheduled hearing of the possession proceedings, Ms Sharples filed a bankruptcy petition and was made bankrupt. She argued that, since the rent arrears were a debt in her bankruptcy, then the proceedings could not be brought. She claimed that a key purpose of the insolvency legislation was to prevent one creditor getting in through the back door, and gaining an advantage over others. She argued that possession proceedings were a means by which landlords forced tenants to cough up rent arrears, and that if she paid the arrears in order to avoid repossession then the landlord would gain an advantage over other creditors.
Happily, at least from the landlord’s perspective, the Court of Appeal was having none of it. It decided that possession proceedings were not to enforce payment, but to allow a landlord to regain possession of his property. Any payment of arrears would only be an indirect result of possession proceedings, and the proceedings were not therefore a means to extract payment ahead of other creditors. Good news for landlords, then. Even so, possession proceedings can often be long, drawn out and costly affairs, so much better to apply diligent credit control principles to make sure that arrears don’t arise in the first place. Design with the application in mind!

esigning for signs and large format displays requires a little more thought than simply what looks good on screen. What is the application? This is always the first question to be asked, followed by; internal or external, long or short term, plus where, how and to what is the sign to be installed? You also need to know if it is illuminated or not and is planning permission required? These are all details that will affect the design and the final look of the sign or display. The choice of materials, structure, framework etc will be chosen to meet the demands of the situation and the durability required, as well as the aesthetic demands of the company image. Further to this there is always a budget to work to. For example; expanded PVC or Foamex is a popular affordable sign and display substrate.
It is inexpensive, can be printed, have graphics mounted to it and be laminated to have a desired surface finish or to extend the life of the graphic. However Foamex will expand and contract with temperature variations and therefore needs to be installed in a certain way to prevent bowing or even cracking. The graphic design or panel layout also needs to take into account the application. Exhibition graphics tend to be large format with a close viewing distance requiring high quality materials and finishes plus sharp crisp, text and logos with vibrant high quality images. Alternatively, a pitch side advertising panel, such as at AFC Bournemouth, needs to be readable from the stand opposite and from the corporate hospitality boxes; small text and detail may well be wasted.

ake a look out of the window, stark isn’t it; nothing growing, everything hunkering down and waiting for a downturn in temperature. You have two options; to wrap up warm and sit by the fire or get active! I know which option I prefer so let’s get busy on the business for the coming spring. It's just a turning point when things can only get better and pruning is a great way to ensure healthy growth. With a tree it's always tough to decide which branches to trim right back to ensure success next season, but in business we need to be just as tough. There are clients who suck the very life out of you and your business. Some behave like spoilt children, demanding and complaining and unfortunately they are using up your resources that could be better used elsewhere.

This is known as lost opportunity costs and raises the question; “Whatever else am I missing out on while I am being sucked dry by these clients?” If the answer is “loads” then you know what to do, but if the answer is more worryingly “I don’t know” then you need some help identifying opportunities. I am not saying the pruning process is because they are bad people or run bad businesses; it's just that it is a toxic relationship and to ensure that you both survive it is time to cut free. If we keep in mind that we need to culture unfair advantage in everything we do then a great clearout will ensure that you maintain your unfair advantage by only keeping those who have good balanced relationships with your company.
