Directors to the Board of Newham Partnership Working Limited
NPW Ltd is seeking energetic and committed people to join its Board and that of its subsidiary company, The Education Space.
As a Director, you will be responsible for the Company’s strategic direction, providing leadership within a framework of prudent and effective controls, which enables risk to be assessed and managed. It also develops and promotes the Company’s core purpose and principles and its values and the behaviours.
Directors serve on a voluntary basis for a period of three years.
What is NPW Ltd?
Newham Partnership Working (NPW) is a not-for-profit company and a mutual organisation, established in 2012. It delivers a range of key school support services (Schools HR, Education ICT, Governance Services and School Support) to Newham schools and beyond. NPW also delivers a range of commissioned services, which include project management support for academy conversion and school building projects.
What is The Education Space?
The NPW Board established The Education Space Ltd as a wholly-owned subsidiary company in 2019. This subsidiary was set up in order to explore commercial opportunities, enter into joint ventures, and develop commercial partnerships.
The NPW board has oversight of The Education Space to ensure that it is profitable for the benefit of NPW company members and that the NPW group is the ethical partner of choice for the education sector.
Who sits on the NPW Board?
There are places on the Board for 15 to 18 directors. The Company’s Articles of Association provides for the following membership:
•At least 51% of the places to be held by senior employees of School Members
•49% of places to be drawn from other stakeholder groups (NPW employees, Newham Council, governors or trustees of school members and the Co-operative College), co-opted directors and the Chief Executive Officer (by virtue of office)
•Other than the Chief Executive, all directors would be appointed to the Board on the basis of their skills
What is the expected time-commitment?
Directors are expected to attend Board meetings, which are termly (three times per year), the annual general meeting, and take an active role in committees, undertaking associated actions. There are currently three committees: Finance and Audit Committee meeting twice-termly, Nominations Committee meeting once per term, and Pensions Committee meeting annually. Attendance is also expected at the annual Board Development Day, which is focussed around the development of the company, its board, and its directors.
