Information Safekeeping with Employees comment by Giampaolo Crepaldi

10/09/2010 – In our industry, the confidentiality of information regards not only the outside, as we reported in our article “NTT protects information and technologies”. Security also covers the Company’s inside, to say the information with which employees are exposed. While it is difficult to curb the intrusion from the outside to steal information, it is much more hard to try preventing employees in contact with sensitive information, to send outside what they acknowledge. There are different formulas that the NTT Group considers valid basis for the selection of its staff, among which the references from previous employers, researching technical staff through continuous monitoring of their activities prior their hiring, as well as training staff and promote development of chosen ones in schools and universities. NTT spends heavily in staff training to fresh technical diplomated or graduates; these people are the most receptive and you can immediately provide effective directives, guidelines – including moral ones – of the Company. In a few words you effectively trasmit the “Company Philosophy”. This allows NTT to train its staff to get familiar with the procedures and especially the technologies that are unique in their kind. Our state also has imposed to create an employment contract with employees that includes the absolute confidentiality of the information, and details of our process, which cannot be given without consent of NTT. The contract includes a real NDA (Non Disclosure Agreement) which requires any official, technician, manager, not to disclose information, even if his working relationship with NTT concluded. It provides for severe penalties, ranging from monetary fines to the recognition of the damage with the use of ordinary justice. Over the time, we have verified the need to add the ban on working with suppliers and competitors, for a period of time after the termination of the contract, and the obligation to obtain permission from NTT to be employed by customers. The internal control systems of access to sensitive areas, and the IT control of the whole Company business, but especially the monitoring of compliance with the protocol of how to use the information, allow us to immediately know if there is an initiative of espionage or unauthorized disclosure, and the recognition of the person committing such offenses. In addition, our control systems prevent leaking of documents, digital media and anything can be or contain information that should remain within the offices and installations of NTT Group. Fortunately the vast majority of our employees are happy with the professional and personal relationship within NTT Group. Our industry and the expansion of our market give ample career opportunities, in contrast with almost all sectors of other industries, both because of economic and financial crisis, not yet over, and for the necessary costs control policy. But we had some defections in NTT too, who tried to pull off various forms of wrongdoing, generally throwing a bad light on our company and our managers. The modus operandi of these people is the dissemination of false news, or even sensitive or strategic. Often pretending strategic knowledge of details, to find employment or extra income from their disclosure. Our monitoring system, web and print media, however, gives us a quick confirmation of these activities which, for the vast majority of cases, use such means for their delivery. Our attorneys and our legal department, present in all five continents, promptly work in Issued W Van Gulijk 10/09/2010

recognition of such offenses. Making use of the appropriate laws, taking care to stop these activities and to bring the guilty to answer for their crimes and infringements before the courts. We currently have five cases of this kind, ranging from civil suit for damages and for industrial espionage, to the criminal cases where these malicious people are prosecuted for spying, slander, and defamation. You cannot have the greatest certainty that all your control activities prevent instances where the information inappropriately come to public domain. However, NTT Group works as hard as possible to reach this goal. What is crucial is the human and professional relationship between company and employees, managers and engineers, because this is what prevents from even creating any idea to raise such problems. It is commonly said that ‐ in all contracts ‐ there is an unwritten clause first, which is called "Contract management with loyalty, professionalism and common sense". Compliance with this clause alone, suffices to make our precautions only an invisible practice. (G.
