FINANCE
MATTERS
Thinking of selling your business? Some points to ponder
When it’s time to sell your business, there are many things to consider. You’ve got a number of tasks ahead of you before you can walk out the door for the last time, and understanding all of the factors that will need to be addressed when you do sell is vital. Here are just a few things that you’ll have to think about.
How Much is My Business Worth? You probably have a good idea as to what your business is worth when it comes to the property, the physical equipment and furniture and any inventory that you have. But how do you put a price on something like your reputation with the community that you have built up over the last twenty years, or how much you should add to the price for services - like helping the new owner through the transition period of him buying the business and you leaving it. Being able to accurately and completely value everything associated with your business is vital to the sale and to how much you should ask, as well as how much you’ll actually take.
How Can I Minimize Taxes, Fees and Closing Costs When Selling Selling your business with the minimum of fees, taxes and closing costs requires real finesse. You could pay thousands or tens of thousands of pounds in unnecessary fees and taxes if you don’t have expert advice. You’re going to need someone who knows finance in this area to lead you around the normal pitfalls that other business owners fall into when they decide to sell.
What’s Next For You When Your Business is Gone? What about your next endeavor? What are your plans? Are you retiring or starting a new business? An accountant can help you figure out how to plan for retirement, how to start a new business and leave the old one behind and answer questions about all of the financial aspects of moving on.
Don’t Do It Alone!
Business Factors That Affect Value
Weighing all these factors is not a trivial challenge. You simply shouldn’t sell your business without someone by your side that has helped others work through these same questions successfully. Danan Silberstein Accounting can help you create a foolproof exit strategy that will save you the most money, and give you the least amount of headache. Call today and receive a consultation, with absolutely no obligation, or download our handbook called “Leaving Your Business” at http://Business4Sale.DSAccounting.co.uk
External factors can also be important in timing your sale. If you can time your business sale to coincide with a period of economic growth, when buyers outnumber sellers and will pay premium prices, you will most likely secure the best price. There are a number of questions that could affect the value of your business at the time of sale: What is the impact of the current state of the stock market? To what extent is your business ‘trendy’ or at the leading edge? Is your business doing better than other similar businesses? Is your business at, or near, its full potential?
Jonathan Danan, a Chartered Accountant since 2005, spent over 12 years in practice in mid-tier firms in London and abroad where he gained considerable experience providing diverse accounting services to a variety of sectors. The Danan Silberstein’s online platform was borne out of a need to service clients from a distance delivering the dramatic advantages of a virtual in-house financial adviser while simultaneously delivering real cost savings in dayto-day bookkeeping and year end tax reporting. All with direct access throughout the year to a financial adviser that has constant access to your firms books. Check us out at http://DSAccounting.co.uk

Palestine – To Be or Not To Be
Over the last few months the situation in Israel and Palestine has featured heavily in Parliament and this has been reflected in the unprecedented amount of correspondence I have received from constituents on the issue. During the summer the escalating violence in Israel and Gaza was deeply concerning to us all. Ministers made clear to all parties at every opportunity that all security operations should be conducted with due care and proportionate use of force. Whilst hundreds of thousands of vulnerable civilians in Gaza suffered acutely from this crisis, an estimated 5 million Israeli civilians were living within range of rockets fired from Gaza. I firmly believe that Israel had a right to defend itself against indiscriminate rocket attacks and I welcomed the comments of the Prime Minister who consistently reiterated the UK’s “staunch support for Israel” in the face of rocket attacks. On Monday 13th October the House of Commons debated a Labour motion – with an amendment from Jack Straw MP – on whether to recognise Palestine as a state. Whilst Palestinian statehood is, without doubt, a significant issue, I believe this motion was not only premature but also misguided. The amendment was not the one many of us supported and the subsequent ‘Yes’ vote will be nothing more than a propaganda victory for those who wish to bypass the mediation of the peace process. Underpinning the Middle East Peace process are several documents which prohibit the unilateral diplomatic action the motion was seeking. In 1993 and 1995 the PLO committed itself to a declaration that all outstanding issues relating to the permanent status will be resolved through negotiations and agreed not to take any step that would change the status of the Palestinian territories pending the outcome of permanent status negotiations. This is an agreement to which our Government – as part of the European Union and the Quartet – is a signatory. The motion blatantly ignored this and, although as back-bench business it is non-binding on the Government, it is likely to undermine efforts to achieve a negotiated twostate solution between Israel and Palestine.
It is vital that any peace is reached through negotiation and mutual agreement between Israel and the Palestinian Authority, not through unilateral moves or pre-emptive recognition. The repeated policy of the UK Government is that a Palestinian state will only be recognised after a final settlement has been agreed through direct peace talks with Israel that address a variety of concerns including security, settlements, borders and – most importantly – a tacit agreement of Israel’s right to exist. I understood that the Labour Party supported that view but their MPs were whipped to support this motion. During the debate, the Labour Spokesman on the Middle East made it clear that if the current Government does not recognise Palestinian statehood, “It will be decided by Labour in government if the decision has not been made by this Government before Labour comes to power.” He continued “We are clear that Palestinian statehood is not a gift to be given, but a right to be recognised. That is why—the hon. Member for Hendon (Dr Offord) should heed this—since 2011, when the Leader of the Opposition made Labour policy clear, Labour has supported Palestinian recognition at the United Nations.” (Hansard 13 Oct 2014 : Column 96) I voted against the motion for the reasons outlined above. I am saddened that the motion ignored decades of peace talks and international efforts to achieve a negotiated two-state solution. I believe it was an example of gesture politics, something which proposes an action which sounds attractive to one side of a debate without much thought for the consequences. Meanwhile, I am pleased that David Cameron is leading the way on what would actually help solve the region’s problems. He has made it abundantly clear that, for there to be lasting peace between Israel and the Palestinians, there must be a negotiated, two-state solution and I wholeheartedly endorse that view. Dr Matthew Offord is the Member of Parliament (MP) for the constituency of Hendon. We are delighted that he has agreed to respond to questions/concerns regarding Central Government matters. We therefore invite readers to submit these to the North West Circular (info@northwestcircular.com) for Dr Offord to address via this Column.

Introducing Mayanei Hayeshua Medical Centre...
The siren wailed across Bnei Brak as people rushed to a shelter or safe room. Eighteenyear-old Yosef stood paralyzed with anxiety, unable to run to the shelter or move from his parents’ apartment. Yosef hadn’t left his home since the recent military operation began; he refused to go to Yeshiva and he would take hours to fall asleep each night. In the months leading up to the outbreak of war, Yosef had experienced moments when his heart-rate would race, he would feel his chest constricting and he would feel like he was going to faint. He had stopped eating lunch and dinner with his peers and he mostly kept to himself until he could rush home and hide in his room. As the sirens signalled rockets flying overhead, his symptoms had worsened and his parents knew that he needed help urgently.
medical services. MHMC, as Israel’s up and coming medical centre, is unique as a provider of high-level medical services in accordance with Halacha. MHMC has an onsite rabbinical council and medical Halacha kollel led by Harav Yitzhak Zilberstein. The hospital delivers both “good medicine and good Halacha,” says one physician. In just the past five years, MHMC has experienced rapid growth, particularly as many are beginning to seek help for mental illness. In 2013 alone, over 3,350 new patients came to the hospital for psychiatric services. Committed to maintaining its reputation as a leading community hospital in Israel, MHMC aims to expand its reach in order to meet the rising demand for its unique services. Under construction is brand new, eight-story Centre for Mental Health that will house several units equipped for treating patients with a range of mental health issues. Inside the facility will be the new Family Therapy Unit, named in memory of the late Rabbi Mordechai Fachler, to assist families dealing with the impact of mental illness. Currently nearing completion, this project fills a growing need for comprehensive and quality mental health resources in Israel.
How can you help?
With your support, MHMC can raise the bar and build the future of health care. On Monday, 1 December, Barbara and Mick Davis will be hosting a tribute dinner in aid of the Mordechai Fachler Family Therapy Unit, honouring Chava and Eli Fachler at the Millennium Hotel London Mayfair. Join us in supporting the tremendous work done at MHMC.
Consistent with national statistics, one in four people from Israel’s heimishe community will experience mental illness during their lifetime. Be it a period of bleak depression, unmanageable anxiety or symptoms of traumatic stress, mental illness can strike anyone, at any time. Unlike Israel’s other communities, until recently, there was nowhere for a Torah-observant Israeli to turn. Now there is a ground-breaking programme underway to address the stigma both within the community and also to establish facilities that will enable sufferers to access treatment that is respectful of religious boundaries.

You’ve just launched the brand ‘Duddy’s’ – what is it? For now “Duddy’s” focuses on Events, Productions and Simchas. The main idea behind the brand is to convey that we are multi-faceted and have many dimensions. We are transparent in what we do and every event will be unique and different. We will do our utmost to ensure they stand out and those who have attended leave with a special feeling. These things are portrayed in a diamond which is where the concept for the brand originated. What made you go into this? I enjoy organising and take pride in it. Having been involved in creating & organising events for many years I wanted to advance down this path in a professional way. I have been engaged with communal & family events since I moved back to London just over 10 years ago, with the focus being on community projects. After a very successful concert 18 months ago, the first of what has become an ‘Annual Kumzits’, I was approached by a friend to coordinate a wedding. Since then, I have coordinated more than a dozen weddings, which has in turn paved the way for a career in ‘Event Planning’, in more of a professional capacity. You are known for being involved in many communal projects – would you really be able to focus on an event whilst you are juggling so many duties?
mins with...
the necessary skills over the years. The other projects and organisations I am involved with are more on an ad-hoc basis, and are generally dealt with during quieter times. I will not take on any project unless I know for certain that I would be able to give my full attention, dedication and sufficient time for it. Furthermore, Events would have priority over the other part-time organisations/projects that I’m currently involved with. The experience of both, having been and currently being, involved in other projects has been a huge advantage. It has given me the skills and understanding to know the needs and requirements of the parties on the receiving-end.
How exactly would I benefit from hiring “Duddy’s” for a Simcha/Event? Apart from us ensuring and enforcing that the timetable and plans all run timely and smoothly, we will also ensure that the client’s needs/ instructions are taken care of and carried out in the appropriate and most effective manner. Many guests can be opinionated to the extent that they can sometimes instruct a musician or waiter to change something; e.g. “turn the music louder”, “turn the air conditioning off – it’s too cold in here’’ – we will ensure that the client’s wants are met. The client is the decision-maker and thus we ensure that whatever s/he has decided is accomplished.
As Benjamin Franklin once said; “if you want to get something done, ask a busy person to do it”! A main skill required in Event Planning/ Coordination is being able to multi-task well. I believe that my simultaneous involvement with a few projects has subsequently given me the necessary skills for this Event Planning/ Coordination.
Just this week we did a function – the layout was changed ‘in the 11th hour’ to make it more suited, comfortable and we utilised space that wasn’t accounted for. Often this is only realised once the hall has been setup. Unexpected things do happen/arise and so effective contingency plans need to be in place. Very often decisions need to be made where an opportunity-cost would occur – “Duddy’s” can evaluate unexpected dilemmas that arise to ensure that the most beneficial decision is made.
I am looking at advancing my career down the ‘Event Planning’ path now, and it has thus become a focal point for me as regards my career. This is as a result of accumulating
“Duddy’s” ensures that money is well spent by negotiating better deals and packages on a client’s behalf. Furthermore, our solid relationships with suppliers are priceless as

regards receiving favours and extras from them during the event. What’s the difference between an ‘Event Coordinator’ & an ‘Event Planner’, or a ‘Party Planner’ as it’s sometimes referred to? ‘Coordination’ becomes relevant when the client knows what he wants; they’ve called and booked the suppliers and have decided on aspects down to a fine detail. The job is to ensure timings are kept to, and to bring out the best of the chosen suppliers. A main duty is also to ‘control’ the suppliers, to the extent that each does not dominate over the other, or over the event for that matter. For example, the photographer wants as much time as possible for photos; the speakers might want to speak for longer etc. so a ‘coordination skill’ is to juggle and orchestrate the suppliers so that each complements each other, as well as the actual event. ‘Planning’ is a stage earlier. It entails understanding the requirements of both the client and the audience so that the most suited and relevant plans are arranged to the extent that it becomes tailored towards the client and their audience. There is sufficient room for the array of caterers & venues etc – some are best suited for this client, whilst others are best suited for that client. “Duddy’s” can identify which suppliers are best suited for your event. By starting to be involved in an event at this earlier stage - more preparation for the unknown can be accomplished. Can “Duddy’s” benefit an Organisation, or just Private Functions/Simchas? At “Duddy’s” we cater for Events of Organizations, as well as for private events. At such an event, the audience must understand the need of the organisation for the function to be effective. “Duddy’s”, by way of innovative ideas, ensures that ideas are incorporated which causes an awareness of the organisation, to the effect that people understand its needs and accomplishments.
Regarding a Fundraising Dinner, for example, it is not just about the fundraising, the cost to attend a dinner or advertisements in a brochure – it is more about the marketing and building up of the name and need of the Organisation. There is very often an opportunity at the event to donate more to the cause, be it by way of an appeal or with a more innovative way. “Duddy’s” helps bring out the best during the event so that effectively the audience understands why the organisation exists, as well as the benefits that it offers to the community. The only way people can have appreciation of an Organisation is if they understand it. How are you looking to grow? We are always looking out for talent and originality so that we can utilise it as and when needed. Be it with individuals to assist on projects, or for elements that can be used at events to make them unique. There is so much - everyone has things they offer, and we feel we can help identify this and find the right match. We are eager to take on project of any size and assist organisations to come up with something with a difference, something to make them stand out and something to make people want to attend. “Duddy’s” will create Events that will be remembered, Productions that will be electric and Simchas that iy”H will last forever.
