Key Issues in Leasing Transactions PARTIES OFTEN INITIATE LEASE NEGOTIATIONS by outlining the basic terms of a transaction in a letter of intent (LOI). This lets the parties confirm they are in agreement on essential terms before taking the time and expense to negotiate all issues that may arise in the lease. • Issues – The issues raised in an LOI depend on the complexity and type of
the transaction. A complex office lease transaction with multiple options, for example, may have several detailed provision not found in a basic office lease LOI. And a lease for retail space should address several issues that are not relevant in an office lease. Some of the key points addressed in an LOI for an office lease often include rent, term, rent and commencement date, termination rights (if any), options such as extension, expansion and the like, tenant improvement allowances and free rent periods, initial build-out of the space, among other key points.
• Leasing Team – While an experienced broker will definitely address key LOI
issues, it is always beneficial to have a commercial real estate attorney review the LOI prior to signing. In simple transactions, very little time is spent, and in all cases, the landlord or tenant gets the benefit of two professionals. The broker will advise the party on key business and operational points, while the attorney may provide insight on guaranties, indemnities, subordination and other legal issues. And when the drafting or reviewing the lease, the attorney familiar with the LOI can then incorporate the agreed upon terms in the lease (or review the other party’s draft) resulting in a quicker turnaround time, less contentious negotiations and lower costs.
