Production Time - Stock Caps Blank stock caps can be shipped within two days of order. Embroidered stock caps will normally ship within 10 days after tape approval.

Color photographs in this catalog are approximate and may or may not be true color representations of the actual product. To see actual fabric color please order a sample or swatch.

Production Time - Custom Caps Normal production time for custom caps is 10 to 12 weeks after proof approval. Due to unforeseen production demands or material delays, production time may vary. Please contact Imperial for current production time.

Orders Orders must be in written form with purchase order number. Orders with fixed artwork will not be scheduled for production until proof approval is received. Shipping dates will be confirmed upon receipt of the proof approval. Terms and Conditions Credit terms are net 30 days from date of invoice. For new customers, terms are COD, cash in advance (including shipping charges), MasterCard, or VISA unless other prior arrangements have been made. Cash in advance orders are not placed into production until payment is received. Please allow two weeks to set up a new account from the time credit references are received. All invoices not paid in 30 days will incur a 1.5% interest charge per month or the maximum allowed by law. Rush Orders Rush orders are accepted only if production allows. Rush charges may apply. Please contact Imperial for production availability and rush charge quote. Dated Events Orders for dated events must include a deadline date. If Imperial is unable to meet your deadline, you will be notified shortly after receipt of order. Imperial will not be responsible for missing an event date if it is not specified on the purchase order. Imperial will not be responsible for delays in guaranteed delivery due to shipper. Copyright And Trademark Laws Imperial assumes when artwork is submitted for an order that the artwork was submitted in full compliance with the laws governing copyright, trademarks, etc. Purchasers placing these orders agree to hold Imperial and any associated companies harmless for any damages and/or arising under these laws as a consequence of use of such trademarks or logos. Tape Set Up Charges $75 tape set up charge will apply if order is less than 72 pieces and dst file is not provided. Returns Returns will not be accepted without a return authorization number provided by Imperial. All claims must be made in writing no later than ten working days from receipt of merchandise. Inspect all shipments for accuracy immediately upon receipt. Unauthorized returns will be refused. Extra Stitches Standard embroidery includes 10,000 stitches in one location. Anything over the 10,000 stitches will be an additional charge of $0.10/1000. Tape and Edit Charges Reduction or enlargement of Imperial’s or customer supplied tape $50.00 each. Maximum enlargement or reduction 20% of original size. Some reductions or enlargements may require a new embroidery tape to maintain embroidery quality. One line edit $30.00 each. Disputes Imperial must be notified of a dispute within 10 working days of receipt of merchandise. After ten working days the dispute is no longer valid. Imperial should be notified of any dispute regarding merchandise, price, terms, or shipping. All Prices Subject to Change Without Notice.

FOB Point Missouri unless otherwise specified. Fabric Color Variations Due to variations of dye lots, we cannot guarantee exact color matches of material with each shipment. Certain twills and distressed materials may have shading variations within in the cap themselves. Metallic Thread Add $0.50 each. Gold and silver threads are available. Artwork No art charges are required when camera ready artwork is provided. Camera ready is high quality black and white, color separated line art to size. Touch up charges may be required if camera ready art does not meet standards for decoration ordered. Faxed art, photocopies, and halftone art are not camera ready. Imperial reserves the right to use discretion on minor layout changes or embroidery sizes that will not affect the overall appearance unless otherwise instructed. Embroidery Colors Color matches cannot be guaranteed to be exact, whether PMS colors or color swatches. Every effort will be made to match color as close as possible. Distressed materials in all colors have a tendency to bleed into colored embroidery threads. 3D Embroidery Prior approval needed for 3D embroidery. Cancellations No cancellations will be accepted by Imperial unless approved and submitted in written form. Orders entered into production cannot be canceled. Dry Cleaning Or Washing Of Caps Imperial does not recommend dry cleaning or washing of its caps. Overruns And Under-Runs Every effort will be made to ship exact quantities. However, on custom cap orders a 5% over or under variance will be considered complete and billable. Changes Or Corrections Changes to an order already in process may be made depending on the status of the order, provided the customer agrees to compensate for all costs incurred in changing the order. Customer also agrees to additional production time if necessary. Duplicate Tapes Same size at time of punching $25.00 each. PAi Terms and Conditions The following additional terms and conditions shall govern all transactions (the “Agreement”) between your company (the “Company”) and Paramount Apparel International, Inc. (“PAi”): 1. Company warrants and represents (a) that it has and will continue to have throughout the term of this Agreement all necessary rights for PAi to create, manufacture, and deliver the goods covered by this Agreement, and (b) that PAi’s creation, manufacture, and delivery of those goods will not infringe upon the copyright, trademark, or other intellectual property rights of any other party and will not defame or violate the right of privacy, publicity, or other rights of any person. 2. Company agrees to indemnify, defend and hold harmless PAi and its shareholders, directors, officers, employees, representatives, successors and assigns from any loss, liability, damage, cost or expense (including reasonable attorneys’ fees and out of pocket expenses for defense of any action) arising out of or relating to any breach, actual or alleged, of any warranty or representation of Company or any covenant or obligation undertaken by Company in this Agreement, including, without limitation, any claim by a third party for trademark, copyright or other intellectual property infringement, dilution, or misappropriation or breach of any privacy or publicity right arising out of PAi’s performance of its obligations under this Agreement. 3. PAi’s maximum liability under this Agreement shall be limited to the the Company’s payments to PAi during the term of this Agreement. PAi will not be liable for any consequential, incidental, indirect, special or punitive damages (including lost profits or savings), even if aware of their possible existence.

4. This notice serves as a written objection to and rejection of all inconsistent or additional terms, conditions, and limitations (together, “Terms”) contained on any form or writing of Company. The terms and conditions of this Agreement will supersede any such Terms contained on any invoice, order, acceptance, acknowledgment or other writing Company may give or receive. 5. This acknowledgment shall operate as PAi’s acceptance of Company’s purchase order, but such acceptance is conditional on assent by Company to the terms and conditions included in this acknowledgment. Such assent shall be deemed to have been given unless written notice of objection to any of such conditions (including inconsistencies between Company’s purchase order and this acceptance) is given by Company to PAi promptly on receipt of this acknowledgment. 6. Shipments, deliveries and performance of work shall at all times be subject to the approval of PAi’s credit department. PAi shall have the right to decline to make any shipment or delivery for any reason at any time. 7. Company shall notify PAi within 10 (ten) days of receipt of goods of any damaged goods or discrepancy in the order; otherwise, any such claim shall be denied. No items shall be returned without PAi’s consent. This order is not cancelable by Company. Company shall have the risk of loss of goods in transit. 8. This order shall be governed by the laws of the State of Missouri. The sole venue for any legal action between Company and PAi shall be in Crawford County, Missouri.
