From there just a few metres on the left you will find what was once Big Mama’s Bar now going through something of a transformation. For newly named Mama’s Bar is now the home of Alex and Prebsi who is making Big Changes! This bar used to just concentrate on the night time traffic but Alex has introduced some great food. On the Sunday that The Trader was there, the special was Wienerschnitzel a well known favourite dish with Germans, Austrians and the many Danish visitors to Soi Whitehouse. The portion was a fantastic size for only 99 baht and I have to say everything was perfectly cooked including the accompanying potatoes and carrots. It is best to get there early to avoid disappointment. Recently when Spare Ribs was the special of the day - again at the incredible price of 99 baht - they sold out! So get along to Soi Whitehouse, and if you would like to hire the whole bar for a birthday or private function get in touch with Alex and he can organise the entire event for you including all the catering. The Premier League Update

A

t the time of going to print we have just once again come out of the back of yet another International Friendly week of football. For Premier League fans this is an unnecessary break in a fledgling season, that has already been interrupted by one previous international break. Only ten matches have been played and unbelievably there have already been two breaks, and considering the wonderful four weeks of World Cup soccer in the summer what else can the managers possibly learn from their teams? One of the team here at Pattaya Trader is already complaining that his Spurs team have not fully recovered from World Cup duties, and now Tottenham are releasing players once again to their countries. And it is true that some clubs have already lost players because of injuries picked up in International Friendlies. So the 2018 / 2019 Season is not quite into full flow yet, and it is difficult to make sense of the football that has have been played up to now. Liverpool seem to have confirmed their promise that they left us with at the end of last season, and Jurgen Klopp’s additions to his squad over the summer seem to have strengthened the squad considerably. The addition of expensive new goalkeeper Alisson seems to have secured things at the back and once Mo Salah starts to find the net again Liverpool will be a force to be reckoned with. Chelsea under the new managership of Maurizio Sarri have got off to a flying start, the team seems to have gelled better and even wayward Ross Barkley is starting to show his precocious talent. Manchester City have started where they left off, and many people and pundits are already tipping them to win the title again season. On the face of it looking at their highly talented squad they are going to be difficult to bet against. However, things are different at the Emirates Stadium this season, the long tenure of Arsene Wenger is finally over and the club is now managed by Unai Emery. Many people, including Arsenal fans,have predicted that it would be a tough season of rebuilding but early signs are encouraging. Arsenal look the real deal in early matches and have surprised many fans by their attacking style of football.

SPORT & LEISURE The only top six member of the elite squad that is not firing on all cylinders seems to be Manchester United, there seems to be real differences between the Gifted One and the vice chairman Ed Woodward. The chemistry on the pitch seems to have gone and there are rumours that Mourinho has lost the dressing room, but in such a vast stadium that is not hard to believe. It does not look as if anybody is really pushing hard to break into the top six. Highly fancied and big spending Everton are still adapting to the style of football that their latest manager, Marco Silva wants them to play. The early loss of their influential captain Seamus Coleman due to an international injury is a big factor to their spluttering early form, once again bringing International Friendlies into the spotlight. Sean Dyche’s team Burnley secured seventh position last time out, but their progression into the Europa League was always going to test the strength of his squad. And in Burnley’s early games this all rang true, they faltered and looked really tired. Thankfully their early exit means that Burnley can concentrate on domestic football and progress up the league. It is about time that the powers that be looked into the format of the junior cup in Europe. The benefits are not really worth clubs participating in the competition, although they have now included Champions League qualification for the winners, surely it is time to get back to a straight knockout tournament and to cut the amount of games that have to be played? Moving swiftly on from this latest gripe, what about the promoted teams from The Championship? As usual three teams were promoted into the Premier League from the Championship this season. Cardiff City, Fulham and Wolverhampton Wanderers all joined the top flight of English football in the 2018 / 2019 season. And as expected Cardiff City are already favourites to go straight back down, and with pantomime villain Neil Warnock at the helm, things do not look promising . Fulham are faring a little better, and owner Shahid Khan spent over one hundred million in the summer to bolster his squad, which is helping their cause no end. The surprise package is Wolves, and likeable Portuguese manager Nuno Espirito Santo, has moulded a proper team together that all play for one another. Others clubs that have had a good start to the season are Bournemouth and Watford. Once again Eddie Howe is surprising everybody with the brand of football his Bournemouth side are playing. His team always seem to be punching above their weight, and surely it is about time that he proves himself at a bigger club. Watford despite losing their star player Richarlison to Everton, have also started strongly as they did last season, the problem was they quickly faded and their early promise did not achieve anything of note. We will be back in the Christmas edition of The Trader to review our predictions and see how the teams are coping half way through the season. warm welcome greeted the players upon their arrival at Pattana Sports Club, where the challenge was the par 73, A & B combination. With the course played from the yellow tees with preferred lies through the green, it was expected the scoring would be even across the field. This proved to be correct, with several countbacks required to split the prize winners. The winner in the Ladies Flight went to Pai Noksa (23) with a creditable 38 points, to go with her Long Drive on B9 and her 2nd shot approach on A7. The A Flight for players for 0 – 12 saw Brad Jordison (9) the winner with 39 points, which was also good enough to win the Low Gross and 2 technical 2nd shot approaches on A4 and B4. The minor placings required a countback, with Andre Coetzee (8) getting the nod over Leif Pettersson (9) 18/15, after both signed for 36 points. B Flight for handicaps 13 – 20 was won by Glenn Armistead (18) with a day’s best score of 42 points, ahead of Jim Reilly (16) on 41 points. Philippe Vos (19) with a back 9 of 21 points edged out Sugar Ray Handford’s 20 points for 3rd place, after both had 38 points. The C Flight winner for handicaps 21+ was decided after a countback, Kevin Johnson (22) with his 40 points, and back 9 of 20, got the top spot on the podium over Richard Kings (27), who managed only 17 points on the back 9. The bronze medal position also required a countback, Don Smalley (21) beating Andy Makara 22/16, after both finished with 37 points. This month’s honorable mentions go out to Steve Truelove with his 2 long drives and 2nd shot approach on A6. Other 2 time technical winners were Tommy Marshall and Sugar Ray Handford as some consolation for missing on the countback. A good crowd came back to Hemingways for the presentation and nobody went home hungry after Dave’s crew did their usual splendid job. “I’m Singing and FISHING in the Rain”

R

ainy days are here again and fishing in Thailand can be no different than dropping a fly on the Colorado River or fishing a canal in Amsterdam or casting a line on one of the Bream filled lakes in Bedford ….Let’s face it, if you’re a diehard fisherman a little rain won’t stop you. Rain or shine the fish have to feed, so why let a light drizzle slow down your fishing.

If you love the fishing game, I can tell you from personal experience that a little rain hasn’t stopped me from reeling in the big one. Caught a cracking 49lb Pike on The Captains Estate in Fivemiletown on a rain soaked day and that was a fish I will never forget... The only disappointment was that it was 3lb short of the lake record in Ireland that year. (But the tent and sausage sandwiches made up for it) Here are my 5 best tips for fishing in the rain, if you’re man or woman enough to brave the 30 degree rain:

1. Foremost is safety.

If you love to fish then sometimes the weather can interfere with having a cast but we need to be safe and protect ourselves. Never head out on the water in a storm or rough conditions. There will be plenty of great days to head out fishing, protect yourself and only fish in safe waters. Check with local weather advisories before heading out on a boat, always. Be sure to have the proper fishing gear in the rain. Waterproof boots and jackets as well as warm clothes will go a long way, especially in cooler weather. It was only recently that the tragedy of the boat filled with Chinese tourists capsized due to money coming before safety.

2. Don’t use topwater lures.

I have noticed recently that some anglers have suggested to friends to use Topwater lures when it’s raining out, however I think this is totally wrong.In my experience lures that go 5+ feet under the water are probably your best bet in the rain. My theory is that the rain causes a lot of top water disturbance as it is, therefore defeating the purpose of many topwater lures. Fish will sit about 5 feet from the surface in rainy weather and will wait for bugs and flies to sink down to them. This is why a mid-depth lure is key during this time.

3. Use bright colours.

It’s raining outside so chances are the sun is covered and the water is a little rough. The motion of you lures is often times compromised in choppy waters so if you’re using a dark coloured lure the fish won’t be able to detect the motion or the sight of it. Lighter and brighter colours tend to produce better results in these conditions.

4. Troll or Retrieve a little quicker.

In rainy weather the oxygen levels of the water below increase making the fish more active. There is a lot of commotion going on and a slow moving lure is often overlooked by fish during these times. Pick up the retrieve ever so slightly during these conditions for better results.

5. My last tip is more of another safety precaution.

Know when to call it a day. A little rain can make the fish really active and can produce some great results. However you need to know when to call it a day if the weather progressively gets worse. Whether you’re on shore at a lake or fishing from a boat your safety is number one.

To sum things up for you: • A mild rain can really get the fish active • Fish about 5 feet under the surface • Use bright colors that fish will notice • Pick up the speed a little when spinning • Don’t let a little drizzle scare you away

R.I.P. Vichai Srivaddhnaprabha a true Football Hero.

L

ast month the football world was left reeling from a disaster that brought a tragic end to what had been a near fairy story tale. Vichai Srivaddhnaprabha known to millions as the man responsible for accomplishing one of the greatest underdog stories in the history of sports was among five people on board his helicopter which crashed outside the King Power Stadium after the team’s match drawing 1-1 against West Ham Vichai Srivaddhnaprabha, No. 388 on the Forbes' billionaires list, with a net worth of $4.9 billion, made his fortune through the creation of the King Power chain of duty-free stores.. He bought Leicester City football club for 39 million pounds in 2010 when it was in the secondtier Championship and bankrolled the revival that peaked with the 5,000-1 outsiders improbably winning the English Premier League in 2016. At first it was believed that his daughter was also on board but it was later confirmed that was not the case and that the other four people killed in the crash were the pilot, Eric Swaffer, his co pilot Izabela Roza Lechowicz and two members of Vichai’s staff, Nursara Suknamai and Kaveporn Punpare. The helicopter spiralled and crashed to the ground before bursting into flames eyewitness Dan Cox, a Sky Sports News cameraman reported: I heard it coming out of the stadium. The next thing I just looked up and it was spinning out of control. I don’t know how the pilot did it but he seemed to manage to slow down the rotation and it drifted off into the corner part of the car park. He managed to crash that helicopter in a part of the ground where there wasn’t anybody there. The pilot was heroic and the two police officers in front of me, who also tried to help are heroes too.” Leicestershire Police have confirmed they will be supporting the Air Accidents Investigation Branch (AAIB), in their investigation into the accident, and that enquiries are continuing. A book of condolence, to be shared with the Srivaddhanaprabha family has been opened at King Power Stadium for supporters wishing to pay their respects. The club’s statement read: “It is with the deepest regret and a collective broken heart that we confirm our chairman, Vichai Srivaddhanaprabha, was among those to have tragically lost their lives on Saturday evening when a helicopter carrying him and four other people crashed outside King Power Stadium. None of the five people on-board survived.The primary thoughts of everyone at the club are with the Srivaddhanaprabha family and the families of all those onboard at this time of unspeakable loss. A member of Leicester City’s staff further summed it up by saying:”The staff are just devastated, the fans are just devastated. Two years ago when Leicester won the league, he paid for coaches, food vouchers, drink vouchers for all the staff to go to the last game of the season (at Chelsea), which was just fabulous. This guy is not just a chairman, he’s a massive friend of the staff. They are like family. It’s devastating, the staff are just absolutely devastated."

avid Beckham, helped new Vietnamese car manufacturer, VinFast, reveal its first two vehicles at the 2018 Mondial de l’Auto in Paris. “I’ve always been a car fanatic and it’s a thrill to be here in Paris to celebrate the arrival of a new carmaker on the global stage. The passion that the VinFast team have for these cars is infectious. It’s an inspirational story and I’m really excited to have been part of this launch moment .” He further added “Vietnam is such a beautiful country and I can see how the VinFast design team have been able to bring some of that beauty alive in the lines of these amazing new cars.” Tran Tieu Vy - voted Miss Vietnam 2018, was also in attendance as the two vehicles were driven onto the stand in front of hundreds of watching journalists, photographers and videographers.VinFast Chairwoman Le Thi Thu Thuy who opened the press conference said: “The Vietnamese people will be immensely proud, honoured and excited to see two such well-known figures unveiling these first cars from Vietnam in such a high profile setting as the Paris Motor Show. Together they represent our intention for VinFast to be a successful automotive brand both in Vietnam and internationally.””With our ambitious plans to bring these two vehicles to market in such a short time, it was crucial for us to make a big entrance and an immediate impact, and we certainly did that today,” she added. The LUX A2.0 and LUX SA2.0 exhibit world-class design, developed in partnership with the worldrenowned Pininfarina team in Italy and engineering companies Magna Steyr and AVL. Domestic sales of the new cars will be followed in 2020 by the start of exports to international markets. VinFast were also presented with ‘A Star is Born’ trophy by AUTOBEST for the ‘most exciting new brand at the 2018 Paris Motor Show. The trophy, awarded by a jury of independent motoring writers from across Europe, recognised the fierce, aspirational approach of VinFast in the development of its first two vehicle models and the creation of a modern production complex in in Vietnam.

What is Benefit for BOI Company in Thailand

This is the most important flag of this particular set up, as it forms the basis for both residency and company. Normally it can be quite painful to start and run a company in Thailand. However, a company with BOI promotion comes special rules to promote industries which have a high benefit to the Kingdom of Thailand – and makes Thailand more competitive against other countries in SE Asia. Singapore and Hong Kong have very low effective tax rates – and for Thailand to compete regionally against these financial and business hubs – they need to offer strong incentives to certain types of companies. Many “offshore companies” are merely paper companies that don’t give you the right to operate in said jurisdiction. • EXAMPLE: (for a BVI offshore company – you can’t ever do business in BVI) • EXAMPLE: For an HK company to exempt from tax from IRB – you can’t do business in HK or with HK persons) • EXAMPLE: For a Singapore company to be exempt from tax from IRAS – you can’t do business in Singapore have any connections, you have to have a few years of good filing records, and you must apply for an exemption. With a Thailand BOI approval, you can have a physical office and operations on the ground, (not possible with most “offshore companies” and official tax residency. This is powerful, particularly if you have an established business with a turnover. A Thai company with 100% foreign ownership gives you many more acquisition opportunities and paths to exit.

Most industries under the BOI promotion allow for 100% foreign ownership.

Special Visa under BOI This visa allows you to remain in the country to begin work on the project. Normally it is required that the foreigner obtain a B-Visa outside the country at one of the neighboring embassies or consulates. Furthermore, a NON-B visa is required for a work permit. (The following information not found elsewhere on the internet at time of publication) Steps for a visa to conduct feasibility study : 1. Incorporate the company and receive BOI approval 2. Write a cover letter in a specific way which includes specific information about the application, current visa status. 3. It would be important to show the presentation detail that the company is already incorporated and why you want this type of visa. 4. After you submit to the right person (there only one person who can do this) – you need to get a letter from this person – then go to immigration. 5. Most immigration officers will not even know of this visa. We have previously had to pull out the law and show them. 6. This requires at least 1 full day for someone (not necessarily visa applicant) to successfully obtain. It is 30,000 baht for this visa if you get a B-visa from outside the country (at a nearby consulate or Embassy – Penang, KL, Singapore as is usually customary, issue letter for 12,000). There is also an option under the BOI to receive a multiple year visa, and another which grants a diplomatic entry at Suvarnabhumi airport.

Alternative Investments

lternative Investments are classed as ones that do not fit into the usual investment types such as those held on stock exchanges, mutual funds, stocks, pensions, government bonds, etc. They include things such as private equity, hedge funds, infrastructure projects, property, derivatives, commodities, forex, IPOs (Initial Public Offerings), crowd funding etc. Most alternatives have low liquidity compared to conventional types. An example of this is that it will be a lot harder to sell a part stake in such as a Malaysian forest compared to shares in Microsoft because of the limited number of buyers. By nature Alternative Investments are usually unregulated. This means that although there are some excellent ones there are others which are highly risky. Some are outright fraud and scams. Always be wary of unsolicited calls offering fantastic returns in IPOs, fine wine, property etc. They’ll provide you with glossy convincing brochures and persuasive sales talk. These are normally from people using false names working in “boiler rooms” in some far off country. You’ll receive worthless ownership papers and receive updates telling you how well your investment is doing but in reality they’ve stolen your money. Once the complaints start coming in they disappear off the face of the earth. So be warned. Make sure you undertake homework and due diligence to find out if the opportunity is genuine. Having found a genuine opportunity how do you value it should you wish to sell it in the future? If we take the example of the Malaysian forest again where do you go to sell it? Where do you get a valuation from? Very often there isn’t one so how do you know what price to put on it? Think of the things that can go wrong with an investment. Trees can get diseases, forests can burn down, there can be illegal logging. In short look at all the angles in a worst case scenario. If you are being offered a 15% return per year, what’s the catch? How long have the company been in business? What profits and losses have they made in previous years? Who are the people behind the company? Can you talk to other investors? There are excellent alternative investments out there but you have to go in to them with your eyes fully wide open. The returns can be brilliant but the losses can be devasting, you might well end up losing everything. I cannot stress enough that it is essential that you get expert advice and undertake all the necessary checks to ensure that the opportunity is genuine. If you are new or inexperienced in saving and investing I would recommend that you stay away from this type of thing. If you are experienced and everything stacks up them by all means go for it. However I would recommend that it only forms a small part of your overall portfolio. Not more than 15% of the total amount that you have invested. BUYING AN EXISTING BUSINESS IN THAILAND

uying a business in Thailand involves a huge amount of money, so the legal and financial aspects of the purchase are extremely important. It is recommended to seek legal assistance and have a competent lawyer and accountant perform due diligence on the existing business you plan to take over. It may provide considerable benefits over starting a new business as an existing business already has an established customer base, location, inventory,suppliers, trained employees and a reputation in the market; you only have to improve or keep up on what has already been achieved. When you take over a business, you absorb the people already in place and it takes time to get rid of the poor performers. However, the new owner may struggle to implement changes because the policies and procedures are already in effect. The financial statement of the existing business somehow helps to establish a value for the company. The company may show significant receivables on the balance sheets but the question is whether these can actually be collected or will eventually be written off as bad debts? On the other hand, starting a business involves taking a lot of risks. Many new companies fail, having to deal with many uncertainties especially regarding the profitability and customers’ response to the company’s products and/or services. But you have to consider that when you start a new company, you will be in full control and will be able to develop the business according to your own specifications. You can gather your own management team as you can have the freedom to select the best people you can find. When you are looking to take over an existing business, it is

beneficial to address the current business with these significant concerns for your assessment: • Ask for all the documentation that can help you confirm the revenue history of the business. This will give you a clear idea of how the business has been doing. You may also want to find out how much money has been flowing in and out on a daily, weekly, monthly and yearly basis. Proper accounting of the expenses and revenues will give you a good idea of the potential profitability of the business. • You need to be aware of any impending legal responsibilities associated with the business. Find out whether the existing owner is aware of any past, current or potential legal disputes. Find out if the business has any contract disputes, employment disagreements, leasing issues, or government regulation issues. • The business owner needs to provide a financial record of assets and liabilities of the business. Find out what the business owns, and what the business owes. Do the assets outweigh the liabilities? Is the owner aware of any financial assets or liabilities that do not appear in the company's records? • It is necessary for you to obtain from the business owner a copy of any written contracts entered into by the business so you can be aware of all contractual obligations. • The business owner must be required to produce evidence that the business is properly registered with the government agencies in the district in which it operates. Ask the business owner for copies of all documents related to government taxes, which include tax returns, tax ID numbers, and more.

here’s so much jargon in the financial world that it’s hardly surprising investors can sometimes get confused. This week I would like to explain in alphabetical order some of the most common words and phrases. It is impossible to be comprehensive here but I will come back to this in a future article.

BETA - The volatility of a company’s share price relative to a market index.

CALL OPTION - The right but not the obligation to buy an asset at a previously agreed price within a specified period.

CAP-A form of insurance that pays out if a floating interest rate rises above a specified level. CAPM - stands for Capital Asset Pricing Model, a theory of market behavior, which holds that prices find their level according to all available information. If all participants have the same information, it is impossible to beat the average return. CHINESE WALL - An information barrier imposed between departments of the same financial or professional firm to guard against the flow of sensitive information and other possible conflicts of interest in serving different clients. CDO - Collateral Debt Obligation, a package of loans, bonds or other credit risks diversified supposedly to produce

more stable returns than single named credits. The package is often re-divided into tranches each tranche being priced and sold according to the expected probability of loss or impaired value. This was the financial instrument used to wipe out huge chunks of the housing industry around the world and bring workers and student on to the streets to protest at austerity measures being imposed to pay for the entire banking industry greed and ineptitude. We may not have heard the end of street protests across Europe.

CORRELATION - the extent on a scale of 0 to 1 on which price changes in one market or financial instrument follow the same pattern as price changes in another market or instrument; the opposite of diversification.

COUNTERPARTY - The other party to a bilateral transaction. CURRENCY SWAP - An agreement between two parties to exchange cash flows in different currencies. DEFAULT - Failure to pay obligation in a timely fashion. DELTA HEDGING - Monitoring a hedged position and adjusting it according to market movements rather than hedging the entire exposure.

FAIR VALUE - The Theoretical value of an asset or a portfolio of assets if it had to be sold in the market today. FLOATING RATE - An interest rate that is reset at intervals according to a specified benchmark such as LIBOR the London Interbank Offered Rate. FUTURES - Contracts to deliver a commodity or a financial asset at a certain price at a future date. HEDGE FUND - An investment fund that aims to use sophisticated trading methods, including derivatives to produce consistent positive returns. The biggest difference between a Hedge Fund and a mutual fund is that returns on a mutual fund are entirely dependent on market conditions. Returns on a Hedge fund are entirely dependent on the skill of the hedge fund manager and have no bearing on market conditions be they rising or falling. IN THE MONEY - Describes an option that has positive market value. INTEREST RATE SWAP - A bilateral contract to exchange cash flows based on two different interest rate scales, for interest one floating one fixed. JUNK BOND - A bond usually issued by a company of risky credit quality, paying a high margin above prevailing interest rates to compensate for a high risk of default.

Development and upgrading of the motorway network, namely Highway 7 has been a boon to road transport. However, commuters should be aware that using this route is soon to get more expensive as a new toll has been constructed a few kilometers from Pattaya.
